Article 2
Les dispositions du présent engagement s’appliquent de plein droit
pendant la durée du séjour du BÉNÉFICIAIRE au sein de l’UNITÉ.
Cependant, les dispositions des articles 5, 6 et 7 ci-dessous
resteront en vigueur nonobstant l’expiration ou la résiliation du
présent engagement.
Article 3
Le BÉNÉFICIAIRE est placé sous l’autorité du directeur de l’UNITÉ et
doit se conformer au règlement intérieur de l’UNITÉ dont il reconnaît
avoir pris connaissance.
Le BÉNÉFICIAIRE est soumis aux mêmes obligations que celles
incombant à l’ensemble des agents publics, notamment celles
d’obéissance hiérarchique et de réserve.
En cas de faute grave ou de conduite mettant en cause la bonne
marche de l’UNITÉ, le CNRS pourra être amené à interrompre le
séjour du BÉNÉFICIAIRE.
Article 4
L’UNITÉ, dans la mesure de ses moyens, offre toutes les facilités
nécessaires au BÉNÉFICIAIRE afin de poursuivre ses recherches
dans des conditions comparables à celles des étudiants/doctorants
Hereinafter referred to as the “STUDY”
Mr ......................................................................... , the
scientific supervisor of the STUDY, will follow the
BENEFICIARY’s work within the RESEARCH LAB.
Article 2
The provisions of this agreement shall automatically apply
during the BENEFICIARY’s stay within the RESEARCH LAB.
However, the provisions of articles 5, 6 and 7 below shall
remain in effect notwithstanding the expiration or termination
of this agreement.
Article 3
The BENEFICIARY is placed under the authority of the
RESEARCH LAB manager and shall comply with the RESEARCH
LAB’s rules, which he acknowledges he is aware of.
The BENEFICIARY shall be subjected to the same duties as
those of public employees, including hierarchical obedience
and reserve.
In the event of any serious fault or misconduct affecting the
proper operation of the RESEARCH LAB, the CNRS may
interrupt the BENEFICIARY’s stay.
Article 4
The RESEARCH LAB, to the extent of its means, offers all
facilities needed by the BENEFICIARY to continue his research
in conditions similar to those of students/doctorate students

son accueil par le directeur de l’UNITÉ.
Article 5 - Confidentialité
Le BÉNÉFICIAIRE s’engage à maintenir la confidentialité de toutes
les informations de nature scientifique, technique, économique ou
autre, quel qu’en soit le support, ainsi que de tous les produits,
échantillons, composés, matériels biologiques, appareillages,
systèmes, logiciels ou tout autre élément ne faisant pas partie du
domaine public, méthodologies et savoir-faire dont il pourrait avoir
connaissance au cours de son séjour au sein de l’UNITÉ. Le
BÉNÉFICIAIRE s’engage également à considérer comme
confidentiels les résultats de l’ÉTUDE.
Les engagements précisés ci-dessus s’appliquent pendant toute la
durée du séjour du BÉNÉFICIAIRE au sein de l’UNITÉ et resteront en
vigueur durant 5 (cinq) ans après l’expiration du présent
engagement, sous réserve de dispositions particulières résultant
d’un contrat entre le CNRS et un partenaire tiers portant sur tout ou
partie de l’ÉTUDE.
Article 6 – Propriété industrielle
Le BÉNÉFICIAIRE reconnaît que les informations, quel qu'en soit le
support, les produits, composés, matériels biologiques,
appareillages, systèmes, logiciels ou tout autre élément ne faisant
pas partie du domaine public mis à sa disposition par l’UNITÉ et le
CNRS, ainsi que les résultats de l’ÉTUDE, brevetables ou non, sont la
propriété pleine et entière du CNRS qui pourront les utiliser et/ou les
exploiter librement et déposer des brevets en France et à l’étranger
en leur nom et à leur charge, sous réserve d’accords de recherche
ou de valorisation entre le CNRS et un partenaire tiers portant sur
tout ou partie de l’ÉTUDE ou de droits d’autres tiers.
Le BÉNÉFICIAIRE reconnaît qu’il n’acquiert, du fait de son séjour au
sein de l’UNITÉ, aucun droit de propriété industrielle ou commerciale
sur les résultats de l’ÉTUDE, brevetables ou non brevetables, sur
tout matériel, savoir et savoir-faire de l’UNITÉ y compris non publiés
et s’engage à ne sortir de l’UNITÉ aucun matériel (en particulier
matériel biologique) ou copie de cahier(s) de laboratoire sans
l’autorisation préalable écrite du directeur de l’UNITÉ.
En cas d’obtention de résultats brevetables ou de résultats à
valoriser (logiciels, savoir-faire…), le BÉNÉFICIAIRE s’engage à :
a) en informer sans délai, en concertation avec le directeur de
l’UNITÉ, le CNRS ;
b) prêter en toutes circonstances son plus entier concours, donner
tous pouvoirs et fournir toutes signatures pour le dépôt,
l’obtention et le maintien en vigueur de toute demande de
brevet français et étranger ou tout autre titre de propriété
industrielle, ainsi que pour leur exploitation tant en France qu’à
l’étranger ;

BENEFICIARY at his first meeting with the RESEARCH LAB
manager.
Article 5 – Confidentiality
The BENEFICIARY agrees to maintain the confidentiality of any
scientific, technical, economic or other information, whatever
the medium, as well as of any product, sample, compound,
biological matter, devices, system, software or any other item
that is not in the public domain, methodologies and knowhow
that he could be aware of during his stay within the
RESEARCH LAB. The BENEFICIARY also agrees to consider the
STUDY’s results as confidential.
The above-mentioned undertakings shall apply for the whole
of the BENEFICIARY’s stay within the RESEARCH LAB and shall
remain applicable for five (5) years after the expiration of this
undertaking subject to the specific provisions resulting from a
contract between CNRS and a third partner covering all or
part of the STUDY.
Article 6 – Industrial Property
The BENEFICIARY acknowledges that the information
whatever the medium, as well as any product, sample,
compound, biological matter, devices, system, software or
any other item that is not in the public domain, provided by
the RESEARCH LAB and CNRS, as well as the results of the
STUDY, whether patentable or not, are the full property of
CNRS, which may use and/or exploit the same freely and file
for patents in France and abroad, in their name and at their
cost, subject to research or valorisation agreements between
the CNRS and a third partner covering all or part of the STUDY
or rights of other third parties.
The BENEFICIARY acknowledges that he acquires, as a result
of his stay within the RESEARCH LAB, no industrial or
commercial property right over the results of the STUDY,
whether patentable or not, over any material, know-how and
expertise of the RESEARCH LAB, including those not
published, and agrees not to remove from the RESEARCH LAB
any equipment (including biological material) or copy of lab
books without the RESEARCH LAB manager’s prior and written
consent.
In the event of patentable results or results to be valorised
(software, know how), the BENEFICIARY agrees to :
a) inform CNRS promptly, in agreement with the RESEARCH
LAB manager;
b) lend his full assistance in all circumstances, give all
powers and provide all signatures, for the filing,
obtaining and maintaining of any patent application in

c) communiquer au plus tôt tous les changements d’adresse
(personnelle ou professionnelle) ou de statut.
Dans l’hypothèse d’un dépôt de brevet, le CNRS s’engage par le
présent engagement à ce que le nom du BÉNÉFICIAIRE soit
mentionné à titre d’inventeur, à moins qu’il ne s’y oppose par écrit,
s’il était considéré comme inventeur.
Les dispositions précisées ci-dessus s’appliquent pendant toute la
durée du séjour du BÉNÉFICIAIRE au sein de l’UNITÉ et resteront en
vigueur durant 5 (cinq) ans après l’expiration du présent
engagement ou tant qu’une procédure de propriété industrielle le
justifie.
Article 7 – Publication
Le BÉNÉFICIAIRE reconnaît également ne pouvoir faire des
publications ou communications écrites ou orales relatives aux
travaux réalisés au sein de l’UNITÉ qu’après autorisation écrite du
directeur de l’UNITÉ ou, le cas échéant, de l’une des personnes que
ce dernier aura nommément désignées à cet effet. Cette
autorisation sera accordée sous réserve des intérêts de l’UNITÉ et
du CNRS, dans le respect des accords éventuellement conclus avec
des partenaires tiers et dans la mesure où ces publications ne
constitueraient pas une divulgation au sens du code de la propriété
intellectuelle. Elle ne pourra être refusée que pour des raisons
dûment justifiées.
Le BÉNÉFICIAIRE s’engage à ce que les publications ou
communications mentionnent explicitement les noms des auteurs,
de l’UNITÉ et du CNRS.
Le BÉNÉFICIAIRE accepte qu’il puisse être sursis à publication ou,
pour un étudiant, que sa soutenance soit tenue à huis-clos, dans le
cas où les résultats de l’ÉTUDE seraient brevetables ou feraient
l’objet d’un dossier technique secret ou de dispositions particulières
liées à l’existence d’une collaboration entre le CNRS et un partenaire
tiers portant sur tout ou partie de l’ÉTUDE, sans pouvoir invoquer ni
préjudice ni indemnité.
Les engagements précisés ci-dessus s’appliquent pendant la durée
du séjour au sein de l’UNITÉ et resteront en vigueur durant une
période de cinq (5) ans après l'expiration du présent engagement.
Les dispositions précisées ci-dessus s’appliqueront, sous réserve
de dispositions particulières résultant d’un contrat entre le CNRS et
un partenaire tiers portant sur tout ou partie de l’ÉTUDE.
Article 8– Langue et Litige
Le présent engagement est rédigé en français et en anglais. La
version française constituera la version légale du présent
engagement. La version anglaise de cet engagement ne sera
fournie qu'à titre d'information.

In the event a patent is filed, CNRS here by agree that the
BENEFICIARY’s name will be mentioned as the inventor,
unless he objects thereto in writing, if he is considered an
inventor.
The above provisions shall apply for the whole stay of the
BENEFICIARY within the RESEARCH LAB and shall remain
effective five (5) years after the expiration here of, or as long
as an industrial property procedure justifies so.
Article 7 – Publication
The BENEFICIARY also acknowledges that he shall not publish
or disclose, in writing or verbally, anything related to the
research carried out within the RESEARCH LAB, without the
RESEARCH LAB manager’s prior and written authorization, or
as needed, that of his designated representative. Such an
authorization shall be granted subject to the interests of the
RESEARCH LAB and of CNRS, in accordance with possible
agreements entered into with third partners, and to the extent
such publications do not constitute disclosure in the meaning
of the French intellectual property code. It shall not be denied
without duly justified reasons.
The BENEFICIARY agrees that such publications and
disclosures shall formally mention the names of the authors,
of the RESEARCH LAB and of CNRS.
The BENEFICIARY agrees to a publication being postponed or
if a student, to his thesis being defended in camera, should
the results of the STUDY be patentable or be the subject of a
secret technical file or of specific provisions related to the
existence of co-operation between CNRS and a third party
covering all or part of the STUDY, without claiming any loss or
compensation.
The undertakings specified above shall apply during the
terms of the stay within the RESEARCH LAB and shall remain
effective for five (5) years after the expiration of this
undertaking.
The above provisions shall apply subject to specific
provisions resulting from an agreement between CNRS and a
third partner covering all or part of the STUDY.
Article 8 – Contractual Language and Dispute
This Agreement is drafted in French and in English. The

Le présent engagement, exécuté en France, sera soumis à la loi
française et interprété en accord avec les lois et la jurisprudence
françaises.
En cas de litiges nés de l’interprétation ou de l’exécution du présent
engagement, les PARTIES devront rechercher, dans un esprit de
coopération, une solution équitable. A défaut d’un accord, elles s’en
remettront aux tribunaux compétents.

French version shall constitute the authenticated version of
the Agreement. The English version of the present
Agreement shall be provided for information only.
This Agreement, executed in France, shall be governed by
French law and shall be interpreted according to French laws
and jurisprudence.
In the event of any dispute arising from the interpretation or
performance of this agreement, the PARTIES shall look for a
fair solution, in a spirit of co-operation. Failing an agreement,
they shall bring the matter to relevant courts.
