1.3.1 Proprietatea publică<br />
Conform dreptului românesc, imobilele deţinute de<br />
stat şi unităţile administrativ-teritoriale se împart în<br />
două categorii: imobile aflate în proprietate publică,<br />
cele care aparţin domeniului public şi imobile aflate în<br />
proprietate privată, ce aparţin domeniului privat.<br />

1.3.1 Public property<br />
Under Romanian law, real properties held by the State <strong>and</strong><br />
local authorities can be of two categories: real properties<br />
held in public ownership that belong to the public domain<br />
<strong>and</strong> real properties held in private ownership that belong<br />
to the private domain (domeniul public sau privat).<br />
Importanţa de a şti în care dintre aceste categorii este<br />
inclus terenul necesar pentru construcţia capacităţii<br />
energetice determină tipul de contract în baza căruia<br />
terenul poate fi asigurat pentru dezvoltarea centralei<br />
electrice, având în vedere că terenurile deţinute<br />
în proprietate publică pot fi obţinute în vederea<br />
exploatării într-un astfel de scop, în baza unui contract<br />
de concesiune.<br />

Întrebarea „cum” îşi pot alege statul şi unităţile<br />
administrativ-teritoriale partenerii contractuali atunci<br />
când acordă drepturi asupra terenurilor deţinute în<br />
proprietate, este un subiect nelipsit de controverse în<br />
practică. Vânzarea, concesionarea sau închirierea unor<br />
terenuri din domeniului public sau privat al statului<br />
sau al unităţilor administrativ-teritoriale sunt supuse<br />
procedurilor de licitaţie publică. Detaliile unor astfel<br />
de proceduri nu au fost până în prezent complet<br />
clarificate; legea, doctrina sau jurisprudenţa nu oferă<br />
un set de reguli unitare cu privire la modalitatea în<br />
care autorităţile publice trebuie să organizeze astfel<br />
de proceduri de licitaţie. Cu toate acestea, dacă o<br />
autoritate publică acordă unui terţ drepturi asupra<br />
unui teren deţinut în proprietate publică sau privată<br />
fără organizarea unei licitaţii publice în acest sens,<br />
contractul astfel încheiat poate fi anulat de către<br />
instanţa de judecată. Această anulare ar produce o<br />
serie de efecte negative asupra unui proiect în curs de<br />
dezvoltare sau deja dezvoltat pe teren şi chiar asupra<br />
autorizaţiilor şi avizelor emise pentru construirea şi<br />
operarea centralei electrice.<br />
The question of “how” the local authorities can choose<br />
their contract partners when granting rights over l<strong>and</strong> is<br />
a controversial matter. The sale, concession or leasing of<br />
the plots of l<strong>and</strong>, part of the public or private domain of<br />
the state or administrative units are subject to a public<br />
tender procedure. The details of such procedures are not<br />
yet completely clarified; neither the statutes nor the legal<br />
writings nor the case law provide a uniform set of rules<br />
as to how the local authorities should conduct such a<br />
public tender procedure. However, if the local authority<br />
grants rights to l<strong>and</strong> to a party without conducting a<br />
public tender, the contract concluded with such a party<br />
may be declared null <strong>and</strong> void. This would have a series of<br />
adverse effects on the ownership over the project ongoing<br />
or developed on the l<strong>and</strong> <strong>and</strong> even on the authorisations<br />
<strong>and</strong> permits issued for the building <strong>and</strong> operation of the<br />
energy plant.<br />
