The Copenhagen Stock Exchange has prepared guidelines<br />

on takeover bids for listed companies.<br />

Annual fees for being listed on the Exchange<br />

Listed issuers pay a fixed annual fee to have their securities<br />

listed on the Copenhagen Stock Exchange.<br />

The fee for <strong>2005</strong> payable by limited companies is DKK<br />

65,000 plus a variable fee of DKK 45 per listed DKK million in<br />

market value at end-2004. The maximum fee payable by an<br />

individual issuer for <strong>2005</strong> is DKK 530,000. A corresponding<br />

calculation is made for foreign share issuers that are listed on<br />

their national stock exchange or another authorised foreign<br />

exchange. However, the variable fee payable by such<br />

companies is reduced by 50 per cent. Also, the maximum fee<br />

payable by foreign share issuers for <strong>2005</strong> is DKK 530,000,<br />

including the fixed annual fee.<br />

Investment funds on the main market and the XtraMarked<br />

pay a fixed annual fee for <strong>2005</strong>, which is dependent on the<br />

number of funds, and a variable fee dependent on the market<br />

value at end-2004.<br />

The listing fee payable by bond issuers for <strong>2005</strong> is<br />

dependent on the issuer's nominal listed volume in<br />

circulation at end- 2004. In addition, a fixed fee of DKK 1,000<br />

is payable per listed securities ID code. In connection with<br />

the issue of government bonds, a fee of DKK 8.00 is payable<br />

per million in circulation. In connection with other issues a fee<br />

of DKK 9.25 is payable per million in circulation.<br />
