THE ROLES WE PLAY IN A TRANSACTION<br />

We have arrived at the apex event for the yachting industry, the <strong>2009</strong> Ft. Lauderdale<br />

International Boat Show (“FLIBS”). This year, we find ourselves in a distressed economy<br />

filled with apprehension and conservative spending. The client’s trepidation to buy<br />

in this economic climate has put a tight squeeze on the yachting industry. We find ourselves<br />

with much supply, but less demand, which usually equates to desperate acts.<br />

Desperation causes poor judgment and mistakes. Avoid mistakes, close efficiently and<br />

effectively by calling upon the resources available to you in this industry, such as your<br />

fellow brokers, FYBA, yachting attorneys, bankers, insurance brokers, customs brokers,<br />

documentations agents and registration representatives. Don’t answer a question that you<br />

aren’t 100% sure of the answer. Instead, call the appropriate representative to assist you,<br />

as they are only a phone call away!<br />

With that, I am going to tell you a story about Justine and her flawless yacht transaction<br />

experience. Justine flies into Fort Lauderdale on her G5 from The Maldives to buy<br />

a yacht. She contacts FYBA for a yacht broker, assuming that she did not already fall<br />

over 20 yacht brokers from the airport to her hotel. Upon meeting with the yacht broker,<br />

he explains his duty to her. He tells her that he will assist her with wading through<br />

the vast inventory available. He will be there from the showing, to contracting, to surveying<br />

to closing. The yacht broker helps her select a boat that fits her particular taste<br />

and discusses chartering. The yacht broker takes Justine and her entourage through the<br />

multitude of yachts at FLIBS. Justine finds the yacht of her dreams at FLIBS. Upon<br />

seeing the yacht’s price tag, Justine starts to well up with tears. To avoid seeing a<br />

woman cry, the yacht broker immediately grabs his Crackberry and calls a banker. The<br />

banker comes up with the most favorable business terms that will allow Justine to not<br />

only buy the yacht, but allow her cash to stay in her account. Elated, Justine now has<br />

her yacht chosen and understands how to buy it.<br />

Over dinner at Steak 954, Justine’s yacht broker hands her a form contract to review.<br />

Again, Justine’s eyes start to well up, so her wise yacht broker calls upon a yachting<br />

attorney. The yachting attorney, not being able to resist a good steak, joins them for<br />

dinner. The yachting attorney helps Justine break the legal code in the contract and<br />

explains to her the legal implications of her purchase, such as liability avoidance, tax<br />

implications, insurance risks, and charter regulations. Justine’s yachting attorney<br />

departs with a new client and a full belly. The yachting attorney and yacht broker work<br />

together to get the contract signed by both parties. Upon reflecting, Justine marvels at<br />

the wisdom of the yacht broker in advising her to seek legal counsel immediately, especially<br />

since the yacht broker made it clear to Justine that he would not practice law without<br />

a license by rendering advice on taxes and liability avoidance and by drafting legal<br />

documents, such as a contract or acceptance.<br />

That night, Justine wakes up from a nightmare where her evil mother-in-law tripped and<br />

fell, sued Justine and ended up with Justine’s yacht. Not caring that it is 3:40am,<br />

Justine quickly calls her yacht broker for a solution to this nightmare. The yacht broker<br />

calms her by telling her that he will recommend her to an insurance broker. The<br />

next morning, the yacht broker delivers Justine to the insurance broker. Justine shares<br />

her nightmare with the insurance broker, noticing that the insurance agent also breaks<br />

out in a sweat upon hearing the term mother-in-law. The insurance agent lays out the<br />

protection afforded by a marine insurance policy and its exclusions and risks. The insurance<br />

broker presents Justine with a couple of policy options and helps Justine choose<br />

the best coverage based on her cruising schedule and her plans for the yacht.<br />

Next, they meet up with a yacht surveyor. The surveyor explains how he will go<br />

through the yacht with a fine tooth comb. The surveyor produces a 20 page report<br />

spelling out what Justine must know before accepting or rejecting the yacht. Both<br />

yacht brokers involved in the transaction disclose all known defects that would have an<br />

effect on Justine’s decision whether to accept or reject the yacht. The surveyor’s report<br />

states that there is erroneous hull lamination. When Justine discovers the cost to repair<br />

this, she requests that the Seller fix the hull lamination before the closing. The yacht<br />

broker stops her mid- sentence and they get her yachting attorney on the phone. Justine<br />

and her yachting attorney discuss the best way to make a conditional acceptance. They<br />

agree that the best thing to do is to determine the cost of repairing the hull lamination,<br />

request that the Seller reduce the price by this amount and have Justine take care of the<br />

issues post closing. The yachting attorney avoided future litigation by not having the<br />

Seller attempt to repair the hull lamination to Justine’s impossible standard. Justine<br />

pulls the trigger and accepts the yacht. The yacht broker happily deposits her into the<br />

hands of her yachting attorney. They meet to discuss liability avoidance, registration<br />

and tax issues. Justine’s yachting attorney informs her that the law firm will be hiring<br />

a documentation agent to assist them with the registration of the yacht. Justine<br />

then tries to take a short cut and asks the documentation agent if she can draft the mortgage<br />

documents and corporate documents for her to save on additional legal fees.<br />

Knowing that it is illegal to practice law without a license and that this act would not<br />

be covered by her E/O policy, the documentation agent flatly refuses Justine’s request<br />

and informs her that the law bars non-lawyers from drafting or reviewing legal documents<br />

and that under <strong>Florida</strong> Law a non-lawyer is only allowed to fill in the business<br />

terms into a document.<br />

It is closing day and Justine has on her best yachting chic outfit. Justine does a final walk<br />

through of the yacht. Present is her yacht broker, her yachting attorney and the Seller’s<br />

similar representatives. Her yachting attorney walks her through each piece of paper.<br />

Justine has the closing funds wired to the Seller. She is now a yacht owner! Justine lives<br />

happily ever after sailing away on M/Y Bad Kitty into the sunset! The end.<br />

The moral of the story is, be prepared! Take a minute to add your favorite industry contacts<br />

to your phone. You will be amazed by the efficiency that this quick action creates.<br />

To say the least, your client will be impressed with your ability to call upon an<br />

industry expert who can assist your client’s immediate needs.<br />

The <strong>2009</strong> Broker Open House events<br />

ended on a high note with the last open<br />

house of the year being held at Bahia<br />

Mar on September 17. Over 140 industry<br />

professionals gathered to view the<br />

26 yachts on display. <strong>Yacht</strong>s ranged in<br />

size from the 157’ Trinity LADY LINDA to<br />

the 51’ Bertram REEL HIGH COTTON.<br />

Attendees had the opportunity to enjoy<br />

delicious hors d’oeuvres and cold beverages<br />

while networking with their<br />

industry peers. The open house was a<br />

great way for everyone to get together<br />

before boat show season starts!<br />

F lorida<br />

law requires those seeking commissions or compensation<br />

relating to the purchase or sale of a yacht to<br />

post a bond or irrevocable letter of credit (“L/C”) with<br />

the State of <strong>Florida</strong>. This instrument is supposed to serve as<br />

security for a potential claimant should a transaction go<br />

awry. Most yacht brokers and salespeople are fully aware of<br />

the bond requirement because it is a prerequisite to the<br />

issuance of their license by the Division of <strong>Florida</strong><br />

Condominiums, Timeshares, and Mobile Homes of the<br />

Department of Business and Profession Regulation, (the<br />

“Division”). But many may not know exactly how this bond<br />

functions to protect a broker and, more importantly where<br />

this bond does not protect a broker.<br />

The <strong>Yacht</strong> and Ship <strong>Brokers</strong>’ Act requires brokers to post with<br />

the Division a “good and sufficient surety bond or irrevocable<br />

letter of credit, executed by the broker as principal, in the sum<br />

of $25,000” prior to being issued a yacht brokers license.<br />

Similarly, yacht salespeople, who are employed by brokers and<br />

whose licenses must be held by a broker, are required to deposit<br />

a $10,000 bond prior to being licensed.<br />

The security must cover the entire license period, and new or<br />

continued security must be delivered to the Division at the<br />

beginning of each new license period. Even after the broker<br />

or salesperson ceases to be a broker, the surety must remain<br />

on deposit with the State for a period of 1 year.<br />

The purpose of this instrument is to secure (a) broker compliance<br />

with the terms of any written contract made in connection<br />

with the sale or exchange of any yacht or ship and (b) non-violation<br />

of the provisions of the <strong>Yacht</strong> and Ship <strong>Brokers</strong>’ Act.<br />

Stated differently, a person will have a claim against a broker or<br />

salesperson’s bond or L/C if they are injured by the fraud,<br />

deceit, or willful negligence of any broker or salesperson or by<br />

the failure of the broker or salesperson to comply with the<br />

<strong>Yacht</strong> and Ship <strong>Brokers</strong>’ Act or other law..<br />

In fact, if a claim is made to the Division, the Division can<br />

enforce the provisions of the <strong>Yacht</strong> and Ship <strong>Brokers</strong>’ Act<br />

by conducting investigations, administering oaths, subpoenaing<br />

witnesses and compelling their attendance, taking evidence,<br />

and requiring the production of any matter that is relevant<br />

to the investigation, including the existence, description,<br />

nature, custody, condition, and location of any books,<br />

documents, or other tangible things and the identity and<br />

location of persons having knowledge of relevant facts or<br />

any other matter reasonably calculated to lead to the discovery<br />

of material evidence.


The <strong>Yacht</strong> Broker<br />

BOND REQUIREMENT<br />

Where the Division determines that a person involved in a<br />

transaction with a broker has suffered a loss as a result of a violation<br />

of the conditions in the <strong>Yacht</strong> and Ship <strong>Brokers</strong>’ the<br />

Division will notify the injured person in writing of the existence<br />

of the bond or L/C. The injured party may then bring an<br />

action against the bond.<br />

Specifically, any person injured by the fraud, deceit, or willful<br />

negligence of any broker or sales person or by the failure of<br />

any broker or salesperson to comply with the <strong>Yacht</strong> and Ship<br />

<strong>Brokers</strong>’ Act or other law may file an action for damages upon<br />

the respective bond, against the principal (broker/salespersons)<br />

and against the surety (issuer of the bond or L/C).<br />

If an action is commenced against the bond or L/C, the division<br />

may require the filing of a new bond or L/C upon commencement<br />

of the action and will require the positing of a new<br />

bond immediately upon recovery in any action against a bond<br />

or L/C. A broker or salesperson’s failure to post a new bond<br />

within 10 days is grounds for suspension or revocation of his<br />

or her license.<br />

Of course, the bond requirement described above is only one<br />

of many enforcement mechanisms available under to the law to<br />

consumers and to the Division. In addition to notifying the<br />

injured party of the existence of the bond, the Division can<br />

issue cease and desist orders to stop unlawful conduct, bring<br />

action in circuit court on behalf of a class of yacht or ship purchasers,<br />

issue civil fines less than $10,000, and of course, suspend<br />

or revoke a broker’s license.<br />

Further, a broker’s liability is in no way limited to the amount<br />

in the bond as they may still be subjected to a civil or criminal<br />

suit for violations of the <strong>Yacht</strong> and Ship <strong>Brokers</strong>’ Act or other<br />

laws. Therefore, the bond does not act as a personal insurance<br />

policy to cover claims and in many instances is insufficient to<br />

cover potential claims for damages. When in doubt on a transaction,<br />

seek advice from a maritime lawyer. A few moments of<br />

advice on the front end could save you a huge headache later.<br />

American seller as he closed the deal on Millenium’s 2003<br />

built 36m LES BELLES asking $4.9 million, with Andrey<br />

Shestakov of Atlantic <strong>Yacht</strong> & Ship acting for a Russian buyer.<br />

LES BELLES sleeps up to nine guests in a main deck master,<br />

VIP and two doubles. Three days later, Kent acted for an<br />

CNI is delighted to report two sales this past month from<br />

Georges Bourgoignie of the Ft Lauderdale office. Together with<br />

Simon Goldsworthy (CNI London), he closed on the original<br />

2005, MIRABELLA I has proved an ever-popular charter vessel.<br />

She will now undergo a major refit whilst in Europe. Georges<br />

Orders up for Outer Reef <strong>Yacht</strong>s post the Cannes and Seattle<br />

Boat Show: Outer Reef’s Southampton, UK office was represented<br />

in France at the Cannes and much to their surprise had<br />

a spectacular show. As of this writing, Outer Reef <strong>Yacht</strong>s has<br />

taken two new contracts, one for an 80’ and one for the new<br />

70’, both Pilothouse Motor <strong>Yacht</strong>s. Another 70’ is in negotiation<br />

and the company hopes to have this one closed by press<br />

time. At the Seattle show Outer Reef successfully introduced<br />

their new 63 ‘Open’.<br />

OCEANSTYLE is again delighted to exhibit some spectacular<br />

yachts at the forthcoming Ft Lauderdale boat show. MUSE – a<br />

Palmer Johnson 123 built in 2006 - will no doubt be one of the<br />

highlights of the show. MUSE is the second in the 123’ Sports<br />

Fly-bridge series from Palmer Johnson. MUSE will appeal to<br />

any owner who appreciates a sporty looking vessel with sufficient<br />

speed and range, combined with an understated, calm and<br />

elegant interior.<br />

Nordhavn is gearing up for the forthcoming fall boat<br />

show season with some of its best displays in recent<br />

memory. Kicking off the U.S. show schedule in grand style,<br />

the Northwest Sales office will be featuring two newer models as<br />

part of its exhibit in Seattle: the Nordhavn 64 and the brand new<br />

Nordhavn Motorsailer. This marks the debut for both models at<br />

the Lake Union Boats Afloat venue. Aweek later, the Lido <strong>Yacht</strong><br />

Expo in Newport Beach, CA will feature the very popular 55- and<br />

47-foot Nordhavns. Meanwhile on the East Coast, the gorgeous<br />

and oft revered Nordhavn 62 will make up the display at both the<br />

Solomons (MD) Trawler Fest and the U.S. Powerboat show in<br />

Annapolis. At the Fort Lauderdale International Boat Show,<br />

Nordhavn is working on plans to unveil its brand new Nordhavn<br />

60 of which seven commitments were placed sight unseen.<br />

Alongside the N60 we’re expecting the Nordhavn Motorsailer<br />

will make her East Coast debut in Fort Lauderdale.<br />

Hargrave President Mike DiCondina announced the company had<br />

changed their business model and will now have six large<br />

Hargrave yachts for sale on display at the Los Olas Docks this<br />

year, after a decade of bringing only the very latest owner<br />

launches to the Ft. Lauderdale and Miami boat shows, none of<br />

which were for sale.<br />

method to prevent underloading of diesel generators has been<br />

developed and it deletes the need for load banks which are normally<br />

used to prevent generator underloading.<br />

Destinations Seminar <strong>2009</strong><br />

Presented by the FYBA Charter Professionals Committee,<br />

the Charter Destinations Seminar on <strong>October</strong> 13 featured six<br />

spectacular destinations and attracted over 100 charter professionals,<br />

even some from as far as Boston and San Diego! The day<br />

began with attendees having the time to visit with the 11 exhibitor<br />

tables that displayed a variety of products and services, from yacht<br />

furnishings to medical needs! After a delicious lunch, the seminar<br />

began with an introduction from FYBA Executive Director, Rae Whitt,<br />

and FYBA President, Bruce Schattenburg, presenting Bert Fowles<br />

and Adam Foster of IGY with the 2008 Charter Destinations Seminar<br />

Sponsorship Award.<br />

Everyone then settled in for the day to hear intriguing presentations<br />

on destinations including Costa Rica, The Caribbean,<br />

British Columbia, St. Lucia, Thailand and the Bahamas.<br />

Three out of the six destination speakers were well-experienced<br />

Captains, along with Michael Sawyer, who was a last-minute<br />

replacement for Captain Colin Griffinson of PACIFIC YELLOWFIN.<br />

Each brought their own enthusiasm and knowledge of the destination<br />

into their presentation and included vibrant photos that made<br />

you feel like you were experiencing exactly what was being<br />

described, like swimming with the elephants in Thailand or cruising<br />

the pristine waters of British Columbia! The afternoon even included<br />

a raffle with prizes from Bimini Boatyard and four luxury<br />

hotel/marina accommodations courtesy of the Adriatic Escape<br />

Agency. FYBA would like to thank Rupert Connor of Luxury <strong>Yacht</strong><br />

Group for moderating the seminar and would especially like to<br />

thank the Charter Professionals Committee for their hard work in<br />

organizing the entire day!<br />

ADVANCE NOTICE OF ARRIVAL<br />

What are the current U.S. Coast Guard vessel reporting requirements?<br />

There have been questions regarding who is required to report their<br />

intended arrival into the United States via the Coast Guard National<br />

Vessel Movement Center, “NVMC”.<br />

The current information from Coast Guard Seventh District is that ALL<br />

FOREIGN FLAGGED YACHTS must report their future arrival into<br />

the United States. A vessel is required to notify NVMC 96 hours prior<br />

to arrival. If you are arriving from the Bahamas you need only notify<br />

the NVMC 24 hours prior to arrival. In this case you would need to<br />

file before you depart the Bahamas.<br />

Just go to www.NVMC.uscg.gov click on eNOAD. The first time you<br />

have to create an account. It costs nothing.<br />

Required information includes Vessel Description (Official Number,<br />

etc.) Itinerary (last 5 ports visited) and Crew List (all on board). Add<br />

date, time and port of arrival and its’ done; A few moments at most.<br />

Even better, the information you’re indexing is “multi-use”; how much<br />

better to create a crew list for your trip in the air-conditioned comfort<br />

of your boat’s salon than in the hot and crowded Customs Office at<br />

your port of arrival.<br />

Finally, take full advantage of what you are being required to do. With<br />

an additional click of your mouse, forward a copy of the notice to a<br />

family member or close friend. If you don’t show up on time, they’ll<br />

have an Official Record to convince the authorities that you’re really in<br />

trouble and not just late.<br />

PRINT, WEB & BRANDING<br />

TO REACH THE LUXURY MARKET<br />

Here are a few positive strategies and concepts you can use to get<br />

print, web, and branding working together to reach your customer<br />

base. Your market is the segment of the population that can afford<br />

tens of thousands of dollars on a one-week vacation—the very top<br />

end of the luxury market. These potential clients have personal<br />

and corporate staff to screen their mail, emails, phone calls, and<br />

personal contacts. Let’s see how print and web and branding can<br />

get through to this audience.<br />

Print media—and no, print is not dead—is an established and<br />

effective way to reach your customer base and establish your<br />

brand. Magazines can provide you with an interested and qualified<br />

readership. These potential customers may be qualified by<br />

income, interest, and method of distribution. Being in the right<br />

magazine title that reaches your customer base gives you three<br />

advantages. 1) Distribution. It gets you into the hands of the reader.<br />

If a person subscribes, they will get that publication. 2) Your<br />

brand will have a halo effect from being in the same pages of<br />

higher profile luxury brands, like private jets, wristwatches, jewelry.<br />

3) Recognition. The cost of running a magazine ad provides<br />

a barrier to entry. Your customer base knows that advertising<br />

costs money. They recognize that your ad, just by being there,<br />

signifies that you’re a player in your industry.<br />

The printed pieces you create, such as postcards and brochures, are<br />

second type of print media that remain effective. Unlike magazines,<br />

you bear 100% of the responsibility and costs of distribution.<br />

Usually these pieces will go to customers you’ve identified<br />

or qualified in some way.<br />

You have two advantages when you create these pieces: you control<br />

the message and you control your brand. The primary advantage<br />

to the recipient is that the brochure speaks directly to their<br />

interest with evocative photography and informative information.<br />

To the interested reader, it’s enjoyable, easy to use, portable and<br />

engaging.<br />

e yacht’s best attributes, sell the charter experience and affiliate<br />

your company with a quality yacht. A custom yacht brochure<br />

enables you to focus the customer’s attention and capture their<br />

imagination.<br />

It’s important to consider exactly how your internet presence conveys<br />

the equivalent characteristics of luxury. When a potential<br />

customer gets to your web site, what is their experience? Your<br />

website is probably clean, attractive, and easy to navigate. But<br />

what else is there? Do visitors to your site find a list of boats<br />

with a list of features and a list of price points and a list of destinations<br />

and a list of things to do?<br />

This aspect of many websites resembles hotels.com which is a<br />

list of hotels, a list of rooms, a list of locations, and a list of<br />

price points.<br />

Lists are not a luxury experience. The web is great for data. But<br />

keep in mind that every luxury customer thinks their needs are<br />

special. Every yacht owner thinks their boat is uniquely the best.<br />

The charter industry stands alone in providing a vacation experience<br />

that offers exclusivity, privacy, and extreme personal service.<br />

That means your internet presence must go beyond lists and<br />

prices. Your brand is built of your expertise, your experience and<br />

your ability to guide qualified customers. When a potential customer<br />

comes to your website, they are qualifying YOU. Another<br />

travel option is just a click away.<br />

You need to engage your customer. Use your website and blog as<br />

a platform to showcase your knowledge, your skills, and your<br />

opinions. You need to demonstrate that you go beyond lists and<br />

price points. When your market is the top of the luxury market,<br />

your customers need to see your brand as an expert professional<br />

service, worthy of their trust and time.<br />

Keep in mind that anything you distribute must contribute to<br />

your brand. Every item in print or digital media must be of the<br />

highest quality. No single element is going to do all the work<br />

for you. Print, web, branding do not stand alone but work together.<br />

It’s like building a bonfire. Think of it this way: one stick doesn’t<br />

make much of a fire. Consider that one magazine ad is one<br />

stick, a web site is another stick, a brochure is another stick. Add<br />

a blog, an email campaign, postcards, and now you’ve got the<br />

fuel for a bonfire. But it doesn’t do any good if the potential fuel<br />

is randomly scattered about. You need to assemble all of these elements<br />

into one place—a cohesive strategy that defines your<br />

brand. Now you’ve got everything in place, working together,<br />

you can ignite interest in your message and in your brand.<br />
