Review of Performance<br />

OffHighway<br />

OffHighway designs, manufactures and<br />

distributes, on a global basis, a portfolio of<br />

products for off-highway vehicles primarily<br />

<strong>in</strong> the agricultural, construction, m<strong>in</strong><strong>in</strong>g and<br />

other specialty vehicle markets. It consists of<br />

three primary bus<strong>in</strong>ess streams — drivel<strong>in</strong>e<br />

products, wheels and aftermarket. The<br />

division has a lead<strong>in</strong>g global position <strong>in</strong> the<br />

supply of power take-off shafts and wheels.<br />

European agricultural markets weakened<br />

considerably as the year progressed, with a<br />

more pronounced decl<strong>in</strong>e <strong>in</strong> the second half.<br />

This was fuelled by the prevail<strong>in</strong>g economic<br />

conditions, de-stock<strong>in</strong>g actions with<strong>in</strong> the<br />

supply cha<strong>in</strong>, lower commodity prices and<br />

lack of availability of f<strong>in</strong>ance. Demand for<br />

US agricultural mach<strong>in</strong>ery was also sharply<br />

down as farm <strong>in</strong>come fell as a result of lower<br />

commodity prices.<br />

In the construction equipment market, the<br />

fall-off <strong>in</strong> sales started towards the end of<br />

2008 due to the recessionary conditions<br />

persist<strong>in</strong>g <strong>in</strong> both European and US markets<br />

and extensive de-stock<strong>in</strong>g by customers.<br />

The low level of hous<strong>in</strong>g starts <strong>in</strong> the US<br />

and Europe has cont<strong>in</strong>ued to depress<br />

demand for light construction equipment.<br />

Demand <strong>in</strong> m<strong>in</strong><strong>in</strong>g markets rema<strong>in</strong>ed stable<br />

at the beg<strong>in</strong>n<strong>in</strong>g of <strong>2009</strong> due to the longer<br />

equipment order<strong>in</strong>g cycle <strong>in</strong> this <strong>in</strong>dustry, but<br />

weakened thereafter.<br />

The <strong>in</strong>dustrial mach<strong>in</strong>ery sector <strong>in</strong>cludes<br />

products for material handl<strong>in</strong>g and a range<br />

of other applications. Demand <strong>in</strong> this sector<br />

weakened significantly reflect<strong>in</strong>g difficult<br />

economic conditions <strong>in</strong> many markets and<br />

subsequent reductions <strong>in</strong> capital expenditure<br />

by end customers across many <strong>in</strong>dustries.<br />

Aga<strong>in</strong>st this background, sales were<br />

£361 million, £192 million lower than<br />

the prior year (2008 – £553 million).<br />

Exclud<strong>in</strong>g the currency translation benefit<br />

of £75 million, the underly<strong>in</strong>g decrease <strong>in</strong><br />

sales was £267 million (43%) with all product<br />

areas and regions suffer<strong>in</strong>g a decl<strong>in</strong>e. The<br />

rate of deterioration <strong>in</strong>creased <strong>in</strong> the second<br />

half when agricultural markets weakened,<br />

whilst construction, m<strong>in</strong><strong>in</strong>g and <strong>in</strong>dustrial<br />

mach<strong>in</strong>ery market demand rema<strong>in</strong>ed<br />

subdued and underly<strong>in</strong>g second half sales<br />

were 52% lower than the comparable period<br />

<strong>in</strong> 2008.<br />

The division reported a trad<strong>in</strong>g loss of<br />

£12 million (2008 – trad<strong>in</strong>g profit of £40<br />

million). The underly<strong>in</strong>g decl<strong>in</strong>e was £59<br />

million adjusted for a favourable currency<br />

translation effect of £7 million. Trad<strong>in</strong>g<br />

marg<strong>in</strong> was (3.3)% compared with 7.2% <strong>in</strong><br />

2008. Although the fourth quarter trad<strong>in</strong>g<br />

marg<strong>in</strong> was still negative at (5.4)%, this<br />

represented a notable improvement over the<br />

third quarter trad<strong>in</strong>g marg<strong>in</strong> of (9.2)%. Return<br />

on <strong>in</strong>vested capital was (5.5)% (2008 – 19%).<br />

has a lead<strong>in</strong>g global position <strong>in</strong> the supply of power<br />

take-off shafts.<br />

Management actions to restructure the<br />

bus<strong>in</strong>ess <strong>in</strong> response to the economic<br />

conditions were broadened and accelerated<br />

dur<strong>in</strong>g the year. Headcount reduced by<br />

around 960, br<strong>in</strong>g<strong>in</strong>g the total reduction<br />

s<strong>in</strong>ce October 2008 to 1,400. Four facilities<br />

were shut or reorganised and a fifth will be<br />

closed dur<strong>in</strong>g the first half of 2010.<br />

Restructur<strong>in</strong>g actions dur<strong>in</strong>g the year<br />

resulted <strong>in</strong> charges of £26 million (2008<br />

– £3 million), compris<strong>in</strong>g redundancy and<br />

reorganisation costs of £16 million, goodwill<br />

and fixed asset impairments of £9 million and<br />

short-time work<strong>in</strong>g of £1 million.<br />

Capital expenditure on tangible fixed assets<br />

was £11 million (2008 – £14 million), 0.8<br />

times (2008 – 1.2 times) depreciation.<br />

Despite poor end markets, good progress<br />

was made <strong>in</strong> attract<strong>in</strong>g a high level of new<br />

bus<strong>in</strong>ess. Specific areas of success <strong>in</strong>cluded<br />

new orders for Rockford driveshafts for a<br />

Liebherr articulated dump truck and a fiveyear<br />

global supply contract for small wheels<br />

to Kion. New products to <strong>GKN</strong> were large<br />

multi-piece wheels (46 <strong>in</strong>ch to 63 <strong>in</strong>ch) for<br />

m<strong>in</strong><strong>in</strong>g equipment and a cost-sav<strong>in</strong>g ‘Profi-fit’<br />

wheel design, the first customer for which<br />

was John Deere.<br />

Follow<strong>in</strong>g an operational and strategic<br />

review, the Group has decided to exit its<br />

<strong>in</strong>terest <strong>in</strong> the low technology axles market<br />

with all options be<strong>in</strong>g considered. These<br />

bus<strong>in</strong>esses recorded a trad<strong>in</strong>g loss of £4<br />

million (2008 – £1 million loss).
