sealed <strong>tender</strong>s under Two-Bid system, from Tank Truck (TT) owners for award of contract for road<br />

transportation of <strong>bulk</strong> whitepetroleum products for a period of 5 years with effect<br />

from (w.e.f) 01.07.<strong>2012</strong><br />

This <strong>tender</strong> document contains 94 pages. Tenderers are required to read the <strong>tender</strong> document<br />

carefully and submit the entire set of documents containing the <strong>tender</strong> document and all<br />

attachments duly signed. In case any page is found missing, it is deemed that the <strong>tender</strong>er has<br />

(HSD)) from Bahadurgarh Terminal to locations within the State and outside the State.<br />

2. Tender Documents:<br />

The <strong>tender</strong> document is to be downloaded from the website www.hindustanpetroleum.com. Cost<br />

of <strong>tender</strong> is Rs 2000/- (Rupees two thousand only) and shall be paid at the time of submission of<br />

<strong>tender</strong> document. Amount shall be paid in the form of Demand draft drawn on any Scheduled<br />

Bank (other than co-operative bank) in favour of Hindustan Petroleum Corporation Ltd. payable at<br />

Panipat, Tenders received without demand draft shall be rejected. DD shall be attached along<br />

with the documents in the cover containing Unpriced <strong>bid</strong>.<br />

4. Submission of Tender:<br />

a) Tenderer should offer separate tank trucks for each <strong>tender</strong> i.e if the <strong>tender</strong>er proposes to<br />

apply for more than one location, separate set of tank trucks shall be offered at each<br />

location. Same tank trucks offered for more than one location will be rejected for all the<br />

locations quoted.<br />

b) All the pages of the <strong>tender</strong> document and its attachments are required to be signed by the<br />

authorized signatory with seal.<br />

c) Tenders duly completed and sealed are to be dropped into the Tender Box provided,<br />

before 1100 Hrs on 22.05.12 at the following address :-<br />

5. Reservation : The provision of reservation will be 15% (fifteen percent) & 7 ½ % (seven and a<br />

half percent) for Scheduled Castes (SC) and Scheduled Tribes (ST) respectively. The SC/ ST<br />

<strong>tender</strong>ers desirous of offering Tank Trucks will have to participate in the <strong>tender</strong> and should<br />

fulfill all <strong>tender</strong> conditions. The SC/ ST <strong>tender</strong>ers will <strong>no</strong>t be eligible for any price preference or<br />

relaxation of standards. There is <strong>no</strong> difference in EMD or any other <strong>tender</strong> conditions for such<br />

<strong>tender</strong>ers.<br />

6. Opening of <strong>tender</strong>: The ‘Technical Bids’ of the <strong>tender</strong> will be opened in the presence of the<br />

attending <strong>tender</strong>ers at 1<strong>13</strong>0 Hrs. on 22.05.12 at the address given below:<br />

7. Rejection criteria:Tenders will be rejected in the event of the <strong>bid</strong>ders <strong>no</strong>t complying with<br />

any of the following <strong>tender</strong> conditions:<br />

a. Non payment of cost of <strong>tender</strong>s<br />

b. Non payment of EMD / Insufficient EMD<br />

c. Number of tank trucks offered is <strong>no</strong>t in line with the <strong>tender</strong> requirement<br />

d. Age of the TTs offered is <strong>no</strong>t meeting <strong>tender</strong> requirement<br />

e. Tender documents <strong>no</strong>t submitted in stipulated format (Priced and un-priced <strong>bid</strong>s to be put<br />

in separate sealed envelops. Both these envelops shall be put in a third envelope and<br />

submitted)<br />

f. Tenders without the required documents<br />

g. Tenders <strong>no</strong>t meeting the <strong>tender</strong> terms & conditions or incomplete in any respect or with any<br />

additions/ deletions or modifications are liable to be summarily rejected without any further<br />

communication to the <strong>tender</strong>ers and decision of HPC in this regard will be final and binding<br />

h. Tender documents submitted without signature and seal on all the pages shall be rejected.<br />

In case it is observed that, all the <strong>tender</strong>ers or a group of <strong>tender</strong>ers have quoted in cartel,<br />

HPCL reserves the right to reject some or all the <strong>bid</strong>s of the <strong>tender</strong>ers who have quoted in<br />

cartel.<br />

8. Pre-Bid Meeting :<br />

Tenderers are invited to attend a meeting scheduled at Hindustan Petroleum Corp. Ltd.,<br />

Bahadurgarh Terminal, Village Asaudha, Bahadurgarh - 124501 at 1430 Hrs hrs on<br />

08.05.12 wherein salient features of the Tender shall be expalined and necessary<br />

clarifications required by the <strong>tender</strong>ers will be provided.<br />

After scrutiny of the ‘Technical <strong>bid</strong>s’, the eligible <strong>tender</strong>ers will be <strong>no</strong>tified regarding date, time and<br />

venue for opening of the ‘Price <strong>bid</strong>s’. The <strong>tender</strong>s will remain valid for 180 days from the closing<br />

date unless extended by mutual consent in writing.<br />

HPC reserve the right to accept or reject any or all the <strong>tender</strong>s in part or in totality, or to negotiate<br />

with any or all the <strong>tender</strong>ers, or to withdraw/ cancel/ modify this <strong>tender</strong> without assigning any<br />

reason whatsoever, or to accept some or all of the Tank Trucks offered.<br />

9. Filling the Tender Form:<br />

(i) One set duly filled is to be submitted. Each page of the <strong>tender</strong> document is to be signed by<br />

the legally authorized representative of the <strong>tender</strong>er, with the official seal.<br />

(ii) If additional sheets are required, photocopies may be used and pasted accordingly. The<br />

number of such extra pages used should be indicated in the Covering letter (ref item 10.(ii)<br />

hereafter).<br />

(iii) All entries are to be made in ink. No over-writing / whitening / erasing out is permitted. All<br />

corrections are to be made by scoring out incorrect entries, and such corrections are to be<br />

signed by the legally authorized representative of the <strong>tender</strong>er, with the official seal.<br />

Tenders deficient in this respect are liable to be rejected.<br />

(iv) For any further clarification, concerned officials at HPCL North Zone may be contacted.<br />

(v) Copies of Registration Certificate, Certificate of Fitness, CCOE Licence, etc, enclosed<br />

along with Tender Form, shall be attested by a Gazetted Officer.<br />

(vi) This <strong>tender</strong> is in 2 <strong>bid</strong> system, comprising of Technical Bid and Price Bid.<br />

10. Technical Bid:<br />

(i) Covering letter listing all enclosures.<br />

(ii) Particulars of <strong>tender</strong>er (Attachment-1).<br />

(iii) Particulars of Tank Truck/s (TT/s) offered (Attachment-2).<br />

(iv) Affidavit/s from the Owners of the attached (hired) TTs / Proposed purchase of T/Ts<br />

(Annexure to Attachemnt-2).<br />

(v) Details of the relationship with Directors of HPC and Declarations ‘I’, ‘II’ and ‘III’<br />

(Attachment-3).<br />

(vi) Attested copies of caste certificate (wherever applicable) (Attachment-4).<br />

(vii) Enclose EMD Demand Draft, which should be drawn on a scheduled Bank (other than cooperative<br />

bank) payable at the location of the office receiving the Demand Draft. If it is<br />

found that EMD paid through DD is <strong>no</strong>t acceptable due to <strong>technical</strong> or any other reason,<br />

the <strong>tender</strong> will be rejected.<br />

(viii) Attested copy (ack<strong>no</strong>wledged copy) of the latest Income Tax Return Filed.<br />

(ix) Attested copies of Trading Licence or Company Registration Certificate.<br />

(x) Attested copies of Partnership Deed/ Certificate of Incorporation/Consortium agreement.<br />

(xi) Attested copies of valid Registration Certificate, Certificate of Fitness, CCOE Licence,<br />

Insurance Policy and Calibration Certificate for each of the TTs offered.<br />

11. Price Bid:<br />

All the documents of the price <strong>bid</strong>/ rate schedule are to be submitted in the envelope after pasting<br />

page <strong>no</strong>. 93 duly filled in on the top. The envelope is to be closed and sealed by gum/ adhesive.<br />

IMPORTANT:<br />

(i) Tenderers should <strong>no</strong>t put price <strong>bid</strong>/ rate schedule document in the envelope containing<br />

Technical <strong>bid</strong>. Separate envelops shall be used for Technical <strong>bid</strong> and Price <strong>bid</strong>.<br />

(ii) Both envelopes Technical Bid and Price Bid are to be placed in envelope after pasting<br />

page <strong>no</strong>. 94 duly filled on the top, which should be closed and sealed by gum/ adhesive<br />

Special Terms and Conditions<br />

1. Dealer-Cum Transporters<br />

In order to bring about greater efficiency in the management of the Retail Outlet operations<br />

with the ultimate objective of delivering products of right Quality and correct Quantity to<br />

their end users/customers, HPC encourages the Retail Outlet dealers to uplift their own<br />

requirement of products through their own tank trucks, by participating in the transportation<br />

<strong>tender</strong> as Dealer Cum Transporters, to avail of preferential terms & conditions as stated<br />

under applicable sections in this <strong>tender</strong>.<br />

Dealers of HPCL who are attached to the supply location Bahadurgarh Terminal, for which<br />

this <strong>tender</strong> is being floated, may participate in the <strong>tender</strong> as dealer-cum-transporters, if<br />

they wish to uplift their supplies in their own tank trucks. They should do so in the same<br />

name and style of the firm as appearing in the existing retail outlet dealership agreement<br />

executed with HPC. A copy of the valid dealership agreement is required to be submitted<br />

along with the <strong>tender</strong>.<br />

For such Dealers, TTs offered have to be owned by:<br />

(1) The Sole proprietor or the Dealership Firm, in case of proprietorship<br />

(2) The Dealership Firm or any of the partners, in case of partnership<br />

(3) The company or The Cooperative Society (<strong>no</strong>t in the name of Director), in case of a<br />

limited Company or Cooperative Society as the case may be.<br />

It may be <strong>no</strong>ted that<br />

(a). Tank trucks offered by Dealer cum Transporter shall be utilized only for carrying loads<br />

for their own product requirement and shall <strong>no</strong>t be utilized for supplies to other retail<br />

outlets.<br />

(b) SKO resellers can<strong>no</strong>t participate in this <strong>tender</strong> as dealer-cum-transporters for MS/HSD<br />

supplies. However they may participate as transporter.<br />

(c) A retail outlet dealer attached to a particular location is <strong>no</strong>t allowed to participate as<br />

dealer-cum-transporter in a<strong>no</strong>ther location.<br />

2. Consortium of Dealers:<br />

Dealers may form a consortium to take part in the Bulk POL Transportation <strong>tender</strong>, for<br />

uplifting their own requirement, for which, the following terms will be applicable:<br />

i. The dealers forming the consortium shall be located in the same sector –either FDZ<br />

or BFDZ<br />

ii. Each of the tank trucks offered by the consortium shall be owned by any of the<br />

members of the consortium.<br />

iii. Supplies to the Members of the consortium shall be made in full loads only, that is,<br />

part loads to multiple dealers in the same trip shall <strong>no</strong>t be permitted.<br />

iv. No change in the consortium shall be permitted during the entire contract period.<br />

v. It is the responsibility of the <strong>tender</strong>er to obtain an undertaking from each of the<br />

other consortium retail outlet dealers as per the proforma enclosed in this <strong>tender</strong><br />

document and submit the same along with the <strong>tender</strong>.<br />

vi. Each member of the consortium shall be individually responsible for the Quality and<br />

the Quantity of the petroleum products received at their retail outlet premises<br />

through the tank trucks of the consortium, irrespective of which of the consortium’s<br />

tank trucks has delivered the product.<br />

vii. It shall be entirely responsibility of the <strong>tender</strong>er to resolve the disputes if any,<br />

amongst the consortium retail outlet dealers.<br />

viii. In case of any dispute or difference amongst members of the consortium for any<br />

reason whatsoever, HPC shall <strong>no</strong>t be responsible for <strong>no</strong>n-utilisation of the tank<br />

truck(s) offered by the <strong>tender</strong>er.<br />

ix. HPC shall have the discretion to make alternate arrangements for supplies to<br />

consortium members in the event of any exigency subject to any condition that<br />

HPC may prescribe<br />

3. Offer of Higher Capacity TTs<br />

Transporters /dealers / dealer consortiums, who wish to offer higher capacity TTs of 18 KL<br />

and above which are <strong>no</strong>t in their possession as on the date of advertising, can also<br />

participate along with an affidavit in the prescribed format that they will have physical<br />

possession of the vehicle within 60 days from the issue of LOI. Proof of booking the<br />

chassis, with ABS feature, is required to be submitted along with the affidavit.<br />

Tank trucks offered against affidavit shall be physically positioned at the location within 60<br />

days from the issue of LOI / Work Order, failing which EMD submitted in respect of the<br />

tank trucks so offered shall be forfeited.<br />

Chassis shall be booked through authorized sales representatives / show rooms of the<br />

Original Equipment Manufacturers (Tata / Ashok Leyland / Eicher etc). Proof of booking<br />

chassis, shall be attached along with the <strong>tender</strong>.<br />

4. LOI Holders:<br />

(i) Bidders holding LOI for Retail Outlet dealership of M/s Hindustan Petroleum Corporation<br />

Ltd., as on the due date of the <strong>tender</strong> can also participate in the <strong>tender</strong> under dealer<br />

category. However, the transport contract agreement shall be executed only after<br />

appointment as dealer of HPCL and execution of dealership agreement. All terms and<br />

conditions applicable to the dealer category applicants shall be applicable to LOI holders<br />

also.<br />

(ii) Dealers /LOI holders who were issued LOIs for Retail outlet dealerships, after the due date<br />

of the <strong>tender</strong>, may be allowed to offer own tank trucks, only after commissioning of the<br />

dealership and signing of the dealership agreement, strictly for uplifting their own product<br />

requirement subject to their accepting the lowest finalized rate, at the sole discretion of<br />

the corporation.<br />

(iii) TTs offered by Dealers who did <strong>no</strong>t participate in the <strong>tender</strong> will <strong>no</strong>t be considered for<br />

induction during the pendency of the contract.<br />

5. No. Of TTs To Be Offered<br />

Transporters:<br />

The transporters have to offer a Minimum of 5 (FIVE) tank trucks, of which at least 40%<br />

should be owned tank trucks, i.e., in the name of the Firm or any of the Partners or the<br />

Proprietor. The rest may be owned or attached.<br />

Dealer Cum transporters / Dealer Consortium<br />

All the TTs offered by a Dealer Cum Transporter / Dealer Consortium shall be owned<br />

by them.<br />

6. Age of the TTs:<br />

Age of vehicle offered should <strong>no</strong>t exceed 5 years for Mumbai Location / 12 years for other<br />

locations, as on 22.05.12 (the Due date of the <strong>tender</strong>). Age of TT shall be reckoned from<br />

the Date of 1 st registration. In case the Date of 1 st registration can<strong>no</strong>t be established, Model<br />

date (Month year) shall be considered<br />

7. Replacement of T/T :<br />

Replacement of T/T may be considered, provided the TT meets the following Requirement:<br />

a) The age of the newly offered T/T is lesser than the age of the existing T/T by at least<br />

two years.<br />

b) The capacity of the newly offered TT is higher than or equal to the capacity of the TT<br />

to be replaced.<br />

c) In case the <strong>tender</strong>er has <strong>no</strong>t quoted in the <strong>tender</strong> for higher capacity tank trucks,<br />

applicable rates at the location for higher capacity or the rates quoted by the <strong>tender</strong>er in<br />

less than 18 KL capacity, whichever is lower, shall be paid for such tank trucks inducted<br />

against replacement.<br />

d) However, replacement of the existing TT, as above, shall strictly be subject to<br />

the business Requirement of the Location, and the decision of the corporation is final<br />

8. Fleet Card:<br />

Successful <strong>bid</strong>der shall be made member of HPCL loyalty card (Drive Track Fleet card)<br />

and 25% of the total PCB payment due, shall be paid through HPCL<br />

loyalty card (Drive Track Fleet card).<br />

9. Transporter shall comply with the following requirements:<br />

(a) Security locking system :<br />

The tank trucks are provided with the security locks in the delivery valves as well as in the top<br />

dome covers. The security locks have the unique feature of master key maintained with the supply<br />

locations and dealer specific keys at the receiving end. Scope of inspection is to ensure that the<br />

security locking system is <strong>no</strong>t tampered with and all the empty and loaded trucks reach / leave the<br />

premises with the locking system intact in the tank lorry as per the Security Locking Manual.<br />

(b) Delivery Valves :<br />

Each of the compartments is provided with a set of delivery valves. In both empty and loaded<br />

condition the valves are tightened to the maximum and the stem wheel is locked with security<br />

locks (either Abloy or Godrej make). A brass strip with Y rod welded on it, is provided for<br />

connecting all the stem wheels, and locked with security locks with each of the stem wheel, to<br />

prevent any rotational movement of the wheels (and there by the valves) when the valves are<br />

locked. The joining surface of valve stem and wheel are perfectly welded / brazed, to avoid any<br />

upward/ downward movement between stem and wheel. In addition, Y rods are provided to further<br />

eliminate any chance of wheel movement. Security locks provided on each of the individual valves<br />

along with the Y rod are removed at the time of unloading the product. After unloading the product,<br />

all the valves are tightened to the maximum and the security locking along with the Y rod is put<br />

back by the retailoutlets / customers. Tank truck shall come back to the Depot / Terminal with the<br />

security locking system in position. In addition to the locking of the individual delivery valves, all<br />

the valves have been enclosed in a valve box.<br />

It needs to be ensured that the stem of the valve wheel has <strong>no</strong>t been tampered with and that after<br />

locking of the stem wheel, there can<strong>no</strong>t be any movement of the wheel so that product unloading<br />

is <strong>no</strong>t possible.<br />

Inspection of security locking would cover the following:<br />

• Security locking system tampering<br />

• All the empty and loaded trucks reach / leave the premises with the locking system intact<br />

• Proper brazing / welding<br />

• Y rod/ brass strip firmly placed<br />

• Play of the valve wheel<br />

(c) Valve Box, enclosing all the bottom delivery valves, is mandatory<br />

(d) VTS (Vehicle Tracking System):<br />

HPCL is shall be installing Vehicle Tracking System (VTS) for their company owned and<br />

contracted petroleum tank trucks which facilitates monitoring / tracking of tank truck movement<br />

from the loading depot / terminal to the retail outlet / customers and back on real time basis on predefined<br />

Geo fenced routes.<br />

The system basically consists of Vehicle Mounted Unit (VMU), GPS Antenna, GSM Modem,<br />

Microprocessor, Back up internal battery and GSM cellular network installed in driver cabin.<br />

Further antennae are to be connected to VMU box thru concealed wires & powered from TT<br />

battery or to ignition switch with lugs & concealed wiring.. The system shall generate exception<br />

reports for route deviation and unauthorized stoppage. These exception reports are sent to the<br />

location incharges on a daily basis by e-mail. Various other reports are also available from the<br />

system.<br />

The cost of the VTS includes supply & installation of the VMU, service provider charges, web<br />

access charges, daily maintenance charges, etc. However the actual rate would be finalized in the<br />

public <strong>tender</strong> for VTS which is under finalization.<br />

The total cost arrived at, basis the above VTS <strong>tender</strong>, would be recovered from the monthly PCB<br />

payments of the transporters, spread over a period of 5 years (60 months). The monthly recovery<br />

shall be Rs.750 /- per TT per month. While it shall be the endeavour of the corporation to finalise<br />

the VTS <strong>tender</strong> at the earliest, this monthly recovery would commence right from the first month of<br />

the contract, irrespective of when the VTS is actually installed, which aspect may be duly taken<br />

into account by the <strong>tender</strong>er while quoting. The monthly recovery shall <strong>no</strong>t vary <strong>no</strong>r be dependent<br />

on the actual cost of VTS once finalised.<br />

Transporters shall be responsible for accidental loss, theft, damage, etc of the VTS devices and in<br />

such eventuality the cost of the total VTS sevices shall be recovered suitably.<br />

Transporters shall ensure that the VTS devices are <strong>no</strong>t tampered with and are in working condition<br />

at all times. It may be <strong>no</strong>ted that TTs shall <strong>no</strong>t be taken inside f loading at our locations if the VTS<br />

devices are <strong>no</strong>t in working condition.<br />

If the devices are found to be tampered by the transporter crew, necessary action shall be taken<br />

as per TDG.<br />

At all times, all the VTS devices shall remain the property of the VTS vendor and <strong>no</strong> right, lien or<br />

encumbrance shall accrue to the benefit of Transporter, from the VTS vendor making available the<br />

devices to the Transporter or on HPCL making payment of the monthly instalments on behalf of<br />

the Transporter. After all the monthly instalments are paid to the VTS vendor, the ownership of the<br />

devices will be transferred to the respective transporters.<br />

The transporters’ responsibility as far as VTS is concerned is clearly spelt out in TDG Chapter 6.<br />

Penalties for irregularities / malpractices are spelt out in Chapter 8 of the TDG.<br />

Scope of the inspection includes the following:<br />

a) Check and ensure that the Vehicle Mounted Unit (VMU), GPS Antenna, GSM Modem,<br />

Microprocessor, Back up internal battery and GSM cellular network installed in driver<br />

cabin are intact.<br />

b) The cables connecting the various units are intact and there are <strong>no</strong> loose connections..<br />

(e) Branding of TTs: HPCL, as a <strong>pol</strong>icy introduced Branding of the tank trucks covering both<br />

company owned trucks as well as transporter owned tank trucks at all locations. Branding of<br />

tank truck as per approved design shall be carried out by the <strong>tender</strong>ers at their own cost on all<br />

tank trucks operating under their contract. Sample pictures of Branded TT for within State /<br />

Interstate operation (with National Permit) are given at the end of this section. Actual<br />

design/layout will be supplied by HPCL to the <strong>tender</strong>ers at the time of finalization of contracts.<br />

The <strong>tender</strong>ers should ensure that they comply with all the Statutes at all the times, including<br />

Central Motrol Vehicle Act. Branding as per <strong>tender</strong> is possible while also complying with the<br />

CMV rules.<br />

(i). Painting: Painting of the tank truck shall be carried out with 100% Acrylic Aliphatic PU<br />

paint. Surface preparation shall be done using ‘Isopropyl’ solution. Approved makes paint are<br />

Berger, ICI , Asian and only paints supplied by these manufacturers shall be used and color<br />

shades shall conform to the specification mentioned in the drawing.<br />

Technical Specification of painting on body of tank<br />

One coat of protecto mastic paint (base course) - 1x100 micron<br />

Two coat of PU base High gloss enamel paints - 2x 40 micron<br />

Approximate cost of Painting is Rs 15000/- per tank truck<br />

(ii). Vinyl Stickering: Vinyl Branding elements consist of Logo, Promotion Graphics &<br />

Lettering. All these Branding Elements are required to be made from Vinyl as per specifications<br />

given below and shall be provided as Vinyl stickering only. Painting of these elements is <strong>no</strong>t<br />

permitted.<br />

Technical Specification of Vinyl: Graphics on the tank truck shall be Screen printed on Vinyl of<br />

3M make Scotchcal 3650-10/114 using Sericol INEL series inks with protective coat of 3M 59j<br />

or Sericol 2 part overcoat.<br />

Approximate cost of Vinyl branding elements of 3 M make for a 12 KL tank truck is Rs<br />

14000/- and for tank truck of capacity 18 KL & above, it is Rs 21000/-.<br />

Note:<br />

1. Branding shall be treated as completed only if duly certified by 3M MCS warranty.<br />

2. Branding has to be carried out freshly for the current contract. Branding carried out in the<br />

previous contract shall Not qualify for compliance. The date of 3M warranty certificate<br />

shall be after the date of LOI issued.<br />

3. The above Branding activities namely, Painting and Stickering have to be carried out every<br />

two years.<br />

(f) Anti Lock Braking System (ABS):<br />

As per the Gazette Notification dtd. 16.09.2005, all the N2 (Gross Vehicle weight between 3.5<br />

T to 12 T) and N3 (Gross Vehicle weight more than 12 T) category vehicles other than tractortrailer<br />

combination manufactured on and after the Ist day of October 2006, meant for carrying<br />

hazardous goods and liquid petroleum gas shall be fitted with Anti –lock Braking System<br />

conforming to IS: 11852: 2003 (part 9).<br />

However, HPCL requires that all the vehicles, irrespective of capacity, offered by the <strong>tender</strong>ers<br />

for transportation of petroleum products are fitted with the Anti-lock Braking system (ABS)<br />

conforming to IS :11852 : 2003 (part 9) irrespective of the year of manufacturer.<br />

(i) TTs offered by the <strong>tender</strong>ers should be fitted with ABS<br />

(ii) TTs shall be certified as fitted with ABS by the following Vendors of retrofitted ABS or<br />

TT Manufacturers in the case of new TT:<br />

their own cost. Actual drawings, <strong>technical</strong> specifications of the fittings as required will be<br />

supplied by HPCL to the transporters.<br />

The TT crew (driver & helper) is required to wear Safety Shoes, Safety Goggles, Safety Helments<br />

and other personal Protective Equipment, during the operation of the TT as per specifications<br />

provided by the corporation from time to time.<br />

The TT should be provided with retractable Seat Belts for both the driver as well as the Helper.<br />

Uniform:<br />

The <strong>tender</strong>ers have to ensure that the TT crew always wears the prescribed uniform. The Uniform<br />

for TT drivers and TT helpers have been finalized by NIFT with the following specifications :<br />

11. Third Party Inspection<br />

(a) The tank trucks offered by successful <strong>tender</strong>ers shall be inspected by third party. The third<br />

party certification may be carried out through one of the following agencies and cost shall<br />

be borne by the concerned transporters.<br />

(b) It shall also be mandatory to get the tank truck inspected by one of these agencies after<br />

every renewal of calibration and explosive licences. Check list containing parameters for<br />

inspection is enclosed. The inducted tank truck will <strong>no</strong>t be considered for business, unless duly<br />

certified by one of these agencies for all desired fittings, including inspection of shell thickness etc.<br />

(c) All the agencies have branches spread across the country. Transporters can approach any<br />

of the branch offices close to the depot / terminal location and get the inspection carried out<br />

through the local branch office.<br />

(d) Approximate rates charged by the agencies for one certification is Rs 1500/- per<br />

tank truck.<br />

(e) Inspection shall be carried out as per checklist given in Attachment 11. After getting the<br />

inspection carried out, the certificate issued by the agency shall be produced at the time of<br />

inducting the tank trucks.<br />

12. Action for Non-Compliance :<br />

(i) A minimum amount of Rs. 0.0290 per KL per KM, shall be recovered from the transporters<br />

in case of <strong>no</strong>n-compliance with requirements of any or all of the following initiatives of the<br />

corporation, described in this <strong>tender</strong>:<br />

a. Fittings for Dome Cover & Bottom Valve<br />

b. Branding – consisting of TT painting and pasting Branding elements<br />

c. Third Party Certification<br />

The above deduction shall be applied to all the TTs under the transporter, until they all comply<br />

with the in<strong>no</strong>vations.The above amounts shall be recovered from the bills of the transporters.<br />

The deduction will commence from the time of Induction of the TT in case of Non-compliance in<br />

respect of any of the above requirements<br />

In case of Branding, if the transporter does <strong>no</strong>t carry out Branding of the TTs subsequently, after<br />

2 years from the previous TT branding, a deduction of Rs. 0.02 per KL per KM, corresponding to<br />

Branding, will start again till compliance.<br />

In addition to the above, HPCL reserves the right to terminate the transport contract for Non-<br />

Compliance with the above requirements.<br />

(ii) HPC also reserves the right to get the jobs carried out through an external agency at the risk<br />

and cost of the transporter and all costs incurred in carrying out the jobs shall be recovered from<br />

the transporter, together with applicable service Tax. An additional 40% of this amount shall be<br />

recovered toward overhead charges.<br />

(iii) In case of any other <strong>no</strong>n-compliance in respect of any <strong>tender</strong> terms and conditions, action<br />

shall be taken against the transporter as per terms of the <strong>tender</strong> and Transport Discipline<br />

Guidelines.<br />

<strong>13</strong>. Standard Size of Compartments of the TT:<br />

The compartments of the TTs shall be of standard capacity as given below:<br />

i) 12 KL: 3 X 4 KL or 4 X 3 KL Compartments<br />

ii) 18 KL: 2 X 4 KL Compartments Plus 2 X 5 KL compartments or 4 X 4.5 KL Compartments<br />

iii) 20 KL: 4 X 5 KL Compartments<br />

iv) 20 KL: 5 X 4 KL Conmpartments<br />

v) 24 KL: 4 X 5 KL Compartments plus 1 X 4 KL compartment<br />

vi) 25 KL: 5 X 5 KL Compartments<br />

Note: Capacity less than 3 KL is <strong>no</strong>t allowed except for Hilly terrain.<br />

14. In addition to the above requirements, the TT inspection shall also consist of the<br />

following checks:<br />

a) Total Body Inspection: The tank truck is of cylindrical shape. TT calibration has a bearing<br />

on the shape of the vehicle. Total body of the tank truck would be checked to find out any<br />

ab<strong>no</strong>rmalities, bumps or dents distorting the overall shape of the tank truck.<br />

b) Dome Cover and manhole<br />

Each of the compartments has been provided with 4 <strong>no</strong>s. of fittings / <strong>no</strong>zzles viz. Fill Pipe,<br />

Dip hatch, Emergency Valve and Pressure Valve at the top. All the 4 <strong>no</strong>zzles are encased<br />

with a Dome cover. Regular Checks includes the following.<br />

i) The Dome covers to be checked for loose welding, gap between the TT top and the dome<br />

edge and any hole in the body of the dome.<br />

ii) The locking arrangement and latch of the Dome Cover to be checked for loose welding and<br />

to ensure that the locking system is in place.<br />

iii) There are <strong>no</strong> additional fittings in the top Dome Cover.<br />

iv) HPC has introduced new Dome Cover Design where the hinge of the cover is encased<br />

inside the cover and <strong>no</strong>t visible from outside. Scope of inspection in such TTs, besides the<br />

above, includes checking the hinge inside to ensure it is safe, stable and secured.<br />

v) The manhole cover to be opened to check for any concealed compartment.<br />

vi) Dip rod datum reference height to be checked for any tampering.<br />

vii) Dip pipe contains perforations through out its length which needs to be checked and<br />

confirmed.<br />

viii) The Dip pipe opens to the compartment. During checking open ending of the Dip pipe to be<br />

ensured.<br />

ix) The Dip pipe top mouth is welded to the pipe. It is to be checked that the top mouth is<br />

properly welded and <strong>no</strong>t threaded.<br />

x) Whether each compartment of Tank is fitted with independent PV vents with minimum<br />

opening of 3 sq. cms. PV vent shall be procured from CCOE approved manufacturer.<br />

xi) Whether vent openings are covered with two layers of wire-mesh of size <strong>no</strong>t less than 11<br />

meshes per centimeter.<br />

xii) Check whether manhole is flushed with the top of the tank shell and all fittings on the<br />

manhole base plate are projected above the shell only to the minimum extent necessary.<br />

xiii) Fill pipe shall be of mild steel of size 100 mm <strong>no</strong>minal bore and flange mounted to the<br />

manhole base plate. Internally, the pipe shall be extended till almost bottom of the<br />

compartment leaving a clearance of 25 mm. Fill pipe shall <strong>no</strong>t be slotted. However it should<br />

have an opening which should be above the maximum level of the tank contents in order to<br />

provide a pressure balance (maximum 4 holes permitted).<br />

xiv) Whether inner end of the fill pipe is provided with a splash deflector arrangement (45 deg<br />

angular cut).<br />

c) Vehicle and crew check:<br />

i. Whether the vehicle is in possession of two fire extinguishers (one <strong>no</strong>. 10 Kg DCP and<br />

ii. Whether the fire extinguisher provided in T/T is having all desired details i.e. Tank<br />

truck registration number, date of servicing along with the due date. The tank truck<br />

registration number should be painted on the body of the fire extinguisher.<br />

iii. Whether the crew is trained for hazardous nature of petroleum products, emergency<br />

procedures, emergency communication etc.<br />

iv. Whether the Exhaust is wholly in front of tank truck and has ample clearance from<br />

Fuel Oil system and combustible material.<br />

v. Whether approved quality spark arrestors have been provided on the engine exhaust<br />

and Muffler /Silencer is <strong>no</strong>t cut off from the exhaust. Spark arrestor should be firmly<br />

attached to the exhaust pipe by a proper bolting system.<br />

vi. Whether fuel tank is positioned so that leaking or spilled fuel can directly drain to the<br />

ground without impinging on the engine or exhaust system. Also, check whether it is<br />

located on the side opposite to the tank lorry discharge faucets.<br />

vii. Whether the fuel tank is protected by stout steel guards and has provision for locking.<br />

viii. Whether the Vehicle Design conforms to the Petroleum rules 2002, including<br />

amendments thereto as per Gazette Notification dated 01.12.2011, and has been<br />

approved by CCOE.<br />

ix. Whether the vehicle is in good condition and the RTO has issued a fitness certificate.<br />

x. Check whether RLW is less than registered weight of the vehicle as approved by<br />

transport authorities.<br />

xi. Whether the gross and tare weight painted on the vehicle tally with the permit.<br />

xii. Whether the Tank Truck is conspicuously marked on each side and rear, in bold<br />

letters at least 7 cm high and on a background of sharp contrasting colour (the word “<br />

flammable” and name of product ).<br />

xiii. Whether maximum net carrying capacity is less than 97% of gross carrying capacity.<br />

xiv. Whether the vehicle has First Aid Box, Tool Box and Emergency Lighting.<br />

xv. Distance between two partitions and any adjacent tank end shall <strong>no</strong>t exceed 2500<br />

mm.<br />

xvi. Whether driver is carrying valid driving license, calibration certificate and explosives<br />

certificates in the vehicle.<br />

xvii. Whether the Driver has a copy of the standing instruction and TREM card.<br />

xviii. Whether the health checks of T/T crew have been carried out periodically as desired,<br />

at least once in six months. Whether eye sight of the driver is good.<br />

xix. Whether the engine is positioned so that it is protected from any spillage or leakage<br />

of flammable product.<br />

xx. Whether fusible link which will permit automatic closing of the emergency valves in<br />

the event of fire is provided as per specification.<br />

xxi. Check the condition of the fire extinguisher for effectiveness and record whether it is<br />

in good working condition.<br />

xxii. Whether the vehicle has a cut off master switch for electrical system and is in easily<br />

accessible position.<br />

xxiii. Whether all electrical circuits including battery terminals have protective insulation<br />

along with fuses<br />

xxiv. Fenders at the rear should also be mandatory<br />

xxv. Whether the following requirements of Petroleum (Amendment) Rules 2011,<br />

Notified under GSR 857(E), dated 01.12.2011, are complied with:<br />

a. The tank shell shall be manufactured by CCOE approved fabricator/workshop<br />

b. The material of construction shall be Mild Steel or High Strength Alloy Steel or<br />

Austenitic Stainless Steel or Aluminium alloy as per detailed specifications given in<br />

the said rules<br />

c. Double partition shall be provided with separate piping and hoses ( in order to carry<br />

class A/Class B products together.<br />

d. Provision of independent Vacuum and pressure operated vent with min. opening of<br />

3cm 2 .<br />

e. Electrically operated equipment to have conductors having adequate capacity to<br />

avoid overheating<br />

f. Direct /indirect control devices shall be installed one in driver’s cabin and the<br />

second on the outside of the vehicle and both shall be readily accessible and<br />

distinctly marked outside the cabin for breaking the electrical circuits with a heavy<br />

duty switch having a casing with IP 65 degree of protection.<br />

g. Cross sectional area of earthing conductor shall be min. 4mm 2 .<br />

15. Statutory Compliance:<br />

The Carrier shall comply with all statutory provisions relating to his trade / business / profession<br />

including his own employees or employees engaged by the Carrier and Oil Company shall <strong>no</strong>t be<br />

responsible for his omission or commission. The Tank Trucks offered shall, during the period of<br />

agreement, Comply at all times With Valid Permits, Rules And Regulations Of Statutory/<br />

Government Authorities including provisions of Motor Vehicle Acts/ Motor Vehicle Rules and<br />

Carriage by Road Act 2007/ Rules 2011. Some of the salient provisions of the Carriage by road<br />

Act, 2007, are given below:<br />

1. Persons <strong>no</strong>t to engage in business of common carrier without registration.<br />

2. A common carrier shall <strong>no</strong>t load the motor vehicle beyond the gross vehicle weight mentioned<br />

in the registration certificate whose registration number is mentioned in the goods forwarding<br />

<strong>no</strong>te or goods receipt, and the common carrier shall <strong>no</strong>t allow such vehicle to be loaded<br />

beyond the gross vehicle weight.<br />

3. Notwithstanding anything contained in any other law for the time being in force, every common<br />

carrier shall scrutinize and ensure before starting transportation of any consignment containing<br />

goods of dangerous or hazardous nature to human life that the consignment is covered by,<br />

one or more insurance <strong>pol</strong>icies under a contract of insurance in respect of such goods<br />

providing relief in case of death or injury to a person or damage to any property or the<br />

consignment, if an accident takes place.<br />

4. General responsibility of common carrier. - Save as otherwise provided in this Act, a common<br />

carrier shall be responsible for the loss, destruction, damage or deterioration in transit or <strong>no</strong>ndelivery<br />

of any consignment entrusted to him for carriage, arising from any cause except the<br />

following, namely:-<br />

(a) act of God;<br />

(b) act of war or public enemy;<br />

(c) riots and civil commotion;<br />

(d) arrest, restraint or seizure under legal process;<br />

(e) order or restriction or prohibition imposed by the Central Government or a State<br />

Government<br />

Provided that the common carrier shall <strong>no</strong>t be relieved of its responsibility for the loss,<br />

destruction, damage, deterioration or <strong>no</strong>n-delivery of the consignment if the common carrier<br />

could have avoided such loss, destruction, damage or deterioration or <strong>no</strong>n-delivery had the<br />

common carrier exercised due diligence and care in the carriage of the consignment.<br />

16. Training of TT Crew:<br />

(a) It shall be mandatory for the <strong>tender</strong>er to get the T/T crew trained for Safe Driving Practices to<br />

be observed while carrying hazardous goods.<br />

(b) Training programs on Safety and other subjects relevant to TT crew programs may be<br />

organized by HPC from time to time at the Depot / Terminal, for which the applicable charges<br />

shall be borne by the concerned transporter.<br />

Price Evaluation of the <strong>tender</strong>s<br />

1. This Public Tender is floated in A Two Bid System i.e. Technical Bid & Price Bid.<br />

The Technical <strong>bid</strong> will be opened on scheduled date and will be evaluated. Price<br />

<strong>bid</strong>s of only the <strong>technical</strong>ly qualified <strong>tender</strong>ers, based on Technical Evaluation, will<br />

be opened on the <strong>no</strong>tified date.<br />

2. Priced <strong>bid</strong>: Includes offer for rates in 2 categories as per tank truck Capacity and<br />

under each category, 2 different sectors are covered. Details are as below:<br />

a. Tank Truck Capacity:<br />

12 KL & above but less than18 KL<br />

18 KL & above<br />

b. Sector for delivery<br />

Within FDZ (“Free Delivery Zone”, that is upto 39 RTKM) in Rs Per KL.<br />

Beyond FDZ in Rs Per KL Per KM.<br />

3. A price band, based on Scientific Study and analysis of transportation costs,<br />

has been provided in the price <strong>bid</strong>, with a Minimum & a Maximum rate.<br />

4. Tenderers are required to quote only within the Price Band provided in the<br />

Price Bid. Tenderers quoting beyond the Price Band given in the Price Bid<br />

shall be treated as disqualified and their <strong>tender</strong>s shall be rejected.<br />

5. In case there is revision (increase/decrease) of in the price of HSD after the<br />

Notice Inviting Tender is published, the above price band shall be revised<br />

(increased/decreased) by the same extent as given in Schedule A, for<br />

escalation/de-escalation of rate on account of revision in the Retail Selling<br />

Price of HSD, and the revised price band shall be advised through a<br />

corrigendum.<br />

6. Transporters have to quote for all the sectors for the capacity of tank trucks<br />

which have been offered by them in the <strong>tender</strong>, failing which their <strong>tender</strong> may<br />

be rejected and EMD forfeited.<br />

7. Dealer cum transporters / Dealer consortiums may quote only for the sector<br />

they are located in.<br />

8. Dealer Consortium shall be treated at par with Dealer –cum transporter for all<br />

purposes of evaluation of <strong>tender</strong> and award of contract<br />

9. Ranking of the <strong>tender</strong>ers i.e. L-1, L-2, L-3, etc. will be decided on Minimum<br />

Financial Outgo to HPC by considering the rates quoted in all offered sectors and<br />

anticipated volume of business in the corresponding sectors.<br />

10. In case, a Dealer cum transporter / dealer Consortium has <strong>no</strong>t quoted rates for a<br />

sector, then, for the purpose of ranking of such <strong>tender</strong>ers, the highest rate quoted<br />

in that sector for the offered capacity of tank truck, by any of the <strong>technical</strong>ly<br />

qualified <strong>tender</strong>er, shall be considered. However if <strong>no</strong> rates are quoted for any of<br />

the sectors then such an offer shall be treated as Null & Void and summarily<br />

rejected and EMD forefeited<br />

11. Tenderers will be listed in ascending order as per their ranking. The list will include<br />

all the <strong>technical</strong>ly qualified <strong>tender</strong>ers in the ranking based on the rates quoted by<br />

them along with the number of Tank Trucks offered. Tenderer with minimum out go<br />

to the company will be ranked at L1. The <strong>tender</strong>er with next lowest outgo will be<br />

considererd as L2. Accordingly, all the qualified <strong>tender</strong>ers will be ranked in the<br />

ascending order depending on the financial outgo. Tenderer or group of<br />

<strong>tender</strong>ers offering tank trucks upto the projected requirement will be<br />

considered as set of L1 <strong>tender</strong>ers.<br />

12. i)Tenderers quoting outside the Price Band shall be treated as disqualified<br />

and rejected outright. The decision of HPC in this regard will be final and<br />

binding.<br />

ii) Tenderer quoting rate for such capacity of tank truck which has <strong>no</strong>t been offered<br />

in the <strong>tender</strong> will <strong>no</strong>t be considered for evaluation.<br />

(iii)Tenderer shall invariably quote rates for the category based on tank truck<br />

capacity for the tank trucks being offered by them. In the event of any <strong>tender</strong>er<br />

offered tank truck(s) in a particular category and rates are <strong>no</strong>t quoted in the price<br />

<strong>bid</strong> for the corresponding category, the highest rates quoted under this category<br />

shall be applied for the purpose of evaluation.<br />

<strong>13</strong>. In case, rates offered by L-1 <strong>tender</strong>ers are acceptable to HPC, Tank Trucks offered<br />

by the L-1 <strong>tender</strong>ers will be allocated up to the requirement.<br />

14. In case, it is felt by the corporation that the rates offered by L-1 <strong>tender</strong>ers could be<br />

lower, negotiations/ counter offer exercise will be carried out with these <strong>tender</strong>ers.<br />

Tank Trucks offered by these <strong>tender</strong>ers will be allocated at the revised rates<br />

accepted by them during negotiations/ counter offers.<br />

15. In case, Tank Trucks offered by L-1 <strong>tender</strong>ers is <strong>no</strong>t meeting the full requirement<br />

then negotiations/ counter offer exercise will be continued with the other <strong>tender</strong>ers<br />

in the order of their ranking till full requirement of Tank Trucks is met.<br />

16. Dealer-cum-Transporters who have quoted within the price band but are <strong>no</strong>t part of<br />

the set of L1 <strong>tender</strong>ers may be considered for award of contract, solely at the<br />

discretion of the corporation and <strong>no</strong>t as a matter of right, strictly for uplifting their<br />

own requirement, provided they accept the lowest finalized rate.<br />

17. In case, at a particular ranking, Tank Trucks offered are more than the requirement,<br />

then the Tenderers in that particular ranking shall be further ranked based on the<br />

following order of priority and allocation shall be made only till the full requirement<br />

of Tank Trucks is met.:<br />

i. Tank trucks offered by Retail Outlet dealers / consumers<br />

ii. Number of Tank trucks offered of higher capacity<br />

iii. Number of Owned Tank trucks offered by the <strong>tender</strong>er<br />

iv. Number of Tank trucks offered of Lower Age<br />

v. Number of Tank trucks (Total) offered by the <strong>tender</strong>er<br />

Tenderers beyond the ranking where the projected requirement is met shall <strong>no</strong>t be<br />

considered for allocation.<br />

18. At a particular ranking, Tank Trucks offered by <strong>technical</strong>ly qualified SC/ ST<br />

<strong>tender</strong>ers shall have preference as per Govt. of India directives.<br />

19. Evaluation following the above mentioned procedure shall be carried out separately<br />

for TTs in both the categories of capacity as specified below:<br />

a) 12 KL & above and less than 18 KL<br />

b) 18 KL and above<br />

Tender with higher capacity tank trucks i.e. 18 KL and above will be given preference over<br />

<strong>tender</strong> with less than 18 KL tank truck if the rates and other terms and conditions are the<br />

same.<br />

20. In case it is observed that all the <strong>tender</strong>ers or a group of <strong>tender</strong>ers have quoted in<br />

cartel, HPCL reserves the right to reject some or all the <strong>bid</strong>s of the <strong>tender</strong>ers who<br />

have quoted in cartel, without assigning any other reasons for the same.<br />

General Terms & Conditions:<br />

1. Relatives (as per list enclosed) of officer/s responsible for award and execution of this contract<br />

in the Oil Company are <strong>no</strong>t permitted to quote against this <strong>tender</strong>. The <strong>tender</strong>er shall be<br />

obliged to report the name/s of person/s who are relatives of any officers of the Oil Company<br />

or any officer in the State or Central Government, and who are working with the <strong>tender</strong>er in<br />

their employment or are subsequently employed by them. Any violation of this condition even if<br />

detected subsequent to the award of contract, would amount to breach of contract on<br />

<strong>tender</strong>er’s part entitling the Oil Company to all rights and remedies available thereof including<br />

termination of contract.<br />

2. All rates quoted should be both in words and figures. In case of any difference between the<br />

two, the rates quoted in words shall be considered as final and authentic.<br />

3. Rates offered would be valid and binding on the <strong>tender</strong>er for 180 days from the date of<br />

opening of <strong>tender</strong> unless extended by mutual consent in writing. During the validity period,<br />

<strong>tender</strong>er will <strong>no</strong>t be allowed either to withdraw or revise his offer on his own. Breach of this<br />

provision will entail forfeiture of the Earnest Money Deposit. Once the <strong>tender</strong> is accepted and<br />

work awarded, the rates will be valid for the entire contractual period.<br />

4. The Oil Company reserve the right, at their sole discretion, and without assigning any reason<br />

whatsoever, to:<br />

a) Negotiate with any or all <strong>tender</strong>ers,<br />

b) Divide the work among contractor(s),<br />

c) Reject any or all <strong>tender</strong>s either in full or in part,<br />

d) Assign the offered and accepted Tank Trucks to any location, and<br />

e) Engage additional contractors / Tank Trucks at any time without giving any <strong>no</strong>tice<br />

whatsoever to the contractor/s already appointed against this Tender.<br />

5. For Tank Trucks under operation with any other Oil Company, a “No Objection Certificate” is to<br />

be obtained from the concerned Oil Company for placing the same fully in the service of HPC<br />

against this <strong>tender</strong>. (This activity will be carried out at the time of signing the transport<br />

contract). Tenderer should offer separate tank trucks for each <strong>tender</strong>. Same tank trucks offered<br />

for more than one location will be rejected at all locations offered.<br />

6. The <strong>tender</strong>er should study all the operations/ local conditions at the loading/ unloading point/s<br />

and route/s. Tenderers would be presumed to have acquainted themselves with the working<br />

conditions existing at the location, before submission of the <strong>tender</strong>.<br />

7. Tenderer should deposit the sealed <strong>tender</strong> well before the closing time and date in the <strong>tender</strong><br />

Box earmarked for this purpose at the office mentioned in the <strong>tender</strong> <strong>no</strong>tice. No <strong>tender</strong><br />

document shall be entertained after due date and time of submission of <strong>tender</strong>. HPC will <strong>no</strong>t<br />

be responsible for the delay under any circumstances whatsoever if the <strong>tender</strong> is <strong>no</strong>t<br />

submitted before the closing date and time and in the correct <strong>tender</strong> box.<br />

8. Tenders <strong>no</strong>t meeting the <strong>tender</strong> terms & conditions or incomplete in any respect or with any<br />

additions/ deletions or modifications are liable to be summarily rejected without any further<br />

communication to the <strong>tender</strong>ers and decision of HPC in this respect will be final and binding<br />

9.<br />

a. In the case of Multiple rates, the Corporation reserves its right to give preference to TTs of<br />

<strong>tender</strong>ers accepting lowest rate, as far as possible, over other TTs while giving loads. In other<br />

words, the <strong>tender</strong>er accepting the lowest rate may get higher % age of business.<br />

b. The Corporation, at its sole discretion, reserves the right to induct additional Tank Trucks<br />

from its dealer-cum-transporters and dealer consortiums who have been already awarded<br />

contract, to meet their own incremental demand.<br />

c. TTs running on any fuel other than High Speed Diesel (HSD), are <strong>no</strong>t acceptable.<br />

10. Any additional Requirement of TTs by Dealer-Cum-Transporters/ Dealer Consortiums for<br />

increased volumes during the pendency of the Contract, shall be met by induction of owned<br />

TTs. from them.<br />

11.<br />

(a) In case of attached Tank Trucks offered by the <strong>tender</strong>er, owners of such Tank Trucks<br />

should execute affidavit attaching the Tank Truck with the <strong>tender</strong>er for the entire period up<br />

to last date of proposed Agreement period. Format of Affidavit is enclosed with <strong>tender</strong><br />

form. HPC will <strong>no</strong>t deal with the owners of the attached Tank Trucks. For any claim,<br />

losses, damages, etc for the attached Tank Truck, the liability will solely rest with the<br />

<strong>tender</strong>er.<br />

(b) The TTs offered in the <strong>tender</strong> should meet all statutory requirement at the time of<br />

submission of <strong>tender</strong><br />

(c) Age of vehicle offered should <strong>no</strong>t exceed 5 years for Mumbai Location / 12 years for other<br />

locations, as on 22.05.12 (the Due date of the <strong>tender</strong>).<br />

Age of TT shall be reckoned from the Date of 1 st registration. In case the Date of 1 st<br />

registration can<strong>no</strong>t be established, Model date (Month year) shall be considered.<br />

12. The estimated number of Tank Trucks shown in <strong>tender</strong> <strong>no</strong>tice is indicative and is subject<br />

to change. HPC reserves the right to contract the required additional Tank Trucks.<br />

<strong>13</strong>. Tenderer should submit all the details and enclosures as has been asked for in the <strong>tender</strong> form.<br />

In case any of the information is <strong>no</strong>t applicable to the <strong>tender</strong>er, "Not applicable" may be written<br />

against such item. Not submitting any information/ enclosure sought for may be a ground for<br />

rejecting the <strong>tender</strong>.<br />

14. Tenderer may witness the opening of <strong>tender</strong> on the appointed date and time in person or by<br />

deputing authorized representative.<br />

15. Earnest Money Deposit (EMD):<br />

1. Tenders <strong>no</strong>t accompanied by EMD of Rs. 10,000/- for each Tank Truck offered and Rs<br />

50,000/- for each TT offered against Affidavit from transporters / dealers shall be rejected.<br />

EMD should be paid by Demand Draft drawn on any Scheduled Bank (other than co-SBI<br />

bank) in favour of Hindustan Petroleum Corporation Ltd. payable at PANIPAT…<br />

2. A cash receipt will be issued for the EMD. The <strong>tender</strong>er shall carefully retain the Cash<br />

Receipt and shall submit at the time of refund.<br />

3. Cheques or request for adjustment against any previously deposited EMD/ pending dues/<br />

bills/ security deposits for other contracts etc. will <strong>no</strong>t be accepted as EMD, and any <strong>tender</strong><br />

with such stipulation will be treated as without EMD and shall be rejected.<br />

4. Interest is <strong>no</strong>t payable on EMD.<br />

5. EMD is liable to be forfeited, if the <strong>tender</strong>er modifies/ withdraws the offer and / or refuses to<br />

accept the LOI/ Work Order after acceptance of Oil Company’s offer within the prescribed<br />

validity of the <strong>tender</strong>, or if the <strong>tender</strong>er does <strong>no</strong>t furnish the required security deposit, or if<br />

the <strong>tender</strong>er is unable to position any or all offered Tank Truck/s within the stipulated time<br />

after the award of contract.<br />

6. EMD of unsuccessful <strong>tender</strong>ers whose Technical Bids are <strong>no</strong>t accepted would be<br />

refunded on surrender of the original cash receipt issued by the Corporation. Other<br />

<strong>tender</strong>ers EMD would be refunded only after finalization of the <strong>tender</strong>. While claiming<br />

refund, the original Cash Receipt issued by HPC must be surrendered. In case, the cash<br />

Receipt is lost / misplaced, an Indemnity Bond in specified proforma supplied by HPC is to<br />

be submitted on <strong>no</strong>n-judicial stamp paper of appropriate value (at <strong>tender</strong>er’s cost), duly<br />

<strong>no</strong>tarized.<br />

16. Negotiations:<br />

1. HPC reserves the right to negotiate with any or all the <strong>tender</strong>ers.<br />

2. Tenderers may be required to visit HPC office for negotiations/ verification of<br />

documents, entirely at the cost of <strong>tender</strong>ers.<br />

3. Only the proprietor of the firm or the legally authorized representative of the firm<br />

may personally attend such negotiations, as commitments made and/ or clarifications<br />

given during the negotiations will be binding on the <strong>tender</strong>er/s. He/ She should carry the<br />

necessary authorization to attend such negotiations and to hand over an authenticated<br />

copy of the same to HPC’s representative/s participating in negotiations.<br />

4. Originals of the documents submitted as copies along with the <strong>tender</strong> documents,<br />

as well as documentation to substantiate statements made in the <strong>tender</strong> document are to<br />

be produced for verification by HPC during negotiations or at any other time at the<br />

discretion of HPC.<br />

5. Tenderers would be intimated by Regd Post / Telegram / UCP / on the date and<br />

time fixed for negoatiations. All the <strong>bid</strong>ders to whom intimations are sent shall participate<br />

in the negotiation process. In the event of L-1 <strong>bid</strong>der <strong>no</strong>t attending the negotiations,<br />

despite advance intimation, HPC will proceed with the negotiation process with other<br />

<strong>tender</strong>ers in the set of L1 <strong>tender</strong>ers. The original L-1 <strong>tender</strong>er would be placed at the<br />

revised ranking based on the negotiated rates arrived after negotiations with other<br />

<strong>tender</strong>ers. However, ranking as per the original quoted rates shall be maintained in line<br />

with the prevailing purchase procedures for meeting any additional requirement of<br />

tanktrucks.<br />

6. Revised offers submitted by the <strong>tender</strong>ers based on negotiations / counter offers<br />

shall <strong>no</strong>t be more than the rates already offered earlier in the original offer or during the<br />

previous negotiations. In case the <strong>tender</strong>er submits a revised offer which is higher than the<br />

rates quoted earlier, such <strong>tender</strong> will be disqualified and shall <strong>no</strong>t be processed for further<br />

evaluation.<br />

17. Security Deposit (SD):<br />

1. Successful <strong>tender</strong>ers will be required to furnish SD within 15 days of issuance of LOI/ Work<br />

Order at the following rates:<br />

The security deposit will be Rs. 1,00,000/- per Tank Truck subject to maximum of Rs.<br />

5,00,000/-.<br />

SD shall be paid either in the form of Demand Draft or Bank Guarantee. The DD shall be<br />

drawn on any Scheduled Bank (other than co-operative bank) in favour of Hindustan<br />

Petroleum Corporation Ltd. payable at PANIPAT. Bank Guarantee shall be strictly in<br />

specified proforma, valid for six months beyond the maximum possible tenure of the<br />

contract.<br />

2. Adjustment of EMD towards SD is <strong>no</strong>t permissible. Cash receipts for SD paid by DD will be<br />

issued by the Oil Company.<br />

3. Interest is <strong>no</strong>t payable on SD.<br />

4. Any loss/ claim and/ or damage arising out of the performance of the contract would be<br />

adjustable against the SD. Any loss/ claims/ damages higher than SD will be recovered<br />

from payments due to the contractor under this contract or deposits made by or payments<br />

due to the contractor under any other contract with the Oil Company.<br />

5. Security deposit would be refunded after expiry of six months of completion of the contract<br />

on written request from the contractor and with surrender of the original cash receipt,<br />

subject to satisfactory performance. In the event of loss / misplacement of the cash receipt<br />

of the SD, the refund would be made only after the contractor furnishes an Indemnity Bond<br />

in the prescribed proforma, on <strong>no</strong>n-judicial stamp paper of appropriate value (at<br />

contractor’s cost), duly <strong>no</strong>tarized.<br />

6. Separate SDs are to be submitted for each location.<br />

7. Successful <strong>tender</strong>er will be entrusted with transportation work only after signing of<br />

Agreement and payment of Security Deposit amount.<br />

18. Contract Period and Rate Escalation:<br />

(a). The contract is awarded for a period of 5 (Five) years w.e.f. 01.07.<strong>2012</strong>.<br />

(b). The rates would come into effect from the date of signing of the contract<br />

(c) The Escalation /De-escalation on account Increase / decrease in price of Diesel fuel<br />

shall be applicable as given in Schedule- A & B.<br />

(d) The Corporation shall endeavour to finalise contract for the next tenure before the<br />

Expiry of the existing Contract Period. However if the new contract is <strong>no</strong>t tfinalized<br />

before the expiry of the existing contract, Corporation reserves the right to extend the<br />

existing contract beyond the period of five years, and upto a maximum of six months on<br />

adhoc basis and continue utilizing the tank trucks for making supplies.<br />

During the period of adhoc operation, the transportation rates, terms and conditions as<br />

per the existing contract agreement shall be applicable including the Escalation /Deescalation<br />

on account Increase / decrease in price of Diesel fuel, as given in<br />

Schedule- A & B.<br />

(d). A one time Increment of 5% of the Non-fuel Component of the rate, shall be granted<br />

at the end of the 3 rd year of the contract described as under:<br />

(i) The <strong>no</strong>n-HSD component of the rate (the finalized rate less the corresponding HSD<br />

component) <strong>no</strong>t exceeding 60% of the finalized rate, shall be considered for the<br />

escalation, as illustrated in Schedule C.<br />

(ii) The revised rate would take effect from the beginning of the 4 th year of the contract.<br />

19. Execution of Agreement:<br />

1. Successful <strong>tender</strong>er/s will be required, before undertaking the contract, to execute the<br />

Agreement, within 15 days of the date of issue of the LOI/work-order and should physically<br />

place the TT at the location within 30 days from the issue of LOI / Work Order. In case of<br />

failure, the HPC will have the right to reject the induction of such TTs.<br />

2. Placement of TTs less than Number mentioned in LOI / Work Order shall <strong>no</strong>t be permitted.<br />

3. Tank trucks placed for induction shall meet with all the terms and conditions stipulated in the<br />

<strong>tender</strong> document. Any modifications required to be carried for complying with the <strong>tender</strong><br />

conditions shall be carried out prior to placing the tank trucks.<br />

4. Tank trucks completed in all respects shall be placed for induction. Not fulfilling any of the<br />

<strong>tender</strong> conditions shall be deemed as <strong>no</strong>n-compliance of <strong>tender</strong> requirements and appropriate<br />

action as per terms of the <strong>tender</strong> shall be taken.<br />

5. All the tank trucks offered shall be inspected through Third Party Inspecting agency and the<br />

certificate issued by the agency shall be produced at the time of placing the tank truck for<br />

inspection.<br />

6. Specimen Transport Agreement is enclosed along with the <strong>tender</strong> document. Tenderers are<br />

advised to carefully go through the terms and conditions of the contract agreement before<br />

submitting their <strong>tender</strong>. Signed copy of the specimen agreement also shall be submitted along<br />

with the <strong>tender</strong>, duly signed by the <strong>tender</strong>er on all pages over the official seal, as token of<br />

acceptance of the terms and conditions thereof.<br />

7. When the person signing the <strong>tender</strong> is <strong>no</strong>t the authorized signatory, necessary power of<br />

Attorney authorizing the signatory to act on behalf of the proprietor/ firm should be produced<br />

before signing the agreement, and an authenticated copy of the power of Attorney should be<br />

submitted for the record of Oil Company.<br />

8. Failure to execute the agreement and/ or furnish required Security Deposit within 15 days time<br />

and/ or physical placement of TTs at the location within 30 days time may render the <strong>tender</strong>er<br />

liable for forfeiture of Earnest Money Deposit and termination of contract without prejudice to<br />

the rights of the Oil Company to recover the damages under Law.<br />

9. All terms & conditions stipulated in the Notice Inviting Tender, Guidelines for Tenderers,<br />

Tender Terms & Conditions, Declarations, Agreement and other documents furnished with the<br />

Tender and related correspondence shall form part of the contract.<br />

20. Reservation :<br />

(a) The provision of reservation will be 15% (fifteen percent) & 7 ½ % (seven and a half<br />

percent) for Schedule Caste (SC) and Scheduled Tribes (ST) respectively on all India<br />

basis.<br />

(b) The members of SC/ ST desirous of offering the Tank Trucks will have to participate in the<br />

<strong>tender</strong>s floated by the Oil company.<br />

(c) The SC/ST members should fulfill all <strong>tender</strong> conditions, and will <strong>no</strong>t be eligible for any price<br />

preference or relaxation of standards.<br />

(d) If adequate numbers of Tank Trucks offered by SC/ ST <strong>tender</strong>ers are <strong>no</strong>t available in any<br />

particular year, the unfilled quota may be allotted to the unreserved categories in that year.<br />

However the unfilled quota may be carried forward to the next Tender also and offered to<br />

SC/ST candidates. If the quota of the previous <strong>tender</strong> is <strong>no</strong>t filled even in the next <strong>tender</strong>,<br />

the unfilled quota of the previous <strong>tender</strong> may be de-reserved and allotted to general<br />

categories.<br />

(e) The SC/ ST <strong>tender</strong>er/s desirous of operating under partnership firm, or Private Ltd. Co., or<br />

Public Ltd. Co. or a Cooperative Society, or any other, should have all the partners or<br />

members of private / Public / Cooperative firms belonging to the same category without<br />

exception, i.e. either SC or ST as the case may be.<br />

(f) Caste certificate for each individual member of a Partnership/ Public/ Private/ Cooperative<br />

Firm should be enclosed as proof along with the Technical <strong>bid</strong>.<br />

(g) In the event of any of the members failing to submit the caste certificate as proof of<br />

belonging to SC/ ST category, the <strong>tender</strong> will be treated as a general category <strong>tender</strong>.<br />

(h) The registered owner/s of the Tank Trucks offered by the SC or ST <strong>tender</strong>er/s must also<br />

belong to the same category, either SC or ST, as the case may be. In other words, if the<br />

<strong>tender</strong>er is issued LOI/ Work Order under SC category, all the registered owners of the<br />

Tank Trucks offered against the particular LOI/ Work Order must also belong to SC.<br />

(i) If any of the Tank Trucks offered does <strong>no</strong>t belong to a member of the category concerned,<br />

i.e. SC or ST, as the case may be, the <strong>tender</strong> will be treated as under general category.<br />

21. Miscellaneous:<br />

1. Tank Trucks provided for transportation of <strong>bulk</strong> petroleum products should preferably be<br />

covered by National Permit/ Zonal Permit at Contractor(s) cost. The contractor’s shall have<br />

to provide specified number of Tank Trucks for operation within the state where the<br />

loading/ unloading locations are situated and within the same state and sections where<br />

axle load restrictions are imposed, they shall supply T/T’s meeting axle load restrictions.<br />

2. Oil Company reserve the right to reject the <strong>tender</strong> of any or all the <strong>tender</strong>ers without<br />

assigning any reason whatsoever at its absolute discretion. Oil Company reserves the<br />

rights to withdraw/ cancel/ modify this <strong>tender</strong> without assigning any reason whatsoever.<br />

3. The Oil Company reserves the right to accept all or some of the Tank Trucks offered by the<br />

successful <strong>tender</strong>ers, without assigning any reason whatsoever. The decision of the Oil<br />

Company shall be final and binding.<br />

4. HPC will have the right to assign the Tank Trucks offered in the <strong>tender</strong> to any contract for<br />

HPC in any other Region/ Zone/ Location, on any route, temporarily or permanently, and<br />

the decision of HPC will be final and binding on the successful <strong>tender</strong>ers/ contractors.<br />

5. The Tank Trucks offered shall, during the period of agreement, Comply at all times With<br />

Valid Permits, Rules And Regulations Of Statutory/ Government Authorities including<br />

provisions of Motor Vehicle Acts/ Motor Vehicle Rules and Carriage by Road Act 2007/<br />

Rules 2011.<br />

Inspection of tank trucks shall be carried out as per the required periodicity and valid<br />

certificate issued by the third party inspecting agency shall be available.<br />

6. Wherever the word T/T or Tank Truck or TTs has been mentioned, the same applies to<br />

Petroleum Product Tank Trucks.<br />

7. No unsolicited correspondence/ queries will be entertained while the award of the transport<br />

contract is under review/ consideration. HPC regrets inability to answer individual queries.<br />

8. If any of the information submitted by the <strong>tender</strong>er is found to be incorrect at any time,<br />

including the period of contract, Oil Company reserves the right to reject the <strong>tender</strong>/<br />

terminate the transportation contract and reserves all rights and remedies available.<br />

9. Each page of the <strong>tender</strong> document including <strong>no</strong>tice inviting <strong>tender</strong> enclosed along with the<br />

<strong>tender</strong> document must be signed by the legally authorized representative of the <strong>tender</strong>er,<br />

with the official seal, for having fully read and understood the terms and conditions of this<br />

<strong>tender</strong>.<br />

10. The terms “HPC”, “HPCL”, “The Corporation”, “Corporation” and “Oil Company” in the<br />

appropriate context means Hindustan Petroleum Corporation Limited, a Company<br />

registered under Companies Act, 1956 and having its registered office at Petroleum<br />

House, 17, Jamshedji Tata Road, Mumbai – 400 020 and its successors and assigns.<br />

22. Duplication of Clause:<br />

Whenever there is duplication of clause either in the terms and conditions or in the<br />

Agreement, the clause, which is beneficial to HPC, will be considered applicable at the<br />

time of any dispute.<br />

1.0 INTRODUCTION<br />

1.1 Objective<br />

Transport Discipline Guidelines<br />

To evolve uniform Transport Discipline Guidelines (TDG) for transportation of <strong>bulk</strong> petroleum products by<br />

Tank Truck/ Tank Lorry (TT) for:<br />

a. Delivery of products to Retail Outlets and Direct Customers<br />

b. Stock Transfers from one location to a<strong>no</strong>ther, i.e. Bridging<br />

1.2 Purpose<br />

The purpose of Transport Discipline Guidelines is to ensure that:<br />

1.2.1 Petroleum products are filled in TT in accordance with Industry Quality Control Manuals.<br />

1.2.2 Petroleum products are transported and delivered to dealers/ direct customers and receiving locations in good<br />

condition conforming to the specifications.<br />

1.2.3 A well defined system of checks exists at various stages of handling of petroleum products.<br />

1.3 Scope<br />

1.3.1 The procedure/ code outlined in these guidelines are only the minimum required in order to ensure quality and<br />

quantity of the petroleum products during receipt, storage, transit and delivery. Therefore, standard operating<br />

procedures with due regard to safety in handling of petroleum products in general shall be followed as laid<br />

down in the respective safety and operations guidelines/ manuals. It is expected that such standard procedures<br />

will be followed at all times in addition to the instructions contained in the following chapters of these<br />

guidelines.<br />

1.3.2 Changes, if any, in these guidelines will be advised through serially numbered amendments and will be<br />

displayed at the location <strong>no</strong>tice board/ website. The amendment record (Annexure-I) of these guidelines shall<br />

be updated accordingly. These changes will be implemented with immediate effect from the date of its<br />

amendment.<br />

2.0 TRANSPORTATION<br />

2.1 Transport Agreement<br />

2.1.1 Industry Transport Discipline Guidelines shall be part of the transport agreement.<br />

2.1.2 TT shall <strong>no</strong>t be used for any product other than the designated petroleum products and will<br />

operate only for the Oil Company with whom the agreement has been entered into.<br />

2.1.3 Carrier shall ensure that TT is painted and maintained as per the colour scheme advised<br />

by the Oil Company from time to time. Carrier shall also ensure that the name of Oil<br />

Company & Logo is prominently displayed on the tank of TT and the name of the base<br />

location in the information panel as per the directions of the Oil Company.<br />

2.2 Fitness of Tank Lorry<br />

2.2.1 Carrier shall be responsible for providing a TT fit in all respects to carry petroleum products<br />

and shall be transporting/ delivering the same in good condition, as per specifications, to<br />

the dealers/ direct customers/ receiving locations and shall be held accountable for any<br />

malpractice/ adulteration en route.<br />

2.2.2 TT shall be duly approved for its design/ fittings by Explosives Department. Carrier shall be<br />

responsible for ensuring that the integrity of the TT fittings is maintained in accordance with<br />

the conditions laid down by the licensing authority at all times.<br />

2.2.3 The original and a copy of the valid Explosives License shall be submitted to the loading<br />

location. Original certificate shall be returned to the Carrier after verification. TT shall carry<br />

valid Explosive License in original issued by Explosive Department at all times.<br />

2.2.4 TT without valid Explosives License shall <strong>no</strong>t be utilized, unless authorized by Explosives<br />

Department to use the TT pending renewal.<br />

2.2.5 Carrier shall ensure compliance with various statutory rules and regulations, including<br />

provisions of Motor Vehicle Acts/ Motor Vehicle Rules in force at all times during the period<br />

of agreement.<br />

2.2.6 Carrier as per the design given by the Oil Company from time to time shall provide the<br />

product sealing/ security locking/ electronic sealing arrangements (security locking system)<br />

as advised by Oil Company from time to time. The transporter to ensure that, the integrity<br />

of the locking arrangements is maintained against any tampering at all the times.<br />

2.2.7 Carrier shall ensure that the Vehicle Mounted Unit (VMU) along with fittings & fixtures<br />

installed on the TT for tracking of the TT is kept always in working condition and its on/ off<br />

operation is done according to the instructions given by the Oil Company.<br />

2.3 Calibration of Tank Lorry<br />

2.3.1 The original and a copy of the valid calibration certificate shall be submitted to the loading<br />

location. Original certificate shall be returned to the Carrier after verification. TT shall carry<br />

valid Calibration Certificate in original issued by Weights and Measure Department at all<br />

times.<br />

2.3.2 TT shall be calibrated for single capacity in line with MV Act.<br />

2.3.3 Carrier to provide manhole on top of the tank in the geometrical center of the compartment<br />

of TT.<br />

2.3.4 Carrier to provide dip hole/ dip pipe in the geometrical center of the manhole with manhole<br />

fittings duly welded.<br />

2.3.5 Datum Plate height should <strong>no</strong>t be more than 10 mm from the bottom plate and should be<br />

shown in the drawing.<br />

2.3.6 Tampering with calibration of vehicle in any manner shall be construed as a malpractice<br />

and penal action will be taken against the carrier as outlined under clause <strong>no</strong>. 8. Further,<br />

alleged product losses will be recovered from the carrier from the date of last calibration.<br />

2.3.7 The calibration of the TT should be done at the calibration facility provided by the Oil<br />

Company or as directed by the Oil Company. Carrier shall produce TT for verification/<br />

checking as and when required by the Oil Company.<br />

2.3.8 Carrier shall provide brass dip rods for each compartment or single brass dip rod for all<br />

compartments if specifically advised by the location.<br />

2.4 Tank Lorry Accident<br />

2.4.1 In case of TT accident, the crew shall inform the nearest Police Station, loading location,<br />

carrier, nearest Oil Company location and shall guard the vehicle as well as product.<br />

2.4.2 Carrier shall arrange to transfer/ salvage the product in a<strong>no</strong>ther fit TT immediately on<br />

receipt of the information, after obtaining permission from the Oil Company and various<br />

statutory authorities. Proper safety precautions are to be followed while transferring the<br />

product from the damaged vehicle.<br />

2.4.3 Carrier shall complete all the statutory formalities including lodging of FIR & shall submit<br />

accident report to the base location. Non lodging of FIR, <strong>no</strong>t reporting the accident to the<br />

Oil Company shall be construed as a malpractice & penal action will be taken against the<br />

carrier as outlined under clause <strong>no</strong>. 8.<br />

2.4.4 Spilled or transshipped product salvaged in TT/ barrels shall be brought to the loading<br />

location or the receiving location as advised by the Oil Company.<br />

2.4.5 Draw three (six <strong>no</strong>s. in case of MS) composite samples (TMB), 1 liter each from each TT<br />

compartment/ barrel in the presence of carrier/ TT crew carrying the salvaged product.<br />

Prepare sample tags as per specimen given in Annexure-II. Locking/ sealing of the TT/<br />

barrel and sample containers and signing on the sample tags shall be done jointly by the<br />

Oil Company representative and carrier/ TT crew. One set of sample shall be sent to the<br />

Oil Company’s lab for testing, one set to be given to carrier/ TT crew and one set to be<br />

retained at the location.<br />

2.4.6 On receipt of test results from the lab, the carrier shall be suitably advised and action<br />

taken.<br />

2.5 Other formalities<br />

(d) Carrier shall engage TT driver who has undergone training on<br />

transportation of hazardous goods as stipulated under the Motor Vehicle<br />

Acts/ Rules. The driving license of the driver should be endorsed by Road<br />

Transport Authorities to this effect.<br />

(e) Emergency Information Panels shall be correctly displayed on the TT as<br />

stipulated.<br />

(f) The TT registration number shall be painted on the fire extinguishers<br />

carried by the TT.<br />

(g) Carrier shall ensure that TT crew follows the specified route.<br />

(h) Carrier shall submit details of TT crew, antecedents of the TT crew<br />

obtained from local Police & a copy of valid driving license of the driver to<br />

the base location and obtain entry pass from the location.<br />

(i) Before embarking for the delivery it will be carrier’s or his representative’s<br />

responsibility to ensure that TT crew has correct:<br />

3.0 PRODUCT LOADING<br />

3.1 Quality Control<br />

3.1.1 Petroleum products shall be received, stored and delivered ex loading locations in<br />

accordance with Industry Quality Control Manual.<br />

3.1.2 a. Sales document: Dispatch density of the product at 15 0 C Celsius shall be indicated<br />

on sales document.<br />

b. Stock transfer document: Dispatch temperature & density of the product at 15 0 C<br />

shall be indicated on stock transfer documents.<br />

3.2 Sealing/ Locking of Tank Lorry<br />

3.2.1 Security locking of the TT shall be done in accordance with the guidelines of the Oil<br />

Company.<br />

3.2.2 Carrier to ensure that the integrity of the security locking system is intact at all times.<br />

3.2.3 Carrier shall ensure that the TT is always in locked condition (as per security locking<br />

system) including on its return journey except during loading/ unloading operation. Any act<br />

of tampering with the security locking system shall be construed as malpractice and action<br />

shall be taken against the carrier.<br />

3.3 Log ‘out’ and ‘in’ time system<br />

3.3.1 The departure time from the loading location shall be recorded on the invoice/ stock<br />

transfer document itself by the loading location and the dealer/ direct customer/ receiving<br />

location shall record the arrival and departure time of the TT on the same document.<br />

3.3.2 Carrier shall ensure that the trip time specified for the destination is strictly adhered to.<br />

4.0 PRODUCT RECEIPT<br />

The procedure outlined hereunder is applicable for the receipts of product at the supply<br />

locations, dealers and direct customers.<br />

Responsibility towards handling of product shall be in accordance with the Marketing<br />

Discipline Guidelines in force and Industry Quality Control Manual in force.<br />

4.1 Actions to be taken on arrival of the TT<br />

4.1.1 Recording of timings<br />

Arrival & departure time of the TT shall be recorded in the delivery document. If a bridging<br />

TT is used for deliveries by receiving location, it shall report back at the receiving location<br />

after completion of delivery for monitoring of delivery time & handing over of banking<br />

instruments if any.<br />

4.1.2 Checking security locking system<br />

The security locking system shall be checked and if it is found O.K then proceed to 4.1.3. If<br />

found tampered, then it will be construed as a malpractice and action shall be taken as<br />

mentioned in 4.2.<br />

4.1.3 Density checking<br />

The density of each compartment shall be checked. If the density variation at 15 degree<br />

Celsius is within +/- 3 kg/ m 3 as compared to the challan density of the product then<br />

proceed to 4.1.4. If the density variation at 15 degree Celsius is more than +/- 3 kg/m 3 or in<br />

case of doubt as to the quality of product, then action shall be taken as mentioned in 4.2.<br />

4.1.4 Retained Tank Lorry samples<br />

The dealer/ dealer’s representative shall draw 4x1 liters of MS and/or 2x1 liters of HSD<br />

bottom samples (composite from all the compartments proportionate to the quantity of the<br />

product received in each compartment after removing line contents) from the TT, seal &<br />

sample tag the same before unloading the TT. Before taking the samples, the empty<br />

sample containers should be rinsed with the same product from the TT. The label should<br />

be jointly signed by dealer / dealer’s representative and the TT driver. These samples will<br />

be called as “Retained Tank Lorry samples”. The dealer should hand over, against<br />

payment, 2x1 liter of MS and/or 1 liter of HSD samples to the TT driver/ representative of<br />

the carrier for retention by the carrier. In addition, the Carrier/TT driver will have to pay a<br />

deposit of Rs. 300/- per sample container to the dealer. These samples shall be retained in<br />

line with Marketing Discipline Guidelines in force. The carrier with written mutual consent<br />

may leave his samples in safe custody of the dealer.<br />

4.1.5 Marker testing<br />

The tank lorry may be subjected to the marker test en route or at the dealer / direct<br />

customer location premises. If the product carried through TT is found failing in the marker<br />

test then actions shall be taken as mentioned in 4.2.<br />

4.2 Procedure for dealing with the suspected irregularities<br />

The following procedure shall be followed for dealing with the suspected irregularities.<br />

a. Inform sales officer/ loading location.<br />

b. The TT shall be detained.<br />

c. The Sales officer/ loading location officer shall draw the samples as mentioned in<br />

4.3.<br />

d. The sales officer/ loading location officer, TT crew/ carrier’s representative &<br />

consignee/ consignee’s representative, inspecting authority shall prepare a joint<br />

statement mentioning the compartment wise observed density / result of the marker<br />

test / status of the security locking system and shall sign the statement.<br />

e. In case of TT receipt at the location the loading location officer & TT crew/ carrier’s<br />

representative shall prepare a joint statement mentioning the compartment wise<br />

observed density / result of the marker test / status of the security locking system<br />

and shall sign the statement.<br />

f. The TT, thereafter, shall be sealed by the sales officer/ loading location officer and<br />

detained at the place of the consignee’s premises.<br />

g. If the product passes in the lab test, the TT shall be decanted at the consignee’s<br />

premises. If the product fails in the lab test, then the TT shall be sent for the<br />

disposal of the product as directed by the Oil Company.<br />

h. Action shall be taken against the carrier as outlined under clause <strong>no</strong>. 8.<br />

4.3 Sampling procedure for suspected irregularities<br />

4.3.1 At the dealer / Direct customer premises<br />

The sales officer / location officer shall draw eight <strong>no</strong>s. composite samples (TMB) in case<br />

of MS (four in case of other products) of 1 liter each from every TT compartment in the<br />

presence of carrier/ TT crew and consignee/ consignee’s representative. Prepare sample<br />

tags as per specimen given in Annexure-II. Signing on the sample tags and sealing of the<br />

sample containers shall be done jointly by the sales officer/ loading location officer, TT<br />

crew/ carrier’s representative and consignee/ consignee’s representative. One set of<br />

sample shall be sent to the Oil Company’s lab for testing, one set to be given to carrier/ TT<br />

crew, one set to be given to consignee/ consignee’s representative and one set to be<br />

retained by the sales officer/ loading location<br />

4.3.2 Receipt at the locations<br />

The location officer shall draw six <strong>no</strong>s. composite samples (TMB) in case of MS (three in<br />

case of other products) of 1 liter each from every TT compartment in the presence of<br />

carrier/ TT crew. Prepare sample tags as per specimen given in Annexure-II. Signing on<br />

the sample tags and sealing of the sample containers shall be done jointly by the loading<br />

location officer and TT crew/ carrier’s representative. One set of sample shall be sent to the<br />

Oil Company’s lab for testing and one set to be given to carrier/ TT crew and one set to be<br />

retained by the loading location.<br />

4.4 Testing of samples at lab<br />

The TT samples drawn by the sales officer / loading location officer at the consignee’s<br />

premises shall be tested in the lab. If the product passes in the lab test, the TT shall be<br />

decanted at the consignee’s premises. If the product fails in the lab test, then the<br />

corresponding supply location retention sample shall be tested. If the supply location<br />

retention sample passes in the lab test then it would be construed as malpractice done by<br />

the carrier & action shall be taken as outlined in clause <strong>no</strong> 8. If the supply location<br />

retention sample fails in the test then <strong>no</strong> action shall be taken against the carrier. In any<br />

case of failure of the TT sample, the TT shall be sent for the disposal of the product as<br />

directed by the Oil Company.<br />

4.5 Testing of “Retained Tank Lorry Samples” at lab<br />

4.5.1 Testing for specifications<br />

If the product sample drawn from the retail outlet is found failing in the test then the last<br />

“Retained Tank Lorry samples” kept at the retail outlet shall be tested. If the “Retained<br />

Tank Lorry samples” is also failing in the test then the corresponding supply location<br />

sample will be tested. If the location sample is passing in the test then it shall be construed<br />

as a malpractice done by the carrier & action shall be taken as outlined hereunder on<br />

actions for malpractices/ adulteration.<br />

4.5.2 Testing for Marker<br />

If the product sample drawn from the retail outlet is found failing in the marker test then the<br />

last “Retained Tank Lorry samples” kept at the retail outlet shall be tested for marker test.<br />

The marker test of “Retained Tank Lorry samples” will be carried out after giving prior<br />

<strong>no</strong>tice to the dealer & the concerned carrier so that they can be present at the test venue if<br />

they so desire for witnessing the testing. Field officer or the representative of the divisional<br />

office/ regional office/ territory office will also be present & conduct/ witness the marker<br />

test. This team will submit its report in the approved industry format. If the “Retained Tank<br />

Lorry samples” is also failing in the marker test then the corresponding location sample will<br />

be tested. If the supply location sample is passing in the marker test then it shall be<br />

construed as a malpractice done by the carrier & penal action would be taken against the<br />

carrier as outlined under clause <strong>no</strong>. 8.<br />

5.0 TANK TRUCK/TANK LORRY MONITORING<br />

5.1 Carrier having agreement with the Oil Company for a TT shall <strong>no</strong>t enter into agreement<br />

with other company for the same TT. Carrier shall <strong>no</strong>t enter into agreement with the Oil<br />

Company for the blacklisted TT. If it is subsequently proved that the carrier has entered in<br />

to agreements with other Oil Company for the same TT then it shall be construed as<br />

malpractice & penal action would be taken against the carrier as outlined under clause<br />

<strong>no</strong>.8.<br />

5.2 The Oil Company who has blacklisted TT/ carrier under their agreement shall circulate the<br />

list of such TT/ carrier containing registration, engine and chassis numbers to other oil<br />

companies.<br />

5.3 Carrier shall <strong>no</strong>t enter into agreement with the Oil Company by submitting forged<br />

documents/ false information.<br />

5.4 Bridging TT, only after verifying the product ack<strong>no</strong>wledgement for the previous trip, and<br />

seeking clarification in the cases where trip time has exceeded, the TT will be accepted for<br />

loading.<br />

5.5 In case a TT has <strong>no</strong>t reported for delivery at the receiving location after a reasonable<br />

transit time, carrier shall inform loading location and receiving location the reasons for<br />

delay and likely date of reporting.<br />

5.6 Bridging TT arranged by receiving locations shall be accepted only on the basis of indent<br />

slips issued by receiving locations. The receiving location shall issue a serially numbered<br />

indent slip before it proceeds to the loading location for uplifting the product. In case of<br />

missing of such TT, action as mentioned in item 5.5 above shall be taken.<br />

5.7 In case a TT is <strong>no</strong>t received at the receiving location, action shall be taken against the<br />

carrier as outlined under clause <strong>no</strong>. 8.<br />

6.0 VEHICLE TRACKING SYSTEM<br />

6.1 If VMU of the TT is <strong>no</strong>t in working condition, it would be considered that the TT is <strong>no</strong>t fit for<br />

loading.<br />

6.2 Carrier or his representative shall inform the Oil Company within 30 minutes of stoppage of<br />

VMU functioning.<br />

6.3 Carrier shall strictly follow the specified route stipulated by the Oil Company. Any<br />

unauthorized deviation from the specified route would be considered as a malpractice and<br />

action will be taken against the carrier as outlined under clause <strong>no</strong>. 8.<br />

6.4 If it is observed that the VMU, its fittings or fixtures installed on the TT is damaged<br />

deliberately by the carrier or his representative, the VMU is switched of en-route, VMU is<br />

removed from TT, VMU is used on other vehicles then it would be construed as a<br />

malpractice and action will be taken against the carrier as outlined under clause <strong>no</strong>. 8.<br />

Company’s decision would be final in determining as to whether it has been damaged<br />

deliberately or <strong>no</strong>t.<br />

6.5 TT should <strong>no</strong>t be stopped en-route. Any unauthorized stoppage shall be construed as a<br />

malpractice and action will be taken against the carrier as outlined under clause <strong>no</strong>. 8.<br />

6.6 Carrier to ensure that the TT reaches the destination and delivers product to the consignee<br />

within specified trip time. The TT <strong>no</strong>t reaching the destination or unauthorized delays shall<br />

be construed as a malpractice and action will be taken against the carrier as outlined under<br />

clause <strong>no</strong>. 8.<br />

6.7 Carrier shall ensure that TT does <strong>no</strong>t exceed the speed limits prescribed by the concerned<br />

authorities.<br />

7.0 HEALTH, SAFETY & ENVIRONMENT<br />

7.1 All rules/ regulations and statutory requirements shall be strictly followed by the carrier and<br />

their work force i.e. drivers/ cleaners at the work place and on the road while transporting<br />

petroleum products.<br />

7.2 Driver and cleaner shall wear seat belt while driving vehicle on the road.<br />

7.3 No TT shall be plied by the driver without cleaner, either on the road or at any work place.<br />

7.4 The TT crew would <strong>no</strong>t be permitted to enter the location premises without use of the<br />

personal protective equipment i.e. safety shoes, helmet, spectacles (wherever necessary).<br />

7.5 The crew of TT shall check safety fittings, fitness conditions of vehicles to ply on road<br />

before the TT is brought for loading.<br />

7.6 Safety procedures for unloading and loading of vehicles at the supply location as well as at<br />

the destination i.e. retail outlets, direct customer, supply location, etc. shall be strictly<br />

adhered to.<br />

7.7 It shall be mandatory for all drivers to undergo refresher training course / training programs<br />

organized by the location.<br />

7.8 The TT should be driven only by persons having valid driving license issued as per MV Act.<br />

7.9 TT crew to undergo routine health check once in every six months. Fitness Certificate to be<br />

submitted to the loading location. TT crew need to be in sound health condition.<br />

7.10 The carrier shall ensure that the TT crew are <strong>no</strong>t in intoxicated state while on duty.<br />

8.0 ADULTERATION/ MALPRACTICES/ IRREGULARITIES/ PENALTIES<br />

TT caught for having indulged in adulteration/ malpractices/ irregularities shall be<br />

immediately suspended by the location-in-charge. However, an investigation shall be<br />

conducted as per the laid down procedure of the company. On investigation, if the<br />

adulteration/ malpractice/ irregularities is established then penal actions stipulated as under<br />

shall be taken.<br />

8.1 Penalties in case of adulteration<br />

In all cases of failure of the products/ adulteration in TT, action against the Carrier shall be<br />

initiated as under:<br />

a. i. Carriers with single TT<br />

On the first incident (during the tenure of the contract) of adulteration, the contract<br />

with the concerned carrier shall be terminated and the concerned carrier & the<br />

particular TT shall be blacklisted on Industry basis.<br />

ii. Carriers with multiple TTs<br />

On the first incident (during the tenure of the contract) of adulteration, the particular<br />

TT shall be blacklisted on Industry basis along with the TT crew. In case of second<br />

incident of adulteration, the whole contract comprising of all the TTs belonging to<br />

the concerned carrier shall be terminated and the concerned carrier & their all TTs<br />

shall be black listed on industry basis.<br />

However, if the complicity of the carrier is detected in case of adulteration of the first<br />

incident, then the whole contract comprising of all the TTs belonging to the<br />

concerned carrier shall be terminated and the concerned carrier & their all TTs shall<br />

be black listed on industry basis.<br />

b. Disposal of the contaminated product shall be done as directed by the company.<br />

c. Cost of product as determined by the company shall be recovered from the carrier.<br />

d. Incidental expenses and any other expenses sustained by the concerned Oil<br />

Company for disposal of the contaminated product shall also be recovered from the<br />

transporter.<br />

e. Transportation charges, octroi, toll taxes, other levies shall <strong>no</strong>t be paid for the futile<br />

trip to the dealer/ direct customer or receiving location as well as for the subsequent<br />

trip for delivering the adulterated/ contaminated product to the concerned Oil<br />

Company’s <strong>no</strong>minated location for disposal of the product.<br />

8.2 Penalties for malpractices/ irregularities<br />

8.2.1 Malpractices/ irregularities will cover any of the following:<br />

a. Unauthorized deviation from specified route/ unauthorized delay/ unauthorized enroute<br />

stoppage/ <strong>no</strong>t reaching destination/ over speeding/ en-route switching off<br />

VMU/ unauthorized removal of VMU/ use of VMU on other vehicles<br />

b. TT crew found in intoxicated state while on duty<br />

c. For <strong>no</strong>t wearing seat belt while driving on road or driving vehicle without cleaner/helper<br />

d. For <strong>no</strong>n functioning of TT Fire Extinguisher<br />

e. Polluting environment due to product spillage from tilting or leaky vehicles on road,<br />

in case of accident/ unsafe driving<br />

f. Accident involving injury or damages to the facilities at the work place<br />

g. Fatal accident at the work place<br />

8.2.3 Period of blacklisting<br />

The period for blacklisting for the carrier & TTs shall be two years. However, the company<br />

reserves the right to extend the ban on the concerned carrier/ TT after the period of two<br />

years is over. Depending upon the seriousness of the offence, the carrier/ TT may be<br />

banned permanently.<br />

Integrity Pact<br />

The Integrity Pact duly signed by the authorized official of HPCL and the<br />

Contractor, will form part of this contract / supply order.<br />

Proforma of Integrity Pact (which is issued along with the <strong>bid</strong>ding document ) shall<br />

be returned by the <strong>bid</strong>der along with <strong>technical</strong> <strong>bid</strong>, duly signed by the same signatory who<br />

signs the <strong>bid</strong> i.e. who is duly authorized to sign the <strong>bid</strong>. All the pages of the Integrity Pact<br />

shall be duly signed by the same signatory. Bidder’s failure to return the Integrity Pact<br />

along with the <strong>bid</strong>, duly signed, shall lead to outright rejection of such <strong>bid</strong>.<br />

If the Bidder has been disqualified from the <strong>tender</strong> process prior to the award of<br />

contract according to the provisions under Integrity Pact, HPCL shall be entitled to<br />

demand and recover from <strong>bid</strong>der Liquidated damages amount by forfeiting the EMD/Bid<br />

security (Bid Bond) as per provisions of Integrity Pact.<br />

If the contract has been terminated according to provisions of the Integrity Pact, or<br />

if HPCL is entitled to terminate the contract according to provisions of Integrity Pact, HPCL<br />

shall be entitled to demand and recover from the Contractor liquidated damages amount<br />

by forfeiting the Performance Bank Guarantee / Security Deposit as per Integrity Pact.<br />

that the <strong>bid</strong> shall be kept open for 180 days after the last date fixed for the receipt of the <strong>bid</strong>s and<br />

the Bidder desires to make a <strong>bid</strong> on this condition and after entering into this separate initial<br />

contract with HPCL.<br />

HPCL promises to consider the <strong>bid</strong> on this condition and the Bidder agrees to keep the <strong>bid</strong> open<br />

for the required period. These reciprocal promises form the consideration for this separate initial<br />

its relations with its Bidders/s and Contractor/s.<br />

In order to achieve these goals, the Principal cooperates with the re<strong>no</strong>wned international Non-<br />

Governmental Organisation “Transparency International” (TI). Following TI’s national and<br />

international experience, the Principal will appoint an external independent Monitor who will<br />

monitor the <strong>tender</strong> process and the execution of the contract for compliance with the principles<br />

mentioned above.<br />

Section 1 – Commitments of the Principal<br />

The Principal commits itself to take all measures necessary to prevent corruption and to observe<br />

the following principles:<br />

No employee of the Principal, personally or through family members, will in connection with the<br />

<strong>tender</strong> for, or the execution of a contract, demand, take a promise for or accept, for him/herself or<br />

third person, any material or immaterial benefit which he/she is <strong>no</strong>t legally entitled to.<br />

The principal will, during the <strong>tender</strong> process treat all Bidders with equity and reason. The Principal<br />

will in particular, before and during the <strong>tender</strong> process, provide to all Bidders the same information<br />

and will <strong>no</strong>t provide to any Bidder confidential / additional information through which the Bidder<br />

could obtain an advantage in relation to the <strong>tender</strong> process or the contract execution.<br />

The principal will exclude from the process all k<strong>no</strong>wn prejudiced persons.<br />

If the Principal obtains information on the conduct of any of its employees which is a criminal<br />

offence under the relevant Anti-Corruption Laws of India, or if there be a substantive suspicion in<br />

this regard, the Principal will inform its Vigilance Office and in addition can initiate disciplinary<br />

actions.<br />

Section 2 – Commitments of the Bidder / Contractor<br />

The Bidder / Contractor commits itself to take all measures necessary to prevent corruption. He<br />

commits himself to observe the following principles during his participation in the <strong>tender</strong> process<br />

and during the contract execution.<br />

The Bidder / Contractor will <strong>no</strong>t, directly or through any other person or firm, offer, promise or give<br />

to any of the Principal’s employees involved in the <strong>tender</strong> process or the execution of the contract<br />

or to any third person any material or immaterial benefit which he/she is <strong>no</strong>t legally entitled to, in<br />

order to obtain in exchange any advantage of any kind whatsoever during the <strong>tender</strong> process or<br />

during the execution of the contract.<br />

The Bidder / Contractor will <strong>no</strong>t enter with other Bidders into any undisclosed agreement or<br />

understanding, whether formal or informal. This applies in particular to prices, specifications,<br />

certifications, subsidiary contracts, submission or <strong>no</strong>n-submission of <strong>bid</strong>s or any other actions to<br />

restrict competitiveness or to introduce cartelisation in the <strong>bid</strong>ding process.<br />

The Bidder / Contractor will <strong>no</strong>t commit any offence under the relevant Anti-corruption Laws of<br />

India; further the Bidder / Contractor will <strong>no</strong>t use improperly, for purposes of competition or<br />

personal gain, or pass on to others, any information or document provided by the Principal as part<br />

of the business relationship, regarding plans, <strong>technical</strong> proposals and business details, including<br />

information contained or transmitted electronically.<br />

The Bidder / Contractor will, when presenting his <strong>bid</strong>, disclose any and all payment he has made,<br />

is committed to or intends to make to agents, brokers or any other intermediaries in connection<br />

with the award of the contract.<br />

The Bidder / Contractor will <strong>no</strong>t instigate third persons to commit offences outlined above or be an<br />

accessory to such offences.<br />

Section 3-Disqualification from <strong>tender</strong> process and exclusion from future contracts<br />

If the Bidder, before contract award has committed a transgression through a violation of Section 2<br />

or in any other form such as to put his reliability or credibility as Bidder into question, the Principal<br />

is entitled to disqualify the Bidder from the <strong>tender</strong> process or to terminate the contract, if already<br />

signed, for such reason.<br />

(1) If the Bidder/Contractor has committed a transgression through a violation of Section 2<br />

such as to put his reliability or credibility into question, the Principal is entitled also to exclude the<br />

Bidder / Contractor from future contract award processes. The imposition and duration of the<br />

exclusion will be determined by the severity of the transgression. The severity will be determined<br />

by the circumstances of the case, in particular the number of transgressions, the position of the<br />

transgressors within the company hierarchy of the Bidder and the amount of the damage. The<br />

exclusion will be imposed for a minimum of 6 months and maximum of 3 years.<br />

(2) A transgression is considered to have occurred if the Principal after due consideration of<br />

the available evidence, concludes that <strong>no</strong> reasonables doubt is possible.<br />

(3) The Bidder accepts and undertakes to respect and uphold the Principal’s absolute right to<br />

resort to and impose such exclusion and further accepts and undertakes <strong>no</strong>t to challenge or<br />

question such exclusion on any ground, including the lack of any hearing before the decision to<br />

resort to such exclusion is taken. This undertaking is given freely and after obtaining independent<br />

legal advice.<br />

(4) If the Bidder / Contractor can prove that he has restored / recouped the damage caused by<br />

him and has installed a suitable corruption prevention system, the Principal may revoke the<br />

exclusion prematurely.<br />

Section 4 – Compensation for Damages<br />

(1) If the Principal has disqualified the Bidder from the <strong>tender</strong> process prior to the award<br />

according to Section 3, the Principal is entitled to demand and recover from the Bidder liquidated<br />

damages equivalent to Earnest Money Deposit/Bid Security.<br />

(2) If the Principal has terminated the contract according to Section 3, or if the Principle is<br />

entitled to terminate the contract according to Section 3, the Principal shall be entitled to demand<br />

and recover from the Contractor liquidated damages equivalent to Security Deposit / Performance<br />

Bank Guarantee.<br />

(3) The <strong>bid</strong>der agrees and undertakes to pay the said amounts without protest or demur<br />

subject only to condition that if the Bidder / Contractor can prove and establish that the exclusion<br />

of the Bidder from the <strong>tender</strong> process or the termination of the contract after the contract award<br />

has caused <strong>no</strong> damage or less damage than the amount of the liquidated damages, the Bidder /<br />

Contractor shall compensate the Principal only to the extent of the damage in the amount proved.<br />

Section 5 – Previous Transgression<br />

(1) The Bidder declares that <strong>no</strong> previous transgression occurred in the last 3 years with any<br />

other Company in any country conforming to the TI approach or with any other Public Sector<br />

Enterprise in India that could justify his exclusion from the <strong>tender</strong> process.<br />

(2) If the Bidder makes incorrect statement on this subject, he can be disqualified from the<br />

<strong>tender</strong> process or the contract, if already awarded, can be terminated for such reason.<br />

Section 6 – Equal treatment of all Bidders / Contractors / Subcontractors<br />

(1) The Bidder / Contractor undertakes to demand from all subcontractors a commitment in<br />

conformity with this Integrity Pact, and to submit it to the Principal before contract signing.<br />

(2) The Principal will enter into agreements with identical conditions as this one with all<br />

Bidders, Contractors and Subcontractors.<br />

(3) The Principal will disqualify from the <strong>tender</strong> process all <strong>bid</strong>ders who do <strong>no</strong>t sign this Pact or<br />

violate its provisions.<br />

Section 7 – Criminal charges against violating Bidders/Contractors/Subcontractors<br />

If the Principal obtains k<strong>no</strong>wledge of conduct of a Bidder, Contractor or Subcontra ctor, or of an<br />

employee or a representative or an associate of a Bidder, Contractor or Subcontractor which<br />

constitutes corruption, or if the Principal has substantive suspicion in this regard, the Principal will<br />

inform the Vigilance Office.<br />

Section 8 – External Independent Monitor / Monitors<br />

The Principal appoints competent and credible external independent Monitors for this Pact.<br />

Accordingly, the Principal (HPCL) has appointed the following Independent External Monitors<br />

(IEMs) for this pact:<br />

The task of the Monitors is to review independently and objectively, whether and to what extent the<br />

parties comply with the obligations under this agreement.<br />

The Monitor is <strong>no</strong>t subject to instructions by the representatives of the parties and performs his<br />

functions neutrally and independently. He reports to the Chairperson of the Board of the Principal.<br />

The Contractors accepts that the Monitor has the right to access without restriction to all Project<br />

documentation of the Principal including that provided by the Contractor. The Contractor will also<br />

grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and<br />

unconditional access to this project documentation. The same is applicable to<br />

Subcontractors. The Monitor is under contractual obligation to treat the information and documents<br />

of the Bidder / Contractor / Subcontractor with confidentiality.<br />

The Principal will provide to the Monitor sufficient information about all meetings among the parties<br />

related to the Project provided such meetings could have an impact on the contractual relations<br />

between the Principal and the Contractor. The parties offer to the Monitor the option to participate<br />

in such meetings.<br />

As soon as the Monitor <strong>no</strong>tices, or believes to <strong>no</strong>tice, a violation of this agreement, he will so<br />

inform the Management of the Principal and request the Management to discontinue or heal the<br />

violation, or to take other relevant action. The Monitor can in this regard submit <strong>no</strong>n-binding<br />

recommendation. Beyond this, the Monitor has <strong>no</strong> right to demand from the parties that they act in<br />

a specific manner, refrain from action or tolerate action. However, the Independent External<br />

Monitor shall give an opportunity to the <strong>bid</strong>der / contractor to present its case before making its<br />

recommendations to the Principal.<br />

The Monitor will submit a written report to the Chairperson of the Board of the Principal within 8 to<br />

10 weeks from the date of reference or intimation to him by the ‘Principal’ and, should the<br />

occasion arise, submit proposals for correcting problematic situations.<br />

Monitor shall be entitled to compensation on the same terms as being extended to / provided to<br />

Outside Expert Committee members / Chairman as prevailing with Principal.<br />

If the Monitor has reported to the Chairperson of the Board a substantiated suspicion of an offence<br />

under relevant Anti-Corruption Laws of India, and the Chairperson has <strong>no</strong>t, within reasonable time,<br />

taken visible action to proceed against such offence or reported it to the Vigilance Office, the<br />

Monitor may also transmit this information directly to the Central Vigilance Commissioner,<br />

Government of India.<br />

The word ‘Monitor’ would include both singular and plural.<br />

Section 9 – Pact Duration<br />

This Pact begins when both parties have legally signed it. It expires for the Contractor 12 months<br />

after the last payment under the respective contract, and for all other Bidders 6 months after the<br />

contract has been awarded.<br />

If any claim is made / lodged during this time, the same shall be binding and continue to be valid<br />

despite the lapse of this pact as specified above, unless it is discharged / determined by<br />

Chairperson of the Principal.<br />

Section 10 – Other provisions<br />

This agreement is subject to Indian Law. Place of performance and jurisdiction is the Registered<br />

Office of the Principal, i.e. Mumbai. The Arbitration clause provided in the main <strong>tender</strong> document /<br />

contract shall <strong>no</strong>t be applicable for any issue / dispute arising under Integrity Pact.<br />

Changes and supplements as well as termination <strong>no</strong>tices need to be made in writing. Side<br />

agreements have <strong>no</strong>t been made.<br />

If the Contractor is a partnership or a consortium, this agreement must be signed by all partners or<br />

consortium members.<br />

Should one or several provisions of this agreement turn out to be invalid, the remainder of this<br />

agreement remains valid. In this case, the parties will strive to come to an agreement to their<br />

original intentions.<br />

factor shall apply for all the Locations coming under the respective State. In case of any<br />

dispute, the decision of the Oil Company shall be final and binding.<br />

Formula For Working Out One Time Escalation at the End of 3 rd year of the contract:<br />

towards the cost of installation/provision of VTS, shall be recovered from<br />

the successful <strong>bid</strong>ders who may be awarded with the contract, from their<br />

monthly PCB payments in terms of Clause 9 (d) of the Special Terms and<br />

conditions forming part of the above Tender.<br />

4. Therefore, in pursuance of the above, I/we hereby undertake to the<br />

Corporation that I/we have <strong>no</strong> objection for the Corporation recovering an<br />

Bulk Petroleum Products Road Transport Agreement<br />

THIS AGREEMENT made ______________ day of ________ <strong>2012</strong>(year) between<br />

____________________________ a Company registered under Indian Companies Act,<br />

19<strong>13</strong>/1956 having registered office at __________________________________ hereinafter called<br />

`THE COMPANY' (which expression unless repugnant to the context shall include its successors<br />

and assigns) of the ONE PART and M/S _______________________________________ a<br />

Proprietorship / Partnership Firm / Private Limited / Limited Company/ Consortium, having<br />

registered office / place of business at ___________________________ hereinafter called “THE<br />

CARRIER” or Carrier (which expression shall be deemed to include legal heirs and executors of<br />

the present constituents in case of firm or official liquidator in case of Company) of the OTHER<br />

PART.<br />

WHEREAS the Company is engaged in refining Crude oil and storing, distributing and<br />

selling of the petroleum products and for this purpose require Tank Trucks for Road transportation<br />

of <strong>bulk</strong> petroleum products from their various storage points to retail outlet dealers / customers /<br />

other storage points.<br />

WHEREAS the Carrier is engaged in the business of operating Tank Trucks and is<br />

interested in above transportation job of the Company.<br />

WHEREAS the carrier has participated in the Tender No_______________ dated<br />

__________ for transportation of Bulk POL products like MS/HSD by tank trucks, from the<br />

__________ Depot /Terminal to various retail outlet dealers, customers and other locations of<br />

HPC, and has been awarded work order on the basis of the terms and conditions contained<br />

therein.<br />

Now therefore, it is agreed between the parties as follows: -<br />

1. All terms & conditions stipulated in the Notice Inviting Tender No.__________ dated<br />

______, Guidelines for Tenderers, Tender Terms & Conditions, Declarations, this<br />

Agreement and other documents furnished with the Tender and related correspondence<br />

shall form part of the contract.<br />

The carrier shall a<strong>bid</strong>e by and fulfill all the requirements as stated in the <strong>tender</strong> No.<br />

________ dated _______ basis which the LOI / Work order has been issued and this<br />

contract agreement is being entered into.<br />

The Carrier will provide the Company with _____ <strong>no</strong>. of Tank Trucks for transporting<br />

petroleum products as per LOI / Work Order issued by the Oil Company. Carrier has<br />

certified that it is the owner and / or sufficiently entitled to operate these Tank Trucks<br />

throughout the Agreement period and these Tank Trucks are <strong>no</strong>t under Agreement with<br />

any other party. Further, these Tank Trucks shall remain under exclusive use with the<br />

Company throughout the Contract period.<br />

2.<br />

a) Each of the Tank Truck would be attached to a particular loading location / storage point of<br />

the Company as per LOI / Work Order issued by the Oil Company. The Tank Truck would be<br />

required to carry <strong>bulk</strong> petroleum products from the particular loading location (Bahadurgarh<br />

Terminal) to Company's Retail Outlets / Consumers / other storage points as would be<br />

instructed by the Company from time to time.<br />

b) In the event of change of loading location of the Company/ Realignment of market, Tank<br />

Trucks attached to the old loading location would automatically get attached to the resited /<br />

changed loading location and the transportation rate applicable to the old loading location<br />

where contracted) shall continue to apply to the new loading location. However, if such a<br />

change in the loading location is permanent, the rates applicable to the new location shall be<br />

applicable.<br />

c) In case of exigency, Company would be entitled to utilise any Tank Truck attached to a<br />

particular loading location for bringing the petroleum products (bridging) from a<strong>no</strong>ther<br />

loading location to the base loading location, where the Tank Truck is contracted.<br />

In such event, the rate as detailed in LOI / Work Order issued to the Carrier at the base<br />

loading location shall be applicable. In case of any disputes arising out of such<br />

movements, the terms and conditions including Arbitration Clause of this Agreement<br />

would be applicable.<br />

d) In case of exigency, Company would be entitled to utilise any Tank Truck attached to a<br />

particular loading location for movements of the petroleum products from a<strong>no</strong>ther loading<br />

location to Company's Retail Outlets / Consumers / other receiving locations which are<br />

<strong>no</strong>rmally fed from that base loading location, where the Tank truck is contracted.<br />

In such event, the rate as detailed in LOI / Work Order issued to the Carrier at the base<br />

loading location shall be applicable. In case of any disputes arising out of such movements,<br />

the terms and conditions including Arbitration Clause of this Agreement would be<br />

applicable.<br />

e) In case the Company desires to change the basis of loading of Tank Truck i.e. volume to<br />

weight or vise versa, the transportation rates shall be altered considering the standard<br />

conversion factors applied by the Company.<br />

f) Company shall be free to engage one or more additional Carriers, either to run<br />

concurrently or separately, for transportation jobs from the same loading location.<br />

3. Carrier will ensure that Tank Trucks listed in the LOI / Work Order are always:<br />

(a) Maintained in sound mechanical conditions and having all the fittings up to the standards<br />

laid down by the Company from time to time.<br />

(b) Meeting requirement of the Company as regards safety and operational <strong>no</strong>rms e.g.<br />

Company may require that Tank Trucks are painted in particular specifications, epicoated<br />

and / or chambers are cleaned periodically, additional declarations are made in Emergency<br />

Information Panel, colour code band, logos and advertisement of the specified Brand<br />

names as directed by Oil Company from time to time, etc is painted, at the cost of Carrier.<br />

The Carrier will ensure that panels are provided on the Tank Truck for display of Oil<br />

Company Brands as specified by Oil Company on regular basis.<br />

(c) Conform to the statutory regulations like Indian Petroleum Act, Petroleum Rules, Motor<br />

Vehicle Act etc. as applicable from time to time.<br />

(d) Properly calibrated / stamped under the Weights & Measures Act. These shall be<br />

calibrated for single capacity up to maximum permitted under Motor Vehicles Act.<br />

Company would be entitled for insisting for calibration at Company's premises at the cost of<br />

Carrier.<br />

(e) Have adequately trained Crew (driver and cleaner) for efficient operations. The driving<br />

licence of the drivers should be endorsed for transportation of hazardous goods.<br />

Transporter shall obtain Police verification in respect of the crew engaged by them.<br />

(f) Have the Crew wearing uniforms, safety shoes, safety goggles and safety helmets. All<br />

costs incurred in procuring the uniform and other equipment shall be borne by the<br />

transporter. Design and the material specifications for the tank truck uniform as decided by<br />

the company shall be binding on the transporter.<br />

(g) Be equipped with sufficient number of rubber hoses having suitable couplings at both ends,<br />

bonding/ earthing with heavy-duty crocodile clips and dip-rods duly certified by Weights &<br />

Measures Department.<br />

(h) Covered by Insurance Policy.<br />

The officials of the Company would be entitled to inspect at any time, the Tank Trucks and<br />

/ or the documents of the Carrier / its crew is liable to carry under any statute / regulation or<br />

this Agreement. Further, Carrier shall submit to the Company certified true copies of<br />

calibration certificate and Explosive Licence and their renewals for every Tank Truck.<br />

4.<br />

(a) The Tank Trucks listed in the LOI / Work Order will be made available to the Company at<br />

all times during the Agreement period at the loading location.<br />

(b) In case any of the Tank Trucks is <strong>no</strong>t made available by the Carrier on any day, Company<br />

would be free to use the services of any other Tank Truck and recover the difference in<br />

transportation charges from the Carrier.<br />

(c) In the event of breakdown or major repair of any of the Tank Truck, Company at its sole<br />

discretion, may accept any other Tank Truck of the Carrier for the period of break-down /<br />

major repair. Further, in the event Carrier request for the replacement of Tank Truck/s,<br />

Company at its sole discretion may accept the same.<br />

(d) Age of Tank truck offered should <strong>no</strong>t exceed 12 years (5 years in the case of Mumbai) as<br />

on the date of commencement of contract.<br />

(e) In case the transporter withdraws any tank truck without informing the location in charge<br />

for a continuous period of 15 days, Corporation at its sole discretion may terminate the<br />

contract.<br />

(f) If the carrier(s) or their crew participate in a flash strike or incite other carriers to participate<br />

in flash strike resulting in disruption of the loading activities at the location, the tank trucks<br />

operating under the contract of such carrier(s) shall be suspended immediately without any<br />

<strong>no</strong>tice and the contract is liable to be terminated.<br />

(g)<br />

i. Tank trucks are expected to maintain punctuality and report at the depot / terminal well<br />

before the starting time. The reporting at the depot/terminal may be required to be<br />

registered by the tank truck crew in the electronic/ Automation equipment provided for<br />

the purpose.<br />

ii. HPC may bring into use a suitable IT tool for carrying out planning/scheduling of tank<br />

trucks and the operation of the same is binding on the carrier.<br />

iii. With a view to ensure a fair and equitable distribution of the available business,<br />

basis the <strong>tender</strong> terms and conditions, HPC reserves the right to allocate<br />

business in such a manner as to reflect the original ranking in the <strong>tender</strong>.<br />

iv. The modality / formula used by the scheduler shall be binding on the carrier.<br />

v. Any indiscipline including reporting late for the shifts and returning late from trips shall<br />

be liable for penalty by way of lesser allocation of business, the exact details of which<br />

shall be advised from time to time by the depot / terminal.<br />

5.<br />

(a) Carrier will be responsible for all taxes, levies and other costs of running the Tank<br />

Trucks / transportation business, which shall also include-<br />

i. Salary, wages and other benefits and claims of Crew of Tank Trucks and all members of<br />

Carrier's staff;<br />

ii. Carrier shall ensure opening of individual bank accounts in respect of all crew<br />

members and staff in any Schedule Bank (other than Co operative Bank) and<br />

deposit wages and all other amounts legitimately payable into their accounts.<br />

iii. Payment of road tax, insurance and any other fees like permit, route fee etc., levied by<br />

statutory authorities;<br />

iv. Cost of fuel, lubricants, tyres, repair etc;<br />

v. Calibration fees and other fee payable to Weights & Measures Department;<br />

vi. Compensation or any other benefit payable to Tank Truck Crew and it’s other staff or<br />

third party under any statute or regulation both under regular working and arising from<br />

accident etc.;<br />

(b) Carrier shall keep Company indemnified in respect of above. In case, Company is made<br />

liable to pay any part of above cost, the same shall be recovered from the Carrier. The<br />

Company shall <strong>no</strong>t be obliged to contest any claim made upon it for payment.<br />

(c) It is agreed that the Tank Trucks covered by this Agreement shall operate at the sole risk of<br />

the Carrier. In <strong>no</strong> case, Company would be held responsible for any loss or damage done<br />

to / by the Tank Truck while on the Company's work or parked in their premises or<br />

anywhere else.<br />

(d) Carrier shall make their own arrangement for parking of their vehicle overnight and / or<br />

during holidays.<br />

(e) The Carrier shall comply with all statutory provisions relating to his trade / business /<br />

profession including his own employees or employees engaged by the Carrier and Oil<br />

Company shall <strong>no</strong>t be responsible for his omission or commission.<br />

The Tank Trucks offered shall, during the period of agreement, Comply at all times With<br />

Valid Permits, Rules And Regulations Of Statutory/ Government Authorities including<br />

provisions of Motor Vehicle Acts/ Motor Vehicle Rules and Carriage by Road Act 2007/<br />

Rules 2011.<br />

6.<br />

(a) The Company will pay to the Carrier for the transportation work undertaken from the<br />

loading location and at the rates detailed in LOI / Work Order. This rate shall be valid for all<br />

roads and weather conditions and are calculated from loading location.<br />

(b) The above rates are subject to escalation / de-escalation as per formula given in Schedule-<br />

A & B.<br />

(i) Subject to compliance with TDG (as applicable) by the carrier, payments will be made<br />

on monthly basis by 15 th of succeeding month.<br />

(ii) The payment shall be <strong>tender</strong>ed to the contractor in electronic mode (e-payment) through<br />

any of the designated banks. The contractor will comply by furnishing full particulars of<br />

bank account (mandate) to which the payments will be routed. Owner reserves the right<br />

to make payment in alternate mode also.<br />

(iii) The contractor shall provide accurate particulars of PAN number as required, to enable<br />

issuance of TDS (Tax deduction at source) certificate.<br />

(iv) Octroi charges levied on the product would be reimbursed by the Company against<br />

production of original receipts.<br />

(v) Entry / Transit / Bridge / Toll (Pathkar) taxes paid by the Carrier for their Tank Trucks<br />

while transporting petroleum products under this Contract would be reimbursed by the<br />

Company on round-trip basis subject to production of original receipts for payment.<br />

Company's decision whether any charge is reimbursable or <strong>no</strong>t would be final and<br />

binding on the Carrier.<br />

(vi) Successful <strong>bid</strong>der will be made member of HPCL loyalty card (Drive Track Fleet card)<br />

and 25% of the total PCB payment due to the transporter will be paid through HPCL<br />

loyalty card (Drive Track Fleet card).<br />

(c) The transport charges payable under this Agreement are based on shortest route approved<br />

by the Company on the round trip basis (called RTKM). A list of current RTKMs applicable<br />

to storage points where subject Tank Trucks are based is available with concerned storage<br />

point. Company would, however, be entitled to revise these RTKMs from time to time,<br />

including retrospectively, which would be binding on the Carrier. Difference in<br />

transportation charges arising out of this revision will be recoverable / payable from the<br />

date of Agreement or effective date of such revision, whichever is later.<br />

While reviewing the RTKMs from time to time , HPC may determine RTKM of retail outlets<br />

by using a suitable IT tool, based on Google Maps application. The RTKM so determined<br />

shall be binding on the transport contractors.<br />

(d) Company reserves the right to use the Tank Trucks on their return trip based on<br />

Company's own operational convenience / requirement for delivery of petroleum products.<br />

Payment in such case would be made only to the extent of any additional distance covered<br />

beyond the <strong>no</strong>rmal RTKM route for which the movement was undertaken.<br />

(e) The procedure for payment of transport bills and reimbursement of entry / transit / bridge /<br />

toll tax / octroi charges prevalent in the Company from time to time would be binding on the<br />

Carrier.<br />

(f) The Company has <strong>no</strong>t guaranteed any minimum billings / mileage or loads for any period<br />

whatsoever. Hence, Company will <strong>no</strong>t be responsible for their inability in offering any load<br />

on any day or during any particular period and <strong>no</strong> idle charges etc. would be payable.<br />

(g) The Company will endeavor to arrange unloading of the Tank Trucks within reasonable<br />

time. However, <strong>no</strong> detention charges etc. are payable if, for any reason, such unloading is<br />

delayed at the receiving location.<br />

7.<br />

(a) The Carrier shall deposit a sum of Rs. _______ as Security Deposit for due fulfillment of<br />

terms of this Agreement. This sum shall <strong>no</strong>t bear any interest.<br />

(b) Company shall be entitled to adjust any sum due to it from the Security Deposit amount<br />

and / or any transport / other charges / dues pending for payment to the Carrier against any<br />

other contract. The decision of the Company will be final and binding on the Carrier.<br />

8.<br />

i. The Carriers will be responsible for loading and discharging of the Tank Trucks. All the<br />

instructions of the Company with regard to the same would be binding on the Carrier.<br />

ii. Only the Crew of the Tank Truck and authorized representative of the Carrier shall be<br />

allowed entry inside the Company’s loading / unloading locations.<br />

iii. The following precautions shall be taken while loading / unloading tanks trucks:<br />

a. TT engine to be switched off<br />

b. Master Electrical Switch is switched off<br />

c. Hand brake to be applied and Gear put in neutral<br />

d. Fire extinguisher to be placed in the marked area in front of the TT.<br />

e. Wooden Wheel Chocks are applied to the wheels as per prescribed procedure<br />

f. PPE ( personal protective equipment) including the Safety harness belt is worn.<br />

g. Earthing and bonding connections between the TT and the earth pits is made as<br />

per prescribed procedure<br />

h. Delivery valves are closed and Master valves are opened<br />

i. Appropriate loading arms are into the compartments<br />

j. All further instructions for loading under manual or Automation as the case may<br />

be, shall be followed diligently<br />

k. TT crew shall be present during the entire operation of filling.<br />

l. After loading operation, the loading arm shall be properly placed in the position<br />

provided so that there is <strong>no</strong> spillage in the gantry; wooden chokes are removed<br />

from the wheels, earthing & bonding wires are disconnected, fire extinguisher is<br />

returned to the tank truck and the tank truck is safely driven out of the gantry.<br />

9.<br />

(a) The Carrier shall be responsible for quantity and quality of the products received by him for<br />

transportation. Ack<strong>no</strong>wledgement by any member of Crew of the Tank Truck or by any<br />

other authorized person of the Carrier by way of signing on the Challan or any other<br />

Dispatch Document would be sufficient proof of acceptance of product quantity and quality<br />

by the Carrier.<br />

(b) The Carrier will comply with and extend full cooperation to the Company in meeting the<br />

requirement of prevailing ‘Marketing Discipline Guidelines – 2005’ and new Industry<br />

Transport Discipline Guidelines and their revisions as applicable to them.<br />

(c) If any shortage in quantity and / or variation in quality of product is found at any stage after<br />

Tank Truck leaves the Dispatch Storage Point up to Receiving location, the Carrier would<br />

be responsible for the same irrespective of reason and Company would be entitled to<br />

following -<br />

(i) In case of quantity shortage, recovery will be at the following rate:<br />

(a) For MS /HSD - retail-selling price at dispatch location or receiving location,<br />

whichever is higher and transport charges for the shortage quantity.<br />

(b) For SKO - industrial selling price at dispatch location or receiving location,<br />

whichever is higher and transport charges for the shortage quantity.<br />

(c) For all other products - as decided by the Company.<br />

(ii) In case of variation in quality, Company at its' discretion may dispose off the<br />

contaminated product. All expenses / losses and cost of product in this connection<br />

as determined by the Company shall be recoverable from Carrier.<br />

(a) Above would be in addition to and without prejudice to the Company's right<br />

of termination of this Agreement as per clause17.<br />

(b) Carrier will allow representative of Company and the party, to whom the<br />

products are being sent, to travel with him.<br />

10. Carrier will be responsible for ensuring that:<br />

(a) Rules and regulations of the Company in force are followed by him, his staff and Crew of<br />

Tank Truck.<br />

(b) All fittings in TT should be ISI marked. Each TT should carry two <strong>no</strong>s. portable ISI marked<br />

fire extinguishers (1 <strong>no</strong>. of 10 KGs DCP and 1 <strong>no</strong>. of 1 KG DCP/CO2). One extinguisher<br />

shall be kept in an easily accessible position away from the TT unloading facilities and one<br />

fire extinguisher in drivers cabin. Company may ask for additional fittings / equipments as<br />

per requirement.<br />

(c) Each TT should have double <strong>pol</strong>e wiring system and should have security system<br />

arrangement as required by the company.<br />

(d) Any security system (for e.g.: locking system) decided by company to guard against<br />

malpractices will be unconditionally accepted by contractor. Cost of modification /<br />

modifications of fittings if any on TT will be borne by the Carrier. Carrier shall be<br />

responsible for safety / maintenance of such security systems.<br />

(e) i) Any position tracking system (for eg. Global Tracking System) decided by the Company<br />

to track the movement of the Tank Truck will be unconditionally accepted by the Carrier<br />

and install the same in the Tank Truck.<br />

HPCL will install the system in the tank trucks and recover the cost of equipment and<br />

installation charges, at actuals, from the transporters. Cost of modification / modifications of<br />

fittings if any, on TT shall also be borne by the Carrier.<br />

Carrier shall be responsible for safety / maintenance of the equipment and in case the<br />

equipment is lost / damaged due to any reason, the Carrier shall replace the same at their<br />

own cost.<br />

• Transporter shall enter into Annual Maintenance Contract (AMC) agreement<br />

with the original equipment manufacturer and shall bear the applicable AMC<br />

charges<br />

• Monthly charges payable to the service provider for mobile will be recovered<br />

at actuals from the transporter.<br />

Note:<br />

1. It is the responsibility of the transporters to ensure that VMU is operational and <strong>no</strong>t<br />

tampered with. TTs with tampered VMU shall <strong>no</strong>t be taken inside for loading.<br />

2. Recoveries shall be made from the transporters towards repair/replacement charges of VMU in<br />

case of physical tampering of the device.<br />

3. HPCL is implementing the sealed parcel delivery system for all the Tank Trucks transporting MS<br />

and HSD to the Retail outlets.<br />

HPCL will install the the equipment, but the cost of the equipment and installation charges at<br />

actuals, will be recovered from the transporters.<br />

It will be the responsibility of Transporter for ensuring safekeep of the equipment mounted on the TT<br />

as part of the sealed parcel delivery system.<br />

Cost of modification / modifications of fittings if any on TT will be borne by the Carrier. Carrier shall<br />

be responsible for safety / maintenance of the equipment and in case the equipment is lost /<br />

damaged due to any reason, the Carrier shall replace the same at their own cost.<br />

4. In case, any of the gadgets on the tank trucks provided by HPC, are tampered with, the entire<br />

cost of repair / replacement shall be recovered from the transporter / Dealer Transporter .<br />

5. HPC reserves the right <strong>no</strong>t to use the TT if any of the gadgets is found <strong>no</strong>t functioning<br />

(f) Tank Truck delivers the product to the consignee specified.<br />

(g) The Crew has the correct delivery documents and TREM-Card.<br />

(h) Tank Truck follows the <strong>no</strong>rmal / approved route from loading locationto receiving location.<br />

(i) Average trip-time is maintained.<br />

(j) Signature of recipient is obtained on the delivery documents.<br />

(k) Wherever required by Company, collect cheques / draft / bank-slips etc from the recipient<br />

after ensuring that remittances are correctly drawn.<br />

(l) Handover receipted delivery documents and remittances pertaining to deliveries made, to<br />

the Company on the same day and before accepting next load. In case, return of Tank<br />

Truck is delayed for any reason whatsoever, such documents and remittance are reached<br />

to the loading location within 24 hours of completing the delivery.<br />

(m)<br />

11. Carrier shall be responsible to ensure that all the requirements in respect of tank<br />

trucks, including the following in<strong>no</strong>vations described in the <strong>tender</strong> are complied<br />

with without fail:<br />

a. Fittings for Dome Cover & Bottom Valve<br />

b. Branding – consisting of TT painting and pasting Branding elements<br />

c. ABS<br />

d. VTS installation<br />

e. Third Party Certification<br />

12. Carrier shall submit details of TT crew, antecedents of the TT crew obtained from local<br />

Police & a copy of valid driving license of the driver to the base location and obtain entry<br />

pass from the location.<br />

It shall be mandatory to get the T/T crew trained for safe driving practice, while carrying<br />

hazardous goods from Terminal/ Depots. The subject programs will be organized by HPC<br />

at the Terminal/ Depots, and applicable charges shall be borne by the concern transporter.<br />

<strong>13</strong>. In case any of the Tank Trucks meets with an accident while it is loaded with Company's<br />

product, the Carrier shall:<br />

i) Arrange conveying of information to dispatch storage points as also nearest <strong>pol</strong>ice<br />

station;<br />

ii) Guard the Tank Truck and product till arrival of rescue agencies;<br />

iii) Arrange a<strong>no</strong>ther fit Tank Truck to salvage the product from Accident Tank Truck;<br />

iv) Bring such transshipped / salvaged product to Dispatch Storage Point or other location<br />

as directed by the Company at Carrier's cost.<br />

v) Be responsible and liable for loss / claims as determined by the Company.<br />

14. (a) Carrier shall be responsible for any damage or loss caused to the Company’s<br />

product or property by negligence or default of it’s Crew, authorized representative or Tank<br />

Truck. This will also include confiscation of Company's product delivered to the Carriers by<br />

any statutory authorities.<br />

(b) The carrier should strictly adhere to Transport Discipline Guidelines as enumerated<br />

in Annexure-I to this agreement, and the modification made there to from time to time.<br />

15. (a) The Carrier shall <strong>no</strong>t be entitled to assign, subrogate, sublet or part with it's right,<br />

title and interest under this Agreement for any reason whatsoever, or change the<br />

ownership of / their right on the Tank Trucks.<br />

(b) The Carrier shall <strong>no</strong>t cause or allow any change in the constitution of its firm without<br />

obtaining the previous written consent of the Company.<br />

16. Neither party to this Agreement shall be liable for the <strong>no</strong>n-performance of any of its<br />

obligations under this Agreement so far as such <strong>no</strong>n-performance is occasioned by<br />

conditions of the force majeure. The Force Majeure means natural calamities like floods,<br />

earthquake and other acts of God and riots, etc.<br />

The affected party shall give the <strong>no</strong>tice of occurrence of any such calamities within a period<br />

of 24 hours of occurrence of such calamities. The performance of the respective<br />

obligations of the parties under this Agreement shall be resumed as soon such calamities,<br />

which have resulted in the <strong>no</strong>n-performance cease to occur.<br />

17. This Agreement is valid for a period of Five years w.e.f.______. However, Company<br />

reserves the right to terminate this Agreement by giving two months advance <strong>no</strong>tice<br />

without assigning any reasons and contractor is <strong>no</strong>t entitled to claim any<br />

compensation from the Corporation.<br />

Notwithstanding anything to the contrary contained hereinabove, Company reserves the<br />

right to terminate this Agreement forthwith upon or at any time after happening of any of<br />

the following -<br />

(a) If the Carrier, its' proprietor or any partner is adjudicated insolvent or become bankrupt or<br />

goes into liquidation whether voluntary or otherwise.<br />

(b) If attachment in execution of a decree is passed against the Carrier, its proprietor or any of<br />

its' partners.<br />

(c) If road permits or statutory licenses / permissions granted to Carrier / it's Tank Trucks by<br />

transport or any statutory authorities is cancelled or revoked.<br />

(d) If any of the information submitted by the Carrier in the <strong>tender</strong> is found incorrect at any<br />

time.<br />

(e) Breach of any of the terms or conditions of this Agreement by the Carrier.<br />

(f) If the Carrier commits or suffers to be committed any act which in the opinion of the<br />

Company whose decision shall be final, is prejudicial to the good name / image of the<br />

Company or its’ products or its services.<br />

(g) If the Carrier causes disruption in transportation of <strong>bulk</strong> petroleum products. The decision<br />

of Company will be final and binding on the Carrier.<br />

(h) On the death or retirement of proprietor or any of the partners of the Carrier firm. However,<br />

in case, Company does <strong>no</strong>t exercise this option, the Agreement shall continue as between<br />

the Company and surviving / continuing partners of the Carrier. The legal representatives<br />

of the deceased partner or the retiring partner himself shall be liable for all the obligation of<br />

the carrier incurred up to the date of death or retirement but shall <strong>no</strong>t be entitled to claim<br />

from the company any portion of Security Deposit.<br />

Company shall account for Security Deposit to the surviving or continuing partners. The<br />

death or retirement of any partners shall be <strong>no</strong>tified by the Carriers to the Company in<br />

writing within 24 hours of such death or retirement.<br />

Corporation shall endeavour to finalize contracts for the next contracts before expiry of the<br />

existing transport contracts. However, if the new contracts could <strong>no</strong>t be finalized before<br />

expiry of the existing contracts, Corporation reserves the right to extend the contracts<br />

beyond the period of the contract, upto maximum six months on adhoc basis and continue<br />

utilizing the tank trucks for making supplies. During the period of the adhoc operation,<br />

transportation rates, terms and conditions as per the contract agreement shall be<br />

applicable.<br />

(i) The irregularities mentioned below shall be deemed to have the complicity of the carrier:.<br />

p. Unauthorised Fabrication such as hidden chamber / facility to siphon product from<br />

the tank etc.<br />

q. Duplication of any key pertaining to the security locking system.<br />

r. Duplicate Dip-rod<br />

For the above offences, the carrier will be blacklisted in the first instance itself as a<br />

penal action.<br />

In all cases of irregularities, wherever more thatn one type / quantum of penalties<br />

have been prescribed in this <strong>tender</strong> document, the highest of such penalties shall<br />

prevail.<br />

(j) Any communication/ letter/circular issued by the corporation hereinafter shall be treated<br />

as part and parcel of General Terms and Conditions & Contract Agreement.<br />

18. Arbitration<br />

All disputes and differences of whatsoever nature, whether existing or which shall at any<br />

time arise between the parties hereto touching or concerning the Agreement, Transport<br />

Contract / Supply Agreement meaning, operation or effect thereof or to the rights and<br />

liabilities of the parties or arising out of or in relation thereto whether during or after<br />

completion of the contract or whether before or after determination, foreclosure, termination<br />

or breach of the agreement (other than those in respect of which the decision of any<br />

person is, by the contract, expressed to be final and binding) shall, after written <strong>no</strong>tice by<br />

either party to the agreement to the other and to the Appointing Authority hereinafter<br />

mentioned, be referred for adjudication to the Sole Arbitrator to be appointed as hereinafter<br />

provided.<br />

The appointing authority shall either himself act as Sole Arbitrator or <strong>no</strong>minate some officer<br />

or retired officer of Hindustan Petroleum Corporation Ltd. (referred to as owner or HPCL) or<br />

retired officer of Oil PSUs or retired Senior Central Govt. Officer to act as Sole Arbitrator to<br />

adjudicate the disputes and differences between the parties. The contractor/vendor shall<br />

<strong>no</strong>t be entitled to raise any objection to the appointment of such officer of the owner as the<br />

Sole Arbitrator on the ground that the said officer is/was an officer and/or shareholder of<br />

the owner or that he/she has to deal or dealt with the matter to which the contract relates or<br />

that in the course of his/her duties as an officer of the owner, he/she has/had expressed<br />

views on all or any of the matters in dispute or difference.<br />

In the event of the Arbitrator to whom the mater is referred to, does <strong>no</strong>t accept the<br />

appointment, or is unable or unwilling to act or resigns or vacates his office for any reason<br />

whatsoever, the Appointing Authority aforesaid, shall <strong>no</strong>minate a<strong>no</strong>ther officer or retired<br />

officer of the Owner or retired officer of Oil PSUs or retired Senior Central Govt. Officer to<br />

act as Arbitrator<br />

Such Officer <strong>no</strong>minated as Sole Arbitrator shall be entitled to proceed with the arbitration<br />

from the stage at which it was left by his predecessor. It is expressly agreed between the<br />

parties that <strong>no</strong> person other than the Appointing Authority or an officer or retired officer of<br />

the Owner or retired officer of Oil PSUs or retired Senior Central Govt. Officer <strong>no</strong>minated<br />

by the Appointing Authority shall act as an Arbitrator.<br />

The Award of the Sole Arbitrator shall be final and binding on the parties to the Agreement.<br />

The Arbitrator may give a composite or separate Award(s) in respect of each dispute or<br />

difference referred to him and may also make interim award(s), if necessary.<br />

The fees of the Arbitrator and expenses of arbitration, if any, shall be borne equally by the<br />

parties unless the Sole Arbitrator otherwise directs in his award with reasons. The<br />

lumpsum fees of the Arbitrator shall be Rs. 40,000/- per case for transportation<br />

contracts and if the sole Arbitrator completes the arbitration including his award<br />

within 5 months of accepting his appointment, he shall be paid Rs. 10,000/-<br />

additionally as bonus. Reasonable actual expenses for ste<strong>no</strong>grapher, etc. will be<br />

reimbursed. Fees shall be paid stagewise i.e. 25% on acceptance, 25% on<br />

completion of pleadings/documentation, 25% on completion of arguments and<br />

balance on receipt of award by the parties. The Award of the Sole Arbitrator shall be<br />

final and binding on both the parties.<br />

Subject to the aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 or any<br />

statutory modification or re-enactment thereof and the rules made thereunder, shall apply<br />

to the Arbitration proceedings under this Clause.<br />

The Contract shall be governed by and construed according to the laws in force in India.<br />

The Arbitration shall be held at _______ and conducted in English language.<br />

The appointing Authority is the Functional Director of Hindustan Petroleum Corporation Ltd.<br />

19. The parties hereby agree that the court in city of _______ alone shall have jurisdiction to<br />

entertain any application or any award/s made by the Sole Arbitrator or other proceedings<br />

in respect of any thing arising under this Agreement.<br />

20. This Agreement covers entire understanding between the parties. No alteration / variation<br />

of any of the terms of this Agreement shall be valid unless made with the consent of both<br />

21. All <strong>no</strong>tices and other communications to be given under this Agreement by either party to<br />

the other shall unless otherwise specifically agreed be given in writing by Registered Post<br />
