Process phases of a typical M&A project<br />

Every successful M&A project starts with an internal analysis in order to<br />

assess the availability of funds, required for a possible transaction.<br />

Based on the financial analysis the next step is to evaluate the current strategic<br />

situation in order to determine the future strategic orientation of the<br />

company (expansion by investment vs. focussing on core business by divestment).<br />

Next, potential target companies are added to a “long list” using rough criteria.<br />

It is then reduced to a “short list”, using more detailed parameters.<br />

Once an promising target has been identified and if there is mutual interest<br />

in a deal, both sides sign a letter of intent (LOI) and a non-disclosure agreement<br />

(NDA) to back the verbally declared intent. Then a closed data room<br />

is set up for the corporate valuation (Quick Check Finance) and the due<br />

diligence is established.<br />

Subsequently negotiations over a sales and purchase agreement (SPA) are<br />

held. An integration model is designed, which includes a possible strategic<br />

repositioning and changes within the organisational structure. During the<br />

implementation of this model the extent to which the targets have been met<br />

is continuously? monitored.<br />
