The Compensation and Nomination Committee proposes to the Board of Directors the variable compensation attributed to<br />

the members of the Executive Committee (other than the Chairman and Chief Executive Officer) in agreement with the<br />

Chairman and Chief Executive Officer. The variable portion of the compensation presented in the table below depends, on<br />

the one hand, on the achievement of individual objectives and, on the other hand, on the achievement of the Group’s<br />

earnings objectives, which are based on return on equity (or ROE).<br />
