In accordance with Article 50 of HKIAAT’s Articles of Association,
all Board members are appointed by the Institute of whom at least a
majority are Certified Public Accountants registered with the Institute.
In accordance with Article 53 of HKIAAT’s Articles of Association, all
Board members shall hold office until notice of revocation of such
appointment is given or until notice of retirement or resignation is
given by such members.
根 據 協 會 的 組 織 章 程 細 則 第 50 條 , 所 有 理 事 會 成 員
均 由 公 會 委 任 , 至 少 大 部 份 的 理 事 為 公 會 註 冊 的 會
計 師 。 根 據 協 會 的 組 織 章 程 細 則 第 53 條 , 所 有 理 事
會 成 員 一 直 在 任 , 直 到 收 到 撤 銷 委 任 通 知 書 , 或 理
事 提 出 退 休 或 辭 職 為 止 。
Board members’ interests
No contract of significance, other than as disclosed in note 19 to
the financial statements on page 50, to which HKIAAT, its parent,
subsidiary or a fellow subsidiary, was a party and in which a Board
member had a material interest, subsisted at the end of the reporting
period or at any time during the year.

除 於 第 50 頁 財 務 報 表 附 註 19 所 披 露 外 , 於 報 告 期
期 末 或 年 內 任 何 時 段 , 沒 有 在 重 大 的 合 約 中 存 有 協
會 、 其 母 公 司 、 其 附 屬 機 構 或 同 集 團 附 屬 機 構 是 其
中 一 方 及 任 何 一 位 理 事 會 成 員 存 有 重 大 利 益 。
Management contracts
With effect from 18 September 2006, the Institute provides
management, rental and other services to HKIAAT pursuant to a
service agreement signed by both parties. Either party may terminate
the agreement by serving three months advance written notice to the
other party. During the year, HKIAAT paid a management service fee
of HK$2,308,000 (2010: HK$2,308,000) under the agreement to the
Institute.
管 理 合 約
由 2006 年 9 月 18 日 起 , 公 會 根 據 雙 方 簽 訂 的 服 務
合 約 向 協 會 提 供 管 理 、 租 金 及 其 他 服 務 。 任 何 一 方
可 以 三 個 月 書 面 通 知 , 知 會 對 方 終 止 合 約 。 協 會 於
年 內 根 據 合 約 支 付 公 會 一 筆 2,308,000 港 元 (2010
年 :2,308,000 港 元 ) 的 管 理 服 務 費 。
Auditors
HKIAAT’s auditor, Mazars CPA Limited will retire and, being eligible,
offers itself for re-appointment at the forthcoming annual general
meeting of HKIAAT.
