Liability of the Collateral Managers The Collateral Managers are exempted from liability arising out of or in connection with the performance by them of their duties under the Collateral Management Agreement except by reason of acts or omissions constituting bad faith, negligence or wilful misconduct in the performance of the obligations of the Collateral Managers pursuant to the Collateral Management Agreement. In the Collateral Management Agreement, Natexis Banques Populaires shall undertake to pay any loss, damage or other amount which Natexis Asset Management is liable to pay under the Collateral Management Agreement. 209
DESCRIPTION OF THE COLLATERAL ADMINISTRATOR General ABN AMRO Bank N.V. (London Branch) will, under the terms of the Collateral Management Agreement, act as the Collateral Administrator. In the United Kingdom, ABN AMRO Bank N.V. (London Branch) has been authorised to accept deposits, and is regulated by, the Financial Services Authority and is subject to the Conduct of Business Rules. Termination and Resignation of Appointment of the Collateral Administrator The appointment of the Collateral Administrator may be terminated (a) without cause at any time upon 45 days’ prior written notice by the Issuer or the Trustee at its discretion or acting upon the directions of the holders of a majority in aggregate principal amount outstanding of each Class of Notes or (b) with cause by the Issuer or the Trustee at its discretion or acting upon the directions of the holders of a majority in principal amount outstanding of each Class of Notes. In addition the Collateral Administrator can resign its appointment without cause on 90 days’ written notice and with cause on 10 days’ prior written notice. No termination or resignation of the Collateral Administrator will be effective until a successor collateral administrator has been appointed. 210
