This recommendati<strong>on</strong> is c<strong>on</strong>sistent with the Commissi<strong>on</strong>‘s recommendati<strong>on</strong><br />

c<strong>on</strong>cerning snagging, albeit arrived at through a different route having regard to<br />

the Commissi<strong>on</strong>‘s earlier recommendati<strong>on</strong> in this <str<strong>on</strong>g>Report</str<strong>on</strong>g> that the title to the<br />

development should be transferred to the owners‘ management company<br />

before the c<strong>on</strong>veyance of any unit. The Commissi<strong>on</strong>‘s recommendati<strong>on</strong><br />

c<strong>on</strong>cerning the retenti<strong>on</strong> of a porti<strong>on</strong> of purchase m<strong>on</strong>ies by the owners‘<br />

management company 45 should also act as an incentive to the developer to<br />

deal with the snagging list and furnish certificati<strong>on</strong> of completi<strong>on</strong> to the owners‘<br />

management company at the earliest opportunity.<br />

(3) Developers’ Relati<strong>on</strong>ship with Managing Agents<br />

2.41 The Commissi<strong>on</strong> now turns to the developer‘s relati<strong>on</strong>ship with<br />

property managing agents. In the C<strong>on</strong>sultati<strong>on</strong> Paper, the Commissi<strong>on</strong> noted<br />

that some developers agree l<strong>on</strong>g-term c<strong>on</strong>tracts with property managing agents<br />

to provide professi<strong>on</strong>al services to the owners‘ management company. 46<br />

Typically, this takes place before any units have been sold. The Commissi<strong>on</strong><br />

c<strong>on</strong>siders it unsatisfactory that developers should enter into l<strong>on</strong>g-term<br />

c<strong>on</strong>tractual agreements <strong>on</strong> behalf of the owners‘ management company which<br />

will impact <strong>on</strong> it for many years into the future. In the C<strong>on</strong>sultati<strong>on</strong> Paper, the<br />

Commissi<strong>on</strong> provisi<strong>on</strong>ally recommended that developers should be prohibited<br />

from committing owners‘ management companies to l<strong>on</strong>g-term c<strong>on</strong>tracts with<br />

managing agents. Having c<strong>on</strong>sidered this matter in the preparati<strong>on</strong> of this<br />

<str<strong>on</strong>g>Report</str<strong>on</strong>g>, the Commissi<strong>on</strong> has c<strong>on</strong>cluded that the essential elements of this<br />

recommendati<strong>on</strong> remain valid but that it is preferable to allow the matter to be<br />

determined by reference to the general principles of c<strong>on</strong>tract law. In particular,<br />

having regard to the Commissi<strong>on</strong>‘s recommendati<strong>on</strong>s c<strong>on</strong>cerning the<br />

incorporati<strong>on</strong> of an owners‘ management company, the c<strong>on</strong>ferral of equal voting<br />

rights <strong>on</strong> unit owners <strong>on</strong> the sale of a unit, the recommendati<strong>on</strong>s c<strong>on</strong>cerning<br />

completi<strong>on</strong> and the impending regulati<strong>on</strong> of property managing agents, the<br />

adverse c<strong>on</strong>sequences flowing under the existing arrangements are less likely<br />

to c<strong>on</strong>tinue in the future. Indeed, the Commissi<strong>on</strong> noted in the C<strong>on</strong>sultati<strong>on</strong><br />

Paper that the owners‘ management company should not be precluded from<br />
