Bribes, Gifts and Entertainment<br />

Under no circumstances should any <strong>Cerner</strong> Associate ever offer or accept a bribe, for any reason<br />

whatsoever.<br />

Gifts offered to or exchanged by Associates of different companies vary widely. They can range<br />

from widely distributed advertising novelties of nominal value, which you may generally give or<br />

accept, to bribes, which you unquestionably may not give or accept.<br />

You may pay for or accept customary business amenities such as meals, provided the expenses<br />

involved are kept at a reasonable level and are not prohibited by <strong>Cerner</strong> policy, law or known<br />

client business practice.<br />

If you are offered money or a gift of more than nominal value, or if either arrives at your home<br />

or office, tell your manager immediately. Appropriate arrangements will be made to return or<br />

dispose of what has been received, and the supplier or client will be reminded of <strong>Cerner</strong>’s policy.<br />

In countries where local customs call for giving gifts to clients or others on special occasions,<br />

you may, with prior approval, present gifts that are lawful, appropriate, and of nominal value,<br />

provided the action cannot be construed as seeking special favor. Please take time to review<br />

<strong>Cerner</strong>’s Foreign Corrupt Practices Act Policy Statement located on my<strong>Cerner</strong>.<br />

You may not use or attempt to use your position at <strong>Cerner</strong> to obtain any direct or indirect<br />

improper personal benefit for yourself or your family members. You may not accept anything of<br />

value from an employee, auditor, client, supplier, or business associate of <strong>Cerner</strong> which would<br />

impair, or reasonably appear to impair, your independent judgment or ability to act solely in the<br />

best interest of <strong>Cerner</strong>. Please review <strong>Cerner</strong>’s Conflict-of-Interest Policy located on my<strong>Cerner</strong>.<br />

Referral Fees<br />

When authorized by <strong>Cerner</strong>, sales and marketing associates may refer clients to third party<br />

software, services or financing organizations. However, you may not accept any fee, commission<br />

or other compensation for this activity from anyone except <strong>Cerner</strong>.<br />

Relationships with Government Employees<br />

What is acceptable practice in the commercial business environment, such as providing<br />

education, transportation, entertainment or other things of value, may be entirely unacceptable,<br />

and may even violate certain federal, state or local laws and regulations, in dealings with<br />

government employees or those who act on the government’s behalf. Therefore, you must be<br />
