Introduction<br />

This Code of Conduct (the “Code”) applies to all Associates and Board Directors (collectively<br />

referred to for purposes of this Code as “Associates”) of <strong>Cerner</strong> <strong>Corporation</strong> and all of its<br />

controlled affiliates around the globe (“<strong>Cerner</strong>”). As Associates of <strong>Cerner</strong>, we frequently<br />

encounter a variety of ethical and legal questions. The way we decide these issues should be<br />

consistent with <strong>Cerner</strong>’s basic values and principles. <strong>Cerner</strong> expects all Associates to obey the<br />

law and to act ethically. This includes everyone from <strong>Cerner</strong>’s Board members and its Chief<br />

Executive Officer to the most recently hired Associate.<br />

Associates are expected to adhere to the provisions of this Code wherever they are based. As<br />

<strong>Cerner</strong> is headquartered in the United States, this Code was initially developed to emphasize<br />

compliance with applicable laws and regulations in the U.S. It has been broadened to include<br />

compliance with all applicable laws and regulations in whatever country you are employed or<br />

find yourself representing <strong>Cerner</strong>. You will notice that many of the references in this Code<br />

specifically cite U.S. regulations and/or U.S. focused <strong>Cerner</strong> policies. If not already specifically<br />

stated in this Code, applicable local laws and regulations and local <strong>Cerner</strong> policies also apply if<br />

you find yourself employed or assigned to represent <strong>Cerner</strong> outside of the U.S. To the extent this<br />

Code requires a higher standard than required by commercial practice or applicable laws or<br />

regulations, we adhere to such higher standards. In all cases, <strong>Cerner</strong> requires compliance with<br />

the requirements set forth under this Code, subject to any modification to take account of local<br />

laws and regulations. Should any Associate be unsure as to the applicable law or regulation<br />

and/or <strong>Cerner</strong> policy that applies, the Associate should consult with a member of <strong>Cerner</strong> Human<br />

Resources Group or the Legal Group.<br />

This Code provides guidance for resolving a variety of ethical and legal questions for Associates.<br />

This Code is designed to deter wrongdoing and to require and promote: (a) honest and ethical<br />

conduct, including the ethical handling of actual or apparent conflicts of interest between<br />

personal and professional relationships; (b) full, fair, accurate, timely and understandable<br />

disclosure in reports and documents that <strong>Cerner</strong> files with, or submits to, the Securities and<br />

Exchange Commission (“SEC”) and in other public communications made by <strong>Cerner</strong>;<br />

(c) compliance with applicable governmental laws, rules and regulations; (d) the prompt internal<br />

reporting of violations of this Code to appropriate person(s) listed in this Code; and,<br />

(e) accountability for adherence to this Code. This Code of Conduct applies to all <strong>Cerner</strong><br />

Associates, including Associates in countries other than the United States; additionally, <strong>Cerner</strong><br />

<strong>Corporation</strong> subsidiaries in countries other than the United States may have a supplemental Code<br />

of Conduct in place that will apply to that specific subsidiary company and Associates employed<br />

by that subsidiary, in which case, the supplemental Code of Conduct will govern to the extent the<br />

provisions are in addition to or are in conflict with the provisions found in this Code of Conduct.<br />

Our industry continues to undergo significant changes. As a whole, these changes make the ways<br />

in which we do business more complex. Because of the continuing need to reassess and clarify<br />

our practices, the contents of this Code will be kept online and updated as required. You will be<br />
