SIKKIE
KAJEE
Chairman's
Statement
On behalf of the Board of Directors, it is my
pleasure to submit the Annual Report of
Business and Arts South Africa, to members
and the Minister of Arts & Culture, the
Honourable Ms Lulama Xingwana
The 2009/10 fiscal year was characterised by the
after effects of the global economic crisis of 2008.
At home, we saw this translate into a reduction in arts
sponsorships and the freezing of business marketing
budgets. In addition, the hype around the Football World
Cup, has also ensured that very little new sponsorship of
the arts has materialised. Nevertheless we are pleased to
report that Business and Arts South Africa has managed
to leverage a total spend of R16,329,587.42 in the arts with
our Supporting Grants budget, alone.
At Business and Arts South Africa, the Board made a
decision to ensure that we had sufficient reserves to last
at least six months in the event of the withdrawal of any
major funders. This decision has allowed the organisation
to focus on its core mandate, and not to be distracted by
the recessionary environment, and allowed it to continue
to create and leverage partnerships between Business
and the Arts. We are continuing with the repositioning
Business and Arts South Africa, to ensure that we diversify
our funding sources and ensure long term sustainability.
With regards to corporate governance, we believe that
we will be able to apply most of the key principles of the
King III report on Corporate Governance. To this end, we
will perform an assessment of our practices and report on
this in future. Our annual report, has always taken the form
of an integrated report and we will continue to strive to
improve on this as envisaged by King III.
Finally, I would like to thank all my colleagues on the Board
for their support in my role as Chairman. A special thank
you to Lindie Engelbrecht and Sureshnee Moodliar, who
have decided to step down after many years of service.
Also, to Michelle Constant, our CEO, and her team, a big
thank you for the great work. It continues to amaze me
that we achieve so much “bang for our buck” with such a
small team.
I respectfully hereby present to the Honourable Minister of
Arts and Culture, our Annual Report for the year ended 31
March 2010.
VISION
To attract corporate
sector support for
the arts and culture,
whether financial or
in kind, and to lift
the profile of the
arts and artists
within South Africa.
& MISSION
To promote mutually
beneficial, equitable,
and sustainable
business arts
partnerships that
will,over the long term,
benefit the broader
community.
Both the vision and the mission are premised on the belief
that the arts and culture have real value for all South
Africans – for individuals, for communities and ultimately
for the growth of civil society. Business and Arts South
Africa was founded in 1997 as a joint initiative of the
Department of Arts and Culture and the corporate sector,
as part of a strategy to secure greater involvement in the
arts a from businesses operating within South Africa.
Established as a section 21 company, Business and Arts
South Africa is accountable to its stakeholders – to
government, its corporate members and to the arts
community. Business and Arts South Africa is constituted
in terms of the Companies Act and is registered as a public
benefit organisations. Its delisting as a Schedule 3 entity
has seen Business and Arts South Africa register for VAT.
Mandated to promote and encourage mutually beneficial
and sustainable business-arts partnerships, Business and
Arts South Africa accepts that there are generally two tiers
of funding or support for the arts from business. The bulk
of corporate sector funding continues to come through
charitable foundations or donor agencies, consistently
positioning arts and culture as a worthy cause or charity:
an unintended, and often unfortunate, consequence of this
is that the arts are obliged to compete with pressing social
needs where they run a poor loser. Increasingly, though,
corporate South Africa is aligning with the arts as a viable
and cost effective area of sponsorship.
Business and Arts South Africa is committed to identifying
opportunities within the arts for its business members,
whether from a marketing or Corporate Social Investment
(CSI) perspective.
Indeed, many arts programmes offer clear engagement
across spheres of corporate activity, something few
alternatives can provide. To achieve this, it is essential
that Business and Arts South Africa sustain engagement
with the corporate sector, in particular its own corporate
members, and with the arts sector with specific focus on
improving its profile and growing better business skills.
Through its diverse projects the Supporting Grant Scheme,
Special Projects, Mentorship Programme, the Artstrack,
the Best Case Seminar and its bespoke consulting service
Business and Arts South Africa continues to drive change
in corporate sector thinking.
While encouraging the business sector to see arts
sponsorship as strategic business opportunity is
fundamental to our philosophy, it is equally important to
engender broader understanding of the role the arts can
play within the socio-economic framework. Experience
shows that the arts and culture can be and are, effectively
integrated within education, skills-development, urban
and rural regeneration, job creation, health and tourism.
Less immediately tangible, but no less important, is their
accepted value in addressing poverty of the mind,
fighting social exclusion and thus growing civil society.
CONSTANT
Chief Executive
Officer’s Review
“We do not know how long this crisis will last
and how deep it will become. But when it is
over, those who have invested in creativity
and innovation will find themselves
well ahead of the pack.” Jan Figel, EU
Commissioner for Education, Training,
Culture and Multilinguilism
Business and Arts South Africa Highlights of 2009/2010
- Growth in arts sponsorship, approx R350 million, as
tracked by BMI BASA Artstrack Research
- Supporting Grant Leverage R1: R16
- Increase in entries by nearly 40% for the 13th Annual
Business Day BASA Awards, supported by Anglo
American
- Growth in media coverage of both Business and Arts
South Africa, and its members, over the last 12 months
- Growth in page views on website, both nationally and
internationally
In 2009/2010 Business and Arts South Africa continued to
address its mandate, despite budgetary challenges from
the business environment.
There is no doubt that the last year has been one of
the most challenging yet for the arts, not only in South
Africa, but globally as well. The impact of the recession
is ongoing, and businesses internationally and locally
continue to deal with the fallout of the recession. Likewise
the 2010 FIFA World Cup, despite being a powerful nationbuilding
tool, saw a shift of Marketing and CSI budgets
away from the arts arena in many cases.
Nevertheless at Business and Arts South Africa, the goal
remains the same – a perfectly matched partnership
where everyone is successfully engaged; and one, which
grows diverse communities from seed to strength to
sustainability.
As can been seen from our many projects in the Strategic
Overview, we continue to act as a facilitator and connector.
Furthermore, we have used the year to drive two areas
of focus. The first, with a specific focus on business, has
been to actively promote the value of supporting the arts,
even in these difficult times. This has been done through
high-end advocacy and a bespoke research offering for
members. This research has focused on the different
needs and goals of business - geographic, genre specific,
marketing challenges etc. The success of this has been
noted, and in the new financial year we are looking to
expand this offering, at a nominal fee for our members.
The release of our BMI BASA Artstrack Research 2009,
earlier this year, also offered valuable insight into the
Arts Funding Environment. This year, we also made
presentations to businesses and Business School MBA
students, with the idea that new measurement tools
might be imagined, as regards “Return on Investment” for
arts support. As regards cultural advocacy, over the last
financial year I was able to represent Business and Arts
South Africa, and its members, at the International Forum
for Cultural Diplomacy in Spain and the MIDEM Music Fair
in France. I am extremely appreciative of the opportunities,
that both offered.
The second area of support has been in the arena of
education and development, for the arts community.
Crucially the Artstrack research has shown us that business
requires the arts to be more organized in their approach
to sponsorship and financial support. Our BASA Mentorship
Programme, now supported by Standard Bank, continues
to grow around the country. Currently we have around 55
Mentors who use their knowledge and talents to develop
arts organisations, growing their skills and sustainability.
07
08
As example, VANSA Western Cape has seen its funding
grow from R320,000 in 2009 to R1 million in 2010,
thanks partly to the input of mentors Patrick Seager of
Plascon, and Gordon Massie of Artinsure. The estimated
value of the current, active mentors’ consulting time over
one year is R1.1 million. We must also say thank you to
Barloworld who originally saw fit to support this project in
its inception. Thank you too, to Standard Bank, who have
decided to support the project further, as part of their arts
development mandate.
In order to grow access to arts information, Business and
Arts South Africa has partnered with the Ilanga newspaper
in KwaZulu Natal. The Ilanga partnership complements
our diverse media partnerships highlighting the role of
business and arts in society – Summit TV, Classicfm, SAfm,
Ofm and 1485. We are also extremely grateful to Business
Day newspaper and Wanted magazine for their continued
support of the work that Business and Arts South Africa,
and it’s members, do.
Also with a focus on development, Business and Arts
South Africa continues to support the Hands On! Masks
Off! workshop at the National Arts festival. This free 10
day workshop focuses on new media, marketing, financial
and business skills for arts practitioners. In September
last year, with the support of the NAF, Cultural Help
Desk, Nedbank’s Arts and Culture Trust, and Arts Alive,
Business and Arts South Africa brought Hands On! Mic
Off! to the Moshito Music Conference. Furthermore
Business and Arts South Africa partnered with member
Matchboxology, to create a handbook on the Business of
Music. The book is now available to artists at a nominal fee.
The future aim, funding permitting, would be to see these
workshops taking place at festivals nationwide, with the
support of the NAF. Business and Arts South Africa is also
currently in discussion with the Rhodes Investec Business
School on the creation of an NQF Certificate of Arts
Entrepreneurship. The Certificate for school leavers would
include the following outcomes: Innovation and Vision,
Financial Management, and Business Planning.
As regards our Supporting Grants Scheme, we are
profoundly grateful to the Department of Arts and
Culture for their vision and continued support. The Grants
encompass a diverse range of artistic activity; this year
we saw particular growth in education and development,
and wherever possible we were able to leverage these
partnerships through our media partners. I am proud to
say that we continue to have a leverage of around 1:16. It is
important to highlight that the figures noted in this Report,
are specifically for applications that come through this
scheme and do not represent the entire arts sponsorship
figures in the country.
This year's Annual Business Day BASA Awards, supported
by Anglo American - taking place on August 30th 2010 -
have also seen some changes. This year we went online
with the entries, and were delighted to see a growth of
nearly 40% as regards entries. We also introduced two
new awards – the Innovation awards and the Champion of
the Arts Award. The aim of the latter is to drive individual
giving and philanthropy in the arts, and to recognize
business leaders, who make a real difference to the arts
landscape, owing to their personal passion; this, in line
with the focus on sustainability and the triple bottom line,
in the King III Report.
As regards Sustainability, credit must be paid to Old
Mutual, ABSA and Standard Bank for their ongoing
support of three major cultural projects. The Old Mutual
National Choir Festival has been running for 33 years, of
which Old Mutual has supported 22 years. Likewise ABSA’s
ongoing support of the ABSA L’Atelier Art Competition
and Standard Bank’s support of the Standard Bank Young
Artist Award, both for well over twenty years, deserve
recognition.
On the CSI front, this year, Business and Arts South Africa
established its own CSI project. We currently support
Progressive Primary School in Hillbrow, Johannesburg,
supporting the students with opportunities to attend
theatrical events. My thanks go to our intern Karabo
Legoabe for her facilitation of the project.
And finally, the 2010 FIFA World Cup: In support of the
event, Business and Arts South Africa presented arts
opportunities to diverse businesses, including FNB, ACSA
and Telkom. The BASA website highlighted members with
cultural involvement during the month, and in keeping with
the wonderful spirit engendered, we thank Standard Bank
for the usage of the images in this Annual Report. They are
from the Halakasha Exhibition, the soccer art exhibition,
which ran during the month of the FIFA World Cup.
In closing, I would like to thank our Board, and Chairman,
Mr. Sikkie Kajee, who have been on hand with support
and advice, to the Business and Arts South Africa team
for their ongoing hard work, to our business members for
their engagement, and finally to the arts community who
continue to create, often against the odds.
STRATEGIC
OVERVIEW
In Relation To Key
Objectives For
The Year Ended
31 March 2010
Business and Arts South Africa is mandated to build
and secure partnerships between business and the
arts, servicing both sectors in ways that will achieve
this objective. While Business and Arts South Africa
must promote its own identity to maintain its profile as
an agency for partnership and support, this platform is
extensively leveraged on behalf of business and of the
arts. Business and Arts South Africa’s strategies and
related activities are ongoing and for the most part linked
with the flexibility to support all stakeholders: business,
arts organisations and government.
Importantly this year, Business and Arts South Africa
has focussed on increasing the value add for members,
this in a difficult period of economic downturn, and
job loss. The organisation has also changed the basis
on which memberships were recorded. In prior years,
memberships would run for 12 months from the beginning
of the financial year. Memberships are now instated from
calendar date of payment. The membership therefore
runs for twelve months from the calendar month of
payment. Thus whilst it may appear that membership
fees have dropped; it is a factor of this change and not a
major loss of members. Whilst we have seen a small drop
in membership, owing to the economic challenges and
even a shifted focus on the World Cup, we currently have
around 150 paid-up members.
Business and Arts South Africa continues to position
itself as a resource for its members in terms of insights,
knowledge and information, and it is essential that
Business and Arts South Africa develop personal contact
with its members. Member companies are regularly
informed of appropriate sponsorship opportunities for
them, they also receive bespoke research on request.
(As of the new Financial Year personalised and extensive
Research will be billed for.) Where appropriate, member
companies may be featured through the media platforms
that Business and Arts South Africa supports. Business
and Arts South Africa, either independently or working
with an arts organisation or one of its corporate members,
continues to host events for its members; very often this
affords exclusive access and an enjoyable networking
opportunity. Through Business and Arts South Africa,
members may invite fellow member companies to their
own events. In addition, they are apprised of forthcoming
arts/cultural events they may wish to attend.
In the strategy for 08-10, Business and Arts South Africa
has focussed on three areas of address: These are –
Restructuring Business and Arts South Africa’s internal
organisation; Growing institutional marketing and value for
our stakeholders; and Supporting the Department of Arts
and Culture vision of ‘culture as a means to grow social
cohesion, economic growth and nation-building’ as stated
in the Strategic Plan of 2008/2009 -2010/2011. This year
Business and Arts South Africa also highlighted business
support of culture in preparation for the World Cup, in
support of the DAC strategy.
RESTRUCTURING
INTERNAL ORGANISATION
The following restructuring has occurred at Business
and Arts South Africa: Implementation of KPA’s and
job trajectories; creation of a formal HR Policy and
implementation of a Staff Training Policy. The position
of Marketing and Operations Manager has been created
and Business and Arts South Africa now offers an annual
Internship programme. The organisation also has the ongoing
pro-bono support of Wynn HR Consultancy.
GROWING INSTITUTIONAL
MARKETING AND VALUE
FOR OUR STAKEHOLDERS –
BUSINESS AND ARTS
In order to grow Business and Arts South Africa’s
institutional brand positively in both the arts and business
sectors, and in creating value for our stakeholders, the
following have been implemented, and /or continue to be
facilitated:
I
Hiring of Marketing and Operations Manager
Germaine Gamiet
II
Re-launched Logo highlighting Business and Arts
South Africa (as opposed to acronym BASA) as an
energetic, engaged and present organisation
III
Re-launched interactive website with rapid and
constant updates, highlighting the sector and arts projects
IV
Business and Arts South Africa Artstrack
Research (the fourth in a series of documents reporting
on the attitudes of the corporate sector, general public and
the media) was made available to our members and the
DAC in January 2010. This is a valuable tool in advocating
greater involvement by the corporate sector, as it tracks
audiences and interest levels across arts disciplines.
V
Implemented monthly eBulletin for members with
best practice case studies and information around projects
requiring support.
VI
Regular press releases to the media on the work of
members.
VII
Events and Best Practice Seminars for members
This year our members enjoyed a series of art events
nationwide
VIII
Bespoke Consultancy for members
Business and Arts South Africa has become an important
resource, tracking information as diverse as visual artists
in the Eastern Cape, to funding models of choral music
nationwide, for members. Responding to the World Cup,
the organisation has detailed the input of members into
the arts during this period on its website, as part of the
country’s legacy.
IX
Advocacy
Business and Arts South Africa continues to make
interventions in areas it considers critical for the
sustainability of the arts sector.
i. The Arts and Taxation - Since 2001, with assistance
from Webber Wentzel Bowens in preparation of
relevant documentation, Business and Arts South Africa
has raised the issue of tax deduction for giving to the
arts with the Minister of Finance and the Minister of
Arts and Culture. It is Business and Arts South Africa’s
contention that such philanthropy or donation would
be encouraged by deductions being made available in
the hands of the donor; and that example elsewhere
demonstrates how a culture of philanthropy contributes
to infrastructural investment and skills development,
from which flows employment and regeneration.
X
Regional Representatives
The regional representatives, currently active in KwaZulu
Natal, Western and Eastern Cape, are effective in building
awareness of Business and Arts South Africa’s activities
in their regions, as reflected by growth in membership,
supporting grant activity, mentoring and entries for the
BASA Awards. Their presence offers arts and business
a direct resource and personal relationship, and drives
Business and Arts South Africa activities in their region.
XI
BASA Awards
The annual Business Day BASA Awards supported
by Anglo American highlight and recognize effective
business - arts partnership, where both parties derive
benefit. The 2009 event proved to be very successful
with a Key Note Address by the Minister of Arts and
Culture Ms Lulama Xingwana. The continued support
and sponsorship of the Awards by Anglo American, a
founding member of Business and Arts South Africa, and
Business Day has considerably leveraged the profile of the
awards and of those participating. 2009 saw captains of
industry, members of government and the arts community
attending. Media coverage was extensive (R1.8 million),
and additional support for the event itself came from
Distell and the venue, the forum|turbine hall. Entries
for the 12th Annual Awards, presented in August 2009,
increased from previous years, again demonstrating new
original thinking and reflecting strategic partnership rather
than philanthropy.
XII
BUSINESS AND ARTS SOUTH AFRICA
SUPPORTING GRANT SCHEME
Funded by an annual allocation from the Department
of Arts and Culture, this scheme continues to serve as
a mechanism through which business and the arts can
engage and achieve mutual benefit. Our Supporting
Grant scheme remains a key device to attract partnership
between business and the arts, providing marketing
support for arts organisation to publicise their business
partnership. It also allows for databasing of business
and arts organisations who are engaging in equitable
synergies. As part of this process we continue to highlight
the need for good business skills and governance in arts
organisations. The spread of grants continues to reflect
the local of major business activity, but Business and Arts
South Africa actively encourages submissions from rural
and peri-urban areas on the basis of working with smaller,
local business. This year saw small, but new growth of
applications from Eastern Cape and Western Cape. The
grants encompass a wide range of activity attracting
corporate sector support and where possible Business
and Arts South Africa leverages the arts or cultural event
further through its own media partnership. Supporting
grants of R1 243 750 leveraged a further R16 329 587.42
(Note that this figure represents only applications coming
through Business and Arts South Africa, and does not
represent the entire arts sponsorship picture). Auditors
Grant Thornton continues to perform random factual
finding engagements on projects conducted during the
preceding year; to date no anomalies have been reported.
XIII
Media Partnerships
These were introduced by Business and Arts South Africa
to counter the relative lack of media coverage of the arts.
The content is geared to address different objectives.
i. To mainstream the arts and cultural activity
ii. To promote Business and Arts South Africa’s profile
within the business sector
iii. To promote Business and Arts South Africa’s profile
within the arts sector
iv. To promote Business support of the Arts
Different long-running partnerships have been established,
and Business and Arts South Africa has initiated two new
partnerships, notably with the Ilanga Newspaper and
Ofm Radio Station, both of which have large geographical
footprints and differentiated audience reach.
− Ilanga Newspaper
− OFM
− SAFM Current Affairs “Create”
− Summit TV “The Business of the Arts”
− Classic FM “No Jacket Required”
− Radio 1485 “BASA Today”
Whilst not a partner, Business Day continues to offer
extremely valuable support and coverage through its CSI
column, written by Katy Chance, and its Wanted magazine.
XIV
BASA Mentorship Programme, supported by Standard
Bank: The Mentorship programme provides skilled,
experienced business mentorship to arts organisations
around the country. Mentors are recruited from different
businesses in the fields of marketing, IT, accounting, law,
management consulting, etc, giving guidance to diverse
arts organisations, ranging from theatre, dance, music,
to the visual arts, literacy and craft. The Programme now
operates in five provinces (Gauteng, Limpopo, Western
Cape, Kwa-Zulu Natal and the Eastern Cape) with a focus
on urban areas, extending the reach into peri-urban areas.
Mentors are recruited from businesses in the regions.
There are now over 50 mentors (active or on sabbatical)
and mentees around the country. The estimated value of
the current, active mentors’ consulting time over one year
is R1.1 million. This year, the Mentorship Programme, which
has been running since 2005, said goodbye to it’s original
sponsor Barloworld, to whom we are extremely grateful.
With a goodbye, came a hello, and we welcome Standard
Bank onboard as the new naming sponsor.
XV
Boardbank SA
Arts Organisations are increasingly required to articulate
their BBEEE status, particularly when seeking funding.
Flowing from this Business and Arts South Africa has
partnered with Empowerdex to source black professionals
willing to volunteer to serve on not for profit Boards of
cultural organisations.
XVI
Workshops and Seminars
In line with government’s medium term strategic
framework, the central objective of which is to set the
country on a sustainable growth trajectory, Business and
Arts South Africa has made a strategic shift to funding
artistic vision and basic business skills workshops around
the country in support of sustainability and empowerment
of the arts community. National partnerships with the
National Arts Festival, and the Moshito Conference
took place, and included talks on marketing, business
funding and entrepreneurship. The NAF Hands On
Masks Off Workshops partnership is now in its third
year, and Business and Arts South Africa is currently in
discussion to take the project nationwide, through the
NAF. Currently Business and Arts South Africa also runs
workshops, as a function of the Mentorship Programme.
Overall this appears to have triggered a new approach to
organisational skills by the cultural community, as well as
Entrepreneurial Skills Workshops by diverse facilitators
nationwide e.g The Art Source Artist Workshops.
XVII
Implemented regular communication
With national database of arts organisations as part of
the empowerment of arts organisations and cultural
communities, Business and Arts South Africa has
implemented regular communication to its cultural
database. This information includes national jobs offers,
market-related stories, reviews and more.
XVIII
Pro bono Assistance and Advocacy
Deneys Reitz continues to offer pro bono advice and
assistance to bona fide arts and culture organisations
identified and introduced by Business and Arts South
Africa, across a range of issues, giving the arts sector
access to top quality legal expertise. This year Bell Dewar
gave pro bono assistance to Business and Arts South
Africa, supporting queries and research.
Business and Arts South Africa continues to align its
activities with the strategic values of the organisation.
Whilst we are aware that there is substantial crossover
between target markets and strategy we look forward
to growing the support of the stakeholders further in the
future.
ANNUAL
FINANCIAL
STATEMENTS
REPORT OF THE
INDEPENDENT AUDITORS
TO THE DIRECTORS OF
BUSINESS AND ARTS
SOUTH AFRICA
Report on annual financial statements
We have audited the annual financial statements of
Business and Arts South Africa, which comprise the
statement of financial position as at 31 March 2010, and the
statements of comprehensive income, changes in equity
and cash flows for the year then ended, and a summary
of significant accounting policies and other explanatory
notes, and the directors' report, as set out on pages 31
to 40.
Directors' responsibility for the annual
financial statements
The company's directors are responsible for the
preparation and fair presentation of these annual financial
statements in accordance with the International Financial
Reporting Standard for Small and Medium-sized Entities
and in the manner required by the Companies Act of
South Africa. This responsibility includes: designing,
implementing and maintaining internal control relevant to
the preparation and fair presentation of annual financial
statements that are free from material misstatement,
whether due to fraud or error; selecting and applying
appropriate accounting policies; and making accounting
estimates that are reasonable in the circumstances.
Auditor's responsibility
Our responsibility is to express an opinion on these annual
financial statements based on our audit. We conducted
our audit in accordance with International Standards on
Auditing. Those standards require that we comply with
ethical requirements and plan and perform the audit to
obtain reasonable assurance whether the annual financial
statements are free from material misstatement.
An audit involves performing procedures to obtain audit
evidence about the amounts and disclosures in the annual
financial statements. The procedures selected depend
on the auditor's judgement, including the assessment of
the risks of material misstatement of the annual financial
statements, whether due to fraud or error. In making those
risk assessments, the auditor considers internal control
relevant to the entity's preparation and fair presentation
of the annual financial statements in order to design audit
procedures that are appropriate in the circumstances,
but not for the purpose of expressing an opinion on the
effectiveness of the entity's internal control. An audit also
includes evaluating the appropriateness of accounting
policies used and the reasonableness of accounting
estimates made by the directors, as well as evaluating the
overall presentation of the annual financial statements.
We believe that the audit evidence we have obtained is
sufficient and appropriate to provide a basis for our audit
opinion.
Opinion
In our opinion, the annual financial statements present
fairly, in all material respects, the financial position
of the company as of 31 March 2010, and its financial
performance and its cash flows for the year then ended
in accordance with the International Financial Reporting
Standard for Small and Medium-sized Entities and in the
manner required by the Companies Act of South Africa.

Directors'
Responsibilities
and Approval
The directors are required by the Companies Act of South
Africa, 1973, to maintain adequate accounting records and
are responsible for the content and integrity of the annual
financial statements and related financial information
included in this report. It is their responsibility to ensure
that the annual financial statements fairly present the state
of affairs of the company as at the end of the financial year
and the results of its operations and cash flows for the
period then ended, in conformity with the International
Financial Reporting Standards for Small and Medium-sized
Entities. The external auditors are engaged to express an
independent opinion on the annual financial statements.
The annual financial statements are prepared in
accordance with the International Financial Reporting
Standards for Small and Medium-sized Entities and are
based upon appropriate accounting policies consistently
applied and supported by reasonable and prudent
judgements and estimates.
The directors acknowledge that they are ultimately
responsible for the system of internal financial control
established by the company and place considerable
importance on maintaining a strong control environment.
To enable the directors to meet these responsibilities, the
board of directors sets standards for internal control aimed
at reducing the risk of error or loss in a cost effective
manner. The standards include the proper delegation
of responsibilities within a clearly defined framework,
effective accounting procedures and adequate segregation
of duties to ensure an acceptable level of risk. These
controls are monitored throughout the company and all
employees are required to maintain the highest ethical
standards in ensuring the company's business is conducted
in a manner that in all reasonable circumstances is above
reproach. The focus of risk management in the company
is on identifying, assessing, managing and monitoring all
known forms of risk across the company. While operating
risk cannot be fully eliminated, the company endeavours
to minimise it by ensuring that appropriate infrastructure,
controls, systems and ethical behaviour are applied
and managed within predetermined procedures and
constraints.
The directors are of the opinion, based on the information
and explanations given by management, that the system
of internal control provides reasonable assurance that the
financial records may be relied on for the preparation of
the annual financial statements. However, any system of
internal financial control can provide only reasonable, and
not absolute, assurance against material misstatement or
loss.
The directors have reviewed the company's cash flow
forecast for the year to 31 March 2011 and, in the light of
this review and the current financial position, they are
satisfied that the company has or has access to adequate
resources to continue in operational existence for the
foreseeable future.
The board of directors are responsible for the financial
affairs of the company.
The external auditor is responsible for independently
reviewing and reporting on the company's annual financial
statements. The annual financial statements have been
examined by the company's external auditor and their
report is presented on pages 28-29.
The annual financial statements set out on pages 31-40,
which have been prepared on the going concern basis,
were approved by the board of directors on 28 July 2010
Directors' Report
The directors submit their report for the year ended
31 March 2010.
1. Review of activities
Main business and operations
The company is engaged in promoting and encouraging
sustainable partnerships between the private sector and
the arts and operates principally in South Africa.
The operating results and state of affairs of the company
are fully set out in the attached annual financial statements
and do not, in our opinion, require any further comment.
Whilst membership income appears as having declined
in the current financial year, it is important to note that
the company changed the basis on which memberships
were recorded. In prior years, memberships would run
for 12 months from the beginning of the financial year.
Memberships are now instated from calendar date of
payment. The membership therefore runs for twelve
months from the calendar month of payment
2. Going concern
The annual financial statements have been prepared on
the basis of accounting policies applicable to a going
concern. This basis presumes that funds will be available to
finance future operations and that the realisation of assets
and settlement of liabilities, contingent obligations and
commitments will occur in the ordinary course of business.
Accounting Policies
1. Presentation of Annual Financial
Statements
The annual financial statements have been prepared in
accordance with the International Financial Reporting
Standards for Small and Medium-sized Entities, and the
Companies Act of South Africa, 1973. The annual financial
statements have been prepared on the historical cost
basis, and incorporate the principal accounting policies set
out below. They are presented in South African Rands.
These accounting policies are consistent with the previous
period, except for the changes set out in note 13 Firsttime
adoption of the International Financial Reporting
Standards for Small and Medium-sized Entities.
1.1 Significant judgements and sources of
estimation uncertainty
In preparing the annual financial statements, management
is required to make estimates and assumptions that
affect the amounts represented in the annual financial
statements and related disclosures. Use of available
information and the application of judgement is inherent
in the formation of estimates. Actual results in the future
could differ from these estimates which may be material to
the annual financial statements.
1.2 Property, plant and equipment
Property, plant and equipment are stated at cost less
accumulated depreciation and any impairment losses.
Depreciation is provided using the straight-line basis to
write down the cost over the useful life of the property,
plant and equipment, which is as follows:
Item
Furniture and fittings
Office equipment
Computer equipment
average useful life
5 years
5 years
3 years
The residual value, depreciation method and the useful life
of each asset are reviewed at each annual reporting period
if there are indicators present that there is a change from
the previous estimate.
1.3 Membership fees
Membership fees consist of fees paid for annual corporate
membership of the company and are recorded in revenue
during the relevant year to which fees apply.
1.4 Government grants
Government grants are recognised when there is
reasonable assurance that:
- the company will comply with the conditions attaching to
them; and
- the grants will be received.
Government grants are recognised as deferred income
over the periods necessary to match them with the related
costs that they are intended to compensate.
1.5 Interest revenue
Interest is recognised on a time proportion basis that takes
into account the effective yield of the asset
1.6 Funds administered on behalf of third party
donors
The company administers funds on behalf of the
department and other third parties from time to time.
Receipts of funds are included with creditors and
disbursed on instruction from the relevant body.
1.7 Employee benefits Defined contribution
plans
Contributions to a defined contribution plan in respect of
service in a particular period are recognised as an expense
in that period.
It is not the policy of the company to provide retirement
benefits to all its employees. Employees may however
elect to be a member of a fund of their choice. All the
schemes are funded both by member and company contributions, which are charged to the income statement as they are
incurred.
1.8 Leases
A lease is classified as a finance lease if it transfers substantially all the risks and rewards incidental to ownership. A lease
is classified as an operating lease if it does not transfer substantially all the risks and rewards incidental to ownership.
Operating leases - lessee
Operating lease payments are recognised as an expense on a straight-line basis over the lease term. The difference
between the amounts recognised as an expense and the contractual payments are recognised as an operating lease asset.
This liability is not discounted.
13. First-time adoption of the International Financial Reporting Standard for Small
and Medium-sized Entities.
The company has applied the International Financial Reporting Standards, for the first time for the 2010 year end. The
standard provides certain mandatory and optional exemptions, all of which have been utilised in the preparation of
these financial statements. Given the fact that the company previously applied the South African Statement of Generally
Accepted Accounting Practice, there are no items that impacted the opening balance sheet of the company for the year
ending 31 March 2010, and as such no reconciliation is provided.
15. Directors' emoluments
No emoluments were paid to the directors during the year.
16. Financial Risk Management
Liquidity risk
The company only deposits cash surpluses with a bank of quality credit standing. In terms of the company's investment
policy all cash resources are held in bank accounts whose terms terms do not exceed 92 days. The Department of Arts and
Culture has been formally advised of such bank accounts in terms of the Public Finance Management Act.
Interest rate risk
Cash deposits attract interest at rates that vary with prime. The company's policy is to manage the interest rate risk so that
fluctuations in variable rates do not have a material impact on the surplus / deficit.
Fair value
The directors are of the opinion that the book value of financial instruments approximates fair value.
17. Government Grants
An amount of R5 453 000 (2009: R5 180 000) was granted to the company by the Department of Arts and Culture and
covers the year to 31 March 2010. The company is obliged to use the funds by way of grants and for the purpose set out
in its Memorandum of Association. Grants are received in three installment and are recognised in the revenue during the
relevant financial year.
