Statement<br />

On behalf of the Board of Directors, it is my<br />

pleasure to submit the Annual Report of<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, to members<br />

<strong>and</strong> the Minister of <strong>Arts</strong> & Culture, the<br />

Honourable Ms Lulama Xingwana<br />

The 2009/10 fiscal year was characterised by the<br />

after effects of the global economic crisis of 2008.<br />

At home, we saw this translate into a reduction in arts<br />

sponsorships <strong>and</strong> the freezing of business marketing<br />

budgets. In addition, the hype around the Football World<br />

Cup, has also ensured that very little new sponsorship of<br />

the arts has materialised. Nevertheless we are pleased to<br />

report that <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has managed<br />

to leverage a total spend of R16,329,587.42 in the arts with<br />

our Supporting Grants budget, alone.<br />

At <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, the Board made a<br />

decision to ensure that we had sufficient reserves to last<br />

at least six months in the event of the withdrawal of any<br />

major funders. This decision has allowed the organisation<br />

to focus on its core m<strong>and</strong>ate, <strong>and</strong> not to be distracted by<br />

the recessionary environment, <strong>and</strong> allowed it to continue<br />

to create <strong>and</strong> leverage partnerships between <strong>Business</strong><br />

<strong>and</strong> the <strong>Arts</strong>. We are continuing with the repositioning<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, to ensure that we diversify<br />

our funding sources <strong>and</strong> ensure long term sustainability.<br />

With regards to corporate governance, we believe that<br />

we will be able to apply most of the key principles of the<br />

King III report on Corporate Governance. To this end, we<br />

will perform an assessment of our practices <strong>and</strong> report on<br />

this in future. Our annual report, has always taken the form<br />

of an integrated report <strong>and</strong> we will continue to strive to<br />

improve on this as envisaged by King III.<br />

Finally, I would like to thank all my colleagues on the Board<br />

for their support in my role as Chairman. A special thank<br />

you to Lindie Engelbrecht <strong>and</strong> Sureshnee Moodliar, who<br />

have decided to step down after many years of service.<br />

Also, to Michelle Constant, our CEO, <strong>and</strong> her team, a big<br />

thank you for the great work. It continues to amaze me<br />

that we achieve so much “bang for our buck” with such a<br />

small team.<br />

Both the vision <strong>and</strong> the mission are premised on the belief<br />

that the arts <strong>and</strong> culture have real value for all <strong>South</strong><br />

<strong>Africa</strong>ns – for individuals, for communities <strong>and</strong> ultimately<br />

for the growth of civil society. <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong><br />

<strong>Africa</strong> was founded in 1997 as a joint initiative of the<br />

Department of <strong>Arts</strong> <strong>and</strong> Culture <strong>and</strong> the corporate sector,<br />

as part of a strategy to secure greater involvement in the<br />

arts a from businesses operating within <strong>South</strong> <strong>Africa</strong>.<br />

Established as a section 21 company, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong> is accountable to its stakeholders – to<br />

government, its corporate members <strong>and</strong> to the arts<br />

community. <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> is constituted<br />

in terms of the Companies Act <strong>and</strong> is registered as a public<br />

benefit organisations. Its delisting as a Schedule 3 entity<br />

has seen <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> register for VAT.<br />

M<strong>and</strong>ated to promote <strong>and</strong> encourage mutually beneficial<br />

<strong>and</strong> sustainable business-arts partnerships, <strong>Business</strong> <strong>and</strong><br />

<strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> accepts that there are generally two tiers<br />

of funding or support for the arts from business. The bulk<br />

of corporate sector funding continues to come through<br />

charitable foundations or donor agencies, consistently<br />

positioning arts <strong>and</strong> culture as a worthy cause or charity:<br />

an unintended, <strong>and</strong> often unfortunate, consequence of this<br />

is that the arts are obliged to compete with pressing social<br />

needs where they run a poor loser. Increasingly, though,<br />

corporate <strong>South</strong> <strong>Africa</strong> is aligning with the arts as a viable<br />

<strong>and</strong> cost effective area of sponsorship.<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> is committed to identifying<br />

opportunities within the arts for its business members,<br />

whether from a marketing or Corporate Social Investment<br />

(CSI) perspective.<br />

Indeed, many arts programmes offer clear engagement<br />

across spheres of corporate activity, something few<br />

alternatives can provide. To achieve this, it is essential<br />

that <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> sustain engagement<br />

with the corporate sector, in particular its own corporate<br />

members, <strong>and</strong> with the arts sector with specific focus on<br />

improving its profile <strong>and</strong> growing better business skills.<br />

Through its diverse projects the Supporting Grant Scheme,<br />

Special Projects, Mentorship Programme, the <strong>Arts</strong>track,<br />

the Best Case Seminar <strong>and</strong> its bespoke consulting service


<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> continues to drive change<br />

in corporate sector thinking.<br />

While encouraging the business sector to see arts<br />

sponsorship as strategic business opportunity is<br />

fundamental to our philosophy, it is equally important to<br />

engender broader underst<strong>and</strong>ing of the role the arts can<br />

play within the socio-economic framework. Experience<br />

shows that the arts <strong>and</strong> culture can be <strong>and</strong> are, effectively<br />

integrated within education, skills-development, urban<br />

<strong>and</strong> rural regeneration, job creation, health <strong>and</strong> tourism.<br />

Less immediately tangible, but no less important, is their<br />

accepted value in addressing poverty of the mind,<br />

fighting social exclusion <strong>and</strong> thus growing civil society.<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> Highlights of 2009/<strong>2010</strong><br />

- Growth in arts sponsorship, approx R350 million, as<br />

tracked by BMI BASA <strong>Arts</strong>track Research<br />

- Supporting Grant Leverage R1: R16<br />

- Increase in entries by nearly 40% for the 13th Annual<br />

<strong>Business</strong> Day BASA Awards, supported by Anglo<br />

- Growth in media coverage of both <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong>, <strong>and</strong> its members, over the last 12 months<br />

- Growth in page views on website, both nationally <strong>and</strong><br />

internationally<br />

In 2009/<strong>2010</strong> <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> continued to<br />

address its m<strong>and</strong>ate, despite budgetary challenges from<br />

the business environment.<br />

There is no doubt that the last year has been one of<br />

the most challenging yet for the arts, not only in <strong>South</strong><br />

<strong>Africa</strong>, but globally as well. The impact of the recession<br />

is ongoing, <strong>and</strong> businesses internationally <strong>and</strong> locally<br />

continue to deal with the fallout of the recession. Likewise<br />

the <strong>2010</strong> FIFA World Cup, despite being a powerful nationbuilding<br />

tool, saw a shift of Marketing <strong>and</strong> CSI budgets<br />

away from the arts arena in many cases.<br />

Nevertheless at <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, the goal<br />

remains the same – a perfectly matched partnership<br />

where everyone is successfully engaged; <strong>and</strong> one, which<br />

grows diverse communities from seed to strength to<br />

sustainability.<br />

As can been seen from our many projects in the Strategic<br />

Overview, we continue to act as a facilitator <strong>and</strong> connector.<br />

Furthermore, we have used the year to drive two areas<br />

of focus. The first, with a specific focus on business, has<br />

been to actively promote the value of supporting the arts,<br />

even in these difficult times. This has been done through<br />

high-end advocacy <strong>and</strong> a bespoke research offering for<br />

members. This research has focused on the different<br />

needs <strong>and</strong> goals of business - geographic, genre specific,<br />

marketing challenges etc. The success of this has been<br />

noted, <strong>and</strong> in the new financial year we are looking to<br />

exp<strong>and</strong> this offering, at a nominal fee for our members.<br />

The release of our BMI BASA <strong>Arts</strong>track Research 2009,<br />

earlier this year, also offered valuable insight into the<br />

<strong>Arts</strong> Funding Environment. This year, we also made<br />

presentations to businesses <strong>and</strong> <strong>Business</strong> School MBA<br />

students, with the idea that new measurement tools<br />

might be imagined, as regards “Return on Investment” for<br />

arts support. As regards cultural advocacy, over the last<br />

financial year I was able to represent <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong>, <strong>and</strong> its members, at the International Forum<br />

for Cultural Diplomacy in Spain <strong>and</strong> the MIDEM Music Fair<br />

in France. I am extremely appreciative of the opportunities,<br />

that both offered.<br />

The second area of support has been in the arena of<br />

education <strong>and</strong> development, for the arts community.<br />

Crucially the <strong>Arts</strong>track research has shown us that business<br />

requires the arts to be more organized in their approach<br />

to sponsorship <strong>and</strong> financial support. Our BASA Mentorship<br />

Programme, now supported by St<strong>and</strong>ard Bank, continues<br />

to grow around the country. Currently we have around 55<br />

Mentors who use their knowledge <strong>and</strong> talents to develop<br />

arts organisations, growing their skills <strong>and</strong> sustainability.<br />

As example, VANSA Western Cape has seen its funding<br />

grow from R320,000 in 2009 to R1 million in <strong>2010</strong>,<br />

thanks partly to the input of mentors Patrick Seager of<br />

Plascon, <strong>and</strong> Gordon Massie of Artinsure. The estimated<br />

value of the current, active mentors’ consulting time over<br />

one year is R1.1 million. We must also say thank you to<br />

Barloworld who originally saw fit to support this project in<br />

its inception. Thank you too, to St<strong>and</strong>ard Bank, who have<br />

decided to support the project further, as part of their arts<br />

development m<strong>and</strong>ate.<br />

In order to grow access to arts information, <strong>Business</strong> <strong>and</strong><br />

<strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has partnered with the Ilanga newspaper<br />

in KwaZulu Natal. The Ilanga partnership complements<br />

our diverse media partnerships highlighting the role of<br />

business <strong>and</strong> arts in society – Summit TV, Classicfm, SAfm,<br />

Ofm <strong>and</strong> 1485. We are also extremely grateful to <strong>Business</strong><br />

Day newspaper <strong>and</strong> Wanted magazine for their continued<br />

support of the work that <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>,<br />

<strong>and</strong> it’s members, do.<br />

Also with a focus on development, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong> continues to support the H<strong>and</strong>s On! Masks<br />

Off! workshop at the National <strong>Arts</strong> festival. This free 10<br />

day workshop focuses on new media, marketing, financial<br />

<strong>and</strong> business skills for arts practitioners. In September<br />

last year, with the support of the NAF, Cultural Help<br />

Desk, Nedbank’s <strong>Arts</strong> <strong>and</strong> Culture Trust, <strong>and</strong> <strong>Arts</strong> Alive,<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> brought H<strong>and</strong>s On! Mic<br />

Off! to the Moshito Music Conference. Furthermore<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> partnered with member<br />

Matchboxology, to create a h<strong>and</strong>book on the <strong>Business</strong> of<br />

Music. The book is now available to artists at a nominal fee.<br />

The future aim, funding permitting, would be to see these<br />

workshops taking place at festivals nationwide, with the<br />

support of the NAF. <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> is also<br />

currently in discussion with the Rhodes Investec <strong>Business</strong><br />

School on the creation of an NQF Certificate of <strong>Arts</strong><br />

Entrepreneurship. The Certificate for school leavers would<br />

include the following outcomes: Innovation <strong>and</strong> Vision,<br />

Financial Management, <strong>and</strong> <strong>Business</strong> Planning.<br />

As regards our Supporting Grants Scheme, we are<br />

profoundly grateful to the Department of <strong>Arts</strong> <strong>and</strong><br />

Culture for their vision <strong>and</strong> continued support. The Grants<br />

encompass a diverse range of artistic activity; this year<br />

we saw particular growth in education <strong>and</strong> development,<br />

<strong>and</strong> wherever possible we were able to leverage these<br />

partnerships through our media partners. I am proud to<br />

say that we continue to have a leverage of around 1:16. It is<br />

important to highlight that the figures noted in this Report,<br />

are specifically for applications that come through this<br />

scheme <strong>and</strong> do not represent the entire arts sponsorship<br />

figures in the country.<br />

This year's Annual <strong>Business</strong> Day BASA Awards, supported<br />

by Anglo American - taking place on August 30th <strong>2010</strong> -<br />

have also seen some changes. This year we went online<br />

with the entries, <strong>and</strong> were delighted to see a growth of<br />

nearly 40% as regards entries. We also introduced two<br />

new awards – the Innovation awards <strong>and</strong> the Champion of<br />

the <strong>Arts</strong> Award. The aim of the latter is to drive individual<br />

giving <strong>and</strong> philanthropy in the arts, <strong>and</strong> to recognize<br />

business leaders, who make a real difference to the arts<br />

l<strong>and</strong>scape, owing to their personal passion; this, in line<br />

with the focus on sustainability <strong>and</strong> the triple bottom line,<br />

in the King III Report.<br />

As regards Sustainability, credit must be paid to Old<br />

Mutual, ABSA <strong>and</strong> St<strong>and</strong>ard Bank for their ongoing<br />

support of three major cultural projects. The Old Mutual<br />

National Choir Festival has been running for 33 years, of<br />

which Old Mutual has supported 22 years. Likewise ABSA’s<br />

ongoing support of the ABSA L’Atelier Art Competition<br />

<strong>and</strong> St<strong>and</strong>ard Bank’s support of the St<strong>and</strong>ard Bank Young<br />

Artist Award, both for well over twenty years, deserve<br />

recognition.<br />

On the CSI front, this year, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

established its own CSI project. We currently support<br />

Progressive Primary School in Hillbrow, Johannesburg,<br />

supporting the students with opportunities to attend<br />

theatrical events. My thanks go to our intern Karabo<br />

Legoabe for her facilitation of the project.<br />

And finally, the <strong>2010</strong> FIFA World Cup: In support of the<br />

event, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> presented arts<br />

opportunities to diverse businesses, including FNB, ACSA<br />

<strong>and</strong> Telkom. The BASA website highlighted members with<br />

cultural involvement during the month, <strong>and</strong> in keeping with<br />

the wonderful spirit engendered, we thank St<strong>and</strong>ard Bank<br />

for the usage of the images in this Annual Report. They are


from the Halakasha Exhibition, the soccer art exhibition,<br />

which ran during the month of the FIFA World Cup.<br />

In closing, I would like to thank our Board, <strong>and</strong> Chairman,<br />

Mr. Sikkie Kajee, who have been on h<strong>and</strong> with support<br />

<strong>and</strong> advice, to the <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> team<br />

for their ongoing hard work, to our business members for<br />

their engagement, <strong>and</strong> finally to the arts community who<br />

All Board <strong>and</strong> committee members serve on a voluntary<br />

basis, <strong>and</strong> receive no remuneration from <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

Grant Thornton, annually conducts 5 r<strong>and</strong>om factual<br />

finding engagements of funded projects, to satisfy the<br />

Board that projects are properly conducted <strong>and</strong> comply<br />

with the terms <strong>and</strong> conditions of the <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong> Supporting Grant Scheme.<br />

review the 6 month interim review <strong>and</strong> year end financial<br />

Executive Committee: Executive Committee meetings<br />

were held subject to the availability of Board members.<br />

Four Executive Committee meetings were held during<br />

the financial year ended 31 March <strong>2010</strong>, supplemented<br />

by inclusion of Exco functions at the Board meetings<br />

throughout the year. The Board agreed that, as there was<br />

considerable overlap across committees, the contribution<br />

made by various individuals be rationalised, with the<br />

functions of the Human Resources <strong>and</strong> Audit Committee<br />

where possible being combined with Executive Committee<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> is m<strong>and</strong>ated to build<br />

<strong>and</strong> secure partnerships between business <strong>and</strong> the<br />

arts, servicing both sectors in ways that will achieve<br />

this objective. While <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

must promote its own identity to maintain its profile as<br />

an agency for partnership <strong>and</strong> support, this platform is<br />

extensively leveraged on behalf of business <strong>and</strong> of the<br />

arts. <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s strategies <strong>and</strong><br />

related activities are ongoing <strong>and</strong> for the most part linked<br />

with the flexibility to support all stakeholders: business,<br />

arts organisations <strong>and</strong> government.<br />

Importantly this year, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

has focussed on increasing the value add for members,<br />

this in a difficult period of economic downturn, <strong>and</strong><br />

job loss. The organisation has also changed the basis<br />

on which memberships were recorded. In prior years,<br />

memberships would run for 12 months from the beginning<br />

of the financial year. Memberships are now instated from<br />

calendar date of payment. The membership therefore<br />

runs for twelve months from the calendar month of<br />

payment. Thus whilst it may appear that membership<br />

fees have dropped; it is a factor of this change <strong>and</strong> not a<br />

major loss of members. Whilst we have seen a small drop<br />

in membership, owing to the economic challenges <strong>and</strong><br />

even a shifted focus on the World Cup, we currently have<br />

around 150 paid-up members.<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> continues to position<br />

itself as a resource for its members in terms of insights,<br />

knowledge <strong>and</strong> information, <strong>and</strong> it is essential that<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> develop personal contact<br />

with its members. Member companies are regularly<br />

informed of appropriate sponsorship opportunities for<br />

them, they also receive bespoke research on request.<br />

(As of the new Financial Year personalised <strong>and</strong> extensive<br />

Research will be billed for.) Where appropriate, member<br />

companies may be featured through the media platforms<br />

that <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> supports. <strong>Business</strong><br />

<strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, either independently or working<br />

with an arts organisation or one of its corporate members,<br />

continues to host events for its members; very often this<br />

affords exclusive access <strong>and</strong> an enjoyable networking<br />

opportunity. Through <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>,<br />

members may invite fellow member companies to their<br />

own events. In addition, they are apprised of forthcoming<br />

arts/cultural events they may wish to attend.<br />

In the strategy for 08-10, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

has focussed on three areas of address: These are –<br />

Restructuring <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s internal<br />

organisation; Growing institutional marketing <strong>and</strong> value for<br />

our stakeholders; <strong>and</strong> Supporting the Department of <strong>Arts</strong><br />

<strong>and</strong> Culture vision of ‘culture as a means to grow social<br />

cohesion, economic growth <strong>and</strong> nation-building’ as stated<br />

in the Strategic Plan of 2008/2009 -<strong>2010</strong>/2011. This year<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> also highlighted business<br />

support of culture in preparation for the World Cup, in<br />

support of the DAC strategy.<br />

RESTRUCTURING<br />

INTERNAL ORGANISATION<br />

The following restructuring has occurred at <strong>Business</strong><br />

<strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>: Implementation of KPA’s <strong>and</strong><br />

job trajectories; creation of a formal HR Policy <strong>and</strong><br />

implementation of a Staff Training Policy. The position<br />

of Marketing <strong>and</strong> Operations Manager has been created<br />

<strong>and</strong> <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> now offers an annual<br />

Internship programme. The organisation also has the ongoing<br />

pro-bono support of Wynn HR Consultancy.

greater involvement by the corporate sector, as it tracks<br />

audiences <strong>and</strong> interest levels across arts disciplines.<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has become an important<br />

resource, tracking information as diverse as visual artists<br />

in the Eastern Cape, to funding models of choral music<br />

nationwide, for members. Responding to the World Cup,<br />

the organisation has detailed the input of members into<br />

the arts during this period on its website, as part of the<br />

country’s legacy.<br />

IX<br />

Advocacy<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> continues to make<br />

interventions in areas it considers critical for the<br />

sustainability of the arts sector.<br />

i. The <strong>Arts</strong> <strong>and</strong> Taxation - Since 2001, with assistance<br />

from Webber Wentzel Bowens in preparation of<br />

relevant documentation, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

has raised the issue of tax deduction for giving to the<br />

arts with the Minister of Finance <strong>and</strong> the Minister of<br />

<strong>Arts</strong> <strong>and</strong> Culture. It is <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s<br />

contention that such philanthropy or donation would<br />

be encouraged by deductions being made available in<br />

the h<strong>and</strong>s of the donor; <strong>and</strong> that example elsewhere<br />

demonstrates how a culture of philanthropy contributes<br />

to infrastructural investment <strong>and</strong> skills development,<br />

from which flows employment <strong>and</strong> regeneration.<br />

Regional Representatives<br />

The regional representatives, currently active in KwaZulu<br />

Natal, Western <strong>and</strong> Eastern Cape, are effective in building<br />

awareness of <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s activities<br />

in their regions, as reflected by growth in membership,<br />

supporting grant activity, mentoring <strong>and</strong> entries for the<br />

BASA Awards. Their presence offers arts <strong>and</strong> business<br />

a direct resource <strong>and</strong> personal relationship, <strong>and</strong> drives<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> activities in their region.<br />

BASA Awards<br />

The annual <strong>Business</strong> Day BASA Awards supported<br />

by Anglo American highlight <strong>and</strong> recognize effective<br />

business - arts partnership, where both parties derive<br />

benefit. The 2009 event proved to be very successful<br />

with a Key Note Address by the Minister of <strong>Arts</strong> <strong>and</strong><br />

Culture Ms Lulama Xingwana. The continued support<br />

<strong>and</strong> sponsorship of the Awards by Anglo American, a<br />

founding member of <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, <strong>and</strong><br />

<strong>Business</strong> Day has considerably leveraged the profile of the<br />

awards <strong>and</strong> of those participating. 2009 saw captains of<br />

industry, members of government <strong>and</strong> the arts community<br />

attending. Media coverage was extensive (R1.8 million),<br />

<strong>and</strong> additional support for the event itself came from<br />

Distell <strong>and</strong> the venue, the forum|turbine hall. Entries<br />

for the 12th Annual Awards, presented in August 2009,<br />

increased from previous years, again demonstrating new<br />

original thinking <strong>and</strong> reflecting strategic partnership rather<br />

than philanthropy.<br />

BUSINESS AND ARTS SOUTH AFRICA<br />

SUPPORTING GRANT SCHEME<br />

Funded by an annual allocation from the Department<br />

of <strong>Arts</strong> <strong>and</strong> Culture, this scheme continues to serve as<br />

a mechanism through which business <strong>and</strong> the arts can<br />

engage <strong>and</strong> achieve mutual benefit. Our Supporting<br />

Grant scheme remains a key device to attract partnership<br />

between business <strong>and</strong> the arts, providing marketing<br />

support for arts organisation to publicise their business<br />

partnership. It also allows for databasing of business<br />

<strong>and</strong> arts organisations who are engaging in equitable<br />

synergies. As part of this process we continue to highlight<br />

the need for good business skills <strong>and</strong> governance in arts<br />

organisations. The spread of grants continues to reflect<br />

the local of major business activity, but <strong>Business</strong> <strong>and</strong> <strong>Arts</strong><br />

<strong>South</strong> <strong>Africa</strong> actively encourages submissions from rural<br />

<strong>and</strong> peri-urban areas on the basis of working with smaller,<br />

local business. This year saw small, but new growth of<br />

applications from Eastern Cape <strong>and</strong> Western Cape. The<br />

grants encompass a wide range of activity attracting<br />

corporate sector support <strong>and</strong> where possible <strong>Business</strong><br />

<strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> leverages the arts or cultural event<br />

further through its own media partnership. Supporting<br />

grants of R1 243 750 leveraged a further R16 329 587.42<br />

(Note that this figure represents only applications coming<br />

through <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>, <strong>and</strong> does not<br />

represent the entire arts sponsorship picture). Auditors<br />

Grant Thornton continues to perform r<strong>and</strong>om factual<br />

finding engagements on projects conducted during the<br />

preceding year; to date no anomalies have been reported.<br />

Media Partnerships<br />

These were introduced by <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong><br />

to counter the relative lack of media coverage of the arts.<br />

The content is geared to address different objectives.<br />

i. To mainstream the arts <strong>and</strong> cultural activity<br />

ii. To promote <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s profile<br />

within the business sector<br />

iii. To promote <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong>’s profile<br />

within the arts sector<br />

iv. To promote <strong>Business</strong> support of the <strong>Arts</strong><br />

Different long-running partnerships have been established,<br />

<strong>and</strong> <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has initiated two new<br />

partnerships, notably with the Ilanga Newspaper <strong>and</strong><br />

Ofm Radio Station, both of which have large geographical<br />

footprints <strong>and</strong> differentiated audience reach.<br />

BASA Mentorship Programme, supported by St<strong>and</strong>ard<br />

Bank: The Mentorship programme provides skilled,<br />

experienced business mentorship to arts organisations<br />

around the country. Mentors are recruited from different<br />

businesses in the fields of marketing, IT, accounting, law,<br />

management consulting, etc, giving guidance to diverse<br />

arts organisations, ranging from theatre, dance, music,<br />

to the visual arts, literacy <strong>and</strong> craft. The Programme now


operates in five provinces (Gauteng, Limpopo, Western<br />

Cape, Kwa-Zulu Natal <strong>and</strong> the Eastern Cape) with a focus<br />

on urban areas, extending the reach into peri-urban areas.<br />

Mentors are recruited from businesses in the regions.<br />

There are now over 50 mentors (active or on sabbatical)<br />

<strong>and</strong> mentees around the country. The estimated value of<br />

the current, active mentors’ consulting time over one year<br />

is R1.1 million. This year, the Mentorship Programme, which<br />

has been running since 2005, said goodbye to it’s original<br />

sponsor Barloworld, to whom we are extremely grateful.<br />

With a goodbye, came a hello, <strong>and</strong> we welcome St<strong>and</strong>ard<br />

Bank onboard as the new naming sponsor.<br />

XV<br />

Boardbank SA<br />

<strong>Arts</strong> Organisations are increasingly required to articulate<br />

their BBEEE status, particularly when seeking funding.<br />

Flowing from this <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has<br />

partnered with Empowerdex to source black professionals<br />

willing to volunteer to serve on not for profit Boards of<br />

cultural organisations.<br />

Workshops <strong>and</strong> Seminars<br />

In line with government’s medium term strategic<br />

framework, the central objective of which is to set the<br />

country on a sustainable growth trajectory, <strong>Business</strong> <strong>and</strong><br />

<strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has made a strategic shift to funding<br />

artistic vision <strong>and</strong> basic business skills workshops around<br />

the country in support of sustainability <strong>and</strong> empowerment<br />

of the arts community. National partnerships with the<br />

National <strong>Arts</strong> Festival, <strong>and</strong> the Moshito Conference<br />

took place, <strong>and</strong> included talks on marketing, business<br />

funding <strong>and</strong> entrepreneurship. The NAF H<strong>and</strong>s On<br />

Masks Off Workshops partnership is now in its third<br />

year, <strong>and</strong> <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> is currently in<br />

discussion to take the project nationwide, through the<br />

NAF. Currently <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> also runs<br />

workshops, as a function of the Mentorship Programme.<br />

Overall this appears to have triggered a new approach to<br />

organisational skills by the cultural community, as well as<br />

Entrepreneurial Skills Workshops by diverse facilitators<br />

nationwide e.g The Art Source Artist Workshops.<br />

Implemented regular communication<br />

With national database of arts organisations as part of<br />

the empowerment of arts organisations <strong>and</strong> cultural<br />

communities, <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> has<br />

implemented regular communication to its cultural<br />

database. This information includes national jobs offers,<br />

market-related stories, reviews <strong>and</strong> more.<br />

Pro bono Assistance <strong>and</strong> Advocacy<br />

Deneys Reitz continues to offer pro bono advice <strong>and</strong><br />

assistance to bona fide arts <strong>and</strong> culture organisations<br />

identified <strong>and</strong> introduced by <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong><br />

<strong>Africa</strong>, across a range of issues, giving the arts sector<br />

access to top quality legal expertise. This year Bell Dewar<br />

gave pro bono assistance to <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong><br />

<strong>Africa</strong>, supporting queries <strong>and</strong> research.<br />

SUPPORT OF DEPARTMENT<br />

OF ARTS AND CULTURE<br />

VISION<br />

i. Fourth World Summit on <strong>Arts</strong> <strong>and</strong> Culture: <strong>Business</strong><br />

<strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> was a Supporting Sponsor of<br />

the event, <strong>and</strong> Michelle Constant, CEO, sat on the NAC<br />

Advisory Committee in preparation for the event.<br />

ii. Michelle Constant represented <strong>South</strong> <strong>Africa</strong> at the<br />

World Forum on Cultural Diplomacy in Spain, where she<br />

was asked to present a paper on the BASA model, <strong>and</strong><br />

it’s projects.<br />

iii. <strong>2010</strong> FIFA World Cup: In support of the World Cup,<br />

<strong>and</strong> the Department of <strong>Arts</strong> <strong>and</strong> Culture objectives,<br />

<strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> engaged in diverse<br />

projects.<br />

• <strong>Business</strong> <strong>and</strong> <strong>Arts</strong> <strong>South</strong> <strong>Africa</strong> presented to members<br />

on request, a diverse list of projects requiring funding<br />

<strong>and</strong> support. Thereafter the organisation facilitated<br />

further discussions with both business <strong>and</strong> arts<br />

evening’s entertainment. <strong>South</strong> <strong>Africa</strong> was country of<br />

honour at MIDEM in preparation for the World Cup.<br />

We have audited the annual financial statements of<br />

statement of financial position as at 31 March <strong>2010</strong>, <strong>and</strong> the<br />

statements of comprehensive income, changes in equity<br />

<strong>and</strong> cash flows for the year then ended, <strong>and</strong> a summary<br />

of significant accounting policies <strong>and</strong> other explanatory<br />

notes, <strong>and</strong> the directors' report, as set out on pages 31<br />

to 40.<br />

Directors' responsibility for the annual<br />

financial statements<br />

The company's directors are responsible for the<br />

preparation <strong>and</strong> fair presentation of these annual financial<br />

statements in accordance with the International Financial<br />

Reporting St<strong>and</strong>ard for Small <strong>and</strong> Medium-sized Entities<br />

<strong>and</strong> in the manner required by the Companies Act of<br />

<strong>South</strong> <strong>Africa</strong>. This responsibility includes: designing,<br />

implementing <strong>and</strong> maintaining internal control relevant to<br />

the preparation <strong>and</strong> fair presentation of annual financial<br />

statements that are free from material misstatement,<br />

Auditor's responsibility<br />

Our responsibility is to express an opinion on these annual<br />

financial statements based on our audit. We conducted<br />

our audit in accordance with International St<strong>and</strong>ards on<br />

Auditing. Those st<strong>and</strong>ards require that we comply with<br />

ethical requirements <strong>and</strong> plan <strong>and</strong> perform the audit to<br />

obtain reasonable assurance whether the annual financial<br />

statements are free from material misstatement.<br />

An audit involves performing procedures to obtain audit<br />

evidence about the amounts <strong>and</strong> disclosures in the annual<br />

financial statements. The procedures selected depend<br />

on the auditor's judgement, including the assessment of<br />

the risks of material misstatement of the annual financial<br />

statements, whether due to fraud or error. In making those<br />

risk assessments, the auditor considers internal control<br />

relevant to the entity's preparation <strong>and</strong> fair presentation<br />

of the annual financial statements in order to design audit<br />

The directors are required by the Companies Act of <strong>South</strong><br />

<strong>Africa</strong>, 1973, to maintain adequate accounting records <strong>and</strong><br />

financial statements <strong>and</strong> related financial information<br />

included in this report. It is their responsibility to ensure<br />

that the annual financial statements fairly present the state<br />

of affairs of the company as at the end of the financial year<br />

<strong>and</strong> the results of its operations <strong>and</strong> cash flows for the<br />

period then ended, in conformity with the International<br />

Financial Reporting St<strong>and</strong>ards for Small <strong>and</strong> Medium-sized<br />

Entities. The external auditors are engaged to express an<br />

independent opinion on the annual financial statements.<br />

The annual financial statements are prepared in<br />

accordance with the International Financial Reporting<br />

based upon appropriate accounting policies consistently<br />

applied <strong>and</strong> supported by reasonable <strong>and</strong> prudent<br />

judgements <strong>and</strong> estimates.<br />

The directors acknowledge that they are ultimately<br />

responsible for the system of internal financial control<br />

established by the company <strong>and</strong> place considerable<br />

importance on maintaining a strong control environment.<br />

To enable the directors to meet these responsibilities, the<br />

board of directors sets st<strong>and</strong>ards for internal control aimed<br />

at reducing the risk of error or loss in a cost effective<br />

manner. The st<strong>and</strong>ards include the proper delegation<br />

of responsibilities within a clearly defined framework,<br />

effective accounting procedures <strong>and</strong> adequate segregation<br />

of duties to ensure an acceptable level of risk. These<br />

controls are monitored throughout the company <strong>and</strong> all<br />

employees are required to maintain the highest ethical<br />

st<strong>and</strong>ards in ensuring the company's business is conducted<br />

in a manner that in all reasonable circumstances is above<br />

reproach. The focus of risk management in the company<br />

is on identifying, assessing, managing <strong>and</strong> monitoring all<br />

known forms of risk across the company. While operating<br />

risk cannot be fully eliminated, the company endeavours<br />

to minimise it by ensuring that appropriate infrastructure,<br />

controls, systems <strong>and</strong> ethical behaviour are applied<br />

<strong>and</strong> managed within predetermined procedures <strong>and</strong><br />

constraints.<br />

The directors are of the opinion, based on the information<br />

<strong>and</strong> explanations given by management, that the system<br />

of internal control provides reasonable assurance that the<br />

financial records may be relied on for the preparation of<br />

the annual financial statements. However, any system of<br />

internal financial control can provide only reasonable, <strong>and</strong><br />

not absolute, assurance against material misstatement or<br />

loss.<br />

The directors have reviewed the company's cash flow<br />

forecast for the year to 31 March 2011 <strong>and</strong>, in the light of<br />

this review <strong>and</strong> the current financial position, they are<br />

satisfied that the company has or has access to adequate<br />

resources to continue in operational existence for the<br />

foreseeable future.<br />

The board of directors are responsible for the financial<br />

The directors submit their report for the year ended<br />

31 March <strong>2010</strong>.<br />

1. Review of activities<br />

Main business <strong>and</strong> operations<br />

The company is engaged in promoting <strong>and</strong> encouraging<br />

sustainable partnerships between the private sector <strong>and</strong><br />

the arts <strong>and</strong> operates principally in <strong>South</strong> <strong>Africa</strong>.<br />

The operating results <strong>and</strong> state of affairs of the company<br />

are fully set out in the attached annual financial statements<br />

<strong>and</strong> do not, in our opinion, require any further comment.<br />

Whilst membership income appears as having declined<br />

in the current financial year, it is important to note that<br />

the company changed the basis on which memberships<br />

were recorded. In prior years, memberships would run<br />

for 12 months from the beginning of the financial year.<br />

Memberships are now instated from calendar date of<br />

payment. The membership therefore runs for twelve<br />

months from the calendar month of payment<br />

2. Going concern<br />

The annual financial statements have been prepared on<br />

the basis of accounting policies applicable to a going<br />

concern. This basis presumes that funds will be available to<br />

finance future operations <strong>and</strong> that the realisation of assets<br />

<strong>and</strong> settlement of liabilities, contingent obligations <strong>and</strong><br />

1. Presentation of Annual Financial<br />

Statements<br />

The annual financial statements have been prepared in<br />

accordance with the International Financial Reporting<br />

St<strong>and</strong>ards for Small <strong>and</strong> Medium-sized Entities, <strong>and</strong> the<br />

Companies Act of <strong>South</strong> <strong>Africa</strong>, 1973. The annual financial<br />

statements have been prepared on the historical cost<br />

basis, <strong>and</strong> incorporate the principal accounting policies set<br />

out below. They are presented in <strong>South</strong> <strong>Africa</strong>n R<strong>and</strong>s.<br />

These accounting policies are consistent with the previous<br />

period, except for the changes set out in note 13 Firsttime<br />

adoption of the International Financial Reporting<br />

St<strong>and</strong>ards for Small <strong>and</strong> Medium-sized Entities.<br />

1.1 Significant judgements <strong>and</strong> sources of<br />

estimation uncertainty<br />

In preparing the annual financial statements, management<br />

is required to make estimates <strong>and</strong> assumptions that<br />

affect the amounts represented in the annual financial<br />

statements <strong>and</strong> related disclosures. Use of available<br />

information <strong>and</strong> the application of judgement is inherent<br />

in the formation of estimates. Actual results in the future<br />

could differ from these estimates which may be material to<br />

the annual financial statements.<br />

1.2 Property, plant <strong>and</strong> equipment<br />

Property, plant <strong>and</strong> equipment are stated at cost less<br />

accumulated depreciation <strong>and</strong> any impairment losses.<br />

Depreciation is provided using the straight-line basis to<br />

write down the cost over the useful life of the property,<br />

plant <strong>and</strong> equipment, which is as follows:<br />

The residual value, depreciation method <strong>and</strong> the useful life<br />

of each asset are reviewed at each annual reporting period<br />

if there are indicators present that there is a change from<br />

1.3 Membership fees<br />

Membership fees consist of fees paid for annual corporate<br />

membership of the company <strong>and</strong> are recorded in revenue<br />

during the relevant year to which fees apply.<br />

1.4 Government grants<br />

Government grants are recognised when there is<br />

reasonable assurance that:<br />

- the company will comply with the conditions attaching to<br />

them; <strong>and</strong><br />

- the grants will be received.<br />

Government grants are recognised as deferred income<br />

over the periods necessary to match them with the related<br />

costs that they are intended to compensate.<br />

1.5 Interest revenue<br />

Interest is recognised on a time proportion basis that takes<br />

into account the effective yield of the asset<br />

1.6 Funds administered on behalf of third party<br />

donors<br />

The company administers funds on behalf of the<br />

department <strong>and</strong> other third parties from time to time.<br />

Receipts of funds are included with creditors <strong>and</strong><br />

disbursed on instruction from the relevant body.<br />

1.7 Employee benefits Defined contribution<br />

plans<br />

Contributions to a defined contribution plan in respect of<br />

service in a particular period are recognised as an expense<br />

in that period.<br />

It is not the policy of the company to provide retirement<br />

benefits to all its employees. Employees may however<br />

elect to be a member of a fund of their choice. All the


schemes are funded both by member <strong>and</strong> company contributions, which are charged to the income statement as they are<br />

incurred.<br />

1.8 Leases<br />

A lease is classified as a finance lease if it transfers substantially all the risks <strong>and</strong> rewards incidental to ownership. A lease<br />

is classified as an operating lease if it does not transfer substantially all the risks <strong>and</strong> rewards incidental to ownership.<br />

Operating leases - lessee<br />

Operating lease payments are recognised as an expense on a straight-line basis over the lease term. The difference<br />

between the amounts recognised as an expense <strong>and</strong> the contractual payments are recognised as an operating lease asset.<br />

This liability is not discounted.<br />

13. First-time adoption of the International Financial Reporting St<strong>and</strong>ard for Small<br />

<strong>and</strong> Medium-sized Entities.<br />

The company has applied the International Financial Reporting St<strong>and</strong>ards, for the first time for the <strong>2010</strong> year end. The<br />

st<strong>and</strong>ard provides certain m<strong>and</strong>atory <strong>and</strong> optional exemptions, all of which have been utilised in the preparation of<br />

these financial statements. Given the fact that the company previously applied the <strong>South</strong> <strong>Africa</strong>n Statement of Generally<br />

Accepted Accounting Practice, there are no items that impacted the opening balance sheet of the company for the year<br />

ending 31 March <strong>2010</strong>, <strong>and</strong> as such no reconciliation is provided.<br />

15. Directors' emoluments<br />

No emoluments were paid to the directors during the year.<br />

16. Financial Risk Management<br />

Liquidity risk<br />

The company only deposits cash surpluses with a bank of quality credit st<strong>and</strong>ing. In terms of the company's investment<br />

policy all cash resources are held in bank accounts whose terms terms do not exceed 92 days. The Department of <strong>Arts</strong> <strong>and</strong><br />

Culture has been formally advised of such bank accounts in terms of the Public Finance Management Act.<br />

Interest rate risk<br />

Cash deposits attract interest at rates that vary with prime. The company's policy is to manage the interest rate risk so that<br />

fluctuations in variable rates do not have a material impact on the surplus / deficit.<br />

Fair value<br />

The directors are of the opinion that the book value of financial instruments approximates fair value.<br />

17. Government Grants<br />

An amount of R5 453 000 (2009: R5 180 000) was granted to the company by the Department of <strong>Arts</strong> <strong>and</strong> Culture <strong>and</strong><br />

covers the year to 31 March <strong>2010</strong>. The company is obliged to use the funds by way of grants <strong>and</strong> for the purpose set out<br />

in its Memor<strong>and</strong>um of Association. Grants are received in three installment <strong>and</strong> are recognised in the revenue during the<br />

relevant financial year.<br />
