capital of the Company to be purchased, or
agreed conditionally or unconditionally to
be purchased, by the Company pursuant to
the approval in paragraph (a) above shall
not exceed 10% of the aggregate nominal

amount of the share capital of the Company
in issue as at the date of passing this
resolution, and the said approval shall be
limited accordingly; and
C. “THAT subject to the passing of resolutions No.
5A and No. 5B set out above, the aggregate
nominal amount of shares in the capital of the
Company which are repurchased by the Company
under the authority granted pursuant to the
abovementioned resolution No. 5B shall be added
to the aggregate nominal amount of share capital
of the Company that may be allotted or agreed
conditionally or unconditionally to be allotted by
the Directors of the Company pursuant to the
abovementioned resolution No. 5A.”

6. As special business, to consider and, if thought fit,
pass the following resolution as a special resolution:

“THAT the bye-laws of the Company be and are hereby
amended in the following manner:
(a)
by deleting the words “a recognised clearing

“clearing house” in bye-law 1; and
