General Manager of the Swiss affiliate. In 1994, he completed<br />
an executive program at INSEAD and subsequently<br />
joined Feintool International Inc. in 1998. During his fouryear<br />
tenure as CEO, the company went public and doubled<br />
in size. In 2003, he returned to Mettler Toledo as CEO of the<br />
Laboratory Division. At the end of 2007, he joined CTC Analytics<br />
near Basel to further develop this medium-sized<br />
company as an entrepreneur.<br />
OPERATING PRINCIPLES OF THE BOARD OF DIRECTORS<br />
The Board of Directors meets at least four times a year for<br />
one-day meetings and as often as business requires. In<br />
<strong>2011</strong>, it held nine meetings. The extent to which the Board<br />
allocated its time and attention to various issues and agenda<br />
points is shown in chart above. Its major tasks included:<br />

Beat Lüthi has been a member of the Board of Directors of<br />
<strong>Straumann</strong> since 2010 and is elected until 2012. He is also a<br />
member of the Board of Directors of the Bossard Group.<br />
He combines entrepreneurship and <strong>corporate</strong> experience<br />
in different industries, which make him a valuable contributor<br />
to strategic and operational matters. His scientific<br />
background together with his experience in service businesses<br />
are of further benefit to the <strong>Straumann</strong> Board.<br />
STEFAN MEISTER<br />
Swiss (born 1965),<br />
Chairman of the Human Resources Committee<br />
Stefan Meister holds a degree in economics from Basel University.<br />
He started his career at Sandoz Pharma in 1991.<br />
From 1995 to 2009 he worked for Celesio AG, a leading pharmaceutical<br />
distribution and services company. From 1999,<br />
he was a member of the Celesio Management Board, where<br />
his responsibilities included Finance and Controlling, IT,<br />
Human Resources and the Pharmacy Business. In 2010, Stefan<br />
Meister joined the Management Board of Franz Haniel<br />
& Cie. GmbH, a family-owned, international group of companies<br />
holding – amongst others – a major stake in Metro<br />
AG and a majority stake in Celesio. At Haniel, he was responsible<br />
for the operating businesses CWS-boco and ELG as<br />
well as Group Finance, IT and Corporate Responsibility.<br />
In September <strong>2011</strong>, Stefan Meister took office as Member of<br />
the Board and Chief Operating Officer of Kedge Capital<br />
Holdings (Jersey) Ltd., the holding company for the Bertarelli<br />

Family Investments. With his thorough understanding of<br />
portfolio businesses and macro-level strategic leadership,<br />
he assumes operating leadership and drives the strategic<br />
development of the Bertarelli Family Investments in close<br />
cooperation with the Board and its Chairman.<br />
Stefan Meister is a Member of the Advisory Board of BPN<br />
(Business Professionals Network) in Bern. He has been a<br />
member of the Board of Directors of <strong>Straumann</strong> since 2010<br />
and is elected until 2012.<br />
He complements the Board with in-depth knowledge in the<br />
healthcare sector and from industries with comparable<br />
business models/challenges to those of <strong>Straumann</strong>. He also<br />
has a wealth of experience in <strong>governance</strong>, finance and human<br />
resources management.
