He joined <strong>Straumann</strong> in 2005 as Head of the Surgical Business<br />

Unit. From 2008 to 2010, he also headed <strong>Straumann</strong>'s<br />

Regenerative Franchise and was a member of the Corporate<br />

Management Group.<br />

Dr Willi holds a Master’s degree in Chemical Engineering,<br />

a PhD in Technical Sciences and a postgraduate degree in<br />

Industrial Engineering and Management, all completed<br />

at the Swiss Federal Institute of Technology in Zurich. He<br />

is also an alumnus of the Medtronic Marketing Leader Pro-<br />

gram at the Wharton School (University of Pennsylvania).<br />

Dr Willi was appointed to his current position at the beginning<br />

of 2012.<br />

CORPORATE MANAGEMENT GROUP <strong>2011</strong><br />

The EMB is supported by the Corporate Management<br />

Group (CMG), which serves as a discussion, sounding and<br />

alignment board for the EMB. On 31 December <strong>2011</strong>, the<br />

CMG comprised 17 members: the Sales Heads of: Central<br />

Europe, Western Europe, Iberia, Nordics, Benelux, APAC,<br />

Japan, China, CARES Digital Solutions, and Regenerative; the<br />

Heads of: Global Marketing, Business Unit Surgical, Projects<br />

& Portfolio Planning, Global Operations, Corporate Human<br />

Resources, Corporate Business Development & Licensing,<br />

and the General Counsel.<br />

Changes in 2012<br />

As part of the company’s reorganization, the CMG was redefined<br />

at the beginning of 2012 and expanded slightly to<br />

21 members including: the Sales Heads of Central Europe,<br />

Western Europe, Iberia, Japan, China and North America;<br />

the Heads of Global Distributor Sales, Regenerative, Clinic<br />

Prosthetics, Lab Prosthetics, and Intra-Oral Scanners; the<br />

Market Managers of Surgical and Prosthetics, the Heads of<br />

Communication & Marketing Services, Project & Portfolio<br />

Planning, Product Management Surgical, Global Operations,<br />

Corporate Human Resources, Corporate Business Development<br />

& Licensing, Corporate Accounting, Planning &<br />

Reporting, and the General Counsel.<br />

Almost all of the new positions in the CMG were filled<br />

through internal promotions. The appointment and term<br />

of office of CMG members is decided by the EMB.<br />

SUPERVISORY/CONSULTING/POLITICAL FUNCTIONS<br />

Beat Spalinger is a Member of the Board of Directors and<br />

Board of Trustees of the independent academic network International<br />

Team for Implantology (ITI). <strong>Straumann</strong> supports<br />

the ITI with payments under a collaboration agreement<br />

(see Note 28 of the Audited Consolidated Financial<br />

Statements on p. 199 for details of payments in <strong>2011</strong>).<br />

Sandro Matter is a member of the Industrial Advisory Board<br />

for the Department of Mechanical & Process Engineering of<br />

the ETH Zurich. Apart from these two cases, none of the Executive<br />

Management Board:<br />

• Performed any activities in governing or supervisory<br />

bodies of significant foreign or domestic organizations,<br />

institutions or foundations under private or public law<br />

• Held any permanent management or consultancy function<br />

for significant domestic or foreign interest groups<br />

• Held any official function or political post.<br />

MANAGEMENT CONTRACTS<br />

The Board of Directors and the Executive Management<br />

Board run the business directly. They have not delegated<br />

any managerial powers to persons or companies outside<br />

<strong>Straumann</strong>.<br />

INTERNAL MANAGEMENT DEVELOPMENT<br />

<strong>Straumann</strong> continued the Strategic Management Development<br />

System (SMD) program initiated in 2008 to assess, develop<br />

and deploy key people. The Group’s goal is to fill at<br />

least 50% of key management positions with internal candidates.<br />

With the exception of the CFO and the vacant position<br />

of Head of Sales Asia/Pacific, all of the Executive Management<br />

positions have been filled with internal candidates.<br />
