1 I/We -------------------- have read the various conditions to tender attached here to and agree to<br />

60 days from the date fixed opening the same and in default thereof. I/we will be liable to forfeiture<br />

<strong>Railway</strong> that such documents are ready and<br />

I/We do not commence the work with in 15 days after receipt of orders of that effect.<br />

Until a formal agreement is prepared and executed, acceptance of this tender shall constitute a<br />

binding contract between us subject to modification, as may be mutually agreed to between us and<br />

indicated in the letter of acceptance of my/our offer for this work.<br />

1 The tender is advised to inspect the work site and seek clarification if any before quoting the rates.<br />

2 Agency/ contractor to quote single rates for NS items i.e % age above/ below/at par.<br />

3Payment for various NS item, shall be basis of rates as indicated on the above table duly modified<br />

by % age above/ below/at par<br />

4 For various N.S Item if rates are quoted separately by the party, it shall be considered as a<br />

conditional offer and shall be summarily rejected.<br />

5.The rates to be quoted by the tenderer. Both in words and in figures failing which tender is liable<br />

to be rejected.<br />

6. The contractor values given above are approx. and subject to variation according to actual<br />

requirement to <strong>Railway</strong> . <strong>No</strong> claim on this account will be entertained by <strong>Railway</strong> Administration. The<br />

operation of any item can be withheld without citing any reason by the Administration<br />

7. The administration reserves the right to review the work after six months and terminate/ close<br />

the tender after review without any financial repercussions on either side./ I we clearly understand<br />

that i/We are not entitled to any compensation on account of any variation in the value of contract<br />

and also agree to complete all such works allotted to me/us with in stipulated period.<br />

Branch N. Rly Ambala Cantt and under takes to inform the Sr. Divisional Commercial Manager<br />

<strong>No</strong>rthern <strong>Railway</strong> Ambala Cantt in writing at once of my /our relative if subsequently appointed or<br />

transferred during the currency of this tender and will obey and abide by all the instructions even to<br />

me/us by officers and contains in the enclosed special terms and condition.<br />

Special Terms and Conditions.<br />

1.0 General<br />

MEANING OF TERMS<br />

1(1). Definition:<br />

In these General Conditions of contract, the following terms shall have the<br />

Definitions/meanings assigned hereunder except where the context otherwise requires:-<br />

“<strong>Railway</strong>” shall mean the President of the Republic of India or the Administrative Officers of<br />

the Indian <strong>Railway</strong> or of the Successor <strong>Railway</strong> authorized to deal with any matters, which<br />

these presents are concerned on his behalf.<br />

“General Manager” shall mean the officer in charge of the Chief Commercial Manager and<br />

control of the <strong>Railway</strong>.<br />

“Chief Commercial Manger” shall mean the officer in charge of the Commercial Department<br />

of the <strong>Railway</strong>.<br />

“Divisional <strong>Railway</strong> Manager” shall mean the officer in charge of division and shall mean<br />

and include the Divisional <strong>Railway</strong> Manager of the successor <strong>Railway</strong>.<br />

“Officer’ shall mean the Sr. Divisional Commercial Manger/Divisional Commercial Manager,<br />

executive in-charge of the works as the case may be and shall include the officers of the<br />

commercial Department of the Indian <strong>Railway</strong>.<br />

“Department’s Representative” shall mean the Assistant Divisional Commercial Manager<br />

Officer/Divisional Commercial Manager/Sr. Divisional Commercial Manager in direct charge


of the work and shall include Sectional Commercial Inspector/ station Supdt or any Inspector<br />

of the Commercial manager appointed by the Indian <strong>Railway</strong> and shall mean and include the<br />

Department’s Representative of the successor <strong>Railway</strong>.<br />

“Contractor” shall mean the person/the firm/Co-operative or Company whether incorporated<br />

or not who enters into the contract with the <strong>Railway</strong> shall and shall include their executors,<br />

administrators, Successors and permitted assigns.<br />

“Contract” shall mean and include the agreement of work order the accepted schedule of<br />

rates or the schedule of rates of <strong>No</strong>rthern <strong>Railway</strong> modified by the tender percentage for<br />

items of works quantified or not quantified, the general conditions of contract, the special<br />

conditions of the contract, if any, the drawings, the specifications, the special specifications,<br />

if any and tender forms if any.<br />

“Works” shall mean the works to be executed in accordance with the contract.<br />

“Specifications’ shall mean the standard specifications for Materials & Works, of <strong>No</strong>rthern<br />

<strong>Railway</strong> issued under the authority of the Sr. Divisional Commercial Manager or as<br />

amplified, added to or superseded by special specifications, if any.” Schedule of rates<br />

<strong>No</strong>rthern <strong>Railway</strong>” shall mean the schedule of rates issued under the authority of the Chief<br />

Engineer/Chief Commercial Manager from time to time.<br />

“Drawings” shall mean the maps, drawings, plans and tracings or prints thereof annexed to<br />

the contract and shall include any modifications of such drawings and further drawings as<br />

may be issued by the Chief Engineer/Chief Commercial Manager from time to time.<br />

“Constructional Plan” shall mean all appliances or things of whatsoever nature required for<br />

the execution, completion or maintenance of the works or the temporary works (as<br />

hereinafter defined) but do not include materials or other things pended to form or forming<br />

part of the permanent work.<br />

“Temporary works” shall mean all temporary works of every kind required for the execution,<br />

completion and /or maintenance of the works.<br />

“Site” shall mean the lands and other places on, under, in, or through which the works are to<br />

be carried out and any other lands or places provided by the railways for the purpose of the<br />

contract.<br />

“Period of maintenance” shall mean specified period of the maintenance from the date of<br />

completion of the works as certified by the Officer.<br />

GCC shall mean General Conditions of contract, May 1999 issued by <strong>No</strong>rthern <strong>Railway</strong> as<br />

amended from time to time.<br />

1(2).Singular & Plural<br />

Words imparting the singular number shall also include the plural and vice versa where the<br />

context requires.<br />

1(3).Heading & Marginal Heading<br />

The heading and marginal headings in these general conditions are solely for the purpose of<br />

facilitating reference and shall not be deemed to be part thereof or to be taken into<br />

consideration in the interpretation or construction thereof or the contract.<br />

1 (4) All offers shall be submitted before the time and date fixed for the receipt of the offers<br />

as set forth in the tender papers. Offers received after the stipulated time and date shall not<br />

be considered. <strong>Tender</strong> papers are not transferable.


2. Technical Qualifications :<br />

The contractor should fulfill following technical criteria to be eligible for consideration<br />

2 (a) Earnest Money –<br />

2 (a) (i) The tenderer shall be required to deposit earnest money with the tender, for the due<br />

performance, with the stipulation to keep the offer open till such date as specified in the<br />

tender, under the conditions of tender. The earnest money shall be 2% of the estimated<br />

tender value as indicated in the tender notice. The earnest money shall be rounded to the<br />

nearest Rs. 10/-.<br />

2 (a) (ii) It shall be understood that the tender documents have been sold/issued to the<br />

tenderer and the tenderer is permitted to tender in consideration of stipulation on his part,<br />

that after submitting his tender he will not resile from his offer or modify the terms and<br />

conditions thereof in a manner not acceptable to the Officer. Should the tenderer fail to<br />

observe or comply with the said stipulation, the aforesaid amount shall be liable to be<br />

forfeited to the <strong>Railway</strong>.<br />

2 (a) (iii) If his tender is accepted, this earnest money mentioned in sub-clause 2(a)(i) above<br />

will be retained as part security for the due and faithful fulfilment of the contract in terms of<br />

Clause 16 of the General Conditions of Contract. The earnest money of other tenderers,<br />

shall save as herein before provided, be returned to them, but the <strong>Railway</strong> shall not be<br />

responsible for any loss or depreciation that may happen thereto while in their possession,<br />

nor be liable to pay interest thereon.<br />

2 (a) (iv)The earnest money should be in cash or in any of the following forms,<br />

(i) A deposit in cash<br />

(ii) Government securities at 5% below the market value<br />

(iii) Deposit receipts or demand drafts of the nationalized banks<br />

(iv)A deposit in the Post office saving bank<br />

(v) National Savings Certificates<br />

(vi)Twelve year national Defence certificates<br />

(vii)Ten Year Defence Deposits,<br />

(viii)National Defence Bonds,<br />

(ix) Time Deposit Account which came into force on 16.3.1970 and notified under Ministry of<br />

Finance, <strong>No</strong>tification <strong>No</strong>. F3(7)NS/70 dated 28.2.1970,<br />

(x) IRFC Bonds.<br />

<strong>No</strong>te (vi) to (viii) These certificates/bonds may be accepted at their surrender value.<br />

2 (b) Proof of Eligibility Criterion such as credentials to be submitted along with<br />

tender/s.<br />

(i) As a proof of having experience for similar nature of work.<br />

The Similar nature of work is defined as under:<br />

All the tenderers have to submit experience in similar nature of work in absence of which the<br />

offer shall be rejected. Similar nature of work means any one of Disposal of garbage from<br />

garbage bins, Picking of garbage from open area/track also termed as Rag Picking,<br />

Collection of garbage door to door from each house hold in colonies and mechanized<br />

housekeeping works of offices, hotels, factories, airports, <strong>Railway</strong> Stations, service buildings,<br />

hospitals, workshops etc., Desilting of Nallahs and drains; septic tanks and bio gas<br />

chambers and Manholes/sewer/sewer lines and leading of silt etc to disposal grounds,<br />

Jungle cutting as a part of sanitation work, Surface cleaning by mechanical means including


oads, open ground, platforms, circulating areas, service buildings, waiting room, retiring<br />

room, toilets, urinals, coach cleaning, train cleaning including leading of garbage etc to<br />

disposal ground etc.<br />

3. Certificates attached as proof of experience, issued by private individuals, for whom such<br />

works are executed/being executed shall not be accepted.<br />

4. Financial Credibility<br />

As a proof of sufficient financial capacity and organizational resources, contractor should<br />

submit bank statement .<br />

5. Contractor has to satisfy the eligibility criteria for technical capability and competence as<br />

well as for financial capacity and organizational resources.<br />

6. VALIDITY<br />

This contract shall be valid for a period of 24 Months (Two Years)<br />

7. Security Money<br />

The security money will be @ 5% of the total value of the contract. The security deposit /rate of<br />

recovery /mode of recovery shall be as under: -<br />

The rate of recovery shall be at the rate of 10% of the bill amount till the full security deposit is<br />

recovered<br />

Security deposits (SD) will be recovered only from the running bills of the contract and no other<br />

mode of collecting SD such as SD in the form of instruments like Bank Guarantee, Fixed Deposits etc.<br />

shall be accepted towards security deposit. Security deposit shall be returned to the contractor after<br />

the physical completion of the works as certified by the competent authority.<br />

8. Performance Guarantee<br />

8 (a) The successful bidder shall give a performance guarantee in the form of an irrevocable bank<br />

guarantee amounting to 5% of the contract value.<br />

The performance guarantee should be furnished by the successful contractor after the letter of<br />

acceptance has been issued, but before signing of the agreement and should be valid up to expiry of<br />

the maintenance period .The agreement should normally be signed with 15 (Fifteen) days after the<br />

issue of Letter Of Acceptance and performance Guarantee should also be submitted within this time<br />

limit.<br />

Performance guarantee shall be released after satisfactory completion of the work and maintenance<br />

period is over .The procedure for releasing shall be same as for security deposit,<br />

8 (b) wherever the contracts are rescinded, the security deposit shall be forfeited and the<br />

performance guarantee shall be encashed and the balance work shall be got done separately, the<br />

original contractor shall be debarred from participating in the tender for executing the balance work.<br />

If the failed contractor is a JV or a partnership firm, then every member / partner of such a firm<br />

would be debarred from participating in the tender for the balance work either in his /her individual<br />

capacity or as a partner of any other JV/partnership firm.


9. The contractor or his nominated supervisor shall be available all the times for<br />

inspection/supervision.<br />

10. <strong>No</strong> material shall be supplied by railways. The contractor shall use latest / environment friendly /<br />

biodegradable cleaning materials and supply protective gear to his workers. The brands/cleaning<br />

material shall be approved by officer before start of work.<br />

11 Payments on monthly basis for the items mentioned in Schedule of Rates will be made on<br />

satisfactory completion of work. Concerned CMI/<strong>Dhuri</strong> and Station Supdt/<strong>Dhuri</strong> be inspecting<br />

authorities.<br />

12. The <strong>Railway</strong>s is at liberty to accept or reject the tender without assigning any reason thereof.<br />

13. All the work done by the contractor will be subject to the satisfaction of and according to the<br />

instructions given by the Sr. Divisional Commercial Manager N.Rly Ambala Cantt or any subordinate<br />

nominated by him to supervise the work.<br />

14. The contractor will supply the identity card, uniform, illuminated jackets with reflective bands<br />

and name plates to his labour at his own cost. The identity card shall bear the signatures and seal of<br />

Contractor and concerned Station Supdt/ <strong>Dhuri</strong> The uniform should have approval of the Sr.<br />

DCM/UMB. In case contractor’s labour is found working without uniform, a sum of Rs. Ten per<br />

person per day shall be deducted from the contractor’s bill. This deduction shall not prejudice the<br />

right of administration to impose any other penalty on this account.<br />

15. Payment of Taxes Sales Tax, works contract tax or any other tax on material and on overall work<br />

in respect of this contract shall be payable by the contractor and the authority will not entertain any<br />

claim whatsoever in this respect. Service tax in respect of this contract shall be payable by the<br />

contractor. <strong>Tender</strong>ed rates are inclusive of all taxes, duties and levies payable under the respective<br />

state statute. However, pursuant to the constitution (Forty sixth Amendment) Act, 1982, if any<br />

further tax or duty or levy is imposed by State, after the date of receipt of tenders, and the<br />

contractors there-upon necessarily and properly pays such taxes/levies the contractor shall be<br />

reimbursed the amount so paid (on production of proof of payment of such taxes) , provided such<br />

payment, if any, is not, in the opinion of Officer (Whose decision shall be final and binding)<br />

attributable to delay in execution of work within the control of the contractor.<br />

(i) The contractor shall keep necessary books of accounts and other documents for the purpose of<br />

this condition as may be necessary and shall allow inspection of the same by the Officer and further<br />

shall furnish such other information / document as the Officer may require.<br />

(ii) The contractor shall, with in a period of 30 days of imposition of any further tax of levy, pursuant<br />

to the constitution (Forty sixth Amendment) Act 1982 give a written notice thereof to the Officer<br />

that the same is given pursuant to this condition, together with all necessary information relating<br />

there to.<br />

(iii) The quoted rates of the contractor shall also be inclusive of works contract tax, sales tax, and<br />

other such taxes as applicable. For this purpose the contractor shall be required to obtain<br />

Registration/License from appropriate authority within fifteen days from the date of issue of award<br />

letter. If the contractor fails to pay the works contract tax, sales tax or other statutory levies etc,


ecovery will be made as applicable from time to time and the same will be remitted to the<br />

appropriate authority.<br />

16. The special conditions shall supersede any similar provision in the General Conditions of<br />

Contract.<br />

17. Care in submission of tenders – Before submitting a tender, the tenderer will be deemed to<br />

have satisfied himself by actual inspection of the site and locality of the works, that all conditions<br />

liable to be encountered during the execution of the works are taken into account and that the rates<br />

he enters in the tender forms are adequate and all inclusive to accord with the provisions in clause<br />

37 of the General conditions of contract for the completion of works to the entire satisfaction of the<br />

Officer.<br />

18. Right of <strong>Railway</strong> to deal with tenders – The <strong>Railway</strong> reserves the right of not to invite tenders<br />

for any of <strong>Railway</strong> work or works or to invite open or limited tenders and when tenders are called to<br />

accept a tender in whole or in part or reject any tender or all tenders without assigning reasons for<br />

any such action.<br />

19. Compliance of related Acts & Laws.<br />

19 (a) The Contractor shall comply with the provisions of the payment of Wages Act 1936, Minimum<br />

Wages Act 1948, Employees Liability Act 1938, workmen’s Compensation Act 1923, Industrial<br />

disputes Act, 1947, Maternity Benefits Act 1961 of the Contractor’s Labour (Regulation & Abolition)<br />

Act 1970, Any other state/local rules/regulations applicable as required by local authorities or the<br />

modification there of or any other laws relating thereto and the rules made the under from time to<br />

time.<br />

19(b) The Contractor shall indemnify <strong>Railway</strong>s against payments to be made under and for the<br />

observance of the Laws aforesaid. The regulations aforesaid shall be deemed to be a part of this<br />

contract and any breach thereof shall be deemed to be a breach of this contract.<br />

20. The contractor shall obtain necessary labour license from appropriate authority before starting<br />

the work.<br />

21. <strong>No</strong> labour below the age of eighteen years shall be employed on the work<br />

22. Payment of wages to labour.<br />

The contractor shall, not with standing the provisions of any contract, to the contrary, cause to be<br />

paid fair wage to labour.<br />

23. In respect of all labour directly or indirectly employed in the work for the performance of the<br />

contractor’s part of this agreement the contractor shall at his own expense arrange for the safety<br />

provisions and shall at his own expense provide for all facilities in connection therewith.<br />

24 CONSTITUTION OF FIRMS :<br />

(a). <strong>Tender</strong>ers should specifically and fully disclose their respective constitutions and submit<br />

along with tender attested copies of documents like partnership deed, articles or memorandum of<br />

Association, certificates of Incorporation etc., If any, in support of such disclosures. If a tenderer is a<br />

firm i.e. a partnership business it should be stated whether the name of the firm is registered under<br />

the Indian Partnership Act and the names and addresses of all the partners of the firm should be


fully disclosed. The <strong>Railway</strong> Administration shall always have the liberty to ask for production of the<br />

Originals of the said documents and also make out further and other requisitions regarding the<br />

constitutions of the tenderers as may be considered necessary from the time to time.<br />

(b).When the work is tendered by a firm or company of contractors, the <strong>Tender</strong> shall be signed by<br />

the individual legally authorized to enter into commitments on their behalf.<br />

The <strong>Railway</strong> will not be bound any power of attorney granted by the <strong>Tender</strong>ers or by changes in the<br />

composition of the firm made subsequent to the execution of the contract. It may however<br />

recognize such power of attorney and changes after obtaining proper legal advise and the cost of<br />

which will be chargeable to the contractor as following<br />

(i). for initial vetting Rs.100/-<br />

(ii). for subsequent vetting Rs.30/-<br />

(c). If the tenderer(s) deliberately gives/give wrong information in his/their or creates/create<br />

circumstances for the acceptance of his/their tender, the <strong>Railway</strong> reserve the right to reject such<br />

tender at any stage.<br />

(d). If the tenderer(s) expires after the submission of his/their tender or after the acceptance of<br />

his/their tender, the <strong>Railway</strong> shall deem such tender cancelled. If a partner of a firm expires after<br />

the submission of their tender or after the acceptance of their tender, the <strong>Railway</strong> shall deem such<br />

tender and cancelled, unless the firm retains its character.<br />

(e) Partnership firm is eligible to quote, if entered into prior to issue of tender notice. <strong>Tender</strong>er<br />

should endorse/submit experience certificate in the same name and style. The credentials shall be<br />

considered to the extent of work executed by the partnership firm. Experience of individual partner<br />

will not be considered.<br />

25. EXECUTION OF CONTRACT AGREEMENT (DOCUMENT) :<br />

The tenderer whose tender is accepted shall be required to appear in person at the office of t he Sr.<br />

Divisional Commercial Manager <strong>No</strong>rthern <strong>Railway</strong> Ambala Cantt, as the case may be or, if a firm or<br />

corporation, a duly authorised representative shall so appear and execute the contract documents<br />

within 15(Fifteen) days after the notice that the contract has been awarded to him. Failure to do so<br />

shall constitute a breach of the agreement by the acceptance of the tender in which case the full<br />

value of the earnest money submitted along with the tender stands forfeited without prejudice to<br />

any other right or remedies. In the event of any tenderer whose tender is accepted, refuses to<br />

execute the contract documents as herein before provided, the <strong>Railway</strong> may determine that such<br />

tenderer has abandoned the contract and there upon his tender and acceptance thereof shall be<br />

treated as cancelled and the <strong>Railway</strong> shall be entitled to forfeit the full amount of the Earnest<br />

Money. The agreement as well as provisions contained in tender papers shall form part of the<br />

contract. In any respect about which any of the provisions in the said agreement form can not be<br />

reconciled with any of the provisions in the tender papers the latter shall prevail.<br />

25.B VARIATION:<br />

The quantities provided in the Schedule are approximate and liable to vary up to 25% on either side<br />

at same rates terms and conditions. In case, the Agree mental value goes beyond (+) 25% payment<br />

shall be at following rates:<br />

(a).For the first 15% increase in the value beyond 25% of Agree mental value, the rates will have a<br />

reduction of 2% in the incremental value of the agreement.


(b).For the next 10% increase in the value, rates will have and additional reduction of 2% in the<br />

further incremental value of the agreement.<br />

26. Inspection<br />

Unless specifically mentioned, Commercial Officers, Commercial Inspector/ <strong>Dhuri</strong> ,Station<br />

Supdt/<strong>Dhuri</strong> are nominated as inspecting authorities and fine imposing authorities from<br />

administration side. The contractor shall abide by all instructions given by inspecting authority. The<br />

contractor shall report to concerned CMI/<strong>Dhuri</strong> & SS/<strong>Dhuri</strong> before starting the work for taking<br />

guidelines.<br />

27. Penalty<br />

27.1 In case the contractor’s work is found unsatisfactory or not done, the contractor shall not be<br />

paid for it. In addition, the authorised Representative has the right to impose penalty which shall be<br />

minimum Rs. 50/- and maximum up to 20% of the value of total work done, depending on the<br />

quantum of deficiency. The Officer shall finalize the amount of penalty to be imposed considering<br />

the circumstances. This shall be in addition to the <strong>Railway</strong>’s right to get the left over work done by<br />

any other agency in the larger interest of general hygiene.<br />

27.2 The administration reserves the right to get the work not done by contractor by any other<br />

agency for which no previous notice shall be requited to be given to the contractor. Any other<br />

agency in this case shall include local working railway contractor who is doing similar work as<br />

defined in condition no. 2 and for this work the agency shall be paid by cheque after the end of the<br />

month concerned, on production of certified bill.Payment shall be made every month after<br />

entering into measurement book by SS/<strong>Dhuri</strong><br />

28. (i)The tenderer to give consent in a mandate form for receipt of payment through ECS/EFT.<br />

(ii) <strong>Tender</strong>er to provide the details of Bank Account in line with RBI guidelines for the same. The<br />

details will include Bank name, Branch Name and Address, Account type, Bank A/c <strong>No</strong> and<br />

Bank and branch code as appearing on MICR cheque issued by Bank.<br />

(ii)(<strong>Tender</strong>er to attach certificate from their Bank certifying the correctness of all<br />

above mentioned information ( as mentioned in Para (ii) above)<br />

(iii) In case of non payment through ECS/EFT or where ECS/EFT facility is not available payment<br />

will be released through cheque.<br />

29. General Condition of Contract for use in connection with sanitation tender definitions and<br />

interpretations which has already been signed by the tenderer will also be applicable.<br />
