Company History<br />

In early 1987, <strong>Harley</strong> <strong>Marine</strong>'s Founder and current Chairman, <strong>Harley</strong> Franco, recognized the need<br />

for a customer-oriented marine transportation company in Puget Sound. Mr. Franco started his<br />

business with one leased tug and barge under the name Olympic Tug & Barge, <strong>Inc</strong>. and slowly<br />

built the company by instituting and, in some cases, pioneering quality operating and safety<br />

procedures and environmental protection standards. Portland operations started in 1993 as a<br />

marine transportation bunker supplier on the Willamette and Columbia River.<br />

In mid-1998, <strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> was formed as a holding company for acquisitions in the<br />

marine services field that the company desired to add to its ever-growing lists of services. In early<br />

1998, the Company acquired Pacific Coast Maritime, a marine services company founded in 1982<br />

that provided tug and barge services in Alaska, Washington and California. Also in mid-1998,<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> purchased the assets of Links <strong>Marine</strong>, the marine transportation division of<br />

Chemoil Corporation. This company was renamed Westoil <strong>Marine</strong> <strong>Services</strong>, <strong>Inc</strong>. and primarily<br />

provides the transportation of marine fuels in Los Angeles and Long Beach Harbors.<br />

In May 2000, <strong>Harley</strong> <strong>Marine</strong> began providing ship assist, tanker escort, and towing services in Los<br />

Angeles and Long Beach Harbors with four state-of-the-art tractor tugs under the name Millennium<br />

Maritime, <strong>Inc</strong>. In July 2000, <strong>Harley</strong> <strong>Marine</strong> purchased Public Service <strong>Marine</strong>, <strong>Inc</strong>. founded in<br />

1978 to build and operate the barge Jovalan, which transported petroleum products for public<br />

utilities in Southern California. At the time, the Jovalan was known for its cutting edge, patent<br />

protected technology of the world‟s first self contained, vessel-mounted vapor recovery unit. Since<br />

then, <strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> has redesigned the cryogenic vapor recovery processing unit to meet<br />

today‟s standards and air quality requirements. In addition, the Jovalan has been replaced with the<br />

Olympic Spirit, which is equipped with the latest <strong>Harley</strong> <strong>Marine</strong> vapor processing unit.<br />

In the fall of 1999 Pacific Northern Oil (PNO) sold its assets to Chevron's Fuel and <strong>Marine</strong> Marketing<br />

(FAMM). At that time, Pacific Terminal <strong>Services</strong>, <strong>Inc</strong>. was formed to operate the PNO terminals<br />

for FAMM. In June 2004 FAMM ceased operations in Washington State and Pacific Terminal<br />

<strong>Services</strong> consolidated operations to the Portland, Oregon terminal.<br />

<strong>Harley</strong> <strong>Marine</strong> entered the San Francisco Bay Area market in April of 2003 under the name<br />

Starlight <strong>Marine</strong> <strong>Services</strong>, providing petroleum transportation, ship assist, tanker escort and<br />

general towing services. In late 2006, <strong>Harley</strong> <strong>Marine</strong> established its first east coast company,<br />

<strong>Harley</strong> <strong>Marine</strong> NY, <strong>Inc</strong>. <strong>Harley</strong> <strong>Marine</strong> NY uses some of the latest model vessels, including three<br />

double hull barges and two tugs to transport petroleum products in the harbor.<br />

The most recent addition to the <strong>Harley</strong> <strong>Marine</strong> family of companies is <strong>Harley</strong> <strong>Marine</strong> Gulf. In<br />

February 2011, <strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> acquired the former MGI of Houston, Texas. This<br />

acquisition has expanded <strong>Harley</strong> <strong>Marine</strong>‟s services to the US Gulf Coast and now the company is<br />

a leading provider of petroleum transportation services nationally.

Petroleum <strong>Services</strong><br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> transports petroleum<br />

products for all of the major oil companies.<br />

These services consist of moving product from<br />

one terminal (including refineries, offshore<br />

platforms and storage facilities) to another,<br />

providing marine fuel to ships in port, and<br />

temporarily removing marine cargoes from<br />

ships just outside of port (lightering).<br />

Tank Storage<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> stores petroleum<br />

products at a marine terminal for a major oil<br />

company. The terminal operation receives,<br />

stores, blends and ships marine fuels.<br />

Ship Assist and Escort<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> provides 24 hour ship<br />

assist and tanker escort services to shipping<br />

lines that call into U.S. ports. Their tugs<br />

primarily provide safe assistance to large<br />

tankers, container, and bulk ships as they<br />

enter and depart from the harbors.<br />

Rescue & General Towing<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> utilizes its deck barges<br />

and tugs to provide coastwise and harbor tows<br />

for general cargo, containers, equipment,<br />

gravel, sand, and cement. Local tugs are also<br />

capable of performing emergency and rescue<br />

tows to vessels.<br />

MARINE VAPOR RECOVERY SYSTEM<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> has developed state-of-the-art, self contained vapor recovery systems in<br />

order to process the hydrocarbon vapors given off by products as they are loaded onto barges.<br />

This reduces the carbon footprint for not only <strong>Harley</strong> <strong>Marine</strong> but for its valued customers. Currently<br />

two types of vapor recovery systems are in use onboard vessels, the first is a pressure/condensate<br />

and the other is a carbon canister. Both systems exceed air quality standards currently in place in<br />

all Air Quality Districts in California. This technology allows customers more flexibility to trade in<br />

areas otherwise off limits.

Fleet Capabilities<br />

<strong>Harley</strong> <strong>Marine</strong> has a diverse fleet positioned strategically within the United States to meet and<br />

exceed customer expectations. The fleet consists of over 75 vessels including 43(+) oil barges,<br />

of which 31 are double hull, and 32(+) tugs. The fleet is one of the most modern and best<br />

equipped in the industry.<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> is on track to meet the double hulled tank barge requirement of OPA „90<br />

by 2012, prior to the industry wide deadline of 2015.<br />

FLEET MAINTENANCE<br />

In order to keep all company vessels running smoothly and safely, <strong>Harley</strong> <strong>Marine</strong> employs a<br />

dedicated and skilled engineering team. <strong>Harley</strong> <strong>Marine</strong> is committed to using the best available<br />

technologies to prevent unscheduled downtime. However, with experienced shore-side support<br />

in all ports of operation, the qualified crews know they have dependable hands to turn to, should<br />

the need arise.<br />

COMPREHENSIVE CMMS<br />

web-based computerized maintenance<br />

management system (CMMS) to schedule and<br />

keep track of preventative and corrective<br />

maintenance as well as regulatory compliance<br />

and efficient operations by formalizing their corporate commitment to<br />

environmental protection in attaining International Organization for<br />

Standardization (ISO) 14001 Certification for all subsidiary companies.<br />

<strong>Harley</strong> <strong>Marine</strong> has taken the lead in environmental stewardship and is actively<br />

upgrading its fleet and facilities to reduce vessel exhaust emissions and use<br />

less fuel in order to enhance our environment.<br />

Some of the more substantial initiatives that have been executed include:<br />

Powering all vessels with ultra low sulfur fuel which reduces Particulate Matter (PM)<br />

discharged into the environment.<br />

Implementing an aggressive overhaul and replacement program to upgrade the<br />

tugboat engines (main and auxiliary) from existing Tier I standards to Tier II and Tier<br />

III standards. Each upgraded Tier II engine will result in a Nitrogen Oxide (NOx)<br />

emission reduction of 20%. The Tier III engines will reduce NOx by up to 80% from<br />

Tier I standards.<br />

Constructing a new generation of barge mounted Vapor Recovery Unit‟s (VRU).<br />

The state-of-the-art VRU exceeds all air quality requirements and includes more<br />

automation, monitoring and record keeping capabilities. The <strong>Harley</strong> <strong>Marine</strong> VRU<br />

system has United States Coast Guard, American Bureau of Shipping and<br />

California Air Resources Board approvals.<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> has a robust continuing education and training program available for all<br />

personnel. The program was developed to enhance the safety and education of all company<br />

operators and employees.<br />

The company‟s training programs are designed to meet IMO requirements for Standards of<br />

Training, Certification and Watchkeeping (STCW). <strong>Harley</strong> <strong>Marine</strong> teaches employees aspects of<br />

Basic Safety Training, which includes first aid/CPR/AED, personal survival techniques, safety and<br />

social responsibility and basic marine firefighting. All <strong>Harley</strong> <strong>Marine</strong> mariners participate in this<br />

annual training program as well as a HAZWOPER refresher. Senior officer positions including<br />

Captains and Mates receive simulator training in navigational skills, instruction on mentorship and<br />

computer-based training for conducting crew assessments. The crew assessment training meets<br />

the Coast Guard requirements to become a Designated Examiner. A new vessel management<br />

assessment program is also being developed to assess a Master‟s ability to manage crew and<br />

vessel operations.<br />

Along with the formalized training, crews participate in ongoing skill development in the form of<br />

regular emergency drills and weekly safety meetings. Each new crewmember hired at <strong>Harley</strong><br />

<strong>Marine</strong> receives an orientation in company policies and procedures along with a briefing on the<br />

OSHA standards for hazard communication and bloodbourne pathogens.<br />

<strong>Harley</strong> <strong>Marine</strong> management are regularly trained on a variety of management topics. Training is<br />

focused on leadership, communications and compliance with laws and regulations. Managers<br />

are held to a high level of accountability as they are required to complete the trainings and<br />

assessments as part of their annual review.<br />

Additionally, an educational reimbursement program has been established to fund employee‟s for<br />

necessary educational related expenses. The educational reimbursement program adds flexibility<br />

to the HMS training programs, thereby meeting the diverse needs of the employees.<br />

In accordance with ISO 9001 certification, <strong>Harley</strong> <strong>Marine</strong> strives for continual improvement in the<br />

training programs and skill assessments developed. <strong>Harley</strong> <strong>Marine</strong>‟s multifaceted approach to<br />

CRUISIN’ FOR A CURE<br />

Since inception, <strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> has been committed<br />

to several charity and community programs. Although there<br />

are many organizations supported, one of the most significant<br />

in time and resources is the Cystic Fibrosis Foundation. Cystic<br />

Fibrosis is an inherited chronic disease that affects the lungs<br />

and digestive system of about 30,000 children and adults in the<br />

United States. The ultimate goal of the Foundation is to better the lives of children living with<br />

cystic fibrosis and to one day find a cure for the disease.<br />

Several pieces of equipment in the <strong>Harley</strong> <strong>Marine</strong> fleet are named after supporters and children<br />

with cystic fibrosis.<br />

<strong>Harley</strong> <strong>Marine</strong> <strong>Services</strong> is proud and honored to name vessels after children battling this<br />

devastating disease; each vessel being a symbol of our continued fight against cystic fibrosis in<br />

hopes of finding a cure. One of the newest barges was named “65 Roses”. Many children call<br />

their disease 65 Roses instead of cystic fibrosis since it is much easier for them to pronounce.<br />

Mary G. Weiss became a volunteer for Cystic Fibrosis in 1965 after learning that her three little<br />

boys had the disease. Her duty as a volunteer was to call local organizations seeking financial<br />

support for CF research. Mary‟s son Richard listened closely to his mother as she made each<br />

call. After several calls, Richard spoke up and said that he knew who his mother was working<br />

for, “65 Roses”. Since then, the term “65 Roses” has been used by children of all ages to<br />

describe their disease. But, making it easier to say, does not make CF any easier to live with.<br />

The <strong>Harley</strong> <strong>Marine</strong> fleet will continue “Cruisin‟ For a Cure” until we can proudly name a barge<br />

“CURE IS FOUND”.<br />

Integrated Technology<br />

<strong>Harley</strong> <strong>Marine</strong> has made a commitment to utilize technology to enhance day-to-day operations<br />

onboard vessels and in all offices. Business functions have been streamlined by incorporating<br />

technology and computer-based systems to the organization. The Vessel Management System<br />

(VMS) is a complete ship-to-shore software solution to replace traditional hand written paper logs,<br />

forms, timesheets, bills of lading, job nominations, safety and regulatory forms, and other written<br />

materials. VMS was specifically designed around the needs of a marine services company and<br />

more specifically, the needs of <strong>Harley</strong> <strong>Marine</strong> and its customers.<br />

HARLEY MARINE CUSTOMER ACCESS CENTER<br />

<strong>Harley</strong> <strong>Marine</strong>‟s Customer Access Center (CAC) launching in Q3 of 2011 will be an information<br />

warehouse for all customer-related data and reporting needs. Focused on delivering customers<br />

near real-time information related to scheduling, billing, and operations the CAC will be a “made to<br />
