The annual <strong>Denton</strong> Kiwanis Firworks<br />

Show will be held at the new UNT Apogee<br />

Stadium on Thursday, July 4th, while the<br />

annual Lake Ray Roberts Marina Fireworks<br />

Show on the lake in Sanger will be Saturday,<br />

July 6th.<br />

After 40 years at Fouts Field, the 2013<br />

NCTC to train United<br />

Copper employees<br />

North Central Texas College has partnered with the<br />

Texas Workforce Commission to provide a training grant to<br />

United Copper, Inc., a copper manufacturing plant located<br />

in <strong>Denton</strong>.<br />

The $85,000 grant will train more than 62 employees<br />

on various skills including programmable logic controllers,<br />

electrical wiring,industrial and shop mathematics, pneumatics,<br />

hydraulics and <strong>com</strong>munication.<br />

The training is funded by a skills grant that is offered<br />

through the Texas Workforce Commission. Lifelong Learning,<br />

the continuing education division of North Central Texas<br />

College, partners extensively with the Texas Workforce<br />

Commission’s field offices to foster economic development<br />

by training employees in advanced skills.<br />

“Grants like these help sustain a <strong>com</strong>pany’s workforce,”<br />

said Diane Mannion, Workforce Development Coordinator<br />

at NCTC. “This particular grant will also help United Copper<br />

streamline their production processes through <strong>com</strong>petency<br />

training.”<br />

Linda Bradley, Human Resource Director at United<br />

Copper, agrees.<br />

“We are very excited to have these resources available to<br />

us to build and expand the skill sets of our current and future<br />

employees,” she said. “Receiving this grant was a goal we<br />

set for our organization when I joined a year ago and I appreciate<br />

all the support and assistance I received from North<br />

Central Texas College and Texas Workforce Commission to<br />

make this happen.”<br />

Training will begin July 18 and will take place on-site<br />

at United Copper and at the Career Technology Center at<br />

NCTC’s Gainesville campus. Former skills grants recipients<br />

include GE Transportation and Labinal, and future workforce<br />

skills grants are in progress.<br />

Employers in Cooke, <strong>Denton</strong> and Montague counties<br />

and the City of Graham who are interested in taking advantage<br />

of collaborations with NCTC and the Texas Workforce<br />

City expands landfill<br />

hours of operation<br />

For customer convenience, the City of <strong>Denton</strong> Solid<br />

Waste & Recycling Department is expanding the hours of<br />

operation at the landfill. Beginning July 1, the landfill will<br />

be open Monday through Friday from 7 a.m. to 5 p.m. and<br />

The Greater <strong>Denton</strong> Arts Council presents<br />

PAPER + WOOD: a collaborative exhibit<br />

by Shelley Scott and Delaney Smith,<br />

opening in the Gough Gallery on July 7,<br />

2013. Both artists create work that explores<br />

the ideas of art, functionality, and sculpture.<br />

Shelley Scott creates unique pieces of<br />

handmade sculpture and furniture. Scott<br />

says, “I approach furniture as sculpture and<br />

most of my work is minimally functional. I<br />

use the stack-lamination process, an additive<br />

process where I layer and glue wood together<br />

to construct a form. With this process I<br />

create organic forms while using materials<br />

that I respectfully collect. The unique properties<br />

I find in bark, branches, roots, abandoned<br />

furniture, and industrial waste often<br />

suggests an idea or form to me. To blend the<br />

multiple scraps and different wood grains I<br />

interweave elements, working as if I were<br />

creating a patchwork quilt, focusing on color,<br />

line, and pattern.”<br />

Delaney Smith is interested in the book<br />

as an object and how people interact with or<br />

relate to its form. She says, “We are taught<br />

at a young age to preserve books. In contrast,<br />

the viewers of my books are invited<br />

to physically alter the pages, which develop<br />

into a unique story of marks. The accumulative<br />

marks created by the viewer create the<br />

content of the book, revealing the individual<br />

with the artwork, the viewers of my<br />

interactive books have a sense of investment<br />

and authority over what happens to the artwork.<br />

The life of the piece is dependent on<br />

the individual that interacts with it, and the<br />

work is considered unfinished until the moment<br />

the viewer begins to alter it.”<br />

The exhibition will open with a reception<br />

on Sunday, July 7, 2013, 2:00 – 4:00 pm.<br />

A smaller, monthly business networking event offers members the opportunity to promote<br />

their products and services to other business professionals while enjoying lunch<br />

and making important business connections. A great opportunity to have conversations<br />

Throughout the year, various fundraising events may be planned. The proceeds from<br />

these events help the Chamber develop and implement new programs and projects to<br />

“Smart <strong>Business</strong> 101” Lunch Series<br />

A monthly series of lunch workshops developed in partnership with the Small <strong>Business</strong><br />

Development Center to address the needs of small businesses through professional<br />

education and training. Through surveys, member feedback and suggestions,<br />

and economic and business trends, speakers and trainers will be selected to provide<br />

pertinent and timely educational information in a training format.<br />

<strong>Business</strong> to <strong>Business</strong> Expo<br />

The Chamber’s largest annual business networking event, the Expo provides the<br />

opportunity to showcase your products and services to over 800 attendees. Exhibitor<br />

space is offered exclusively to Chamber members but attendance is open to all business<br />

professionals. Using the exhibitor booth format allows exhibitors the flexibility<br />

to collect attendee information, provide give-a-ways, connect with booth visitors oneon-one<br />

or in a small group and network with other exhibitors and visitors.<br />

New Member Orientations<br />

Bi-monthly meetings developed to wel<strong>com</strong>e new members and introduce new (and<br />

existing) members to Chamber staff members including Economic Development,<br />

Convention and Visitor Bureau, and Small <strong>Business</strong> Development. A key <strong>com</strong>ponent<br />

of these meetings is to impart important information regarding your partnership with<br />

the Chamber, the benefits to you, and how you can effectively leverage your membership<br />

to grow your business while strengthening the <strong>com</strong>munity. All attendees will<br />

have the opportunity to network and to have their photograph taken for the monthly<br />

Chamber page in the local publications.<br />

Women in Commerce Programs<br />

The goal of these programs is to facilitate the economic self sufficiency and strength<br />

of women owned/operated businesses by offering tools and resources for personal,<br />

professional, and entrepreneurial growth. This program will include events, forums<br />

and an educational <strong>com</strong>ponent.<br />

LEAD Program<br />

The LEAD Program provides a venue for members with the desire to achieve a high<br />

level of involvement with the Chamber and the <strong>com</strong>munity. The LEAD Delegates<br />

<strong>com</strong>mit to one year of voluntary service to the business <strong>com</strong>munity through Chamber<br />

work. Responsibilities such as officiating ribbon cuttings, staffing events, wel<strong>com</strong>ing<br />

new members, strengthening relationships with existing members, increasing membership,<br />

and educating businesses about the role and purpose of the Chamber offer<br />

Delegates the opportunity to take a lead role in the success of the Chamber as an organization<br />

thus strengthening the business <strong>com</strong>munity. Through their work as LEAD<br />

Delegates, members are offered premium opportunities to promote their businesses.<br />

Shop <strong>Denton</strong> Chamber First<br />

The Shop <strong>Denton</strong> Chamber First Program is an exciting discount incentive program<br />

which will enable Chamber members to increase their customer base and raise the<br />

Spotlight on ... Big Momma’s Catfish and Pies<br />

Sanger resident Amy Jones followed<br />

her dreams, opening Big Momma’s Catfish<br />

and Pies in downtown Sanger, and has been<br />

happily serving up down-home, homemade<br />

food to customers since opening the restaurant<br />

earlier this year.<br />

Amy and her husband, Matt, have been<br />

married for 20 years and have lived in Sanger<br />

for the past 14 years with their children<br />

Cole, Reagan, and Jett. Their sweet daughter<br />

Madison would have been 16 this year. She<br />

passed away at age 6 from neuroblastoma.<br />

Amy was the owner of Amy’s Angels<br />

Daycare in Sanger for nine years, until 2002,<br />

and was encouraged by her loved ones to<br />

pursue her dream and open a restaurant.<br />

“My friends and family encouraged me<br />

to open Big Momma’s because they love my<br />

cooking, and because I really love to cook,”<br />

Amy said. “I also wanted to be a part of this<br />

<strong>com</strong>munity again and to interact with residents,<br />

as I had when I owned the daycare.”<br />

Prior to opening the restaurant, every<br />

single recipe now served at Big Momma’s<br />

was tested at home.<br />

“Everything I serve is something I cook<br />

at home. There’s something for everyone,<br />

and for me, it has to be perfect,” she said. “It<br />

took over three months of testing with my<br />

friends and family to bring my home-cooking<br />

from my kitchen to Big Momma’s.”<br />

Everything at Big Momma’s Catfish<br />

and Pies is homemade.<br />

“It’s all made from scratch – from the<br />

pies to the fresh-cut fries. I initially learned<br />

to cook from my mom, who is the best cook<br />

I know. I’m here every morning baking pies<br />

from my grandmother’s recipes,” Amy said.<br />

“We open at 5 p.m., but I’m up here cooking<br />

much earlier than that.”<br />

The most popular menu choices have<br />

been the Fried Catfish and the Chicken Fried<br />

Steak, as well as the signature pies.<br />

“I chose the menu based on all of the<br />

things I love to cook, and all the things my<br />

friends and family love,” she said. “The pies<br />

have actually be<strong>com</strong>e quite famous – with<br />

Coconut Pie and Chocolate Cream Pie being<br />

fan favorites.”<br />

Additional pie offerings include Pecan,<br />

Frank, Amy and John of Big Momma’s Catfish and Pies.<br />

Buttermilk, Peach, Apple, Peanut Butter,<br />

Lemon, and a new offering – German Chocolate<br />

Pecan.<br />

Big Momma’s Catfish and Pies also offers<br />

catering on location for any size group,<br />

and they deliver for catering orders as well.<br />

One customer recently had 25 pies delivered<br />

from Big Momma’s to his wedding<br />

reception, preferring Amy’s homemade pies<br />

to a traditional groom’s cake.<br />

Daily specials are offered, such as the<br />

Tuesday All-You-Can-Eat Catfish with<br />

two sides. Depending on what’s in season<br />

and what’s fresh, Big Momma’s will prepare<br />

special dishes based on the freshness<br />

of ingredients. Right now, offerings include<br />

strawberries for fresh, fun desserts as well as<br />

wonderful squash.<br />

Frank Fransciso and John ‘John John’ Henderson are the<br />

lead cooks for the restaurant, with one of Frank’s specialties<br />

being a dish named after him – Frank’s Smothered Chicken,<br />

which is grilled with sautéed onions and mushrooms, smothered<br />

with melted pepperjack cheese. Their third-pound hamburger<br />

is popular, and when it <strong>com</strong>es to catfish, chicken and<br />

shrimp, their grilled preparation of each has been as popular<br />

as fried. The shrimp offered at Big Momma’s, Amy said, are<br />

the “biggest in Sanger.”<br />

Other menu choices include Ribeye Steak, Chicken<br />

Fried Chicken, Sandwiches including Catfish, Shrimp,<br />

Chicken Fried Chicken, or Chicken Fried Steak, and Salads<br />

that can be topped with Blackened, Grilled or Fried Shrimp<br />

or Chicken. They also offer a Kid’s Menu with choices of a<br />

Burger, Mini Corn Dogs, Catfish or Fried Shrimp.<br />

Choices of Side Dishes include Gran’s Potato Salad,<br />

Cole Slaw, Pinto Beans, French Fries, Onion Rings, Baked<br />

Potato, Mashed Potato, Sautéed Mushrooms, Hush Puppies,<br />

Cajun Okra, Fried Green Beans, or a Side Salad.<br />

Besides their famous pies, Big Momma’s also offers slices<br />

of made-from-scratch cake. Whole cakes or pies are also<br />

available.<br />

Amy chose the location of her new restaurant primarily<br />

because they would be tenants of John and Liz Springer of<br />

Springer Properties. Big Momma’s is housed in the location<br />

of the old Sanger Drug Store.<br />

“John and Liz were very encouraging about opening<br />

a restaurant in Sanger. They are very special to us and we<br />

are proud to call them friends,” Amy said. “The best part<br />

about owning a restaurant in Sanger is the <strong>com</strong>munity, and<br />

the ability to meet new people. You <strong>com</strong>e in, you meet us,<br />

and you be<strong>com</strong>e part of my family. I want to talk about you,<br />

your kids, your grandkids, and your health. When you <strong>com</strong>e<br />

to Big Momma’s, I want it to feel like home.”<br />

Amy would like to thank some very special friends for<br />

The restaurant is BYOB, perfect for a girls-night-out for<br />

The “Suggestion Box” was publicly unveiled during the<br />

<strong>Denton</strong> Chamber of Commerce’s membership luncheon on<br />

June 7 ... a new service link posted on the <strong>Denton</strong> Chamber<br />

web site to allow objective input primarily regarding City of<br />

<strong>Denton</strong> development issues.<br />

Chamber Board Chair and <strong>Denton</strong> Mayor Mark Burroughs<br />

initiated and pursued the Suggestion Box concept as<br />

a specific <strong>com</strong>ponent of the chamber’s 2012-2017 Strategic<br />

Plan. He coordinated the verbiage and response sequence in<br />

cooperation with City Manager George Campbell and Assistant<br />

City Manager John Cabrales.<br />

Mayor Burroughs describes the intent of the Suggestion<br />

Box as an option to “objectively identify issues that may be<br />

adversely impacting the process of development within the<br />

City, and to suggest alternative solutions to those issues.” He<br />

told the audience: “Your cooperation should help achieve<br />

more efficient, effective and customer friendly interactions<br />

and successful development project out<strong>com</strong>es within the<br />

City.”<br />

The format emphasizes specifics and actual examples,<br />

plus, encourages proposed re<strong>com</strong>mendations for addressing<br />

development concerns. The chamber’s Local Relation Committee<br />

will review responses on a regular basis to not only<br />

forward to the City Manager’s office, but to identify trends.<br />

The Richeson Group: 44-year-old Dairy Queen outfit continues to expand<br />

Since its original restaurant opening in<br />

1969, The Richeson Group has added stores<br />

throughout much of Texas, having just added<br />

its 55-58th Dairy Queen with the purchase<br />

of existing stores in Arlington, Crowley,<br />

Duncanville and Mansfield Texas, located<br />

in the heart of the DFW market and serving<br />

<strong>com</strong>munity members and tourists alike.<br />

The stores have been owned by the<br />

Rayhel family, long-time Dairy Queen owners<br />

who have elected to retire. Carol Rayhel<br />

says, “I want some time to enjoy my family.”<br />

Operating within The Richeson Group<br />

are subsidiary 4D Enterprises owners Patricia<br />

Dial, Dallas Pooser and Joe “Tiger” Tillman.<br />

Also acting as The Richeson Group’s<br />

top executives in the 58-store <strong>com</strong>pany, these<br />

officers are respectively Patricia “Pat” Dial,<br />

president, Dallas Pooser, director of operations,<br />

and Joe “Tiger” Tillman, district<br />

manager. 4D has another Dairy Queen under<br />

construction, in Granbury, Texas, Hood<br />

County on Hwy 377.<br />

The Richeson Group consists of the Home Office located in Graham with a staff of a dozen or so running the accounting, payroll,<br />

inventories, maintenance, construction and repair, human resources, advertising, public relations and any other detail every business<br />

expects to have. There are eight district managers who watch over anywhere from four to eight restaurants within their district.<br />

“There are always challenges when<br />

says Image Relations Coordinator, Lisa Mc-<br />

Cool. “We are working diligently to make<br />

a smooth transition and put the productive<br />

our new locations.”<br />

procedures which have been developed over<br />

the <strong>com</strong>pany’s 44-year history for efficiency<br />

Director of Operations Dallas Pooser,<br />

a 4D principle, says, “We’re really proud to<br />

add the four Dairy Queen stores in the DFW<br />

market, where we already operate 11 units.”<br />

Joe Tillman, grandson of Doris<br />

Richeson, Chairman and CEO, said, “I have<br />

been a part of the <strong>com</strong>pany since 2002. Indeed<br />

some of my earliest memories are traveling<br />

on Dairy Queen business trips with my<br />

grandmother. When I started working in the<br />

business, it was at our very lowest level; I had<br />

to show that I could get the job done, and I<br />

now own multiple DQ locations that are a<br />

part of The Richeson Group as a whole. My<br />

wife Morgan and I graduated from Tarleton<br />

State University and my daughter, Hayden<br />

Kennedy Tillman will be the fourth generation<br />

of our family involved with the DQ<br />

brand.<br />

Doris Richeson is currently serving<br />

on the board of directors at Texas Dairy<br />

Queen Operators’ Council, whose office is<br />

located in Bedford. Richeson has served on<br />

the board throughout many of the years she<br />

has been in business, having been elected its<br />

president or chairman several times.<br />

Expanding from just one Dairy Queen<br />

to 58 units has kept The Richeson Group<br />

growing, with no mothballs casting it into<br />

stagnation throughout its future. The group<br />

uses annually almost a million pounds of<br />

potatoes, half a million pounds of American<br />

beef and a quarter of a million gallons<br />

of Dairy Queen dessert mix, and employs<br />

nearly a thousand Texans.<br />

Storm Shelters and<br />

Safe Rooms – are they<br />

worth the investment?<br />

When a person makes an addition or<br />

improvement to their home; many questions<br />

cross their mind. First and foremost,<br />

what is the cost of the addition and will it<br />

add value to my home? These improvements<br />

do include storm shelters or safe<br />

rooms. Studies have shown that a safe<br />

room or storm shelter may increase your<br />

home value by as much as 3-5 %. he cost<br />

of the safe room may be $4,000 to $5,000,<br />

although the cost can be several thousand<br />

dollars more depending on how elaborate<br />

a person desires. But <strong>com</strong>paring this cost<br />

to what may be saved, a human life, the<br />

return may be priceless.<br />

The second question is what specifications<br />

should be used in building a safe<br />

room or a storm shelter. FEMA has re<strong>com</strong>mendations<br />

available based on the<br />

number of people to include. The measurements<br />

range from 5 people at 5’ wide<br />

and 6’ long to 26 people at 8’ wide and 20’<br />

feet long.<br />

Like all construction projects, a person<br />

will need to consider lead time to build a<br />

shelter. These can take two to three weeks<br />

and probably longer if a person is adding<br />

a safe room within their existing home<br />

which requires renovations. During storm<br />

season, this may be even longer. Also,<br />

storm shelters may be easier to install as<br />

they would be a separate structure from an<br />

existing home. A local permit may also be<br />

required as this is a renovation or addition<br />

to a home.<br />

Storm shelters may also require concrete<br />

anchoring to avoid a shelter floating<br />

out of the ground due to saturated soil and<br />

the extra protection. This may be required<br />

by state or local authorities.<br />

Roughly <strong>com</strong>paring what a homeowner<br />

saves or gains with a storm shelter<br />

or a safe room verses the costs ... most<br />

homeowners would agree – it is something<br />

that may make great sense.<br />

Taking the Fifth<br />

You have a constitutional right to remain<br />

silent when being questioned by the<br />

police, if you have a reasonable belief that<br />

your answer may incriminate you. The<br />

fact that you refused to answer questions<br />

cannot be used against you in a criminal<br />

trial.<br />

But what if you just sat silently and<br />

did not specifically state you were claiming<br />

your Fifth Amendment right to silence?<br />

cently addressed that question in Salinas v.<br />

Texas, and defendants and their attorneys<br />

aren’t going to like the answer.<br />

In 1992, a Houston man, Genovevo<br />

Salinas voluntarily went to a police station<br />

with officers to talk about the murder of<br />

two brothers. He was not under arrest and<br />

was not in custody, the triggers for giving<br />

a “Miranda warning” telling him that he<br />

had a right to silence.<br />

He answered almost all of the officers’<br />

questions until the officers asked him if<br />

shotgun casings found at the scene would<br />

match his gun. Then he said nothing, but<br />

was observed to have acted nervously in<br />

response. Prosecutors used the fact that he<br />

said nothing to help convince the jury that<br />

he was guilty. He was convicted and given<br />

a twenty-year sentence.<br />

Salinas’s attorney argued that because<br />

he was not in custody and had not received<br />

his Miranda warning, there was no<br />

requirement that Salinas actually state that<br />

he was invoking the Fifth. The Supreme<br />

Court Opinion noted that it had previously<br />

said that a person must actually invoke<br />

the right for it to take effect.<br />

Because merely keeping quiet when<br />

police ask damaging questions is not<br />

claiming a right to silence, the Supreme<br />

Court ruled, prosecutors may use that<br />

silence against the suspect at the trial. If<br />

an individual is voluntarily talking to the<br />

police, he or she must claim the Fifth<br />

Amendment right of silence, or lose it.<br />

Simply saying nothing is not enough.<br />

Staying silent was the second mistake<br />

that Salinas made that night. What do you<br />

The University of North Texas<br />

Sky Theater has launched its 2013<br />

Summer Fun in the Planetarium program,<br />

offering affordable and family-friendly<br />

shows every Friday through<br />

June and July.<br />

Every Friday through July 26 the<br />

planetarium will open at 12:30 and<br />

show one of four science programs.<br />

Shows are $3 per person, cash or<br />

checks are accepted, and solar viewing<br />

is available before and after for $1.<br />

All proceeds benefit the Astronomy<br />

Outreach Programs. Shows are appropriate<br />

for children in 1st through 4th<br />

grades.<br />

"The Little Star That Could"<br />

(1st grade – showing July 5) is a story<br />

about Little Star, an average yellow<br />

star searching for planets of his own to<br />

protect and warm. Along the way, Little<br />

Star meets other stars, learns what<br />

makes each star special and discovers<br />

that stars <strong>com</strong>bine to form star clusters<br />

and galaxies. Eventually, Little Star<br />

finds his planets. Each planet is introduced<br />

to the audience with basic information<br />

about our solar system.<br />

In the "Seasons Reasons Show,"<br />

(2nd grade – showing July 12) Marvin<br />

Short, Jake Jupiter and Laura Twist<br />

tell us about weather, the water cycle,<br />

clouds, seasons, constellations and the<br />

moon. Voices for the characters are<br />

narrated by voice talent from the TV<br />

cartoon series "Dragonball Z."<br />

"Solar System Tours" (3rd grade<br />

– showing July 19) is a guided tour of<br />

the solar system in which students enjoy<br />

close-up views of all the planets on<br />

the Sky Theater's dome. Students experience<br />

wonders from the sun to the<br />

edge of the solar system, including reclassification<br />

of Pluto.<br />

"Dinosaur Passage to Pangaea"<br />

(4th grade – showing June 28 and July<br />

26) is a stop-motion, 3D animated adventure<br />

explaining one of the greatest<br />

geological events in the history of the<br />

Earth: the separation of the supercontinent<br />

Pangaea. When two children<br />

embark on a geology field trip back in<br />

time, they are thrown into a fantastic<br />

voyage where they witness incredible<br />

geological wonders and learn the mysterious<br />

process that created our present-day<br />

5 Ways to Increase the<br />

Value of Your Company—<br />

Before You Sell It<br />

Every small business owner wants to get<br />

top dollar for the <strong>com</strong>pany he or she started<br />

and raised. But too many start thinking<br />

about the sales process too late to get the<br />

most value.<br />

“Most business owners wait to sell their<br />

<strong>com</strong>pany until they’re mentally frustrated or<br />

worn out,” says Greg Caruso, principal at<br />

Harvest Associates LLC, a transaction advisory<br />

firm in Baltimore.<br />

To get the highest selling price for your<br />

business, start planning early. And do these<br />

five things:<br />

1. Strive to increase profits and cash<br />

flow.<br />

The person or <strong>com</strong>pany buying your<br />

business will probably need a loan for the<br />

purchase—and they’ll be using the business’<br />

profits to make their monthly payments.<br />

That’s why maximum profitability, as well<br />

as healthy cash flow, is so important to the<br />

value of your business.<br />

Think you’re doing the best you can?<br />

Think again, says Caruso. He suggests hiring<br />

a part-time CFO or CPA—someone<br />

from the outside—to scour your books and<br />

operations for inefficiencies. “A lot of business<br />

owners don’t understand how to assess<br />

where they are, and it can make a huge difference<br />

in profitability,” he says.<br />

2. Grow sales. Period.<br />

Why would you want to spend long<br />

hours boosting the revenue of a <strong>com</strong>pany<br />

you’re about to sell? Because you’ll get more<br />

money in the sale. Caruso says if a business’<br />

revenue is consistently growing for two<br />

to three years, the buyer is willing to pay a<br />

higher price because sales are an indication<br />

that they’ll be making more money down the<br />

road.<br />

Also, buyers are more enthusiastic about<br />

purchasing a growing business. “When<br />

things are expanding and improving, people<br />

get emotionally excited. And ultimately,<br />

emotions drive a purchase,” he says.<br />

3. Get systems in place to put your business<br />

on autopilot.<br />

From a buyer’s point of view, a business<br />

is a series of processes and systems that develops<br />

a service or product, which is then<br />

sold in exchange for money to generate a<br />

profit. It is not a hobby or a way of life, as<br />

you might see it. It must be a well-oiled machine<br />

that can operate on its own.<br />

The price of your business will go up<br />

if you can prove you’ve mastered these processes.<br />

What have you done over time to increase<br />

their efficiency? Do employees follow<br />

the processes? Buyers place higher value on<br />

<strong>com</strong>panies that can run themselves.<br />

4. Remove yourself from the business.<br />

By the time you put your business on the<br />

market, you should be as hands-off as possible.<br />

This demonstrates that your top managers<br />

and employees can handle running—and<br />

continue growing—the business without<br />

you. Because eventually, they will have to.<br />

“If every decision stops with you, what is a<br />

buyer going to buy?” Caruso says.<br />

5. Get the details, like debts and leases,<br />

in order.<br />

Your business will sell at a higher price<br />

if the details of your business are in order.<br />

If you own a convenience store, for example,<br />

and its success hinges upon its prime<br />

location, you better have a long-term lease<br />

sewn down. But if you own an engineering<br />

firm that is outgrowing its small office space,<br />

a short-term lease is better. “Contracts like<br />

these should be in a prime spot to increase<br />

the value of your business,” says Caruso.<br />

Debts and other obligations should also<br />

have nailed-down arrangements. Uncertainty<br />

is not friendly to the valuation of a business,<br />

says Caruso.<br />

What Goes Into the Sale<br />

Price of Your <strong>Business</strong>?<br />

Small business owners usually have an idea about how much they want to sell<br />

their business for—but they have no idea what it’s actually worth.<br />

Why? They’re too focused on the blood, sweat and tears they’ve poured into the<br />

business over the years and not enough on what the market will bear, says Greg Caruso,<br />

principal at Harvest Associates LLC, a transaction advisory firm in Baltimore. Coming<br />

to the realization that your business’ worth is not directly related to the amount of hard<br />

work you’ve put in is difficult. It’s also necessary to get the process moving.<br />

And while the ultimate value, or sale price, given to you by professionals may be<br />

much lower than you were expecting (and it usually is, pros say), the experts have their<br />

methods. Here’s what goes into that final number:<br />

The buyer. The sale price of your business is often determined by who’s buying. If<br />

a family member or top manager has agreed to buy your business over a 10-year period,<br />

for example, the deal could be structured where payment installments fluctuate based<br />

on the <strong>com</strong>pany’s performance. If a buyer strictly wants to buy your business for its<br />

assets, though, and does not wish to continue operating the business, the sale price will<br />

likely be determined by the value of these assets. “A buyer’s biggest question is, ‘How<br />

can I service my debt and get a reasonable return on investment?’” says Phil Corbin, a<br />

business broker with Henderson <strong>Business</strong> Group in West Des Moines, Iowa.<br />

The approach. If you decide to get an official value from a valuation professional—usually<br />

a certified valuation analyst—expect to hear terms like “market-based approach”<br />

and “in<strong>com</strong>e approach.” These terms indicate which appraisal method the<br />

professional employed when valuing your <strong>com</strong>pany. The most <strong>com</strong>mon methods for<br />

a small business are:<br />

The in<strong>com</strong>e approach, which emphasizes your past, current and projected revenue<br />

and cash flow.<br />

The market approach, which derives value from historic sales of similar businesses<br />

The asset approach, which takes into account the fair market value of a business’<br />

assets<br />

The approach largely depends on the professional’s discretion and your <strong>com</strong>pany’s<br />

situation.<br />

“Valuation is more of an art than a science,” says Scott Mashuda, managing director<br />

of Rivers Edge Alliance, a business brokerage firm in Pittsburgh. Typically, a small<br />

business valuation is based on a <strong>com</strong>bination of the in<strong>com</strong>e and market approaches,<br />

he says.<br />

Cash is king. Even so, most valuation professionals agree that cash flow is the top<br />

determinant when valuing a business for a third-party buyer. Why cash flow, and not<br />

revenue or assets? Because buyers are more concerned with how they’ll make money<br />

after the sale. “It’s pretty damn simple,” says Caruso. “Take the past 12 months of a<br />

small business’ cash flow—in my world, that’s every way the owner makes money—<br />

and the business will sell for two to three times that.” That’s why many business owners<br />

see valuations drop off precipitously during a recessionary period.<br />

If you’re thinking about selling your business, get going as soon as possible. The<br />

biggest mistake you could make is to wait too long to get a value and put the <strong>com</strong>pany<br />

on the market, says Caruso. “Once a small business owner is checked out, they don’t<br />

stay motivated and the business diminishes very quickly,” he says. “So will its value.”<br />

Liberty Run, Parade,<br />

and Family Fun Day<br />

set for July 4<br />

The City of <strong>Denton</strong> Parks and Recreation will host<br />

its annual Liberty Run on Thursday, July 4. The event will<br />

kick off at North Lakes Park, 2001 W. Windsor Drive in<br />

<strong>Denton</strong>.<br />

This is a 5K run and 1-mile fun walk. Check-in begins<br />

at 6:30 a.m. and the race will begin at 7:30 a.m. Through<br />

July 1, registration is $15 and can be done online, by<br />

phone, or in person. The registration fee drops to $12 per<br />

person for families of three or more living at the same address.<br />

Race-day registration is $20. The entry fee includes<br />

a T-shirt (sizes S-XL; $2 extra for XXL).<br />

Fruit, snacks, and beverages will be given to participants<br />

at the end of the event.<br />

The annual Yankee Doodle Parade will begin with<br />

judging at 8:30 a.m. on July 4, with the parade starting at<br />

9 a.m.<br />

Pedestrians, walkers and riders with non-motorized<br />

units (i.e. bicycles, wagons, etc.), please enter the staging<br />

area at Mulberry Street and Locust Street. All other<br />

motorized vehicles (i.e. cars, trucks, lawn mowers, etc.),<br />

please enter the staging area at Prairie Street and Locust<br />

Street. To enter a float in the parade, call (940) 349-8579.<br />

The FREE Family Fun Jubilee begins at 10 a.m. at<br />

Quakertown Park and the <strong>Denton</strong> Civic Center. Live entertainment<br />

and an Adult Lucky Horseshoe Tournament<br />

start at 9:30 a.m.<br />

Enjoy outdoor inflatables and indoor carnival-style<br />

games until noon at the Civic Center. Low-priced concessions<br />

will be sold. Outside the Civic Center, all ages can<br />

<strong>com</strong>pete in the following back-to-back family fun games:<br />

10:45 a.m. potato sack races<br />

11 a.m. three-legged races<br />

11:15 a.m. egg and spoon races<br />

11:30 a.m. whipped cream-eating contest<br />

11:45 a.m. water balloon toss<br />

11 a.m. Entries for the Children’s Arts and Crafts<br />

Show will be displayed until noon in the Civic Center.<br />

(Entries must be dropped off between 9:30 and 10:45 a.m.)<br />

Starting at Noon, enjoy $1 admission to Civic Center<br />

Pool until 6 p.m.<br />

Everyone is a<br />

salesperson ... whether<br />

they like it or not<br />

Everyone is a salesperson all of their life.<br />

After all, whether you are a mechanic, teacher<br />

or a manager, you are selling ideas. You are negotiating.<br />

You are <strong>com</strong>municating … persuading<br />

… influencing.<br />

If you don’t believe you are a salesperson,<br />

I encourage you to rethink your position<br />

because the probability that you will be<strong>com</strong>e<br />

successful is significantly diminished.<br />

This is the lesson that I would give to people<br />

who might tell me that my most recent book<br />

is not for them. “The Mackay MBA of Selling<br />

in the Real World” is for everyone, especially<br />

now.<br />

The hardcover edition was published in<br />

November 2011. The paperback version came<br />

out May 1 and contains 10 new chapters and<br />

nine new “quickies,” including sections on such<br />

important topics as relationships/networking<br />

and time management. I’d like to share a preview<br />

of the new material.<br />

Networks are the foundation of business.<br />

Robert Kiyosaki, author of “Rich Dad, Poor<br />

Dad” hit the nail on the head when he wrote,<br />

“The richest people in the world look for and<br />

build networks. Everyone else looks for work.”<br />

Ace networkers learn to master the navigation<br />

and the niceties that earn networkers acceptance,<br />

respect and authority. Here are three<br />

road-tested tips:<br />

1. Create timelines for your networking<br />

goals. Be patient. Understand that it may<br />

take one or two years to position yourself in a<br />

network. Always plan the supporting network<br />

routes to business objectives far ahead. Totally<br />

determined to sell a major prospect and ready<br />

to make a proposal in 18 months? Is the buyer<br />

an opera buff or dedicated to funding a dialysis<br />

center? Are you building a network path to<br />

mesh with those passions?<br />

2. Don’t stall answers. When you acquire<br />

favors in no time. Don’t be slow to answer calls,<br />

even if you can’t promise your contact much<br />

help. Networks telegraph who the fast responders<br />

and who the slowpokes are. The biggest<br />

mistake you can make is not to answer a viable<br />

network member who is reaching out to you.<br />

That remains true even if it’s just to tell them<br />

“no” in a clear and polite way.<br />

3. Act confidently and take meaningful<br />

risks. In networking, as in anything else, the<br />

wise person isn’t the one who makes the fewest<br />

mistakes. It’s the one who learns the most from<br />

them.<br />

Discussing time management, my favorite<br />

lesson <strong>com</strong>es from the late Peter Drucker, who<br />

said, “Until we can manage time, we can manage<br />

nothing else.”<br />

We all start out in life with one thing in<br />

<strong>com</strong>mon – the same number of minutes and<br />

hours in each day. So why do some people<br />

ac<strong>com</strong>plish so much, and others, very little?<br />

Because so few of us have learned to beat the<br />

clock.<br />

For a salesperson, time isn’t next to money<br />

in the asset column. It is money. Perhaps the<br />

most important lesson I ever learned is that not<br />

everyone’s clock ticks to the same drumbeat.<br />

I poked around and learned that 9 to 5 didn’t<br />

have to be 9 to 5. It didn’t matter how my clock<br />

ticked. What mattered was how my prospects’<br />

clocks ticked.<br />

Some buyers came in at 6 a.m. Some<br />

worked until 7 p.m. Some worked Saturday<br />

mornings. That boiled down to an edge, if I<br />

chose to use it – for three hours every morning,<br />

two hours every afternoon and four hours on<br />

Saturday. This was invaluable <strong>com</strong>petition-free<br />

time. Naturally, these time slots turned out to<br />

be my most productive opportunities.<br />

So I changed the playing-field clock. Then<br />

I changed my contact tactics. Cold calls were<br />

out. I always called ahead to make sure the<br />

buyer was in. I made creative appointments<br />

and asked for only 300 seconds of the buyer’s<br />

time. Sounds basic, but the message said my<br />

product was special. It was as special as the<br />

working hours of my customers.<br />

Not only did these details help me manage<br />

my own schedule more efficiently. They helped<br />

guarantee that I was up to bat when the prospects<br />

were greatest for a maximum payoff.<br />

Along with these two subjects, I’ve added<br />

chapters on topics including how to be prepared<br />

should you ever lose your job, execution<br />

intelligence and the importance of volunteering.<br />

Will any of these ideas require major<br />

changes? Probably not, but I hope they help<br />

you see the importance of selling skills for success<br />

in any field.<br />

Wi-Fi?<br />

A. I wouldn’t. Whether you use a smartphone,<br />

tablet or <strong>com</strong>puter, public Wi-Fi isn’t<br />

safe. Hackers on the network can snoop<br />

on what you’re doing. I’d wait until you’re<br />

home for banking. If you absolutely have to<br />

bank on the go, switch over to cellular. Those<br />

you’re worried about your data limit, you<br />

can <strong>com</strong>press data with an app like Onavo<br />

Extend. If your bank has a mobile app, it’s<br />

a good idea to use that instead of its mobile<br />

site. You could use text message banking if<br />

your bank supports it, too.<br />

Q: My <strong>com</strong>puter is really slow and I<br />

think it’s broken. Should I replace it?<br />

A: If it’s just slow performance, there’s a<br />

chance you can repair it. Most performance<br />

issues <strong>com</strong>e from malfunctioning hardware,<br />

viruses or a bad program. These don’t have<br />

to cost a lot to fix. Start by trying free software<br />

like PC Decrapifier, CCleaner or an<br />

anti-virus program. These can often speed<br />

things up. If those don’t work, it might be<br />

a hardware problem. Compare the estimated<br />

cost to fix it with the price of a new system.<br />

Q: I’m tired of paying for text messages.<br />

Is there some way to text for free?<br />

A: You bet, and it’s making carriers nervous.<br />

I’m talking about free texting apps that<br />

work over Wi-Fi and cellular. The right one<br />

for you depends on what service your friends<br />

and family use. For example, iMessage and<br />

Whatsapp only let you send messages to other<br />

users. If your friends and family use them,<br />

then you can use them and still chat with<br />

most of your friends. If not, go with Text-<br />

Free or TextPlus. These give you a special<br />

number that can send texts to anyone. Just<br />

make sure your friends know that number is<br />

only for texting, otherwise you might get hit<br />

with fees if they try to call.<br />

Q: I think my son might be addicted to<br />

Xbox Live. Is that possible? What can I do?<br />

A: Technology addiction is a very real,<br />

very dangerous phenomenon that can happen<br />

to anyone. The reSTART Internet Addiction<br />

start. It offers tests to help identify addiction<br />

and resources to help recover from it. It’s a<br />

great place for learning how you can best<br />

help a loved one recover from addiction,<br />

too. The key is to let your son know that you<br />

support him and you’re there for him. If you<br />

can set the example for what healthy tech use<br />

looks like, he’s more likely to over<strong>com</strong>e his<br />

addiction.<br />

Q: My <strong>com</strong>puter’s layout is really boring.<br />

What are some fun, easy ways to shake<br />

it up?<br />

A: The easiest place to start is with new<br />

wallpaper. You can find thousands of places<br />

that offer wallpaper online, but make sure<br />

you only stick with official sites. Some scammers<br />

like to hide viruses in “wallpaper” files.<br />

Need more proof that the world is<br />

changing? The President of the National<br />

Cable & Tele<strong>com</strong>munications Association,<br />

Michael Powell, recently told the Senate that<br />

“the largest subscription video provider in<br />

the country today is Netflix.”<br />

If you haven’t paid attention to the entertainment<br />

landscape for the last few years,<br />

Netflix is an online streaming video service.<br />

You pay $8 a month and can watch all the<br />

TV shows and movies you want on your<br />

<strong>com</strong>puter, mobile gadgets or TV.<br />

It was the first, and not the last, serious<br />

challenge to the cable <strong>com</strong>panies’ dominance.<br />

Here are five things I’ve discovered<br />

that will help make your transition easier - or<br />

Many will only be available on a paid<br />

subscription service, such as Netflix, Amazon<br />

or Hulu Plus, which generally cost you<br />

$7 to $8 a month. Not every service carries<br />

every show, so you could be forced to sign up<br />

for multiple services.<br />

Due to licensing restrictions, some<br />

shows are only available as paid digital<br />

downloads on iTunes, Google Play and Amazon.<br />

These can cost $1 to $2 per episode,<br />

and they might not be available the same<br />

time the episodes air. Buying a full season of<br />

a show can set you back from $20 to $50, just<br />

like a regular DVD box set.<br />

You can see how this starts to add up<br />

quickly. If you don’t plan ahead, you might<br />

find yourself paying as much as cable to keep<br />

up with everything.<br />

You could visit the major streaming<br />

sites and look through their catalogs to find<br />

out what shows and movies they have. Or<br />

you can visit a site like Can I Stream It? It<br />

will tell you which online providers have the<br />

shows you want to watch.<br />

2. Don’t miss out on live TV<br />

While on-demand viewing is nice, some<br />

people still want the option to watch live TV.<br />

It’s great for news and sports, two things<br />

streaming video services still don’t have<br />

available.<br />

Luckily, you don’t need a cable subscription<br />

to watch either one. You can pick<br />

up broadcast TV in full HD with an antenna.<br />

No, I’m not talking about the metal eyesores<br />

that used to perch on your roof. Modern<br />

HD antennas can be sleek, stylish and<br />

mounted indoors.<br />

I sell one that costs less than what most<br />

people pay for a month of cable. It’s slim<br />

enough to hide behind a painting and will<br />

give you 20 or more local and network channels.<br />

Major networks are also starting to<br />

stream live TV online. ABC is doing a test<br />

in New York and Philadelphia right now.<br />

ESPN and Disney already offer WatchES-<br />

PN and Watch Disney.<br />

For now, these services require you log<br />

in with proof of a cable or satellite account,<br />

but that could change in the future.<br />

3. Watch in <strong>com</strong>fort<br />

When streaming online video first appeared,<br />

your only real option was watching<br />

it on a <strong>com</strong>puter. That was fine for early<br />

adopters, but regular consumers wanted the<br />

full living-room experience.<br />

Thanks to smart TVs and streaming video<br />

boxes, that’s no longer a problem. Inexpensive<br />

gadgets like Roku, Boxee and Apple<br />

TV, or any modern video game system, will<br />

stream video from all the popular services<br />

right to your TV. If you’re buying a new TV,<br />

you can find smart TVs with online streaming<br />

built right in.<br />

A less expensive option, if you already<br />

have the hardware, is to connect your <strong>com</strong>puter<br />

right to your TV. Many newer <strong>com</strong>puters<br />

have HDMI or DVI outputs that will<br />

connect to most new TVs.<br />

Not only can it stream video, you can<br />

turn the <strong>com</strong>puter into a digital video recorder<br />

for recording live broadcasts. Or use<br />

it to browse the Web, display your pictures or<br />

anything else you can use a <strong>com</strong>puter to do.<br />

The <strong>com</strong>puter doesn’t have to be a highend<br />

monstrosity either. Personally, I use a<br />

Mac mini.<br />

4. Watch on the go<br />

Streaming video isn’t just for TVs and<br />

<strong>com</strong>puters, however. Maybe you want to<br />

watch video on the go with a tablet or smartphone.<br />

Because online services are Webbased,<br />

it’s no problem, as long as you have a<br />

decent Internet connection.<br />

Certain services work best with certain<br />

types of mobile gadgets. For example, Amazon<br />

will stream video to almost any tablet,<br />

but it works best with Amazon’s own Kindle<br />

Fire. However, it doesn’t have a smartphone<br />

app, while Netflix does.<br />

If you already have a mobile gadget, or<br />

are planning to purchase new ones, make<br />

sure they play nice with the services you use.<br />

5. Mix and match<br />

There’s no rule that says you have to<br />

choose just one of the options above. You<br />

can stick with cable for now and gradually<br />

explore free streaming video services.<br />

Ease your way into it and find out what<br />

works and doesn’t work for you. Take advantage<br />

of the free trials that the major streaming<br />

services offer.<br />

Don’t forget that cable <strong>com</strong>panies want<br />

to keep you as a customer. They’re upgrading<br />

their services and trying new promotions<br />

to make their offerings more attractive.<br />

You can leverage this into discounts and<br />

savings. For example, you can often get customer<br />

service to drop the monthly rental fee<br />

for your cable modem.<br />
