VOGT, President and Chief Executive OfficerCharlie Vogt is President and CEO of <strong>GENBAND</strong>, a world-wide leader in multimedianetworking and cloud communications solutions. Vogt has spent 25 years ininformation technology and communications, implementing visionary strategiesresulting in unprecedented growth.Since being named CEO in September 2004, he has transformed <strong>GENBAND</strong> intoa global leader in IP multimedia infrastructure and unified communications throughorganic R&D and multiple strategic acquisitions. Today, 80 percent of the world’slargest service providers are <strong>GENBAND</strong> customers. Under his vision and leadership,the company has experienced 100 percent compounded annual growth rate andincreased its operational earnings 9 times.In September 2012, The Wall Street Journal recognized <strong>GENBAND</strong> as the No. 1ventured-capital backed company in the United States.Prior to joining <strong>GENBAND</strong>, Vogt was President and CEO of Taqua, a market leaderin soft-switch technology. FRED KEMMERER, Chief Technical OfficeFred C. Kemmerer is an experienced telecommunications executive with a broadbackground in a variety of communications technologies. As the chief technologyofficer (CTO), Kemmerer is responsible for setting the strategic technical direction forthe company. Prior to <strong>GENBAND</strong>, Kemmerer held a broad range of positions at Lucentand then Alcatel-Lucent. Most recently, he held the position of technical complianceofficer, where he was responsible for providing technical guidance and consulting withmultiple U.S. Government Agencies on matters related to current and next generationcommunications network architecture and security. Kemmerer also held the positionof vice president of strategy and business development where he led the strategic andportfolio planning processes for the company. Prior to that, Kemmerer held key VP andGM positions across various data networking divisions and key leadership positions inthe development of fixed and mobile communications technologies. Kemmerer holdsa Masters degree in Electrical Engineering from Purdue University and a Bachelorsdegree from Pennsylvania State University, where he studied Electrical Engineering.B.G. KUMAR, President of MultimediaAs President of the Multimedia business unit, B.G. Kumar is responsible for leading<strong>GENBAND</strong>’s Multimedia solutions and R&D divisions worldwide, which encompassesthe company’s Session Border Controller, Security Gateway and Application Serverand software businesses. A recognized leader in the telecommunications industry,Kumar brings to <strong>GENBAND</strong> more than 20 years of experience across both leadingstart-up companies and large publicly traded companies.He graduated with honors from the Florida Institute of Technology, with a Bachelor ofScience in Electrical Engineering and a Masters in Computer Science. He is also agraduate of the Institute of Managerial Leadership at the University of Texas at Austinand the Leadership Development Program at Duke University.KEITH LANDAU, President of SwitchingKeith Landau brings wide-ranging industry experience spanning over 27 years oftelecommunication and data communications to his role as the President of Switchingat <strong>GENBAND</strong>. Before joining <strong>GENBAND</strong>, Landau was in charge of engineering in theTekelec Switching Solutions Group. Prior to Tekelec, Landau held numerous businessand R&D leadership positions in his 21 years at Nortel Networks. Most notably, he ledthe R&D of Nortel’s entire voice core portfolio, including wireline, wireless,platforms, gateways, VOIP, and IMS products. Landau also worked at HarrisCorporation and Texas Instruments developing data communication and CAD/CAMapplications. Landau has served on the board of directors for the TelecommunicationsIndustry Association (TIA) and currently serves on the Strategic Council for the Collegeof Engineering at Michigan State University and Motorola’s ATCA technical advisoryboard. Landau holds a bachelor’s degree in computer science from Michigan StateUniversity and an MBA from the University of Dallas.


JEFF TOWNLEY, President of Global OperationsAs President for Global Operations, Jeff Townley brings 30 years of Industryrelated experience to <strong>GENBAND</strong>. Prior to joining <strong>GENBAND</strong>, Townley workedfor 26 years in Global Operations at Nortel, where he held a variety of managerialpositions across multiple product lines and in all the major regions. Most recently,he was Vice President of CVAS Operations at Nortel and previously served asmanager of Asia Operations for all Nortel product lines, as the Chief ProcurementOfficer based in Hong Kong, and as the VP of Global Supply Chain for both theCarrier Voice and Enterprise Businesses. He has significant M&A, Operatingand Integration experience, having supported the integration of Aptis, Alteon,Bay Networks and other Nortel acquisitions starting in the late 90’s. Townleyalso served on the Board of Directors for two of Nortel’s Joint Ventures in China.Townley has a Bachelors of Science in Industrial Engineering from N.C StateUniversity and has done postgraduate studies in Management Science.MARK PUGERUDE, President of Global SalesAs <strong>GENBAND</strong>’s President of Global Sales and Business Development, MarkPugerude manages all revenue generation for the Company through direct,channel and/or partnership sales. An industry veteran with nearly 25 yearsof telecom and sales leadership experience, Pugerude previously served as<strong>GENBAND</strong>’s Chief Strategy Officer, responsible for mergers, acquisitions andbusiness development. In his CSO role, Pugerude is credited with the strategy,orchestration and management of <strong>GENBAND</strong>’s successful acquisitions of NortelCVAS and Cedar Point Communications.Pugerude attended both Washington State University and Syracuse University,studying English and Speech Communications.SAM WAICBERG, Chief Marketing OfficerAs <strong>GENBAND</strong>’s Chief Marketing Officer Sam Waicberg is responsible for leadingall aspects of strategy, marketing and positioning of the company’s solutionsportfolio. DARYL RAIFORD, Chief Financial OfficerAs <strong>GENBAND</strong>’s Chief Financial Officer, Daryl Raiford is responsible for all financerelated resources and functions. Raiford brings to <strong>GENBAND</strong> more than 20 years ofexperience managing financial and business development roadmaps, includingacquisitions, large-scale integration and long-term strategic planning for leading globalpublic companies.Raiford began his career at the leading accounting firm Price Waterhouse in Londonand Houston, and is a Certified Public Accountant. He earned a Bachelor of BusinessAdministration in Accounting from The University of Texas at Austin.ZACHARY C. GREEN, Chief Legal OfficerAs <strong>GENBAND</strong>’s Chief Legal Officer, Zach Green is responsible for all global legal andcontract-related matters. Green brings to <strong>GENBAND</strong> more than 25 years of combinedlegal and technology experience, including more than 10 years as an electricalengineer at Hewlett Packard. He has a proven track record leading private and publicglobal companies in complex commercial transactions, acquisitions, corporate finance,international operations, new market expansion and IPO readiness.Green holds a Juris Doctorate from Columbia Law School and an ElectricalEngineering and Computer Science Degree from Polytechnic Institute of NewYork University.


SEAN HUURMAN, Chief People OfficerAs Chief People Officer, Sean Huurman is responsible for <strong>GENBAND</strong>’s globalworkforce. Mr. Huurman brings over 20 years of extensive business experiencein several industries coupled with functional and strategic Human Resourcesexpertise focused on talent management, total rewards and organizationaldevelopment. Prior to <strong>GENBAND</strong>, Mr. Huurman was most recently Vice Presidentof Human Resources and served on the leadership team of BearingPoint, Inc., apublicly-traded management consulting firm spin-off of KPMG. Huurman startedhis career at Applied Materials, Inc. where he held a variety of human resourcepositions during his tenure. He holds a Bachelor of Science degree in Psychologyfrom Santa Clara University and is pursuing a Master’s degree in HumanResources and Employee Relations at Pennsylvania State University.DARRIN WHITNEY, Chief Information OfficerAs <strong>GENBAND</strong>’s Chief Information Officer, Darrin Whitney is responsible forall information technology- related resources and functions. Whitney brings to<strong>GENBAND</strong> more than 20 years of experience managing large-scale integrationprojects, including acquisitions, SOX compliance, and implementing globaltechnology strategy.Prior to <strong>GENBAND</strong>, Whitney was most recently Chief Information Officer ofDresser, Inc., a global energy infrastructure manufacturer. Prior to Dresser,Whitney served as Senior Director of Information Technology Reengineeringat Excel Communications. He also previously served as a consultant withKPMG, implementing large-scale Oracle and shared service systems forFortune 500 companies. He earned a Bachelor of Business Administration inFinancial Administration from Michigan State University and is also a CertifiedPublic Accountant.


<strong>GENBAND</strong> DAYOn June 1st, 2010, <strong>GENBAND</strong> completed a historic acquisition of a majordivision of Nortel, which increased <strong>GENBAND</strong>’s size four-fold. On that day,<strong>GENBAND</strong> CEO Charlie Vogt created an annual employee holiday called<strong>GENBAND</strong> Day. After many discussions and suggestions from employees, thecompany decided to also mark the <strong>GENBAND</strong> Day anniversary as a day ofservice each year. On an opt-in basis, employees and management decided toorganize voluntary opportunities to spend the day serving the communities inwhich <strong>GENBAND</strong> operates around the world. Today, <strong>GENBAND</strong> Day on June 1stis a Global Day of Service during which <strong>GENBAND</strong>’s global employee baseparticipates in volunteer activities benefiting non-profit agencies and organizationsall around the world. On that day, <strong>GENBAND</strong> employees around the world assistand serve organizations that range from well-known charities like Habitat forHumanity, Red Cross, Ronald McDonald House, and Boys & Girls Clubs to localorganizations such as the Ottawa Food Bank and Galway Hospice.On June 1st 2012,<strong>GENBAND</strong> Employeesvolunteered morethan 5,000 hoursbenefiting more than75 charities in 30countries.
