• Forbid making, <strong>of</strong>fering or promising to make a payment or transferanything <strong>of</strong> value, including the provision <strong>of</strong> any service, gift orentertainment, to government employees and other <strong>of</strong>ficials for thepurpose <strong>of</strong> improperly obtaining or retaining business, or for anyother improper purpose or business advantage.POLICIES & PROCEDURES• Forbid making improper payments through third parties – AGCOemployees must therefore be diligent in selecting and monitoringcontractors, agents and partners.• Require AGCO to keep accurate books and records so that paymentsare honestly described and Company funds are not used for unlawfulpurposes.• Forbid <strong>of</strong>fering employment to, or even discussing potentialemployment with, someone who is currently working in agovernment position that has any business with the Company, orthat has authority over any business with the Company. Even afterindividuals leave their government positions, there may be localrestrictions on their ability to be employed in the private sector. If indoubt, consult with AGCO’s Chief Ethics and Compliance Officer orRegional Ethics and Compliance Officers.In addition, AGCO employees must adhere at all times to the U.S.Foreign Corrupt Practices Act, the AGCO Corporation Compliance ProgramManual and the AGCO Corporation International Anti-Corruption Policy,the latter two <strong>of</strong> which can be found at MyAGCO.com under “<strong>Global</strong> QuickReferences”.AGCO’s Rules on Facilitation Payments“Facilitation payments” are payments, relatively small in amount, madeto secure or speed up routine legal government actions, such as issuingpermits or releasing goods held in customs.AGCO policy permits so-called “facilitation” or “grease” payments tobe made to government <strong>of</strong>ficials only with the express approval <strong>of</strong> AGCO’sChief Ethics and Compliance Officer or Regional Ethics and ComplianceOfficers.PAGE> 30
