<strong>WCA<strong>XX</strong><strong>XX</strong></strong> <strong>Exhibit</strong> C: <strong>Sample</strong> <strong>Contract</strong> <strong>FY</strong> <strong>XX</strong>/<strong>XX</strong>In consideration of the performance by Consultant in a manner satisfactory to WCA ofthe services described in Article 2 above, including receipt and acceptance of such workby the Executive Officer of the Watershed Conservation Authority (hereinafter calledExecutive Officer) or authorized representative, WCA agrees to pay Consultant amaximum not to exceed fee of <strong>XX</strong><strong>XX</strong> Dollars ($<strong>XX</strong><strong>XX</strong>X). Services will be renderedbeginning Month Date, Year and end by Month Date, Year.WCA shall compensate Consultant as follows:a. Monthly payments for the work accomplished shall be made uponverification and acceptance of such work by the Executive Officer orauthorized representative. Monthly invoices shall be accompanied byan analysis of work completed for the invoice period. This analysisshall be prepared in a format satisfactory to Executive Officer orauthorized representative.b. Supplemental Consultant Services may be required at WCA'sdiscretion, upon prior written authorization by Executive Officer orauthorized representative, and will be based on Consultant's feeschedule on file with Executive Officer or authorized representative.c. If Cost of Living Adjustments (COLA) are provided in the attachment,WCA shall limit COLAs to the lesser of: 1) the average salary increaseor decrease granted to WCA employees or 2) the increase ordecrease from the previous fiscal year's U.S. Department of LaborBureau of Labor Statistics' Urban Consumer Price Index for LosAngeles-Riverside-Orange WCA, CA. If the COLA is based on theCPI, the adjustment shall be based on the change in the CPI fromtime of execution of this contract to the time at which the COLA is tobe made. In the event fiscal circumstances ultimately prevent theBoard of Supervisors from approving any increase in employeesalaries for a fiscal year, Consultant will not receive a COLA for thecontract period which coincides with that fiscal year.d. In the event that budget reductions occur in any fiscal year covered bythis Agreement that may cause WCA to consider terminating thisAgreement, the parties agree to attempt to renegotiate the terms ofthis Agreement to reduce the cost thereof in lieu of termination underthe termination provisions of the contract.e. Consultant will not be paid for any expenditure beyond the contractamount stipulated without amendment to this Agreement.4. Equipment and SuppliesConsultant agrees to furnish all necessary equipment and supplies used in theperformance of the aforementioned services.5. WCA's ResponsibilityWCA will make available any items specified in the Request for Proposals.6. WCA's RepresentativeExecutive Officer, or his authorized representative, shall represent WCA in all matterspertaining to the services to be rendered pursuant to this Agreement.7. Terms and TerminationThe term of this Agreement shall commence on the date stipulated on Page 1 of thisagreement, through Month Date, Year and unless otherwise modified, shall terminate onthe date that the work is accepted by WCA. The Parties may cancel or terminate thisAgreement, without any liability other than payment for work already performed, up tothe date of termination by giving three days written notice of such termination to theother Party.Consultant shall be paid the reasonable value of services rendered. In the event of anysuch termination by WCA, Consultant shall provide to WCA a termination reportconsisting of all drawings, specifications, reports, and data accumulated to the date ofsuch termination in a form capable of assimilation for use by WCA.8. Such provision is herebyincorporated into this Article by reference.10. Anti-DiscriminationThe Consultant shall abide by the following provisions found in Section 4.32.010 et seq.of the Los Angeles County Code:Consultant certifies and agrees that all persons employed by Consultant, its affiliates,subsidiaries, or holding companies are, and will be, treated equally by Consultantwithout regard to or because of race, religion, ancestry, national origin, or sex, and incompliance with state and federal anti-discrimination laws. Consultant further certifiesand agrees that it will deal with its subconsultants, bidders, and vendors without regardto or because of race, religion, ancestry, national, origin, or sex. <strong>WCA<strong>XX</strong><strong>XX</strong></strong> <strong>Exhibit</strong> C: <strong>Sample</strong> <strong>Contract</strong> <strong>FY</strong> <strong>XX</strong>/<strong>XX</strong>upon which WCA may determine to cancel, terminate, or suspend the contract. WhileWCA reserves the right to determine individually that the anti-discrimination provision ofthe contracts have been violated, in addition, a determination by the California FairEmployment Practices Commission or the Federal Equal Employment OpportunityCommission that Consultant has violated state or federal anti-discrimination laws shallconstitute a finding by WCA that Consultant has violated the anti-discriminationprovisions of the contract.At its option, and in lieu of canceling, terminating, or suspending the contract, WCA mayimpose damages for any violation of the anti-discrimination provisions of this paragraph,in the amount of Two Hundred Dollars ($200) for each violation found and determined.WCA and Consultant specifically agree that the aforesaid amount shall be imposed asliquidated damages, and not as a forfeiture or penalty. It is further specifically agreedthat the aforesaid amount is presumed to be the amount of damages sustained byreason of any such violation, because from the circumstances and the nature of theviolation, it is impracticable and extremely difficult to fix actual damages.11. Independent Consultant StatusThis Agreement is by and between WCA and Consultant and is not intended, and shallnot be construed, to create the relationship of agent, servant, employee, partnership,joint venture, or association, as between WCA and Consultant.Consultant understands and agrees that all persons furnishing services to WCApursuant to this Agreement are, for purposes of Workers' Compensation liability,employees solely of Consultant and not of WCA.Consultant shall bear the sole responsibility and liability for furnishing workers'compensation benefits to any person for injuries arising from, or connected with,services performed on behalf of Consultant pursuant to this Agreement.12. WCA's Quality Assurance PlanWCA, or its agent, will evaluate Consultant’s performance under this Agreement on notless than a semi-annual basis. Such evaluation will include assessing Consultants’compliance with all contract terms and performance standards. Consultant deficiencieswhich WCA determines are severe or continuing, and that may place performance of theAgreement in jeopardy if not corrected, will be reported to the WCA Board. The reportwill include improvement/corrective action measures taken by WCA and Consultant. AssignmentThis Agreement shall not be assigned without the prior written consent of WCA. Anyattempt to assign without such consent shall be void and confer no rights on any thirdparties.14. Forum SelectionConsultant hereby agrees to submit to the jurisdiction of the courts of the State ofCalifornia. The exclusive venue of any action brought by Consultant, on Consultant'sbehalf or on the behalf of any subconsultant, which arises from this Agreement or isconcerning or connected with services performed pursuant to this Agreement, shall bedeemed to be in the courts of the State of California located in Los Angeles, California.15. Conflict of InterestNo WCA employee in a position to influence the award of this Agreement or anycompeting agreement, and no spouse or economic dependent of such employee, shallbe employed in any capacity by Consultant herein, or have any other direct or indirectfinancial interest in this Agreement.16. Prohibition from Involvement in Bidding ProcessConsultant understands and agrees that neither it nor its subsidiaries shall be involved inany way in the bidding process on any Request for Proposal developed or prepared byor with the assistance of Consultant's services rendered pursuant to this Agreement,either as a prime Consultant or subconsultant, or as a Consultant to any other primeConsultant or subconsultant. Any such involvement by Consultant shall result in therejection by the WCA of the bid by the prime Consultant in question.17. GratuitiesIt is improper for any WCA Executive Officer, employee, or agent to solicit consideration,in any form, from Consultant with the implication, suggestion, or statement thatConsultant's provision of the consideration may secure more favorable treatment forConsultant in the award of the contract or that Consultants’ failure to provide suchconsideration may negatively affect WCA's consideration of Consultant's submittal.Consultant shall not offer or give, either directly or through an intermediary,consideration, in any form, to a WCA Executive Officer, employee, or agent for thepurpose of securing favorable treatment with respect to the award of the contract.Consultant shall immediately report any attempt by a WCA Executive Officer, employee,L:\RFP & RFB\Azusa River Wilderness Park Water Systems Operator RFP\2012_RFQ\Documents for Final PDF\Consultant <strong>Contract</strong>Template\<strong>WCA<strong>XX</strong><strong>XX</strong></strong>Consultant_<strong>Contract</strong>.docx

The report shall be made to ExecutiveOfficer or authorized representative.Among other items, such improper consideration may take the form of cash, discounts,service, the provision of travel or entertainment, or tangible gifts.18. Termination for Improper ConsiderationWCA may, by written notice to Consultant, immediately terminate the right of Consultantto proceed under this Agreement if it is found that consideration, in any form, wasoffered or given by Consultant, either directly or through an intermediary, to any WCAExecutive Officer, employee, or agent with the intent of securing the Agreement orsecuring favorable treatment with respect to the award, amendment, or extension of theAgreement or the making of any determinations with respect to Consultants’performance pursuant to the Agreement. In the event of such termination, WCA shall beentitled to pursue the same remedies against Consultant as it could pursue in the eventof default by Consultant.Consultant shall immediately report any attempt by a WCA Executive Officer oremployee to solicit such improper consideration. The report shall be made either to WCAmanager charged with the supervision of the employee or to WCA Executive Officer orauthorized representative.Among other items, such improper consideration may take the form of cash, discounts,service, the provision of travel or entertainment, or tangible gifts.19. Notice to Employees Regarding the Federal Earned Income CreditConsultant shall notify its employees, and shall require each subconsultant to notify itsemployees, that they may be eligible for the federal Earned Income Credit under thefederal income tax laws. Such notice shall be provided in accordance with therequirement set forth in Internal Revenue Service Notice 1015.20. Reduction of Solid WasteConsistent with the WCA’s policy to reduce the amount of solid waste deposited inlandfills, the Consultant agrees to use recycled-content paper to the maximum extentpossible on the project.21. <strong>WCA<strong>XX</strong><strong>XX</strong></strong> <strong>Exhibit</strong> C: <strong>Sample</strong> <strong>Contract</strong> <strong>FY</strong> <strong>XX</strong>/<strong>XX</strong>The WCA may employ, either during or after performance of this contract, any right ofrecovery the WCA may have against the Consultant by any means it deems appropriateincluding, but not limited to, set-off, action at law or in equity, withholding, recoupment,or counterclaim. The rights and remedies of the WCA under this contract are in additionto any right or remedy provided by California law.22. Fair Labor Standards ActConsultant shall comply with all applicable provisions of the Federal Fair LaborStandards Act, and shall indemnify, defend, and hold harmless WCA, its agents,Executive Officers and employees from any and all liability including, but not limited to,wages, overtime pay, liquidated damages, penalties, court costs, and attorneys' feesarising under any wage and hour law including, but not limited to, the Federal Fair LaborStandards Act for services performed by Consultant's employees for which WCA may befound jointly or solely liable.23. Prevailing Wage RequirementsConsultant shall comply with all applicable prevailing wage requirements.24. Employment Eligibility VerificationConsultant warrants that it fully complies with all federal statutes and regulationsregarding employment of aliens and others, and that all its employees performingservices hereunder meet the citizenship or alien status requirements contained in federalstatutes and regulations. Consultant shall obtain, from all covered employeesperforming services hereunder, all verifications and other documentation of employmenteligibility status required by federal statutes and regulations as they currently exist andas they may be hereafter amended. Consultant shall retain such documentation for allcovered employees for the period prescribed by law. Consultant shall indemnify,defend, and hold harmless WCA, its Executive Officers and employees from employersanctions and any other liability which may be assessed against Consultant or WCA inconnection with any alleged violation of federal statutes or regulations pertaining to theeligibility for employment of persons performing services under this Agreement.25. Consultant Responsibility and Debarmenta. A responsible Consultant is a Consultant who has demonstrated theattribute of trustworthiness, as well as quality, fitness, capacity, andexperience to satisfactorily perform the contract. It is the WCA’s policyto conduct business only with responsible consultants.b. <strong>WCA<strong>XX</strong><strong>XX</strong></strong> <strong>Exhibit</strong> C: <strong>Sample</strong> <strong>Contract</strong> <strong>FY</strong> <strong>XX</strong>/<strong>XX</strong>concerning the performance of the Consultant on this or othercontracts which indicates that the Consultant is not responsible, theWCA may, in addition to other remedies provided in the contract,debar the Consultant from bidding on WCA contracts for a specifiedperiod of time not to exceed three years, and terminate any or allexisting contracts the Consultant may have with the WCA.c. The WCA may debar a Consultant if the Board finds, in its discretion,that the Consultant has done any of the following: 1) violated anyterm of a contract with the WCA; 2) committed any act or omissionwhich negatively reflects on the Consultant's quality, fitness, orcapacity to perform a contract with the WCA or any other public entity,or engaged in a pattern or practice which negatively reflects on same;3) committed an act or offense which indicates a lack of businessintegrity or business honesty; or 4) made or submitted a false claimagainst the WCA or any other public entity.d. These terms shall also apply to subconsultants of the WCAConsultant.26. No Payment for Services Provided Following Expiration and/orTermination of AgreementConsultant shall have no claim against WCA for payment for any money orreimbursement, of any kind whatsoever, for any service provided by Consultant after theexpiration or other termination of this Agreement. Should Consultant receive any suchpayment it shall immediately notify WCA and shall immediately repay all such funds toWCA. Payment by WCA for services rendered after expiration/termination of thisAgreement shall not constitute a waiver of WCAs’ right to recover such payment fromConsultant. This provision shall survive the expiration or other termination of thisAgreement.27. NoticesAny notice required or desired to be given pursuant to this Agreement shall be given inwriting and addressed as follows:WCAWatershed Conservation Authority100 N. <strong>WCA<strong>XX</strong><strong>XX</strong></strong>COMPANY<strong>Exhibit</strong> BALTERNATIVE 1INDEMNIFICATION AND INSURANCE PROVISIONSI. INDEMNIFICATIONCONSULTANT agrees to indemnify, defend, and save harmless WatershedConservation Authority (WCA), Rivers and Mountains Conservancy (RMC), andLos Angeles County Flood Control District (District), its agents, appointed andelected officers, and employees from and against any and all liability, expense(including defense costs and legal fees), or claims for damages of any naturewhatsoever, including without limitation, bodily injury, death, personal injury, orproperty damage (including property of CONSULTANT), arising from, orconnected with, any alleged willful or negligent act, error, or omission ofCONSULTANT, its agents, or subconsultants of any tier.The foregoing paragraph notwithstanding, CONSULTANT further agrees toindemnify, defend, and save harmless WCA, RMC, the District and theirrespective agents, appointed and elected officers, and employees from andagainst any Workers' Compensation suits, liability, or expense arising from, orconnected with, any services performed pursuant to this agreement on behalf ofCONSULTANT by any person.Neither the CONSULTANT, nor its agents and subconsultants of any tier,shall be obligated to indemnify the WCA and its related persons and entities forliabilities caused by the active negligence of the WCA and its related personsand entities. However, this provision does not limit any obligation to defend orindemnify the WCA and its related persons and entities arising under the policiesof insurance maintained by the CONSULTANT under this provision.II. INSURANCEWithout limiting CONSULTANT indemnification of WCA and during the termof this Agreement, CONSULTANT shall provide and maintain at its own expensethe following programs of insurance. Such programs and evidence of insuranceshall be satisfactory to the WCA and primary to and not contributing with, anyother insurance maintained by the WCA. Certificate(s) or other evidence ofcoverage shall be delivered to the Watershed Conservation Authority, 100 N. OldSan Gabriel Canyon Road, Azusa, CA 91702 prior to commencing servicesunder this Agreement, shall specifically identify this Agreement, and shall containthe express condition that WCA is to be given written notice by registered mail atleast thirty (30) days in advance of any modification or termination of insurance.


<strong>WCA<strong>XX</strong><strong>XX</strong></strong>COMPANYFailure by CONSULTANT to procure and maintain the required insuranceshall constitute a material breach of contract upon which WCA may immediatelyterminate or suspend this Agreement.A. Liability:Such insurance shall be endorsed naming the Watershed ConservationAuthority as an additional insured and shall include:1. 1. Occurrence Policies: If any of the policies obtained by theCONSULTANT to fulfill its obligations under this provision are writtenon an occurrence basis, the policies and any endorsements requiredby this provision (including, but not limited to, the additional insuredendorsements) shall be maintained in full force and effect for a periodof not less than two years following the termination of this Agreementor the CONSULTANTS’ work on the project referred to in thisAgreement, whichever is later.5. Certificate of Insurance: Prior to commencing work on the projectreferred to in this Agreement, the CONSULTANT shall provide to theRMC certificate(s) of insurance identifying the insurers, policies,coverage, and limits of liability for the insurance the CONSULTANT isrequired to provide under this provision. Accompanying thecertificate(s) shall be a copy of the required additional insuredendorsement(s) to the policies obtained by the CONSULTANT as setforth above.6. Notice of Cancellation or Non-renewal: Each policy shall require theinsurer to give the WCA at least 30 days notice of termination of thepolicy by cancellation, rescission, non-renewal, or otherwise. Noticeshall also be given to WCA of any material change in the terms of thecoverage required to be maintained by the CONSULTANT under thisprovision.7. Delivery of Notices: All certificates and notices required by thisprovision shall be in writing and shall be delivered to the <strong>Contract</strong>Administrator. The notices and certificates shall refer to this contract.

CONSULTANT agrees toimmediately obtain replacement coverage for any policy which isterminated, canceled, non-renewed, or which has paid policy limits orupon the insolvency of the insurer issuing the policy.9. Breach: Failure on the part of CONSULTANT to procure or maintaininsurance as required by this provision shall constitute a materialbreach of this contract. In the event of such a breach, the WCA may,among other things, terminate this Agreement, suspend work beingperformed on the project by or on behalf of the CONSULTANT, or at itssole discretion, the WCA may obtain replacement coverage. In theevent that replacement coverage is obtained, the CONSULTANT shall,upon demand, repay the WCA for the full amount of premiums paid bythe WCA for the replacement coverage. In its sole discretion, the WCAmay offset the cost of premiums against any monies due to theCONSULTANT from the WCA.II. INDEMNIFICATION:CONSULTANT agrees to indemnify and save harmless the WCA, RMC,DISTRICT, its agents, appointed and elected officers and employees ("WCA andits related persons and entities") from any and all claims, liabilities, expenses,lawsuits, actions, or proceedings arising from, or connected with, any act oromission of the CONSULTANT, its agents, or subconsultants of any tier.
