Chapter Bylaws5. Chapter boards must have a minimum of one Industry Partner member.(effective 10/05)B. CHAPTER EXECUTIVE COMMITTEE. No chapter shall have an Executive Committee.Section 2 PARTICIPATION IN NATIONAL CHAPTER LEADERSHIP MEETINGSRequired chapter leaders shall attend the Society’s Chapter ManagementSection 3meetings in accordance with Policies.DIRECTORSDirectors shall serve staggered terms, and each shall be elected for onetwo-year term. (effective 10/05).Section 3A STUDENT MEMBER REPRESENTATIONWhere the chapter includes one or more Student chapters, the Board ofDirectors shall include as a voting member, a Student member selectedby the Board to such position for a single one-year term, from amongqualified candidates. (effective 10/05).Section 3B TERM LIMITSChapter Board members’ term limits are set forth in the Policies.Section 4Section 5Section 6VACANCIESVacancies in any chapter office or Board position shall be filledaccording to vacancy Policies.BOARD MEETINGSThe chapter shall be required to hold a minimum of 2 board meetingsannually in addition to its Annual Meeting. Regular meetings of theBoard shall be held at the time of the chapter’s annual membershipmeeting and at other times as the Board may determine. Specialmeetings may be called by the President at her/his option, and shall becalled by the President upon written request of 25% of the members ofthe Board. Notice of such meetings shall be given to each Directorpersonally or by mail at least fourteen (14) days in advance and shallstate the purpose or purposes thereof and at whose instance the meetingwas called. No business other than that stated in the notice shall betransacted at such special meeting.QUORUMFive voting members of the chapter Board of Directors shall constitutea quorum for all meetings of the Board. Board action shall require theaffirmative vote of five (5) of the board members present. Each chapterboard member shall be entitled to cast one vote. No board membershall be entitled to vote by proxy or by designee. Chapter Boardmeetings shall be conducted through telecommunication or other formscommunication by which all participating in the meeting can hear eachother. Board action to:• amend the chapter Bylaws• approve the chapter’s Strategic Plan, Workplan or Annual Budgetmust be conducted either in person or through some form orcommunication in which each participant is able to hear and see all ofthe other participants.
