Humanscale Terms and ConditionsTHE FOLLOWING TERMS & CONDITIONS APPLY TO ALL HUMANSCALEPRODUCTS.TERMS OF PAYMENTUpon approved credit, terms of payment are net 30 from date of shipment.Deposits may be required for large or custom orders. The processing oforders and/or shipment of orders placed may be delayed if the deposit is notreceived with the order or if customer’s account is in “Past Due” status.CREDIT POLICYAll customers of Humanscale must complete a credit application, with currentinformation, which must be signed by an owner or officer. A line of creditmay be set by our Credit Department, however the basis for the line of creditmay be changed or cancelled at our discretion and advance payment may berequired. Any unpaid balance, upon which payments are not made accordingto the terms governing the sale, will be considered “Past Due” and willincrease by a maximum of 2% per month, without forfeit of Humanscale’sright to payment.Any customer who has failed to pay for goods delivered or services renderedin a timely manner shall be liable for all fees, expenses, disbursements, andcharges (including all legal costs) incurred by Humanscale in collecting moniesowed, as well as interest (at 24% per annum).PURCHASE ORDERSPurchase orders must include the following: “Bill To” and “Ship To”information—Company Name (Ship To company may be end user orinstallation company), Address, Telephone, Fax, Contact Person; End UserCompany Name; Requested Ship Date; Purchase Order Number; SpecialDelivery, Shipping and Packing Instructions (if applicable); Proper DiscountOff Current List Price, Product Quantities and Full Model Numbers; and Total(List/Net).ORDER CHANGES & CANCELLATIONSAll changes to or cancellations of orders placed with Humanscale must be inwriting and sent to Customer Service. Orders may be changed or cancelledwithout penalty if Humanscale is notified at least two (2) weeks before thescheduled ship date. All order changes or cancellations made less than two(2) weeks before the scheduled ship date will incur a minimum change/cancellation fee of 10% of net. Irrespective of when notified, changes orcancellations are not binding upon Humanscale until Humanscale issues awritten acknowledgment of the change or cancellation. Order changes aredefined as the deletion of line items; changes in style, color, quantity orrequested ship date; or ship-to address changes. Order changes that resultin a quantity reduction may be subject to an additional small order fee oradjustment in pricing. Under no circumstances will changes or cancellationsbe accepted on any custom fabric, special order or custom product orders.TAXESHumanscale list prices do not include sales tax. Customer is responsibleto remit all such tax. Humanscale requires a State Resale/ExemptionCertification to be on file at its main office. Sales made without saidCertificate will be charged the appropriate sales tax.PRICESAll discounts and list prices are subject to change without notice. Prices arethose in effect at the time of order entry. If the requested shipment date ismore than 90 days after the order date, Humanscale reserves the right toprice said order based on the published list price as of the shipment date.SMALL ORDER FEEA 3% small order fee applies to all invoiceable orders of $1,500 net or less,including billable replacement parts, regardless of product category.SHIPPING AND DELIVERYAll Humanscale orders are acknowledged with a promise date (scheduledship date) based on the product with the longest lead time. Large ordersmay increase standard lead times. Standard shipping charges will be billed tocustomer. Custom platform orders require 4 to 6 weeks.Seating orders, unless otherwise specified, will ship 4 to 6 weeks from thedate of order. Unless otherwise contractually specified, Freedom and Libertychairs will ship with the base and frame disassembled. Chairs can be easilyassembled in seconds without use of tools. Blanket-wrapped shipping isavailable for full truckloads of 200 or more Freedom or Liberty Task andConference chairs. Consult your Humanscale representative for blanketwrappedshipping requirement for Cinto and the Liberty Side chair.Ship Sets: All products ordered on a single purchase order will be deliveredtogether in a single ship set. To break a ship set, customers must indicate“Ship as Available” on the purchase order. Upon request, customer accountsmay be defaulted to ship all orders on an as-available basis.Shipping Instructions: Humanscale will attempt to accommodate basicshipping instructions, such as “call ahead” or “deliver before 12:00 p.m.,” ifclearly identified on the purchase order as “Shipping Instructions.”Packing Instructions: Humanscale will attempt to accommodate basicpacking instructions for internal delivery of specific items on an order, such as“Deliver to Joe Smith” or “Deliver to cube #218,” if clearly identified on thepurchase order as “Packing Instructions.”DELIVERY SHORTAGESProduct shortages must be noted at the time of delivery and reported to thecarrier for correction. Claims against Humanscale for shortages, errors, etc.,must be made in writing and within three (3) days of the date of delivery orcustomer waives its right to make such a claim.FREIGHT CLAIMSHumanscale will file all F.O.B. destination claims. In order to receive credit,customer agrees to cooperate and assist in the procedures set out by thecarrier and Humanscale.EXTERNAL DAMAGEIf the shipping container shows any external damage, customer is instructedto refuse the product at time of delivery. If it is a multiple piece shipment,customer may refuse only the damaged items. Humanscale will not issue fullcredit for returned product unless customer takes the following action steps:15

Humanscale shall invoicecustomer for the product and monthly Storage Fees.Storage Fees will be 1% of the net order value per month or actual storagecosts—whichever is greater. Storage Fees are calculated with a one-monthminimum and will not be pro-rated. If customer is unable to accept ascheduled product upon delivery, customer shall be responsible for placingthe product in storage and bears the risk of loss. However, payment of thebalance due is per Humanscale‘s Terms of Payment.RETURN AUTHORIZATIONS & REFUSALSAll returned and non-damaged refused orders are subject to a twenty percent(20%) restocking fee. Seating and special order returns will not be accepted.Customer must request a Return Authorization through the HumanscaleCustomer Service Department within 45 days of product receipt to returnany product. If Humanscale agrees to restock the product, customer mustreturn it freight prepaid to Humanscale, F.O.B., to the original shipping pointor as otherwise instructed by Humanscale Customer Service. If product isreturned without a Return Authorization, Humanscale will notify customerof the unauthorized return and customer must provide instructions for itsdisposition within one week thereafter. Failure of customer to respond withinone week will result in Humanscale’s right to dispose of the product with nocredit. Return Authorizations expire sixty (60) days after the date of issue. Ifthe returned product is not in resalable condition, customer will not receivecredit for the return. Customer must promptly provide a purchase order orother acceptance of fees/credit reduction as required.WARRANTYTHE FOLLOWING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIESEXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIEDWARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULARPURPOSE AND ALL OTHER WARRANTIES ARISING FROM COURSE OFDEALING OR USAGE OF TRADE.This Warranty is applicable to the initial purchaser only and is nontransferable.If products are procured through authorized HumanscaleDealerships, the end-user customer must be registered with Humanscalefor the warranty to be in effect. Humanscale warrants that, at the time ofcustomer’s receipt, the product will be in good working order and will be freefrom defects in material and workmanship. This Warranty does not applyto normal wear and tear or damage caused by accident, neglect, misuse orimproper installation or operation. Humanscale will not be responsible fordamage due to service, maintenance, modifications or tampering by anyoneother than a Humanscale authorized representative. In the event a productis defective and Humanscale receives written notice of the defect within theWarranty period, Humanscale, at its option, will either repair or replace thedefective product. This Warranty does not cover damage caused by a carrieror transportation of the product from one location to another, or alterationsmade by owner.LIMITATION OF LIABILITYPurchaser’s remedies set forth herein are exclusive and the liability ofHumanscale with respect to the breach of this agreement or any contractentered into between the parties pursuant hereto shall not exceed theprice of the product or part on which such liability is based. In no event willHumanscale be liable to purchasers for any special, collateral, incidentalor consequential damages however caused, whether by Humanscale’snegligence or otherwise.The remedies provided above are the purchaser’s sole remedies for anyfailure of Humanscale to comply with its obligations regarding theworkmanship of its products. Correction of any nonconformity in the mannerand for the period of time provided shall constitute complete fulfillment ofall liabilities of Humanscale, with respect to or arising out of the productfurnished hereunder.16
