TMTEXTILES PROGRAMThe cushions on all Freedom chairs utilize advanced technology developed primarily for the sportswear and sporting goods industries. In a single step,a high-tech molding process combines the textile, Technogel ® (standard on armrests, optional on seat cushions), foam and plastic support shell into a single, modular unit,which can be attached to Freedom with four screws. Because of this advanced process, the textiles used on Freedom’s cushions are as unique as the rest of the chair, andsatisfy requirements more demanding than typical upholstery textiles.WAVE Textile Code: W Textile Grade: 1Developed initially for sportswear, Wave responds to the unique form and productionrequirements of Freedom. This four-way stretch fabric exceeds all contract interiortesting requirements for heavy-duty upholstery. The colors of Wave are taken fromthe phenomenal hues found in nature.VELLUM Textile Code: V Textile Grade: 1Constructed of a plain weave using a blend of nylon, Cordura and elastic yarn,this textile offers a pleasing texture and extreme durability. Because of the Corduracontent, this two-way stretch woven textile performs to the rigors of the mostdemanding contract environments. It easily passes the testing requirements forheavy-duty contract upholstery and is impregnated with a soil and water-resistantfinish, which is highly durable and helps prevent the absorption of moisture andstains. The color palette varies from brights to classics, followed by a goodselection of neutrals.SMOOTH Textile Code: S Textile Grade: 2This lightweight, but highly durable two-way stretch-woven textile is constructedof a fine nylon and elastic yarn that is lightly air textured. The yarn and weaveconstruction gives it a smooth surface and supple hand, yet it easily passes thetesting requirements for heavy-duty contract upholstery. Smooth is impregnated witha soil and water-resistant finish, which is highly durable and helps prevent theabsorption of moisture and stains. TMTERMS AND CONDITIONSTERMS OF PAYMENT50% deposit, balance Net 30 from date of shipment. Deposit will not berequired for orders of five (5) chairs or less. The processing of ordersand/or shipment of orders placed may be delayed if the deposit is notreceived with the order or if customer’s account is in "Past Due" status.CREDIT POLICYAll customers of Humanscale must complete a credit application withcurrent information, which must be signed by an owner or officer. A line ofcredit may be set by our Credit Department, however the basis for the lineof credit may be changed or cancelled at our discretion and advancepayment may be required. Any unpaid balance, upon which payments arenot made according to the terms governing the sale, will be considered"Past Due" and will increase by 2% per month, without forfeit ofHumanscale’s right to payment.ORDER CHANGES / CANCELLATIONSAll changes to or cancellations of orders placed must be in writing andsent to Customer Service. Orders may be changed or cancelled withoutpenalty if Humanscale is notified at least four (4) weeks before thescheduled ship-date. All order changes or cancellations made less thanfour (4) weeks before the scheduled ship-date will incur a minimumchange/cancel fee of 15% of net. Irrespective of when notified, changesor cancellations are not binding upon Humanscale until Humanscaleissues a written acknowledgment of the change or cancellation. Orderchanges are defined as the deletion of line items or a change in style,color, quantity or ship-to address. Order changes that result in a quantityreduction may be subject to an additional small order handling fee.Under no circumstances will changes or cancellations be accepted on theFreedom Express program or on any custom fabric orders.TAXESHumanscale list prices do not include sales tax. In order to receivecredit, customer agrees to cooperate and assist in the procedures set outby the carrier and Humanscale.EXTERNAL DAMAGEIf the shipping container shows any external damage, the customer isinstructed to refuse the product at time of delivery. If it is a multiple pieceshipment, the customer may refuse only the damaged items. Humanscalewill not issue full credit for returned product unless the following ActionSteps are taken by the customer:1. Note damage on the delivery receipt at time of delivery.2. Refuse product at time of delivery.3. Contact Humanscale Customer Service within 24 hours of theattempted delivery and advise them of the damage.4. Enter a chargeable replacement order; credit will be issued after thedisposition of damaged product is determined.CONCEALED DAMAGE/LOSSIf customer determines that there is internal damage, not visible at time ofdelivery, customer will retain all packaging materials and take the followingAction Steps within fifteen (15) calendar days from the date of delivery:1. Request inspection by calling local terminal to report damage.2. Retain merchandise in the original box.3. Call your Humanscale customer service agent, provide order andproduct information.4. Get a copy of the inspection report from carrier.5. If a customer isunable to accept a scheduled product upon delivery, customer shall beresponsible for placing the product in storage and bears the risk of loss.However, payment of the balance due is Net 30 from date of shipment.RETURN AUTHORIZATION FOR UNUSED PRODUCTAll returns are subject to a thirty percent (30%) restocking fee. Thecustomer must request a Return Authorization Number through theHumanscale Customer Service Department within 90 days of productreceipt to return any unused product. If Humanscale agrees torepurchase the product, the customer must return it freight prepaid toHumanscale, F.O.B. the original shipping point or as otherwise instructedby Humanscale Customer Service. If product is returned without a ReturnAuthorization Number, Humanscale will notify the customer of theunauthorized return and the customer must provide instructions for itsdisposition within one week thereafter. Failure of the customer to respondwithin one week will result in Humanscale’s right to dispose of the productwith no credit. Return Authorization Numbers expire sixty (60) days afterthe date of issue. If the returned product is not in resalable condition, thecustomer will not receive credit for the return. The customer mustpromptly provide a purchase order or other acceptance of fees/creditreduction as required.WARRANTY (US, Canada, Mexico) Limited Lifetime Warranty.THE FOLLOWING WARRANTY IS IN LIEU OF ALL OTHERWARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITEDTO, THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESSFOR A PARTICULAR PURPOSE.
