I was brought up and also studied <strong>the</strong>re. At<strong>the</strong> end <strong>of</strong> 1980s, I moved to Canada, where I started my pr<strong>of</strong>essional career. Thedynamism and enthusiasm <strong>of</strong> <strong>the</strong> political and economic changes <strong>in</strong> <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> attracted me to move to Prague <strong>in</strong> 1996, where I have been liv<strong>in</strong>g andwork<strong>in</strong>g s<strong>in</strong>ce. Also, <strong>the</strong> lack <strong>of</strong> transparency <strong>in</strong> decision mak<strong>in</strong>g,<strong>in</strong>clud<strong>in</strong>g corruption, is fairly high.Where do you see <strong>the</strong> big opportunities for <strong>British</strong> exports and <strong>in</strong>vestmen<strong>the</strong>re?The real estate and development sector and service <strong>in</strong>dustry. The real estate sectoris already witness<strong>in</strong>g expansion, while <strong>the</strong> service <strong>in</strong>dustry is grow<strong>in</strong>g, however,its potential is largely untapped.If you had your time <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> over aga<strong>in</strong>, what would youdo differently?Pr<strong>of</strong>essionally, I would not change anyth<strong>in</strong>g. Personally, I would have <strong>in</strong>vested <strong>in</strong>real estate.What do you th<strong>in</strong>k <strong>of</strong> <strong>the</strong> current political and economic scene hereat <strong>the</strong> present time?The economic scene would be more dynamic if <strong>the</strong> political, tax and legal environmentwould encourage it. The political scene is not supportive to <strong>the</strong> reputation<strong>of</strong> <strong>the</strong> country <strong>in</strong>ternationally. The lack <strong>of</strong> ability to speak foreign languages andhav<strong>in</strong>g <strong>in</strong>ternational work experience is worrisomefor an export-/import-based economysuch as <strong>the</strong> <strong>Czech</strong> one is.What makes bus<strong>in</strong>ess succeed <strong>in</strong> <strong>the</strong> <strong>Czech</strong><strong>Republic</strong>?Perseverance, hard work, flexibility, andoptimism.What do you believe is <strong>the</strong> ma<strong>in</strong> impacton your bus<strong>in</strong>ess now <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>has jo<strong>in</strong>ed <strong>the</strong> EU?The number <strong>of</strong> mult<strong>in</strong>ational organisationsenter<strong>in</strong>g <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong> will slightly<strong>in</strong>crease <strong>in</strong> <strong>the</strong> next few years, which willdrive demand for local and <strong>in</strong>ternationalexecutives. The cross-border moves <strong>of</strong> managerswill be easier.If you were to spend a weekend anywhere<strong>in</strong> <strong>the</strong> CR, where would it be and why?Prague w<strong>in</strong>s… The city relaxes dur<strong>in</strong>g weekendswith many people leav<strong>in</strong>g for <strong>the</strong>ir“chatas”… There is so much to do and visit…What is your favourite restaurant <strong>in</strong> Prague?These days, <strong>the</strong> choices are great. Depend<strong>in</strong>gon <strong>the</strong> mood; for relax<strong>in</strong>g, low-key atmosphere,my husband and I enjoy PotrefenáHusa, for an elegant lunch or d<strong>in</strong>ner, we liketo go to Bellevue or <strong>the</strong> Intercont<strong>in</strong>entaltop-ro<strong>of</strong> restaurant.What is your idea <strong>of</strong> ideally spentweekend?In general, I am a homebody, but I like fitness,gett<strong>in</strong>g toge<strong>the</strong>r with friends, and travell<strong>in</strong>gabroad. It wasdifficult for me to understand that a nearlynew car needs to undergo this. A funny, yetsad th<strong>in</strong>g, was that when I arrived <strong>the</strong>re,<strong>the</strong>re was an about 20 years old, fum<strong>in</strong>g,orange Škoda that just successfully completed<strong>the</strong> emission control… I could hardlybrea<strong>the</strong>.What three objects would you take withyou to a desert island?Not a good idea. Legal NewsOn 2 June 2004, Act no 340/2004 Coll., amend<strong>in</strong>g<strong>the</strong> <strong>Czech</strong> Competition Act 1 (<strong>the</strong> “Amendment”)took effect. The Amendment followsa recent change <strong>in</strong> competition rules at EUlevel as well as <strong>the</strong> accession <strong>of</strong> <strong>the</strong> <strong>Czech</strong><strong>Republic</strong> <strong>in</strong>to <strong>the</strong> EU. The purpose <strong>of</strong> thisChanges to CompetitionLaw <strong>in</strong> <strong>the</strong> <strong>Czech</strong> <strong>Republic</strong>article is to briefly outl<strong>in</strong>e <strong>the</strong> ma<strong>in</strong> changes<strong>in</strong>troduced by <strong>the</strong> Amendment.Horizontal and vertical restra<strong>in</strong>tson competitionThe Amendment abolishes <strong>the</strong> previous system<strong>of</strong> notify<strong>in</strong>g agreements restra<strong>in</strong><strong>in</strong>gcompetition to <strong>the</strong> <strong>Czech</strong> Office for <strong>the</strong> Protection<strong>of</strong> Economic Competition (<strong>the</strong> “Office”)and <strong>the</strong> grant<strong>in</strong>g <strong>of</strong> <strong>in</strong>dividual exemptionsby <strong>the</strong> Office. Therefore, from now on, <strong>the</strong>only exceptions to <strong>the</strong> prohibition <strong>of</strong> horizontaland vertical restra<strong>in</strong>ts on competition areconta<strong>in</strong>ed (i) <strong>in</strong> <strong>the</strong> Competition Act itself;or (ii) <strong>in</strong> <strong>the</strong> block exemption regulationsissued by <strong>the</strong> Office <strong>in</strong> <strong>the</strong> form <strong>of</strong> generallyb<strong>in</strong>d<strong>in</strong>g regulations.The restra<strong>in</strong>ts on competition (whe<strong>the</strong>r<strong>in</strong> <strong>the</strong> form <strong>of</strong> an agreement, resolution <strong>of</strong>an association <strong>of</strong> undertak<strong>in</strong>gs or act <strong>in</strong> concert)will be exempt from <strong>the</strong> prohibition if<strong>the</strong>y meet <strong>the</strong> follow<strong>in</strong>g conditions:(i) They aim to improve production or distributionor promote technical and economicdevelopment and, at <strong>the</strong> same time, assignto consumers an adequate portion <strong>of</strong> <strong>the</strong>advantages aris<strong>in</strong>g as a result <strong>the</strong>re<strong>of</strong>;(ii) They do not impose restrictions on undertak<strong>in</strong>gswhich would be unnecessary to achieve <strong>the</strong> aims described at po<strong>in</strong>t (i)above; and(iii)They will not result <strong>in</strong> <strong>the</strong> elim<strong>in</strong>ation <strong>of</strong> competition <strong>in</strong> a substantial part <strong>of</strong>a market <strong>in</strong> goods or services, <strong>the</strong> purchase or supply <strong>of</strong> which is <strong>the</strong> subjectmatter <strong>of</strong> <strong>the</strong> agreement (or <strong>the</strong> subject matter <strong>of</strong> <strong>the</strong> resolution <strong>of</strong> an association<strong>of</strong> undertak<strong>in</strong>gs or act <strong>in</strong> concert).Fur<strong>the</strong>rmore, <strong>the</strong> Amendment <strong>in</strong>creased <strong>the</strong> thresholds under which agreementsare considered de m<strong>in</strong>imis and thus exempt from <strong>the</strong> prohibition. Horizontal agreementsare thus exempt if <strong>the</strong> comb<strong>in</strong>ed market share <strong>of</strong> <strong>the</strong> parties <strong>the</strong>reto doesnot exceed 10%. Vertical agreements are exempt if <strong>the</strong> comb<strong>in</strong>ed market share <strong>of</strong><strong>the</strong> parties <strong>the</strong>reto does not exceed 15%. 2In addition, <strong>the</strong> Amendment <strong>in</strong>troduced <strong>the</strong> follow<strong>in</strong>g changes:(iv) It is no longer possible to request that <strong>the</strong> Office issue a negative clearance, i.e.a decision confirm<strong>in</strong>g that a particular agreement does not distort competition;(v) The Office may accept commitments <strong>of</strong>fered by <strong>the</strong> parties to a restrictive agreement,provided that such commitments will be sufficient for <strong>the</strong> protection <strong>of</strong>competition and provided any distortion <strong>of</strong> competition can be removed. However,<strong>the</strong> Office may not accept <strong>the</strong> commitments <strong>of</strong> parties who have already actedupon <strong>the</strong> restrictive agreements and such actions resulted or could have resulted<strong>in</strong> <strong>the</strong> distortion <strong>of</strong> competition.Abuse <strong>of</strong> dom<strong>in</strong>ant positionThe Amendment extends <strong>the</strong> application <strong>of</strong> <strong>the</strong> essential facilities doctr<strong>in</strong>e to <strong>in</strong>tellectualproperty or o<strong>the</strong>r natural monopolies (whe<strong>the</strong>r based on ownership or public law).Fur<strong>the</strong>rmore, <strong>the</strong> Amendment makes it possible for <strong>the</strong> Office to accept commitmentsfrom a dom<strong>in</strong>ant undertak<strong>in</strong>g which abused its position, provided that<strong>the</strong> Office considers <strong>the</strong> commitments sufficient for <strong>the</strong> protection <strong>of</strong> competitionand provided any distortion <strong>of</strong> competition can be removed.
