KoonceGeneral ChairmanBrotherhood of Locomotive Engineers5909 Shelby Oaks Drive – Suite #139Memphis, TN 38134 - 7318Dear Mr. Koonce,The following confirms our discussion during the just concluded negotiations that resultedin the June 3, 2002 <strong>Hourly</strong> Rated <strong>Agreement</strong>.The Union recognized that the <strong>Hourly</strong> Rated <strong>Agreement</strong> is founded on the principle ofpaying for Engineers' time on an all-inclusive basis and contemplates that in order for theoperation to be successful, individuals will perform all duties requested of them, subject tothe provisions contained herein. It was also recognized that this <strong>Agreement</strong> is not intendedto restrict the right of the Company to operate productively. As a result of the new conceptscontained within this <strong>Agreement</strong>, the Union wanted assurances that in the event the<strong>Agreement</strong> did not meet its desired expectations either party would have the opportunity toconsider reverting back to the existing working conditions and <strong>Agreement</strong> provisions ineffect prior to its implementation.The Company assured the Union that it is confident that this new <strong>Agreement</strong> will meet theexpectations of the parties and that with the implementation of the Labor ManagementCommittee any issues raised will be resolved to mutual satisfaction. However, in order toalleviate any concerns raised by the Union, the Company is agreeable to <strong>including</strong> areversion clause to this <strong>Agreement</strong>. As a result, the parties agree that ninety (90) days priorto March 31, 2005 either party may provide written notice of its intent to reinstate theCollective <strong>Agreement</strong> provisions and working conditions that were in effect prior to theeffective date of this <strong>Agreement</strong> (Reversionary Provisions).
