THE CONTRACT1.1 Def<strong>in</strong>itionsIn the Contract (as def<strong>in</strong>ed below) the words and expressions def<strong>in</strong>ed below shallhave the mean<strong>in</strong>gs assigned to them, except where the context requires otherwise:"Affiliate" means <strong>in</strong> relation to a private company any subsidiary or parentundertak<strong>in</strong>g of the Supplier or the Purchaser or any other subsidiary undertak<strong>in</strong>g ofthat parent undertak<strong>in</strong>g (as those terms are def<strong>in</strong>ed by [relevant legislation]); and <strong>in</strong>relation to any statutory body or any un<strong>in</strong>corporated association, any successor towhich its powers and rights of authority are devolved."Applicable Laws" means any applicable national, municipal or state statute,ord<strong>in</strong>ance or other law, regulation or by-law or any rule, code or direction <strong>in</strong>clud<strong>in</strong>gapplicable technical, safety or environmental standards or any licence, consent,permit, authorisation or other approval <strong>in</strong>clud<strong>in</strong>g any conditions attached thereto or<strong>in</strong>terpretation thereof of [COUNTRY] or of any public body or authority, local ornational agency, department, <strong>in</strong>spector, m<strong>in</strong>istry, official or public or statutory person(whether autonomous or not) or professional body which has appropriate jurisdiction.“Availability means when the Facility satisfies the availability criteria as set out <strong>in</strong>the Technical Specification [or where it is deemed available <strong>in</strong> accordance withSchedule 4].<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 2"Base Date" means the date 28 days prior to the signature of this Contract."Base Monthly Charge" means the charge so def<strong>in</strong>ed <strong>in</strong> Schedule 4."Charge" means the Base Monthly Charge and the Variable Charge."Completion Date" means the date upon which the Facility is determ<strong>in</strong>ed to have metthe Performance Tests and is otherwise available for commercial operation as stated<strong>in</strong> the Performance Certificate, be<strong>in</strong>g the date upon which the Performance Tests werepassed or were deemed to have been passed <strong>in</strong> accordance with Sub-Clause 8.3."Conditions Precedent" means those conditions listed <strong>in</strong> Sub-Clause 2.1."Contract" means these conditions of contract, the Technical Specification, theSchedules, and such further documents as may be expressly <strong>in</strong>corporated."Contract Period means the period of the Contract as calculated <strong>in</strong> accordance withClause 2 and Schedule 3, as may be extended <strong>in</strong> accordance with the provisions ofthis Contract."Contract Year" means each period of twelve (12) months commenc<strong>in</strong>g from theCompletion Date or any anniversary thereof."Cost" means all expenditure properly <strong>in</strong>curred (or to be <strong>in</strong>curred) by the Supplier,whether on or off the Site, <strong>in</strong>clud<strong>in</strong>g overhead, [reasonable profit] 1 , f<strong>in</strong>anc<strong>in</strong>g costs(<strong>in</strong>clud<strong>in</strong>g (without limitation) any pr<strong>in</strong>cipal, <strong>in</strong>terest, lease payments, commission,fees or breakage costs <strong>in</strong>curred or susta<strong>in</strong>ed <strong>in</strong> unw<strong>in</strong>d<strong>in</strong>g any hedg<strong>in</strong>g arrangements)and similar charges."Dangerous Substance" means any natural or artificial substance (whether <strong>in</strong> theform of solid, liquid, gas or vapour, alone or <strong>in</strong> comb<strong>in</strong>ation with any other substance)capable of caus<strong>in</strong>g harm to man or any other liv<strong>in</strong>g organism, or capable of damag<strong>in</strong>gthe environment or public health or welfare, <strong>in</strong>clud<strong>in</strong>g but not limited to anycontrolled, special hazardous, toxic or dangerous waste."day" means a calendar day and "year" means 365 days."Discharge Consent" means the discharge consent held by the Purchaser and grantedby [environmental agency/water authority] <strong>in</strong> respect of effluent and other dischargesfrom the [Facility] to the ma<strong>in</strong> sewer.["Discharge Po<strong>in</strong>t" means the discharge po<strong>in</strong>t as marked on the plan set out <strong>in</strong>Schedule 5.]"Effective Date" means the date on which the Conditions Precedent are satisfied orwaived pursuant to Clause 2.1."Emergency" means any situation which imposes an immediate threat of <strong>in</strong>jury toany person or of material damage or material economic loss to the Facility or to any1 Purchaser may wish to resist purchaser be<strong>in</strong>g compensated for any profit element <strong>in</strong> case of ForceMajeure, Change of Law etc<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. [For the purposes of this def<strong>in</strong>ition "material" shall mean a loss ofmore than [ ] [CURRENCY] ([ ]).]"Equipment" means all <strong>Plant</strong> and Materials, [<strong>in</strong>clud<strong>in</strong>g the Facility, ] and allmach<strong>in</strong>ery, apparatus and other th<strong>in</strong>gs required for the execution and completion ofthe Services and the remedy<strong>in</strong>g of any defects, which are and shall rema<strong>in</strong> theproperty of the Supplier unless otherwise specifically provided under this Contract."Expiry Date" means the earlier of (i) the date ascerta<strong>in</strong>ed pursuant to Schedule 3 andClause 2 and (ii) the date of term<strong>in</strong>ation of this Contract."Facility" means the facility to be <strong>in</strong>stalled at the Site as described <strong>in</strong> the TechnicalSpecification."Facility Documents" means all <strong>in</strong>formation to be submitted by the Supplier asdescribed <strong>in</strong> the Technical Specification."Lenders" means the entities provid<strong>in</strong>g f<strong>in</strong>anc<strong>in</strong>g to the Supplier for the Facility."Force Majeure" has the mean<strong>in</strong>g given <strong>in</strong> Clause 19."Guaranteed Level" means the quality [and quantity]of Raw <strong>Water</strong> to be provided tothe Supplier by the Purchaser as set out <strong>in</strong> the Technical Specification. [Note:Technical Specification should specify maximum and m<strong>in</strong>imum.]"Installation Period" means the period from the Effective Date to the CompletionDate. [Note: this may relate to a phase of construction or mobilisation depend<strong>in</strong>gon whether this is construction/ <strong>in</strong>stallation of a permanent plant or <strong>in</strong>stallation ofmobile plant.]"Intellectual Property" means all <strong>in</strong>tellectual property or other proprietary rights ofevery k<strong>in</strong>d, <strong>in</strong>clud<strong>in</strong>g without limitation all patents, registered designs, unregistereddesign rights, works subject to the laws of copyright, trade secrets, processes,trademarks and service marks whether registered or not, goodwill and know-how andany associated or similar rights (<strong>in</strong>clud<strong>in</strong>g, <strong>in</strong> all cases, applications and right to applytherefore and documentation thereof)."Materials" means all th<strong>in</strong>gs of all k<strong>in</strong>ds (other than <strong>Plant</strong>) to be provided and<strong>in</strong>corporated <strong>in</strong> the Facility or used for the performance of the Services by theSupplier.""Operat<strong>in</strong>g Period" means the period from the Completion Date to the Expiry Date."O&M Procedures Manual" means the operation and ma<strong>in</strong>tenance proceduresmanual prepared by the Supplier. [Note: this may not be relevant <strong>in</strong> certa<strong>in</strong>circumstances.]"Party" or "Parties" means the Purchaser and the Supplier, or one of them as thecontext <strong>in</strong>dicates."Performance Certificate" means a certificate issued under Clause 8.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 4"Performance Tests" means the tests specified <strong>in</strong> the Technical Specification anddesignated as such, and any other such tests as may be agreed by the Purchaser andthe Supplier, which are to be carried out before the Performance Certificate is issuedby the Purchaser."Permits" means all licences, permits, approvals, consents and other forms ofauthorisations required to be obta<strong>in</strong>ed under any Applicable Laws by the Purchaser orthe Supplier <strong>in</strong> connection with the operation of the Facility or the performance of theServices."<strong>Plant</strong>" means all mach<strong>in</strong>ery and apparatus <strong>in</strong>tended to form or form<strong>in</strong>g part of theFacility."Pollution Incident" has the mean<strong>in</strong>g given <strong>in</strong> the Technical Specification."Programme" means the programme to be submitted for <strong>in</strong>formation by the Supplieras the same may be amended <strong>in</strong> accordance with Clause 4.5.“Purchaser Permits” means [those permits, approvals and consents to be obta<strong>in</strong>ed bythe Purchaser, as listed <strong>in</strong> Schedule 1, together with any other Permits required by anyApplicable Law to be obta<strong>in</strong>ed <strong>in</strong> the Purchaser’s name from time to time.]"Purchaser Site Regulations" means the regulations imposed by the Purchaser onactivities performed on the Site or on the Purchaser's premises as set out <strong>in</strong> Schedule7, and any amendment thereof by way of a Variation. [Note: there may becircumstances when Supplier Site Regulations are more appropriate.]"Purchaser's Risk" means those risks set out <strong>in</strong> Sub-Clause 17.4."Raw <strong>Water</strong>" means the water to be supplied by the Purchaser to the Supplier forprocess<strong>in</strong>g by the Supplier <strong>in</strong> accordance with the Contract."Raw <strong>Water</strong> <strong>Treatment</strong> Po<strong>in</strong>t" means the connection between the Facility and thePurchaser's pipe carry<strong>in</strong>g the Raw <strong>Water</strong> to the Facility, as <strong>in</strong>dicated on the plan setout <strong>in</strong> Schedule 5."Reports" means the reports to be provided by the Supplier as set out <strong>in</strong> Schedule 2."Services" means the services to be provided by the Supplier pursuant to thisContract."Service Tax" means service tax chargeable <strong>in</strong> accordance with the provisions of the[relevant legislation] or any similar tax chargeable <strong>in</strong> any other jurisdiction orreplac<strong>in</strong>g such taxes."Site" means the places provided by the Purchaser at which the Facility is to be<strong>in</strong>stalled and the Services are to be executed as identified on the plan set out <strong>in</strong>Schedule 5 and any other places as may be specifically designated <strong>in</strong> the Contract asform<strong>in</strong>g part of the Site."Special Conditions" mean the special conditions of contract set out <strong>in</strong> Schedule 3.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 5"Standards of a Reasonable and Prudent Supplier" means the standards, practices,methods and procedures expected from a person seek<strong>in</strong>g <strong>in</strong> good faith to perform itscontractual obligations and <strong>in</strong> so do<strong>in</strong>g and <strong>in</strong> the general conduct of its undertak<strong>in</strong>gexercis<strong>in</strong>g that degree of skill, diligence, prudence and foresight which wouldreasonably and ord<strong>in</strong>arily be expected from a skilled and experienced contractor andoperator comply<strong>in</strong>g with the Permits and all Applicable Laws and engaged <strong>in</strong> thesame type of undertak<strong>in</strong>g under the same or similar circumstances and conditions ascontemplated by this Contract."Subcontractor" means any person named <strong>in</strong> the Contract as a subcontractor,manufacturer or supplier for a part of the Services or any person to whom a part of theServices has been subcontracted <strong>in</strong> accordance with Sub-Clause 4.2, and the legalsuccessors <strong>in</strong> title to such person, but not any assignee of such person."Supplier Permits" means [the Permits required to be obta<strong>in</strong>ed by the Supplier as setout <strong>in</strong> the Technical Specification (Schedule 1)]."Technical Specification" means the specification of the scope, standard, designcriteria (if any) and programme of work as agreed by the Purchaser and the Supplier,as provided <strong>in</strong> Schedule 1 and any Variations thereto."Time for Completion" means the date by which the Facility is to have passed thePerformance Tests as set out <strong>in</strong> Schedule 3 (or as extended under Sub-Clause 7.3),calculated from the Effective Date.“Treated <strong>Water</strong>” means the filtered and purified water to be produced by theSupplier utilis<strong>in</strong>g the Facility and supplied to the Purchaser <strong>in</strong> accordance with theContract."Treated <strong>Water</strong> Supply Po<strong>in</strong>t" means the connection between the Purchaser'spremises and the Supplier's pipe, gully or sump carry<strong>in</strong>g the treated water from theFacility to the Purchaser's premises, as <strong>in</strong>dicated on the plan set out <strong>in</strong> Schedule 5."Utilities" means the utilities to be supplied by the Parties <strong>in</strong> accordance with theTechnical Specification (Schedule 1)."Variable Charge" means the charge so def<strong>in</strong>ed <strong>in</strong> Schedule 4."Variation" means any alteration and/or modification to the Technical Specification,which is <strong>in</strong>structed by the Purchaser or approved as a variation by the Purchaser, <strong>in</strong>accordance with Clause 15.1.2 Head<strong>in</strong>gs and Marg<strong>in</strong>al NotesThe head<strong>in</strong>gs and marg<strong>in</strong>al notes are not part of this Contract, and shall not be taken<strong>in</strong>to consideration <strong>in</strong> its <strong>in</strong>terpretation.1.3 InterpretationWords import<strong>in</strong>g persons or parties shall <strong>in</strong>clude firms and corporations and anyorganisation hav<strong>in</strong>g legal capacity. Words import<strong>in</strong>g one gender also<strong>in</strong>clude other genders.1.4 Law and LanguageThe law of the Contract is the law of [COUNTRY].The language for day to day communications shall be English.1.5 Priority of DocumentsThe documents form<strong>in</strong>g the Contract are to be taken as mutually explanatory of oneanother. If there is an ambiguity or discrepancy <strong>in</strong> the documents, the Purchaser shallissue any necessary clarification or <strong>in</strong>struction to the Supplier, and the priority of thedocuments shall be as follows:(a)(b)(c)these conditions of contract, the Special Conditions (Schedule 3) and Schedule4;the Technical Specification;the other Schedules; and(d) [ ].1.6 Documents on SiteThe Supplier shall keep on the Site [Note: specify which part of the Site] onecomplete set of the documents form<strong>in</strong>g the Contract, the Facility Documents,Variations, and any communications given or issued under Sub-Clause 1.7. ThePurchaser and all persons authorised by him shall have the right to use suchdocuments at all reasonable times.1.7 CommunicationsWherever provision is made for the giv<strong>in</strong>g or issue of any notice, <strong>in</strong>struction, consent,approval, certificate or determ<strong>in</strong>ation by any person, unless otherwise specified suchcommunication shall be <strong>in</strong> writ<strong>in</strong>g and shall not be unreasonably withheld or delayed.Wherever provision is made for a communication to be "written" or "<strong>in</strong> writ<strong>in</strong>g", thismeans any hand-written, type-written or pr<strong>in</strong>ted communication, <strong>in</strong>clud<strong>in</strong>gtransmission by fax.All certificates, notices or written orders to be given to the Supplier by the Purchaserand all notices to be given to the Purchaser by the Supplier, shall either be deliveredby hand aga<strong>in</strong>st written acknowledgement of receipt or the agreed systems ofelectronic transmission. The addresses for the receipt of such communications shallbe as stated <strong>in</strong> this Contract.All notices or other communications under this Contract to any Party shall be deemedto be duly given or made when delivered (<strong>in</strong> the case of personal delivery or post) orwhen received <strong>in</strong> the case of facsimile (as confirmed by a transmission report). 7notice or other communication received on a non-work<strong>in</strong>g day or after bus<strong>in</strong>ess hours<strong>in</strong> the place of receipt shall be deemed to be served on the next follow<strong>in</strong>g work<strong>in</strong>g day<strong>in</strong> such place.1.8 Provision of Facility DocumentsThe Facility Documents shall be <strong>in</strong> the custody and care of the Supplier.1.9 Compliance with Statutes, Regulations and Laws(a)(b)The Supplier shall, <strong>in</strong> all matters aris<strong>in</strong>g <strong>in</strong> the performance of the Contract,comply with and give all notices under the provisions of any national or statestatute, ord<strong>in</strong>ance or other law, or any regulation of any legally constitutedpublic authority hav<strong>in</strong>g jurisdiction over the Services.The Purchaser shall obta<strong>in</strong> all Purchaser Permits, <strong>in</strong> reasonable time tak<strong>in</strong>gaccount of the times for delivery of the <strong>Plant</strong> and Materials and forcommencement and completion of the Services. The Supplier shall obta<strong>in</strong> allSupplier Permits. Each Party shall provide the other Party with full assistanceand co-operation <strong>in</strong> obta<strong>in</strong><strong>in</strong>g and ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g all of the Permits which theother Party is responsible for.(c) The Purchaser and the Supplier shall comply with the laws of [ ].1.10 SeverabilityThe <strong>in</strong>validity, <strong>in</strong> whole or <strong>in</strong> part, of any of the provisions of this Contract will notaffect the validity of the rema<strong>in</strong>der of this Contract.1.11 Whole Agreement and AmendmentThis Contract conta<strong>in</strong>s the complete agreement between the Purchaser and theSupplier with respect to the matters conta<strong>in</strong>ed here<strong>in</strong> and supersedes all otheragreements, whether written or oral, with respect to the matters conta<strong>in</strong>ed there<strong>in</strong>. Nomodification, amendment, or other change of this Contract will be b<strong>in</strong>d<strong>in</strong>g on anyParty unless consented to <strong>in</strong> writ<strong>in</strong>g by both Parties.In enter<strong>in</strong>g <strong>in</strong>to this Contract no party may rely on any representation, warranty,collateral contract or other assurance (except those set out <strong>in</strong> this Contract) made byor on behalf of any other Party before the signature of this Contract and each of theParties waives all rights and remedies which, but for this Sub-Clause, might otherwisebe available to it <strong>in</strong> respect of such representation, warranty, collateral contract orother assurance; provided that noth<strong>in</strong>g <strong>in</strong> the Sub-Clause shall limit or exclude anyliability for fraud.1.12 WaiverFailure by either Party to exercise any of its rights under this Contract shall notconstitute a waiver of such rights. Neither Party shall be deemed to have waived anyright result<strong>in</strong>g from any failure to perform by the other unless it has made such waiverspecifically <strong>in</strong> writ<strong>in</strong>g or unless otherwise provided <strong>in</strong> this Contract.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 81.13 CounterpartsThis Contract may be executed <strong>in</strong> one or more counterparts each of which shall bedeemed an orig<strong>in</strong>al and all of which shall be deemed one and the same Contract.1.14 Costs of negotiationEach of the Parties shall pay its own costs and expenses of and <strong>in</strong>cidental to thenegotiation, preparation and completion of this Contract.1.15 AssignmentThe Purchaser and Supplier shall not assign or otherwise transfer all or any of theirrights or obligations under this Contract without the prior written consent of the otherParty, provided that the Supplier may (without the consent of the Purchaser):(a)(b)(c)delegate and/or sub-contract any of its rights or obligations under this Contractbut without reliev<strong>in</strong>g the Supplier of its obligations under the Contract; orassign, transfer or create security over all or any benefit of this Contract forthe purposes of obta<strong>in</strong><strong>in</strong>g f<strong>in</strong>anc<strong>in</strong>g;[ orassign or transfer all or any rights or obligations of this Contract to an Affiliateof the Supplier].1.16 Exclusive RemediesSubject to any express right the Purchaser may have under this Contract to term<strong>in</strong>atethis Contract or any other express rights pursuant to the Contract, the Purchaser’s soleremedy <strong>in</strong> respect of any failure by the Supplier to comply with Sub-Clause 7.2 shallbe the right to liquidated damages pursuant to Sub-Clause 7.3 2 .2. COMMENCEMENT AND TERM2.1 Conditions Precedent(a)With the exception of Clauses 1, 2, 20, 21, 22, 23 and 24 (the “ExceptedClauses”), which shall be immediately enforceable on signature of thisContract, the provisions of this Contract are conditional upon the follow<strong>in</strong>goccurr<strong>in</strong>g or be<strong>in</strong>g waived by both Parties:(i)(ii)(iii)all Purchaser Permits be<strong>in</strong>g obta<strong>in</strong>ed;the Purchaser provid<strong>in</strong>g access to and possession of the Site <strong>in</strong>accordance with Sub-Clause 3.2;[f<strong>in</strong>ancial close.][subject to f<strong>in</strong>anc<strong>in</strong>g][Note: consider whether supplier permits should be a condition precedent.]2 This provision is important to ensure that there is no potential duplication between Purchaser seek<strong>in</strong>gliquidated damages and then su<strong>in</strong>g Supplier for breach of contract<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 92.2 Failure to Meet Conditions PrecedentIn the event that any of the conditions precedent <strong>in</strong> Sub-Clause 2.1 have not beensatisfied or waived by both Parties on or before the date six months after the date ofsignature of this Contract or such later date as the Parties may agree, this Contractshall automatically term<strong>in</strong>ate and the Parties shall have no further liability to the otherwhatsoever.2.3 TermThis Contract shall cont<strong>in</strong>ue <strong>in</strong> full force and effect from the Effective Date until theExpiry Date.2.4 Extension to Contract PeriodEither Party may propose to the other Party to extend the Contract Period by giv<strong>in</strong>gnotice to that effect to the other Party not less than [six] months prior to the date onwhich the Contract Period would otherwise end. In the event that a Party gives noticehereunder and the other Party agrees to such extension the terms of such extendedperiod shall be as agreed between the Parties.3. THE PURCHASER3.1 General ObligationsThe Purchaser shall, at no cost to the Supplier and <strong>in</strong> such a manner as will notprevent, <strong>in</strong>terfere with or delay the Supplier carry<strong>in</strong>g out its obligations under theContract:(a) provide the Site <strong>in</strong> accordance with Sub-Clause 3.2;(b) pay the Supplier <strong>in</strong> accordance with Clause 15;(c)(d)(e)(f)permit the Supplier to display on or at the Site and any part of the Purchaser'spremises reasonably near to it, signs <strong>in</strong>dicat<strong>in</strong>g the Services provided by theSupplier and the ownership arrangements for any Facility and take reasonablesteps to ensure that no such sign is removed or altered;[give such assistance (by way of provision of <strong>in</strong>formation, the sign<strong>in</strong>g ofelections and notices or otherwise) as may be reasonably requested by theSupplier for the purpose of assist<strong>in</strong>g with any claim for capital allowanceswhich may be made <strong>in</strong> respect of the Facility or part thereof;]provide cont<strong>in</strong>uous supplies of Utilities <strong>in</strong> accordance with the TechnicalSpecification;if requested by the Supplier, take reasonable steps to procure access by theSupplier to any legislative bodies hav<strong>in</strong>g jurisdiction over the Services and/orthe Facility and advise the Supplier of any planned discussions with any suchbodies and, if requested by the Supplier, <strong>in</strong>volve the Supplier <strong>in</strong> suchdiscussions;<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 10(g)(h)(i)(j)(k)ensure the full co-operation of the Purchaser’s employees, agents, suppliersand subcontractors <strong>in</strong> connection with the provision of the Service and preventits employees, agents, suppliers and subcontractors from tak<strong>in</strong>g any stepswhich adversely affect the Supplier’s ability to discharge its obligations underthe Contract;make available for the exclusive use of the Supplier, its employees, agents,suppliers and Subcontractors secure and convenient park<strong>in</strong>g facilities andwork and office space reasonably required by the Supplier and any otherfacilities required by the Supplier for its employees, agents, suppliers andSubcontractors, to a standard reasonably acceptable to the Supplier;provide the supply of Raw <strong>Water</strong> <strong>in</strong> accordance with the Guaranteed Levels;ma<strong>in</strong>ta<strong>in</strong> the Discharge Consent <strong>in</strong> its name <strong>in</strong> respect of discharges from theFacility and promptly notify the Supplier of any communications between[water authority/environmental agency] and the Purchaser regard<strong>in</strong>g thePurchaser meet<strong>in</strong>g the discharge limits prescribed <strong>in</strong> the Discharge Consentand any other matters which the Supplier may regard as necessary <strong>in</strong> order tocarry out its activities under this Contract; andobta<strong>in</strong> and ma<strong>in</strong>ta<strong>in</strong> the Purchaser Permits.3.2 Access to and Possession of the Site[Depend<strong>in</strong>g on f<strong>in</strong>anc<strong>in</strong>g] Either(a)[The Purchase shall grant to the Supplier a lease over the Site <strong>in</strong> the form setout <strong>in</strong> Schedule 8 which]or[The Purchaser shall grant the Supplier rights of access to and vacantpossession of the Site before the Effective Date. Such right and possessionshall be exclusive to the Supplier and any Subcontractors until the ExpiryDate, and]shall be free of all and any tax, charge, lien, trust, lease, easement or any othermortgage, charge, assignment or limitation of use.(b)The Purchaser shall, from the commencement of work on Site until the ExpiryDate, provide all necessary:(i)(ii)(iii)fenc<strong>in</strong>g, light<strong>in</strong>g, guard<strong>in</strong>g and watch<strong>in</strong>g;safety measures as are not required to be provided by the Supplier as apart of the Services but which are required by Applicable Laws and/orwhich the Supplier may reasonably require <strong>in</strong> order to carry out itsobligations; andtemporary roadways, footways, guards and fences which may benecessary for the accommodation and protection of owners andoccupiers of adjacent land, the public and others,<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 11and shall ensure that no person other than the Supplier’s authorised personneland Subcontractors shall operate or <strong>in</strong> any way disturb or <strong>in</strong>terfere with theFacility or the Site provided that, <strong>in</strong> an Emergency, personnel of the Purchaserwho have previously been approved for this purpose by the Supplier <strong>in</strong> writ<strong>in</strong>gmay shut down the Facility.(c)(d)The Purchase shall provide such access routes (<strong>in</strong>clud<strong>in</strong>g temporary rights ofway) as are reasonably required by the Supplier at the Purchaser’s cost andshall ensure that these are ma<strong>in</strong>ta<strong>in</strong>ed free of obstructions.If the Supplier suffers delay and/or <strong>in</strong>curs Cost from failure on the part of thePurchaser to grant right of access to or possession of the Site <strong>in</strong> accordancewith Sub-Clauses 3.2(a) and (b), or appropriate unobstructed access route tothe Site <strong>in</strong> accordance with Sub-Clause 3.2(c), the Supplier shall be entitled to:(i)(ii)<strong>in</strong> the case of the Installation Period <strong>only</strong>, any extension of time underSub-Clause 7.3; andthe amount of such Costand if the failure occurs dur<strong>in</strong>g the Operat<strong>in</strong>g Period the Supplier shall alsocont<strong>in</strong>ue to receive the Base Monthly Charge plus the Cost, and reasonableloss of profit for the period that the Supplier suffers delay.4. THE SUPPLIER4.1 General Obligations(a)(b)The Facility as <strong>in</strong>stalled by the Supplier shall be wholly <strong>in</strong> accordance with theContract. The Services shall <strong>in</strong>clude any work, which is necessary to satisfythe Technical Specification, or arises from any obligation of the Supplier. TheSupplier shall design and <strong>in</strong>stall the Facility, <strong>in</strong>clud<strong>in</strong>g provid<strong>in</strong>g FacilityDocuments, <strong>in</strong> accordance with this Contract.The Supplier shall from the Completion Date:(A) operate and ma<strong>in</strong>ta<strong>in</strong> the Facility from and <strong>in</strong>clud<strong>in</strong>g the Raw<strong>Water</strong> Supply Entry Po<strong>in</strong>t to and <strong>in</strong>clud<strong>in</strong>g the Treated <strong>Water</strong> SupplyPo<strong>in</strong>t,(B) supply Treated <strong>Water</strong> and(C) dispose of sludge from the Treated <strong>Water</strong><strong>in</strong> accordance with the terms of this Contract and perform the Serviceshereunder <strong>in</strong> good faith, <strong>in</strong> accordance with:(i)(ii)(iii)the Standards of a Reasonable and Prudent Supplier;the Technical Specification;all Applicable Laws, <strong>in</strong>clud<strong>in</strong>g, without limitation, all laws relat<strong>in</strong>g tolabour or the environment;<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 12(iv)(v)all relevant Permits from time to time <strong>in</strong> force <strong>in</strong>clud<strong>in</strong>g withoutlimitation all relevant health and safety authorisations andenvironmental consents; andthe Purchaser Site Regulations.(c)If the Supplier is aware of a conflict between the requirements set out <strong>in</strong>paragraph (b), it shall <strong>in</strong>form the Purchaser accord<strong>in</strong>gly and the Parties shalldiscuss and agree upon the manner <strong>in</strong> which the Supplier should perform itsobligations. Fail<strong>in</strong>g agreement the Purchaser shall direct the manner <strong>in</strong> whichsuch conflict shall be resolved provided that the manner as directed by thePurchaser will not cause the Supplier, its employees, agents or Subcontractorsto breach any mandatory or crim<strong>in</strong>al law or to run any risk of crim<strong>in</strong>al, penalor other non-monetary penalties or prosecution and that the Purchaser shall(save to the extent aris<strong>in</strong>g by virtue of any negligent act or omission of theSupplier or a breach of this Contract by the Supplier) <strong>in</strong>demnify the Supplieraga<strong>in</strong>st all costs, claims, damages, expenses, f<strong>in</strong>es, losses, liabilities andpenalties <strong>in</strong>curred or susta<strong>in</strong>ed by the Supplier as a result of the performanceof the Services by the Supplier <strong>in</strong> accordance with such direction.4.2 SubcontractorsThe Supplier may subcontract any part of the Services to be provided by it under thisContract without the prior written consent of the Purchaser. If the Supplier doessubcontract any part of the Services, the Supplier shall not be relieved from anyliability or obligation under this Contract and the Supplier shall cont<strong>in</strong>ue to beresponsible for the negligent acts, omissions or defaults of any of its Subcontractors asfully as if they were the negligent acts, omissions or defaults of the Supplier, itsofficers, employees or agents.4.3 Site DataThe Purchaser shall have made available to the Supplier, prior to [date], all the dataon hydrological and sub-surface conditions at the Site, and studies on environmentalimpact, which have been obta<strong>in</strong>ed by or on behalf of the Purchaser from<strong>in</strong>vestigations for the Services. The Supplier shall be responsible for <strong>in</strong>terpret<strong>in</strong>g suchdata, the Purchaser shall be responsible for the accuracy of such data.4.4 Unforeseeable Sub-Surface Conditions3 If sub-surface conditions are encountered by the Supplier which were not set out <strong>in</strong>the data supplied by the Purchaser <strong>in</strong> accordance with Sub-Clause 4.3, the Suppliershall give notice to the Purchaser so that the Purchaser can <strong>in</strong>spect such conditions. 13(a)(b)an extension of time under Sub-Clause 7.3; andthe amount of any additional Cost due to such conditions.4.5 ProgrammeThe Supplier shall submit to the Purchaser, for <strong>in</strong>formation, with<strong>in</strong> 30 days of theEffective Date the Programme which shall conta<strong>in</strong> the order <strong>in</strong> which the Supplierproposes to carry out the Services (<strong>in</strong>clud<strong>in</strong>g each stage of design, delivery to Site,<strong>in</strong>stallation, test<strong>in</strong>g and commission<strong>in</strong>g of the Facility). The Supplier may amendsuch Programme from time to time and shall notify the Purchaser of any suchamendment as soon as practicable.4.6 Progress ReportsThe Supplier shall provide dur<strong>in</strong>g the Contract Period the reports set out <strong>in</strong> Schedule2.4.7 FossilsAll fossils, co<strong>in</strong>s, articles of value or antiquity, and structures and other rema<strong>in</strong>s orth<strong>in</strong>gs of geological or archaeological <strong>in</strong>terest or other relevant obstructions such asunexploded munitions discovered on the Site shall (as between the Parties) be theproperty of the Purchaser. The Supplier shall take reasonable precautions to preventhis staff, labour or other persons from remov<strong>in</strong>g or damag<strong>in</strong>g any such article orth<strong>in</strong>g. The Supplier shall, immediately upon discovery of such article or th<strong>in</strong>g, advisethe Purchaser, who may issue <strong>in</strong>structions for deal<strong>in</strong>g with it.If the Supplier suffers delay and/or <strong>in</strong>curs Cost aris<strong>in</strong>g from or <strong>in</strong> connection withsuch article or th<strong>in</strong>g or <strong>in</strong> follow<strong>in</strong>g these <strong>in</strong>structions of the Purchaser and if suchdelay and/or Cost was not (by the Base Date) foreseeable by an experiencedcontractor from the <strong>in</strong>formation provided by the Purchaser <strong>in</strong> accordance with Sub-Clause 4.3, the Supplier shall be entitled to:(a)(b)any extension of time under Sub-Clause 7.3; andthe amount of any additional Cost due to such conditions.4.8 Release from ObligationsThe Supplier shall be relieved of its obligation to perform the Services to the standardset out <strong>in</strong> Sub-Clause 4.1 to the extent delivery of Services is impeded, prevented ordelayed by a Purchaser's Risk event, as set out <strong>in</strong> Sub-Clause 17.3.5. DESIGN5.1 General ObligationsSubject to the provisions of this Contract, the Supplier shall carry out, and beresponsible for, the design of the Facility <strong>in</strong> accordance with the TechnicalSpecification. 145.2 Facility DocumentsThe Supplier shall prepare Facility Documents <strong>in</strong> sufficient detail to satisfy allregulatory approvals. Errors, omissions, ambiguities, <strong>in</strong>consistencies, <strong>in</strong>adequaciesand other defects shall be rectified by the Supplier at his cost.5.3 Technical Standards and RegulationsSubject to the provisions of this Contract, the design, the Facility Documents, theexecution and the <strong>in</strong>stalled Facility shall comply with English specifications, technicalstandards, <strong>build</strong><strong>in</strong>g, construction and environmental regulations, regulationsapplicable to the Facility, and the standards specified <strong>in</strong> the Technical Specification,or def<strong>in</strong>ed by relevant law. References <strong>in</strong> the Contract to such specifications,regulations, laws and other matters shall be understood to be references to the sameapplicable on the Base Date, unless stated otherwise. If substantially changed or newapplicable national specifications, technical standards, regulations or laws come <strong>in</strong>toforce after the Base Date, the Supplier shall submit proposals for compliance to thePurchaser. In the event that such proposals constitute a Variation, a Variation shall be<strong>in</strong>itiated <strong>in</strong> accordance with Clause 14.6. PLANT, MATERIALS AND WORKMANSHIP6.1 Manner of ExecutionAll <strong>Plant</strong> and Materials to be supplied shall be manufactured, and all work to be doneshall be executed <strong>in</strong> accordance with the Technical Specification <strong>in</strong> a proper andworkmanlike manner, with properly equipped facilities and non-hazardous materials,and <strong>in</strong> accordance with recognised good eng<strong>in</strong>eer<strong>in</strong>g practice.6.2 InspectionThe Supplier will carry out <strong>in</strong>spections of the materials and workmanship andprogress of <strong>Plant</strong> and Materials to be supplied under the Contract <strong>in</strong> accordance withthe quality plan to be prepared by the Supplier.7. COMMENCEMENT AND DELAYS7.1 Commencement of ServicesThe Supplier shall commence the [design/procurement] and <strong>in</strong>stallation of the Facilityas soon as is reasonably practicable after the Effective Date. The Supplier shall thenproceed with the Services with due expedition and without delay.7.2 Time for CompletionThe Facility shall have passed the Performance Tests by the Time for Completion.7.3 Extension of Time for CompletionThe Supplier is entitled to an extension of the Time for Completion (and acorrespond<strong>in</strong>g extension of the Expiry Date) if he is or will be delayed either beforeor after the Time for Completion by any of the follow<strong>in</strong>g causes:<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 15(a)a Variation (unless an adjustment to the Time for Completion is agreed underSub-Clause 15.3);(b) a Force Majeure event (as def<strong>in</strong>ed <strong>in</strong> Sub-Clause 19.1);(c) a Release Event (as def<strong>in</strong>ed <strong>in</strong> Sub-Clause 17.3);(d)(e)(f)(g)a cause of delay giv<strong>in</strong>g an entitlement to extension of time under a Sub-Clauseof this Contract, unless the Supplier has not complied with such Sub-Clause;[physical conditions or circumstances on the Site, which are adverse and werenot (by the Base Date) drawn to the Supplier’s attention or with<strong>in</strong> itsknowledge (as is evidenced by written records) or foreseeable from the datasupplied to the Supplier by the Purchaser;] 4any breach of this Contract, delay, impediment or prevention by the Purchaser;oran action by a legally constituted public authority which has delayed, impededor prevented the Supplier from <strong>in</strong>stall<strong>in</strong>g the Facility other than due to thenegligence or wilful default of the Supplier.If the Supplier <strong>in</strong>tends to apply for an extension of the Time for Completion, theSupplier shall give notice to the Purchaser of such <strong>in</strong>tention as soon as possible,together with any other notice required by the Contract and relevant to such cause.The Supplier shall keep such contemporary records as may be necessary tosubstantiate any application, either on the Site or at another location acceptable to thePurchaser, and such other records as may reasonably be requested by the Purchaser.The Supplier shall permit the Purchaser to <strong>in</strong>spect all such records, and shall providethe Purchaser with copies as required.The Purchaser shall respond with<strong>in</strong> 28 days of receiv<strong>in</strong>g a claim from the Supplier byeither confirm<strong>in</strong>g the Supplier's entitlement, or deny<strong>in</strong>g the claim with detailedreasons. Any dispute may be referred for resolution <strong>in</strong> accordance with Clause 20.7.4 Liquidated Damages for DelayIf the Supplier fails to comply with Sub-Clause 7.2 for reasons other than those set out<strong>in</strong> Clause 7.3 above, the Supplier shall pay to the Purchaser the sum set out <strong>in</strong>Schedule 3 as liquidated damages for such default (which sum shall be the <strong>only</strong>monies due from the Supplier for such delay) for every week which shall elapsebetween the relevant Time for Completion and the date stated <strong>in</strong> the PerformanceCertificate, provided that the total of all liquidated damages payable by the Supplierpursuant to this Sub-Clause 7.4 shall not exceed the sum set out <strong>in</strong> Schedule 3.4 Usually a subject of negotiation as to whom bears this risk<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 168. PERFORMANCE TESTS AND CERTIFICATE8.1 Supplier's ObligationsThe Supplier shall carry out the Performance Tests <strong>in</strong> accordance with this Clause 8and the Technical Specification (Schedule 1). The Supplier shall give to thePurchaser 7 days' notice of the date on which the Supplier will carry out thePerformance Tests.In consider<strong>in</strong>g the results of the Performance Tests, the Purchaser shall makeallowances for the effect of any use of the Facility by the Purchaser on theperformance or other characteristics of the Facility. As soon as the Facility haspassed the Performance Tests, the Supplier shall provide the Purchaser with acertified report of the results of all such Performance Tests.8.2 Retest<strong>in</strong>gIf the Facility fails to pass the Performance Tests, the Supplier shall promptly and <strong>in</strong>any event with<strong>in</strong> [14] days <strong>in</strong>form the Purchaser of the action it proposes to take toensure that it does pass them when retested and such failed Tests shall then bepromptly repeated under the same terms and conditions. Such failed Tests shall berepeated <strong>in</strong> accordance with this Clause 8 as many times as is required until theFacility passes the Performance Tests.8.3 Performance CertificateThe Supplier may apply by notice to the Purchaser for a Performance Certificate notearlier than 14 days before the Facility is, <strong>in</strong> the Supplier's op<strong>in</strong>ion, <strong>in</strong>stalled <strong>in</strong>accordance with this Contract. The Purchaser shall, with<strong>in</strong> 28 days after the receipt ofthe Supplier's application:(a)(b)issue the Performance Certificate to the Supplier, stat<strong>in</strong>g the date on which theFacility has passed the Performance Tests; orreject the application, giv<strong>in</strong>g its reasons for believ<strong>in</strong>g that the Facility has notpassed the Performance Tests and specify<strong>in</strong>g the work required to be done bythe Supplier to enable the Performance Certificate to be issued. The Suppliershall then complete such work before issu<strong>in</strong>g a further notice under this Sub-Clause.If the Purchaser fails either to issue the Performance Certificate or to reject theSupplier's application with<strong>in</strong> the period of 28 days, and if the Facility has passed thePerformance Tests, the Performance Certificate shall be deemed to have been issuedon the last day of that period and the Completion Date shall be deemed to be the dateof receipt of the application.8.4 Interference with Performance TestsIf the Supplier is prevented from carry<strong>in</strong>g out the Performance Tests by a cause forwhich the Purchaser (or another person employed by the Purchaser) is responsible, thePerformance Certificate shall be deemed to have been issued on the date when thePerformance Tests would otherwise have been completed. 17issue a Performance Certificate accord<strong>in</strong>gly, and the Supplier shall carry out thePerformance Tests as soon as practicable. If the Supplier <strong>in</strong>curs additional Cost as aresult of this delay <strong>in</strong> carry<strong>in</strong>g out the Performance Tests, the Supplier shall beentitled to such Cost plus reasonable profit.9. METERING9.1 Responsibility for Meter<strong>in</strong>gThe Supplier shall be responsible for all meter<strong>in</strong>g related to the Project as set out <strong>in</strong>the Technical Specification (Schedule 1). Such meter<strong>in</strong>g shall (where appropriate)monitor the quantity and quality of both Raw <strong>Water</strong> and Treated <strong>Water</strong>. [Note:relevant meters to be set out <strong>in</strong> the Technical Specification. In some deals sampl<strong>in</strong>gmay be appropriate.]9.2 Test<strong>in</strong>gThe Supplier shall use its reasonable endeavours to arrange for the test<strong>in</strong>g andcalibration of all meters referred to <strong>in</strong> Sub-Clause 9.1 above on <strong>in</strong>stallation andthereafter on a regularly scheduled basis, be<strong>in</strong>g at least once every 12 months.If at any time either Party has reasonable grounds to suspect that any meter ormeasur<strong>in</strong>g equipment is not accurate <strong>in</strong> any respect, the discrepancy or suspecteddiscrepancy shall be immediately reported to the other Party <strong>in</strong> writ<strong>in</strong>g along with anyevidence <strong>in</strong> support of such claim and (i) the Supplier shall arrange for the test<strong>in</strong>g ofthe relevant meter where the Supplier is the owner of such meter and (ii) thePurchaser shall arrange for test<strong>in</strong>g <strong>in</strong> the case of meters owned by it or third parties atits own cost. [Note: This Clause assumes that all relevant meters are <strong>in</strong> theSupplier’s control. If not, this Sub-Clause and Sub-Clause 10.4 may need to beamended.]9.3 Error AdjustmentIf any of the <strong>in</strong>stalled meters or other measur<strong>in</strong>g equipment fails to register or, upontest, is found not to be with<strong>in</strong> the accuracy standards established by the equipmentsupplier or if not available <strong>in</strong> the latest revision of the [STANDARDS] or otherrelevant standard, then for the purposes of this Contract a reasonable adjustment <strong>in</strong>accordance with generally accepted eng<strong>in</strong>eer<strong>in</strong>g practices shall be made correct<strong>in</strong>g allmeasurements, which adjustments shall reflect, if determ<strong>in</strong>able, the actual perioddur<strong>in</strong>g which any <strong>in</strong>accurate measurements were made. If such period cannot bedeterm<strong>in</strong>ed it shall be deemed to be such period as shall be equal to one-half of thetime from the date of the last previous test of such meter or measur<strong>in</strong>g equipment,provided that the period covered by any such correction shall not exceed six (6)months.9.4 Test<strong>in</strong>g CostsThe costs of all test<strong>in</strong>g of the Supplier's meters pursuant to this Clause 9 shall beborne by the Supplier except <strong>in</strong> the case of test<strong>in</strong>g carried out at the <strong>in</strong>stigation of thePurchaser which shall be borne by the Supplier, if such test<strong>in</strong>g reveals the relevantmeters to be <strong>in</strong>accurate by:<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. The costs of test<strong>in</strong>g of allother meters shall be borne by the Purchaser.10. REPORTSThe Supplier shall provide the Purchaser with such reports as are required pursuant toSchedule 2 and shall comply with all report<strong>in</strong>g requirements prescribed by ApplicableLaws or any relevant Permit. In addition, the Supplier shall provide the Purchaserwith prompt written notice of any litigation or claims, disputes or actions, threatenedor filed, concern<strong>in</strong>g the Facility or the Services.11. TREATMENT OF RAW WATER11.1 <strong>Treatment</strong>Unless otherwise specified <strong>in</strong> this Contract, as from the Completion Date, the Suppliershall, <strong>in</strong> accordance with the Technical Specification, receive and treat all Raw <strong>Water</strong>delivered to the Facility.Where Raw <strong>Water</strong> arriv<strong>in</strong>g at the Facility exceeds the applicable Guaranteed Level(Quantity), or falls outside the Guaranteed Level (Quality) the Supplier shall receivesuch Raw <strong>Water</strong> delivered to the Facility and shall make reasonable efforts <strong>in</strong>accordance with the Standards of a Reasonable and Prudent Supplier to treat it.11.2 Pollution IncidentOn any day when a Pollution Incident occurs, the Supplier shall make reasonableefforts to receive, treat and dispose of all Raw <strong>Water</strong> delivered to the Facilities andshall treat it <strong>in</strong> accordance with the Standards of a Reasonable and Prudent Supplierendeavour<strong>in</strong>g to meet the Technical Specification and <strong>in</strong> a manner which willmitigate, so far as reasonably practicable, the extent to which the pollutant preventsthe treatment of Raw <strong>Water</strong> <strong>in</strong> accordance with the Technical Specification. TheSupplier shall be relieved <strong>in</strong> these circumstances from provid<strong>in</strong>g Treated <strong>Water</strong> thatmeets the Technical Specification save where the Pollution Incident arises as a resultof the Supplier’s negligence or failure to comply with this Contract. [Note:def<strong>in</strong>ition of Pollution Incident should cover Purchaser and third party causedevents.]11.3 Purchaser <strong>in</strong>demnityTo the extent permitted by law, the Purchaser shall <strong>in</strong>demnify on demand and holdharmless the Supplier, its subcontractors, agents and employees from and aga<strong>in</strong>st allclaims, damages, losses (<strong>in</strong>clud<strong>in</strong>g loss of Charge) and expenses aris<strong>in</strong>g out of orresult<strong>in</strong>g from Raw <strong>Water</strong> exceed<strong>in</strong>g the Guaranteed Level (Quantity) or fall<strong>in</strong>goutside the Guaranteed Level (Quality) or from any Pollution Incident (save where thePollution Incident arises as a result of the Supplier’s negligence or failure to complywith this Contract).<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 1912. EMERGENCIES12.1 EmergenciesNotwithstand<strong>in</strong>g anyth<strong>in</strong>g to the contrary here<strong>in</strong>, the Supplier may take any actions asthe Supplier deems to be necessary (act<strong>in</strong>g <strong>in</strong> accordance with the Standards of aReasonable and Prudent Supplier) <strong>in</strong> the case of an Emergency affect<strong>in</strong>g the Projector the operation of the Facility where the Supplier considers immediate action isrequired to safeguard lives or property (and provided that any communication with thenews media made by the Supplier shall provide <strong>only</strong> enough <strong>in</strong>formation to satisfyimmediate public concern).12.2 Further ActionIn the event of an Emergency, the Supplier shall forthwith notify the Purchaser of theEmergency, the expenditure made and the actions taken. The Purchaser shall beresponsible for this expenditure provided the Supplier has complied with itsobligations hereunder and unless and to the extent that the Emergency is caused byany negligent act or omission on the part of the Supplier or any of its Subcontractors.The Supplier shall take all reasonable steps to m<strong>in</strong>imise the cost to the Purchaser of itsactions, hav<strong>in</strong>g regard to the circumstances and the need to act promptly. Follow<strong>in</strong>gsuch notification, at the request of the Purchaser, the Parties shall discuss withoutdelay the further actions which should be taken as a result of that Emergency and theestimated expenditure associated therewith.12.3 Purchaser's NoticeIf the Purchaser considers that an Emergency has arisen <strong>in</strong> relation to the Project, thePurchaser may give written notice to the Supplier specify<strong>in</strong>g the nature of theEmergency which it has identified and the manner <strong>in</strong> which it requests suchEmergency to be rectified. The Supplier shall, to the extent it is able to, rectify suchEmergency with all due diligence. If the Supplier fails to comply with such noticepromptly, the Purchaser shall be entitled to take such actions as may be necessary toremedy such breach by the Supplier.12.4 Purchaser Indemnity for step-<strong>in</strong>To the extent permitted by law, the Purchaser shall <strong>in</strong>demnify and hold harmless theSupplier, its Subcontractors, agents and employees from and aga<strong>in</strong>st all claims,damages, losses and expenses aris<strong>in</strong>g as a result of the Purchaser or its subcontractors,agents or employees tak<strong>in</strong>g action pursuant to Sub-Clause 12.3.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 2013. STAFF, LABOUR AND SITE13.1 Engagement of Staff and LabourThe Supplier shall make its own arrangements for the engagement of all staff andlabour, local or otherwise. 513.2 Health and SafetyThe Supplier shall comply with all applicable safety regulations <strong>in</strong> its design, accessarrangements and operations on Site. Precautions shall be taken by the Supplier toensure the health and safety of its staff and labour. The Supplier shall ma<strong>in</strong>ta<strong>in</strong>reasonable records and make reports concern<strong>in</strong>g health, safety and welfare of persons,and damage to property.The Supplier shall appo<strong>in</strong>t a member of its staff to be responsible for ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g thesafety, and protection aga<strong>in</strong>st accidents, of personnel on the Site. This person shall bequalified for his work and shall have the authority to issue <strong>in</strong>structions and takeprotective measures to prevent accidents. The Supplier shall send to the Purchaserdetails of any accident as soon as possible after its occurrence.13.3 Supplier's PersonnelThe Supplier shall employ (or cause to be employed) <strong>only</strong> persons who areappropriately qualified, skilled and experienced <strong>in</strong> their respective trades oroccupations. The Supplier shall at all times take all reasonable precautions to preventany unlawful, riotous or disorderly conduct by or amongst its staff and labour, and topreserve peace and protection of persons and property <strong>in</strong> the neighbourhood of theServices aga<strong>in</strong>st such conduct.14. VARIATIONS14.1 Right to VaryVariations may be <strong>in</strong>itiated by the Purchaser at any time after the Effective Date andbefore the Expiry Date, either by <strong>in</strong>struction or by a request for the Supplier to submita proposal. If the Purchaser requests the Supplier to submit a proposal andsubsequently elects not to proceed with the change, the Supplier shall be reimbursedby the Purchaser for the Cost <strong>in</strong>curred, <strong>in</strong>clud<strong>in</strong>g design services.The Purchaser shall not be entitled to request a Variation which would reduce thescope of the Facility and/or the Services.The Supplier shall not make any alteration and/or modification of the Services, unlessand until the Purchaser <strong>in</strong>structs or approves a Variation.5 This assumes situation where Supplier is not tak<strong>in</strong>g on staff from Purchaser. 2114.2 Value Eng<strong>in</strong>eer<strong>in</strong>gThe Supplier may, at any time, submit to the Purchaser a written proposal which <strong>in</strong>the Supplier's op<strong>in</strong>ion will reduce the cost of construct<strong>in</strong>g, ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g or operat<strong>in</strong>gthe Facility, or improve the efficiency or value to the Purchaser of the completedFacility, or otherwise be of benefit to the Purchaser. Any such proposal shall beprepared at the cost of the Supplier and shall <strong>in</strong>clude the items listed <strong>in</strong> Sub-Clause14.3.14.3 Variation ProcedureIf the Purchaser requests a proposal or <strong>in</strong>structs a variation, the Supplier shall submit,as soon as practicable:(a)(b)(c)a description of the proposed design, work and/or services to be performedand a programme for its execution;the Supplier's proposal for any necessary modifications to the programmeaccord<strong>in</strong>g to Sub-Clause 4.8; andthe Supplier's proposal for adjustment to the Charge, Time for Completionand/or modifications to the Contract.The Purchaser shall, as soon as practicable after receipt of such proposals, respondwith its approval, rejection or comments. If a Variation is to be carried out, theParties must first agree adjustments to the Charge, Time for Completion and ExpiryDate, modifications to the Contract and who is to obta<strong>in</strong> any necessary Permits andthe relevant Party shall obta<strong>in</strong> such Permits.Adjustment of the Charge shall <strong>in</strong>clude profit and cost of f<strong>in</strong>anc<strong>in</strong>g, and shall takeaccount of the Supplier's submissions under Sub-Clause 14.2 and any rates set out <strong>in</strong>this Contract.14.4 Right or RefusalThe Supplier shall have the right to refuse a Variation requested by the Purchaser if:(a)(b)(c)the Supplier reasonably considers that the Variation, if implemented, wouldhave a material adverse effect on the Supplier’s ability to provide the Servicesor perform its obligations under or <strong>in</strong> connection with this Contract;the Variation would cause the Supplier to breach any Permits; orthe Variation would, if implemented, materially adversely affect the health andsafety of any person or give rise to a breach of any Applicable Law.14.5 Base Monthly ChargeIf whilst implement<strong>in</strong>g the Variation, the Variation affects the ability of the Supplierto provide the whole or part of the Services or fulfil its obligations under or <strong>in</strong>connection with this Contract the Supplier will be entitled to be paid the BaseMonthly Charge.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. CONTRACT PRICE AND PAYMENT15.1 Payment Mechanism(a)(b)(c)(d)(e)(f)(g)The Supplier shall submit a monthly <strong>in</strong>voice for the Charge calculatedpursuant to Schedule 4 and any additional amounts payable to it under thisContract and the due date for payment of such monthly <strong>in</strong>voice shall be thedate fall<strong>in</strong>g seven (7) days after the date of the <strong>in</strong>voice. The f<strong>in</strong>al date forpayment of the Charge shall be twenty-one (21) days from the date of therelevant <strong>in</strong>voice, except <strong>in</strong> the case of manifest error. The Base MonthlyCharge shall be settled <strong>in</strong> accordance with Sub-Clause 15.2.No later than five (5) days after the date on which any payment becomes dueunder this Contract, the Purchaser shall give notice to the Supplier specify<strong>in</strong>gany amount of the payment made or proposed to be made and the basis onwhich that amount was calculated.If the Purchaser considers that it is entitled to withhold any amount from anypayment, it shall give the Supplier a notice of its <strong>in</strong>tention to withholdpayment not later than ten (10) days before the relevant f<strong>in</strong>al date for payment,specify<strong>in</strong>g the amount proposed to be withheld and the ground or grounds forwithhold<strong>in</strong>g payment. Any amount that the Purchaser does not notify as anamount so to be withheld shall be paid by the relevant f<strong>in</strong>al date for payment.Where the period of payment would <strong>in</strong>clude a day which is a bank holiday <strong>in</strong>[COUNTRY], that day shall be excluded.All amounts payable pursuant to this Contract shall be paid without set offunless otherwise agreed between the parties or determ<strong>in</strong>ed pursuant to Clause20.All payments made under this Contract shall be made by transfer to such bankaccount as each Party shall notify to the other and shall be <strong>in</strong> the currency<strong>in</strong>dicated <strong>in</strong> Schedule 4.Any amount properly due to a Party pursuant to this Contract and rema<strong>in</strong><strong>in</strong>gunpaid after the f<strong>in</strong>al date for payment shall bear <strong>in</strong>terest (both before andafter judgement), such <strong>in</strong>terest to accrue from day to day at the rate of [4%]above the LIBOR three-month sterl<strong>in</strong>g rate from the date when payment wasdue until the amount due is actually received by the payee.15.2 Regular Payment of Base Monthly ChargeTo ensure the punctual payment of the Base Monthly Charge and timely performanceof its obligations under this Contract, the Purchaser shall set up a payment mechanismto allow the automatic payment of the Base Monthly Charge on [ ] of each month <strong>in</strong>tosuch bank account as the Supplier shall notify to the Purchaser. 2315.3 TaxesThe payments to be made to the Supplier are, subject to this Sub-Clause 15.3,<strong>in</strong>clusive of all taxes, duties, levies, charges and the like payable <strong>in</strong> connection withthis Contract. All taxes on or calculated by reference to the Supplier's profits ordeemed profits shall be borne by the Supplier.Except where expressly stated to the contrary, any sum payable as consideration for asupply by the Supplier made under this Contract is exclusive of Service Tax, whichshall, if applicable, be payable by the Purchaser to the Supplier <strong>in</strong> addition on the laterof (i) seven (7) days after the issue of an appropriate Service Tax <strong>in</strong>voice and (ii) theday when payment of the relevant amount is due.15.4 SuspensionWithout prejudice to any rights or remedies that the Supplier may have under theContract or at law, if the Purchaser fails to pay any amount stated <strong>in</strong> any monthly<strong>in</strong>voice by the relevant f<strong>in</strong>al date for payment (and the Parties have not agreedotherwise) and it has not given to the Supplier an effective notice of <strong>in</strong>tention towithhold payment, the Supplier shall be entitled upon giv<strong>in</strong>g the Purchaser seven (7)days notice, to suspend the performance of any of its obligations under this Contractuntil such time as the due amount is paid <strong>in</strong> full. In giv<strong>in</strong>g such notice the Suppliershall specify the ground or grounds on which it <strong>in</strong>tends to suspend performance.16. TERMINATION16.1 Default of SupplierIf the Supplier:(a)(b)abandons or repudiates the Contract;without reasonable excuse fails:(i)to commence the Services promptly <strong>in</strong> accordance with Sub-Clause7.1; or(ii) to proceed with the Services <strong>in</strong> accordance with Clause 7;(c)(d)becomes bankrupt or <strong>in</strong>solvent, goes <strong>in</strong>to liquidation, has a receiv<strong>in</strong>g oradm<strong>in</strong>istration order made aga<strong>in</strong>st him, compounds with his creditors, orcarries on bus<strong>in</strong>ess under a receiver, trustee or manager for the benefit of hiscreditors, or if any act is done or event occurs which (under any applicablelaw) has a similar effect to any of these acts or events;if there is a material failure by the Supplier to perform any of its obligationshereunder (<strong>in</strong>clud<strong>in</strong>g without limitation operat<strong>in</strong>g the Facility <strong>in</strong> violation ofany Permit), unless the Supplier has cured such breach dur<strong>in</strong>g the noticeperiod or has <strong>in</strong>itiated and is pursu<strong>in</strong>g diligently the cure of such breach andthereafter cont<strong>in</strong>ues to pursue diligently such cure, provided that such cure iseffected with<strong>in</strong> n<strong>in</strong>ety (90) days' from the receipt of such notice by theSupplier (or such shorter period of time as may be necessary to avoid any<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 24enforcement action under a Permit <strong>in</strong>clud<strong>in</strong>g the imposition of governmentalor regulatory penalties or loss of a Permit); or(e)assigns the Contract without the Purchaser’s written consent except <strong>in</strong>accordance with Sub-Clause 1.16,then the Purchaser may, after (except <strong>in</strong> the case of defaults referred to <strong>in</strong> Sub-Clauses 16.1(c) where term<strong>in</strong>ation may be with immediate effect), hav<strong>in</strong>g given 90days written notice to the Supplier, and, if the default has not been cured by the end ofthe 90 day period, issue a notice of the term<strong>in</strong>ation of the Supplier's employmentunder the Contract and expel the Supplier from the Site. The Supplier shall not bereleased from any of its obligations or liabilities under the Contract. The rights andauthorities conferred on the Purchaser by the Contract shall not be affected.If it is subsequently found that the Purchaser was not entitled to term<strong>in</strong>ate under thisSub-Clause 16.1, the Contract shall be deemed to have been term<strong>in</strong>ated under Sub-Clause 16.2.16.2 Default of PurchaserIf the Purchaser:(a) fails to pay the Supplier <strong>in</strong> accordance with Sub-Clause 15.1;(b)(c)(d)(e)(f)becomes bankrupt or <strong>in</strong>solvent, goes <strong>in</strong>to liquidation, has a receiv<strong>in</strong>g oradm<strong>in</strong>istration order made aga<strong>in</strong>st him, compounds with his creditors, orcarries on bus<strong>in</strong>ess under a receiver, trustee or manager for the benefit of hiscreditors, or if any act is done or event occurs which (under any applicablelaw) has a similar effect to any of these acts or events;consistently fails to meet the Purchaser's obligations or fails to perform amaterial Purchaser's obligation under the Contract;assigns the Contract without the Supplier's written consent; ora receiver or secured creditor take steps to sell the Site or to enforce amortgage over the Site; orif the Project is expropriated or <strong>in</strong>voluntarily transferred to a governmentalentity or if a similar action occurs with respect to all or a substantial part of theassets or rights of the Supplier or Purchaser <strong>in</strong> respect of the Project,then the Supplier may after (except <strong>in</strong> the case of Sub-Clauses 16.2(b), (d) or (e)where notice of term<strong>in</strong>ation will have immediate effect) hav<strong>in</strong>g given 45 days noticeto the Purchaser and, if the default has not been cured by the end of the 45 day cureperiod, term<strong>in</strong>ate this Contract on expiry of the term<strong>in</strong>ation notice.16.3 Consequences of Term<strong>in</strong>ationFollow<strong>in</strong>g the Expiry Date or after term<strong>in</strong>ation under Sub-Clauses 16.1 or 16.2, theSupplier shall cease all further work, except for work as may be necessary and<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 25<strong>in</strong>structed by the Purchaser for the purpose of leav<strong>in</strong>g the Site <strong>in</strong> a clean and safecondition and repatriate all its staff and labour from the Site.Upon receipt by the Supplier of the sums referred to <strong>in</strong> Sub-Clauses 16.3 and 16.4 andSchedule 4 Part 2 or follow<strong>in</strong>g the Expiry Date:(a)(b)(c)(d)(e)(f)the Supplier shall be entitled to remove the Equipment and shall leave theFacility at the date of term<strong>in</strong>ation <strong>in</strong> such a condition as it is reasonable toexpect hav<strong>in</strong>g regard to all the circumstances <strong>in</strong>clud<strong>in</strong>g (without limitation) itsage, the length and degree of its use, the normal wear and tear occasioned byoperation and, <strong>in</strong> the case of the <strong>Plant</strong>, the general state of such <strong>Plant</strong> at thetime when the Supplier first began operat<strong>in</strong>g and ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g it;the Purchaser shall reimburse the Supplier all Cost <strong>in</strong>curred by the Supplier <strong>in</strong>connection with any legislative obligation on the Supplier to decommissionand/ or make safe the Facility and/ or re<strong>in</strong>state the Site or any part of it, unlesssuch Cost is due to the negligence or default of the Supplier;subject to paragraph (d) below, the Purchaser shall enjoy quiet possession ofthe Facility;the Facility shall be at the Purchaser’s risk and the Purchaser shall at its owncost be responsible for all <strong>in</strong>surances related to the <strong>Plant</strong> and the use of it andshall ensure that it is used and ma<strong>in</strong>ta<strong>in</strong>ed <strong>in</strong> accordance with all statutoryrequirements and so as not to give rise to any danger to health, safety or theenvironment. The Purchaser shall <strong>in</strong>demnify the Supplier aga<strong>in</strong>st any claimsor awards that may be made aga<strong>in</strong>st the Supplier and any Cost suffered or<strong>in</strong>curred by the Supplier <strong>in</strong> connection with the use and/ or condition of theFacility;<strong>in</strong> the case of term<strong>in</strong>ation pursuant to Sub-Clause 16.1 [or the expiry of theContract], the Supplier shall supply sufficient operat<strong>in</strong>g spares (exclud<strong>in</strong>gmembranes and media) for the Facility to enable the Purchaser to operate theFacility for one year after the date of term<strong>in</strong>ation[/expiry]; andsave as set out <strong>in</strong> Sub-Clause 16.3(a) above, the Supplier shall have noliability for the condition of the Facility, its operation or otherwise <strong>in</strong>connection with the Facility after the term<strong>in</strong>ation of this Contract for whatevercause.At any time follow<strong>in</strong>g term<strong>in</strong>ation, the Supplier shall be entitled to enter upon the Siteand remove any property of the Supplier (other than the Facility <strong>in</strong> the event that (i)all sums due under Sub-Clause 16.4 have been paid to the Supplier and (ii) thePurchaser is not <strong>in</strong> breach of any provision set out <strong>in</strong> Sub-Clause 16.3), and thePurchaser shall ensure that the Supplier is not h<strong>in</strong>dered from so do<strong>in</strong>g.16.4 Payment on Term<strong>in</strong>ationAfter term<strong>in</strong>ation under Clause 16 or Sub-Clause 19.4, the Purchaser shall pay theSupplier the relevant amounts calculated and certified <strong>in</strong> accordance with Schedule 4Part 2.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 2617. RISK AND RESPONSIBILITY17.1 Indemnity(a)(b)(c)The Supplier shall <strong>in</strong>demnify and hold harmless the Purchaser, his contractors,agents and employees from and aga<strong>in</strong>st all claims, damages, losses andexpenses aris<strong>in</strong>g out of or result<strong>in</strong>g from the Services, <strong>in</strong>clud<strong>in</strong>g professionalservices provided by the Supplier unless caused by an act, omission or defaultof the Purchaser or anyone directly or <strong>in</strong>directly employed by the Purchaser orfor whom the Purchaser is responsible.These <strong>in</strong>demnification obligations shall be limited to claims, damages, lossesand expenses which are attributable to bodily <strong>in</strong>jury, sickness, disease ordeath, or to <strong>in</strong>jury to or destruction of tangible property (other than theFacility) and shall also be limited to the extent that such claims, damages,losses or expenses are caused <strong>in</strong> whole or <strong>in</strong> part by a negligent act oromission, breach of this Contract or a breach of a duty of care, imposed by lawon the Supplier or anyone directly or <strong>in</strong>directly employed by the Supplier.The Supplier shall not be liable under this Sub-Clause 17.1 for, and thePurchaser shall <strong>in</strong>demnify, keep <strong>in</strong>demnified, defend and hold harmless theSupplier, the Supplier's Affiliates and their respective officers and employeesaga<strong>in</strong>st, any and all claims for loss, damage and expense of whatever k<strong>in</strong>d andnature, <strong>in</strong>clud<strong>in</strong>g all related costs and expenses, <strong>in</strong> respect of personal <strong>in</strong>jury toor death of third parties and <strong>in</strong> respect of loss of or damage to any third partyproperty to the extent that the same arises out of any negligent act or omissionor breach of this Contract or breach of a duty of care, imposed by law on thePurchaser or anyone directly or <strong>in</strong>directly employed by the Purchaser, by thePurchaser, its contractors (other than the Supplier or any Subcontractor) ortheir respective officers, agents or employees.17.2 Supplier's Title <strong>in</strong> the Equipment and Care of the Facility(a)(b)The Supplier shall take full responsibility for the care of the Facility and shallat all times reta<strong>in</strong> title <strong>in</strong> the Equipment. The Equipment shall not beconsidered a fixture and shall under no circumstances be considered to formpart of the land or the Site or the Facility nor shall the Equipment become theproperty of the Purchaser or any third party unless otherwise specificallyprovided <strong>in</strong> this Contract.The Purchaser shall take all steps reasonably requested by the Supplier toensure that the Equipment shall not <strong>in</strong> law become annexed to any land. ThePurchaser shall, upon reasonable notice from the Supplier take all reasonablesteps to procure an acknowledgement <strong>in</strong> writ<strong>in</strong>g and <strong>in</strong> a form acceptable tothe Supplier from any landlord, mortgagee or debenture holder of thePurchaser that the Equipment is not to be treated as the property of thePurchaser or of the entity mak<strong>in</strong>g the acknowledgement and that neither theentity mak<strong>in</strong>g the acknowledgement nor any person claim<strong>in</strong>g through or <strong>in</strong>trust for them will seek to enforce aga<strong>in</strong>st the Equipment, any debt due fromor right of action accrued aga<strong>in</strong>st the Purchaser <strong>in</strong> favour of the entity mak<strong>in</strong>gthe acknowledgement.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 27(c)(d)(e)If any loss or damage happens to the Facility, aris<strong>in</strong>g from any cause otherthan the Release Events listed <strong>in</strong> Sub-Clause 17.3, from the Effective Dateuntil the Expiry Date, the Supplier shall rectify such loss or damage, at itscost, so that the Facility conforms with the Contract.The Purchaser acknowledges that the Supplier has the right to obta<strong>in</strong> f<strong>in</strong>anc<strong>in</strong>gfor the Facility through a leas<strong>in</strong>g structure or otherwise and that the Suppliermay transfer title <strong>in</strong> the Equipment, or part thereof, to the Lenders <strong>in</strong> exchangefor a lease over or similar <strong>in</strong>terest <strong>in</strong> those assets. Where the Lenders take title<strong>in</strong> the Facility, or any part thereof, the Purchaser shall perform its obligationsunder this Contract <strong>in</strong> relation to the Equipment and the Facility for the benefitof the Supplier and the Lender.The Purchaser shall <strong>in</strong>demnify and hold harmless the Supplier, itsSubcontractors, agents and employees from and aga<strong>in</strong>st all claims, damages,losses and expenses aris<strong>in</strong>g out of or result<strong>in</strong>g from any pre-exist<strong>in</strong>genvironmental contam<strong>in</strong>ation by a Dangerous Substance which is:(i)(ii)(iii)found at the Site;forms part of the Facility; orforms part of the Site or is found <strong>in</strong> any underground assets at the Site,and was found to have occurred prior to or on the Effective Date.In the event of any environmental contam<strong>in</strong>ation by a Dangerous Substancewhich occurs after the Effective Date or any environmental contam<strong>in</strong>ation byDangerous Substance which occurs as a result of a negligent act or omissionof the Purchaser or third parties (exclud<strong>in</strong>g the Supplier’s Subcontractors,agents or employees) after the Effective Date, the Purchaser shall cont<strong>in</strong>ue to<strong>in</strong>demnify and hold harmless the Supplier, his contractors, agents andemployees from and aga<strong>in</strong>st all claims, damages, losses and expenses aris<strong>in</strong>gout of or result<strong>in</strong>g from such environmental contam<strong>in</strong>ation by a DangerousSubstance to the extent that such environmental contam<strong>in</strong>ation is not causedby the wilful default or negligent acts or omissions of the Supplier.17.3 Release EventsThe Release Events are:(a)(b)(c)a Pollution Incident unless caused by the negligence of or a breach of thisContract by the Supplier;Raw <strong>Water</strong> which does not conform with the Guaranteed Levels (Quality) orexceeds the Guaranteed Levels (Quantity);pressure waves caused by aircraft or other aerial devices travell<strong>in</strong>g at sonic orsupersonic speeds which causes damage to/ destroys a part or all of theFacility or restricts access to the Site or makes the Site unsafe;<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 28(d)(e)(f)(g)(h)(i)(j)(k)(l)(m)(n)any default or delay by a statutory authority, undertaker or utility <strong>in</strong> the issueor extension of a Permit or carry<strong>in</strong>g out or provision of works or services thatit is bound to carry out or provide or any failure or shortage of power, fuel ortransport;any act or omission of any political or governmental agency or body, anywithdrawal of a Permit or the failure by a political, governmental or regulatoryagency to renew a Permit;an Emergency;loss or damage due to the use or occupation by the Purchaser or a third party<strong>in</strong> the control of the Purchaser (<strong>in</strong>clud<strong>in</strong>g Utilities) of any part of the Site orthe Facility, except as may be provided for <strong>in</strong> the Contract;any operation of the forces of nature aga<strong>in</strong>st which an experienced contractoror operator could not reasonably have been expected to take precautions;changes <strong>in</strong> Applicable Law which came <strong>in</strong>to force after the Base Date;any act, omission or default by the Purchaser;any failure of Utilities or failure by the Purchaser which causes the reductionor suspension of such services;failure by the Purchaser to procure or ma<strong>in</strong>ta<strong>in</strong> Permits <strong>in</strong> accordance withClause 1.9;environmental contam<strong>in</strong>ation by a Dangerous Substance (unless caused by theSupplier’s negligent acts or omissions) which needs to be removed or treated;any defect or flaw (<strong>in</strong>clud<strong>in</strong>g latent defect) <strong>in</strong> the condition of the Facility orSite (<strong>in</strong>clud<strong>in</strong>g underground assets such as the Purchaser’s pipel<strong>in</strong>es and tanksbelong<strong>in</strong>g to the water authority and sewerage undertaker) other than a defectresult<strong>in</strong>g from a breach of the Supplier’s obligations under this Contract whichis <strong>in</strong> existence at the date of this Contract; and(o) suspension pursuant to Clause 15.4.17.4 Consequences of Release Events(a)(b)The Supplier shall give notice, to the Purchaser, of a Release Event upon itbe<strong>in</strong>g foreseen by, or becom<strong>in</strong>g known to, the Supplier.If and to the extent that the Supplier is prevented or h<strong>in</strong>dered from execut<strong>in</strong>gthe Services as a result of a Release Event, for the period that the ReleaseEvent cont<strong>in</strong>ues the Supplier shall be relieved of its obligations to provide theServices but shall endeavour to perform its obligations under the Contract asfar as reasonably practicable, PROVIDED that if and to the extent that theSupplier <strong>in</strong>curs additional Cost <strong>in</strong> so do<strong>in</strong>g, the Supplier shall be entitled to theamount of such Cost (the Supplier hav<strong>in</strong>g taken reasonable steps to mitigatethat Cost).<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 29(c)(d)(e)If and to the extent that the Supplier suffers a delay dur<strong>in</strong>g the InstallationPeriod as a result of the Release Event then it shall be entitle to a fair andreasonable extension for the Time for Completion <strong>in</strong> accordance with Sub-Clause 7.3.If a Release Event results <strong>in</strong> a loss or damage to the Facility, then Suppliershall rectify such loss or damage to the extent required by the Purchaser,PROVIDED that any Cost of rectification (less any <strong>in</strong>surance proceedsreceived by the Supplier for the loss or damage) is borne by the Purchaser (theSupplier hav<strong>in</strong>g taken reasonable steps to mitigate the Cost).Release Events specified <strong>in</strong>:(i)(ii)Sub-Clauses 17.3(g), (j), (l) and (o); andSub-Clauses 17.3(a), (b), (c), (d), (e), (f), (h), (i), (k), (m) and (n) to theextent that they are due, directly or <strong>in</strong>directly, to the action or <strong>in</strong>actionof the Purchaserare “Purchaser Risks”. If the Supplier suffers delay or the Services are<strong>in</strong>terrupted as a result of a Purchaser Risk, and this results <strong>in</strong> a loss of profit bythe Supplier, then the Supplier shall be entitled to be compensated forreasonable loss of profit at the rates per day set out <strong>in</strong> Schedule 4 Part 1 <strong>in</strong>addition to the Base Monthly Charge.For all other Release Events, the Supplier shall not be entitle to a loss of profitelement dur<strong>in</strong>g the period of <strong>in</strong>terruption <strong>in</strong> addition to the Base MonthlyCharge. [Note: this is drafted on the assumption that Base Monthly Chargewill cover all fixed costs plus a profit element](f)(g)For the purposes of Clause 16 (term<strong>in</strong>ation), any Release Events which are notPurchaser Risks shall be treated <strong>in</strong> the same way as term<strong>in</strong>ation for extendedForce Majeure.The Supplier shall be entitled to payment of the Base Monthly Charge dur<strong>in</strong>gthe period of <strong>in</strong>terruption irrespective of whether the Release Event is aPurchaser Risk or not.17.5 Patent Rights[Note: Are Purchaser’s Patents be<strong>in</strong>g used? 30(b)(c)(d)the <strong>in</strong>fr<strong>in</strong>gement (or allegation of <strong>in</strong>fr<strong>in</strong>gement) was not the result of part (orall) of the Facility be<strong>in</strong>g used by the Purchaser for a purpose other than that<strong>in</strong>dicated by, or reasonably to be <strong>in</strong>ferred from, the Contract;the <strong>in</strong>fr<strong>in</strong>gement (or allegation of <strong>in</strong>fr<strong>in</strong>gement) was not the result of part (orall) of the Facility be<strong>in</strong>g used <strong>in</strong> association or comb<strong>in</strong>ation with any th<strong>in</strong>g notsupplied by the Supplier, unless such association or comb<strong>in</strong>ation wasdisclosed to the Supplier prior to the Base Date or is stated <strong>in</strong> the Contract;andthe <strong>in</strong>fr<strong>in</strong>gement (or allegation of <strong>in</strong>fr<strong>in</strong>gement) was not the unavoidable resultof the Supplier's compliance with the Technical Specification.The Supplier shall be promptly notified of any claim under this Sub-Clause madeaga<strong>in</strong>st the Purchaser.17.6 Conduct of Claims(a)(b)The Party seek<strong>in</strong>g <strong>in</strong>demnification under this Clause 17 (the "IndemnifiedParty") shall notify the other Party (the "Indemnify<strong>in</strong>g Party") <strong>in</strong> writ<strong>in</strong>g ofany matter that may result <strong>in</strong> an <strong>in</strong>demnity payment under this Clause 17promptly upon the discovery of such matter and, <strong>in</strong> the case of any action orclaim which has been brought aga<strong>in</strong>st an Indemnified Party <strong>in</strong> respect of anysuch matter, the Indemnify<strong>in</strong>g Party shall be entitled at its expense to assumethe defence thereof <strong>in</strong> place of the Indemnified Party. In such circumstances,the Indemnified Party shall provide the Indemnify<strong>in</strong>g Party with such<strong>in</strong>formation and assistance as the Indemnify<strong>in</strong>g Party shall reasonably request.If the Indemnify<strong>in</strong>g Party assumes the defence of the relevant claim or actionwith<strong>in</strong> a reasonable time after receiv<strong>in</strong>g notice, it shall not be liable for anysettlement thereof or admission which is made without its consent.The obligations of an Indemnify<strong>in</strong>g Party shall not extend to:(i)(ii)any legal expenses be<strong>in</strong>g costs, charges and expenses which may resultfrom the employment by the Indemnified Party of its own legaladvisers <strong>in</strong> connection with any action or claim aga<strong>in</strong>st it after thedefence of such action or claim has been assumed by the Indemnify<strong>in</strong>gParty; orany loss, damage or expense of whatever k<strong>in</strong>d and nature (<strong>in</strong>clud<strong>in</strong>g allrelated costs and expenses) which may result from:(A)(B)the settlement or compromise by the Indemnified Party of anyaction or claim brought aga<strong>in</strong>st the Indemnified Party made oreffected; orthe admission by the Indemnified Party of any claim or thetak<strong>in</strong>g by the Indemnified Party of any action (unless requiredby law or applicable legal process), which would prejudice thesuccessful defence of the action or claim,<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 31without, <strong>in</strong> any such case, the prior written consent of theIndemnify<strong>in</strong>g Party (such consent not to be unreasonably withheld <strong>in</strong> acase where the Indemnify<strong>in</strong>g Party has not, at the time such consent issought, assumed the defence of the action or claim).17.7 Limitation of LiabilityThe Supplier shall <strong>in</strong> no event be liable to the Purchaser, by way of <strong>in</strong>demnity or byreason of any breach of the Contract or <strong>in</strong> tort or otherwise, for loss of use of any part(or all) of the Services or for loss of production, loss of profit or loss of any contractor for any <strong>in</strong>direct special or consequential loss or damage which may be suffered bythe Purchaser <strong>in</strong> connection with the Contract.The liability of the Supplier to the Purchaser under the Contract shall not exceed theamount set out <strong>in</strong> Schedule 3 per <strong>in</strong>cident and the amount set out <strong>in</strong> Schedule 3 <strong>in</strong>aggregate.Noth<strong>in</strong>g <strong>in</strong> this Contract shall <strong>in</strong> anyway limit the liability of either the Purchaser orthe Supplier for death or personal <strong>in</strong>jury to the extent that such death or personal<strong>in</strong>jury is attributable to the negligence of either the Purchaser or the Supplier ( as thecase may be).17.8 Survival on Term<strong>in</strong>ationThe provisions of Clauses 1.1, 1.4, 1.10, 17.7, 21, 22 and 23 shall survive theterm<strong>in</strong>ation of this Contract.18. INSURANCE18.1 Insurance for Services and EquipmentThe Supplier shall take out and ma<strong>in</strong>ta<strong>in</strong> <strong>in</strong>surance aga<strong>in</strong>st loss and damage <strong>in</strong> respectof the, <strong>Plant</strong>, Materials and Facility up to the limit specified <strong>in</strong> and <strong>in</strong> accordance withSchedule 6. This <strong>in</strong>surance shall cover loss or damage from any cause other than thePurchaser's Risks listed <strong>in</strong> Sub-Clause 17.4 <strong>in</strong> so far as such <strong>in</strong>surance is readilyobta<strong>in</strong>able. Such <strong>in</strong>surance shall be for a limit of not less than the full replacementcost (<strong>in</strong>clud<strong>in</strong>g profit) of the Equipment and shall also cover the costs of demolitionand removal of debris. Such <strong>in</strong>surance shall be <strong>in</strong> such a manner that the Supplier iscovered from the date by which the evidence is to be submitted under Sub-Clause18.4(a) until the date of issue of the Performance Certificate.The Supplier shall <strong>in</strong>sure each item of Equipment while it is be<strong>in</strong>g transported to theSite and throughout the period it is on or near the Site, from the date by which theevidence is to be submitted under Sub-Clause 18.4(a) until the Expiry Date.18.2 Insurance aga<strong>in</strong>st Injury to Persons and Damage to PropertyThe Supplier shall <strong>in</strong>sure aga<strong>in</strong>st liability to third parties for any loss, damage, deathor bodily <strong>in</strong>jury which may occur to any physical property (except th<strong>in</strong>gs <strong>in</strong>suredunder Sub-Clause 18.1) or to any person (except persons <strong>in</strong>sured under Sub-Clause18.3), which may arise out of the performance of the Contract and occurr<strong>in</strong>g before<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 32the issue of the Performance Certificate. Such <strong>in</strong>surance shall be for a limit of notless than the amount specified <strong>in</strong> the Schedule 6.[This may be provided by the Purchaser – to be discussed.]18.3 Insurance for WorkersThe Supplier shall effect and ma<strong>in</strong>ta<strong>in</strong> <strong>in</strong>surance aga<strong>in</strong>st losses and claims aris<strong>in</strong>gfrom the death or <strong>in</strong>jury to any person employed by the Supplier or anySubcontractor, <strong>in</strong> such a manner that the Purchaser and the Purchaser’s contractors,agents and employees are <strong>in</strong>demnified under the policy of <strong>in</strong>surance. For aSubcontractor's employees, such <strong>in</strong>surance may be effected by the Subcontractor, butthe Supplier shall use its reasonable endeavours to comply with this Clause.18.4 General Requirements for InsurancesThe Supplier shall, with<strong>in</strong> thirty (30) days from the Effective Date, submit to thePurchaser evidence that the <strong>in</strong>surances described <strong>in</strong> this Clause 18 have been effected.The Supplier (and, if appropriate, the Purchaser) shall comply with the conditionsstipulated <strong>in</strong> each of the <strong>in</strong>surance policies. The Supplier shall make no materialalteration to the terms of any <strong>in</strong>surance without the prior approval of the Purchaser. Ifan <strong>in</strong>surer makes (or purports to make) any such alteration, the Supplier shall notifythe Purchaser immediately upon becom<strong>in</strong>g aware thereof.If the Supplier fails to effect and keep <strong>in</strong> force any of the <strong>in</strong>surances required underthe Contract, or fails to provide satisfactory evidence, policies and receipts <strong>in</strong>accordance with this Sub-Clause 18.4, the Purchaser may, without prejudice to anyother right or remedy, effect <strong>in</strong>surance for the coverage relevant to such default, andpay the premiums due. Such payments, to the extent they are commercial andreasonable, shall be recoverable from the Supplier by the Purchaser, and may bededucted by the Purchaser from any monies due, or to become due, to the Supplier.Subject to Sub-Clause 17.7, noth<strong>in</strong>g <strong>in</strong> this Clause 18 limits the obligations, liabilitiesor responsibilities of the Supplier or the Purchaser, under the other terms of theContract or otherwise. Any amounts not <strong>in</strong>sured or not recovered from the <strong>in</strong>surersshall be borne by the Supplier and/or the Purchaser <strong>in</strong> accordance with their otherobligations under this Contract.Each Party shall promptly notify the other Party of any claim under any of the<strong>in</strong>surance policies referred to <strong>in</strong> this Clause 18, accompanied by full details of the<strong>in</strong>cident giv<strong>in</strong>g rise to such claim. FORCE MAJEURE19.1 Def<strong>in</strong>ition of Force MajeureIn this Clause 19, "Event of Force Majeure" means an event beyond the control ofthe Purchaser and the Supplier, which prevents a Party from comply<strong>in</strong>g with any of itsobligations under this Contract, <strong>in</strong>clud<strong>in</strong>g but not limited to:(a)(b)(c)(d)(e)(f)act of God (such as, but not limited to, fires, explosions, earthquakes, drought,tidal waves and floods);war, hostilities (whether war be declared or not), <strong>in</strong>vasion, act of foreignenemies, mobilisation, requisition, or embargo;rebellion, revolution, <strong>in</strong>surrection, or military or usurped power, or civil war;contam<strong>in</strong>ation by radio-activity from any nuclear fuel, or from any nuclearwaste from the combustion of nuclear fuel, radio-active toxic explosive, orother hazardous properties of any explosive nuclear assembly or nuclearcomponent of such assembly;riot, commotion, strikes, go slows, lock outs or disorder, unless solelyrestricted to employees of the Supplier or of his Subcontractors; oracts or threats of terrorism.19.2 Consequences of Force Majeure Event(a)(b)(c)(d)Neither the Purchaser nor the Supplier shall be considered <strong>in</strong> default or <strong>in</strong>contractual breach to the extent that performance of obligations is preventedby an Event of Force Majeure event which arises after the Effective Date,exclud<strong>in</strong>g payment obligations.The Party (the “Affected Party”) prevented/ h<strong>in</strong>dered from carry<strong>in</strong>g out itsobligations hereunder shall give notice to the other Party of an Event of ForceMajeure upon it be<strong>in</strong>g foreseen by, or becom<strong>in</strong>g known to, the Affected Party.If and to the extent that the Supplier is prevented or h<strong>in</strong>dered from execut<strong>in</strong>gthe Services by the Event of Force Majeure, whilst the Supplier is soprevented and h<strong>in</strong>dered the Supplier shall be relieved of its obligations toprovide the Services but shall endeavour to cont<strong>in</strong>ue to perform its obligationsunder the Contract so far as reasonably practicable, PROVIDED that if and tothe extent that the Supplier <strong>in</strong>curs additional Cost <strong>in</strong> so do<strong>in</strong>g, the Suppliershall be entitled to the amount of such Cost (the Supplier hav<strong>in</strong>g takenreasonable steps to mitigate the Cost).If and to the extent that the Supplier suffers a delay dur<strong>in</strong>g the InstallationPeriod as a result of the Event of Force Majeure then it shall be entitled to afair and reasonable extension for the Time for Completion <strong>in</strong> accordance withSub-Clause 7.3.<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 34(e)(f)(g)If an Event of Force Majeure results <strong>in</strong> a loss or damage to the Facility, thenSupplier shall rectify such loss or damage to the extent required by thePurchaser, PROVIDED that any Cost of rectification (less any <strong>in</strong>suranceproceeds received by the Supplier for the loss or damage) is borne by thePurchaser (the Supplier hav<strong>in</strong>g taken reasonable steps to mitigate the Cost).The Supplier shall be entitled to payment of the Base Monthly Charge dur<strong>in</strong>gthe period of <strong>in</strong>terruption caused by the Event of Force Majeure.The Contract Period shall be extended by a period of time equal to the periodof <strong>in</strong>terruption caused by an Event of Force Majeure.19.3 Purchaser's ResponsibilityUpon occurrence of Force Majeure event be<strong>in</strong>g foreseen by the Purchaser toconstitute Force Majeure and which may affect performance of the Purchaser’sobligations, he shall promptly notify the Supplier and shall endeavour to cont<strong>in</strong>ue toperform its obligations as far as reasonably practicable. The Purchaser shall alsopromptly notify the Supplier of any proposals, with the objectives of complet<strong>in</strong>g theServices and mitigat<strong>in</strong>g any <strong>in</strong>creased costs to the Purchaser and the Supplier.19.4 Optional Term<strong>in</strong>ation, Payment and ReleaseIrrespective of any extension of time, if a Force Majeure event occurs and its effectcont<strong>in</strong>ues for a period of 182 days, either the Purchaser or the Supplier may give tothe other a notice of term<strong>in</strong>ation, which shall take effect 28 days after the giv<strong>in</strong>g ofthe notice. If, at the end of the 28-day period, the effect of the Force Majeurecont<strong>in</strong>ues, the Contract shall term<strong>in</strong>ate.After term<strong>in</strong>ation under this Sub-Clause 19.4, the Supplier shall comply with Sub-Clause 16.3 and the Purchaser shall pay the Supplier an amount calculated andcertified <strong>in</strong> accordance with Schedule 4 Part 2.19.5 Release from Performance under the LawIf under the law of the Contract the Purchaser and the Supplier are released fromfurther performance, the sum payable by the Purchaser to the Supplier shall be thesame as would have been payable under Sub-Clause 19.4 if the Contract had beenterm<strong>in</strong>ated under that Sub-Clause.20. CLAIMS AND DISPUTES20.1 Procedure for ClaimsThe Supplier shall advise the Purchaser of any additional payment which it <strong>in</strong>tends toclaim under this Contract or otherwise, as soon as possible and <strong>in</strong> any event with<strong>in</strong> 28days of the start of the event giv<strong>in</strong>g rise to the claim.The Supplier shall keep such contemporary records as may be necessary tosubstantiate any claim. Without admitt<strong>in</strong>g the Purchaser's liability, the Purchasershall, on receipt of such notice, <strong>in</strong>spect such records and may <strong>in</strong>struct the Supplier to<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 35keep further contemporary records. The Supplier shall permit the Purchaser to <strong>in</strong>spectall such records, and shall (if <strong>in</strong>structed) submit copies to the Purchaser.With<strong>in</strong> 28 days of such notice, or such other time as may be agreed by the Purchaser,the Supplier shall send to the Purchaser an account, giv<strong>in</strong>g detailed particulars of theamount and basis of the claim. Where the event giv<strong>in</strong>g rise to the claim has acont<strong>in</strong>u<strong>in</strong>g effect, such account shall be considered as <strong>in</strong>terim. The Supplier shallthen, at such <strong>in</strong>tervals as the Purchaser may reasonably require, send further <strong>in</strong>terimaccounts giv<strong>in</strong>g the accumulated amount of the claim and any further particulars.Where <strong>in</strong>terim accounts are sent to the Purchaser, the Supplier shall send a f<strong>in</strong>alaccount with<strong>in</strong> 28 days of the end of the effects result<strong>in</strong>g from the event.The Purchaser shall immediately pay any amounts and confirm any extension of timeor other remedy which it agrees to be due to the Supplier.20.2 NegotiationsWithout prejudice to the Parties’ rights under Sub-Clause 20.3 below, the Parties willattempt <strong>in</strong> good faith to resolve any dispute or claim aris<strong>in</strong>g out of or <strong>in</strong> relation tothis Contract through negotiations between a director of each of the Parties withauthority to settle the relevant dispute. If the dispute has not been settled amicablywith<strong>in</strong> fourteen (14) days from the date on which either Party has served writtennotice on the other of the dispute then the rema<strong>in</strong><strong>in</strong>g provisions of this Clause 20 shallapply.20.3 ArbitrationIn the event of a dispute between the Purchaser and the Supplier (other than a matterto be resolved pursuant to Clause [20.4) concern<strong>in</strong>g the <strong>in</strong>terpretation of any provisionof this Agreement or the performance of any of the terms of this Agreement, suchmatter or matters <strong>in</strong> dispute shall be f<strong>in</strong>ally settled: -a. under the Rules of [Conciliation and Arbitration of the International Chamberof Commerce/ LCIA, UNCITRAL];b. by three arbitrators, one appo<strong>in</strong>ted by each Party, and the third, who shall bethe chairman, selected by the two appo<strong>in</strong>ted arbitrators and fail<strong>in</strong>g agreementby the [Chairman of the International Chamber of Commerce/ other ArbitralBody];c. The language of the arbitration shall be [language]; andd. the place of the arbitration shall be [LOCATION].20.4 Performance to Cont<strong>in</strong>ue Dur<strong>in</strong>g DisputePerformance of this Agreement shall cont<strong>in</strong>ue dur<strong>in</strong>g arbitration proceed<strong>in</strong>gs or anyother dispute resolution mechanism pursuant to Clause 20. CONFIDENTIALITY21.1 Confidential InformationSubject to Sub-Clause 21.2 below, the Parties shall keep confidential all mattersrelat<strong>in</strong>g to the Services, the Project, the Facility and this Contract and will not makeany disclosure, and shall use reasonable endeavours to ensure that their employees,Subcontractors and agents do not make any disclosure to any person of any<strong>in</strong>formation, data, experience and know-how, documents, secrets, deal<strong>in</strong>gs,transactions or affairs of or relat<strong>in</strong>g to the Parties, the Project, the Facility or thisContract (the "Confidential Information").21.2 ExceptionsThe confidentiality obligation shall not apply to the follow<strong>in</strong>g:(a)(b)any matter which the Supplier can demonstrate is already generally availableand <strong>in</strong> the public doma<strong>in</strong> other than through unauthorised disclosure by theSupplier; orany disclosure which may reasonably be required for the performance of theSupplier's obligations under this Contract or the compliance by the Supplierwith any statutory obligations or for the purposes of legal proceed<strong>in</strong>gs.21.3 AnnouncementsThe Parties warrant to and undertakes with each other that they shall not, and shallprocure that their employees, agents and subcontractors shall not, issue or make anypublic announcement or statement regard<strong>in</strong>g the Project, the signature, performanceor term<strong>in</strong>ation of this Contract or the Supplier's employment thereunder unless, priorthereto, the other Party has been furnished with a copy thereof and has approved thesame.21.4 Survival of Confidentiality ObligationsThe provisions and obligations set out <strong>in</strong> this Clause 21 shall survive and rema<strong>in</strong> <strong>in</strong>force for three (3) years upon and follow<strong>in</strong>g the term<strong>in</strong>ation of this Contract.22. INTELLECTUAL PROPERTY22.1 Purchaser's Intellectual Property(a)The Purchaser shall, to the extent it is legally able to do so, grant the Supplierdur<strong>in</strong>g the term of this Contract a royalty free, non-exclusive and transferablelicence to use Intellectual Property which is owned by or licensed to thePurchaser by third parties (the "Purchaser Intellectual Property") <strong>only</strong> to theextent necessary to enable the Supplier to perform its obligations under thisContract. 37(b)The Purchaser shall <strong>in</strong>demnify the Supplier <strong>in</strong> full <strong>in</strong> respect of all loss,damage and expense of whatever k<strong>in</strong>d and nature aris<strong>in</strong>g out of the use by theSupplier of any Purchaser Intellectual Property <strong>in</strong> accordance with its termswhich <strong>in</strong>fr<strong>in</strong>ges the rights of any third party.22.2 Third Party Intellectual PropertyThe Supplier shall use reasonable efforts:(a)(b)to ensure that Intellectual Property owned or developed by third parties andutilised by the Supplier <strong>in</strong> connection with the performance of its obligationsunder this Contract is licensed to the Supplier on reasonable terms for thepurposes of the operation and ma<strong>in</strong>tenance or repair of the Facility andotherwise for the purposes of the Project but for no other purpose; andto ensure that no Intellectual Property of a third party is otherwise used <strong>in</strong> theperformance of the Supplier's obligations under this Contract without the priorwritten approval of the Purchaser.22.3 Supplier Intellectual PropertyThe Parties agree that all Intellectual Property <strong>in</strong> data, databases, reports, records,draw<strong>in</strong>gs, specifications, software (exclud<strong>in</strong>g any third party software), design,<strong>in</strong>ventions, documentation (<strong>in</strong>clud<strong>in</strong>g documentation relat<strong>in</strong>g to any design) and/orother material produced <strong>in</strong> connection with this Contract shall vest <strong>in</strong> and be theproperty or be deemed to vest <strong>in</strong> and be the property of the Supplier.23. REPRESENTATIONS AND WARRANTIES23.1 PurchaserThe Purchaser represents, warrants and undertakes to the Supplier that as at the dateof this Contract and the Effective Date:(a)(b)(c)(d)(e)(f)it is a corporation organised and exist<strong>in</strong>g under the laws of [COUNTRY];it has full power and authority to enter <strong>in</strong>to and perform its obligations underthis Contract;[it is the freeholder or leaseholder of the Site][it has full title and ownership ofthe Site and the necessary power to dispose thereof as required <strong>in</strong> thisContract];all relevant facts, circumstances or contracts have been disclosed to theSupplier, <strong>in</strong> particular those <strong>in</strong> relation to environmental matters;it has taken all necessary action for the authorisation of its entry <strong>in</strong>to thisContract and the performance of its obligations under this Contract;it has complied with all applicable procurement rules and restrictions;<strong>PPP</strong> <strong>in</strong> <strong>Infrastructure</strong> Resource Center for Contracts, Laws and Regulations (<strong>PPP</strong>IRC) Reviewed: Victoria R. 38(g)(h)this Contract will be enforceable <strong>in</strong> accordance with its terms under theApplicable Law without any requirement for further action to be taken by anyparty; andby enter<strong>in</strong>g <strong>in</strong>to this Contract it will not contravene any Applicable laws.23.2 SupplierThe Supplier represents, warrants and undertakes to the Purchaser that as at the dateof this Contract and the Effective Date:(a) it is a corporation duly established under the laws of [ ];(b)(c)it has full power and authority to enter <strong>in</strong>to this Contract; andit has taken all necessary action for the authorisation of its entry <strong>in</strong>to thisContract and the performance of its obligations under this Contract.24. FINANCING24.1 Lenders' SecurityThe Purchaser agrees, if requested by the Supplier, to enter <strong>in</strong>to an agreement (<strong>in</strong> aform reasonably acceptable to the Purchaser) with the Lenders, pursuant to which thePurchaser will acknowledge the creation of security over the Supplier's rights underthis Contract and agree that upon breach of this Contract by the Supplier or the<strong>in</strong>solvency of the Supplier the Lenders shall:(a)(b)have the right with<strong>in</strong> a time to be specified <strong>in</strong> that agreement to cure suchbreach of this Contract; andhave the right to assume all the rights and obligations of the Supplier underthis Contract.24.2 Purchaser's Co-operation with F<strong>in</strong>anc<strong>in</strong>gThe Purchaser shall, as and when requested to do so by the Supplier at any time afterthe execution of this Contract, prepare and provide such <strong>in</strong>formation <strong>in</strong> connectionwith this Contract and/or the Services as may be reasonably required for the purposesof any potential Lender to the Supplier under a proposed loan or other f<strong>in</strong>anc<strong>in</strong>gagreement.
