Directors’ ReportThe Directors present their annual report togetherwith the audited consolidated financial statements ofthe Company for the year ended 31 December 2007.Principal ActivitiesThe Company is an investment holding company.The principal activities of the Company’s subsidiariesare set out in note 33 to the consolidated financialstatements.ResultsThe results of the Group for the year ended 31December 2007 are set out in the consolidatedincome statement on page 58. The directors nowrecommend the payment of a final dividend ofHK1.3 cent per share to the shareholders on theregister of members on 22 May 2008, amounting toHK$67,614,000.Closing of Register of MembersThe register of members of the Company will beclosed from 20 May 2008 to 22 May 2008, bothdates inclusive, during which period no transfer ofshares will be registered. In order to qualify for theproposed final dividends, all completed transferforms accompanied by the relevant share certificatesmust be lodged with the Company’s Branch ShareRegistrar in Hong Kong, Union Registrars Limited, atRooms 1901-02, Fook Lee Commercial Centre TownPlace, 33 Lockhart Road, Wanchai, Hong Kong, forregistration not later than 4:00 p.m. on 19 May 2008.Financial SummaryA summary of the results and assets and liabilities ofthe Group for the past five financial years is set outon page 3 of the annual report.Property, Plant and EquipmentDetails of movements during the year in the property,plant and equipment of the Group are set out in note14 to the consolidated financial statements.Share CapitalDetails of the share capital of the Company areset out in note 23 to the consolidated financialstatements.ReservesDetails of the movements during the year in thereserves of Group are set out in the consolidatedstatement of changes in equity on page 60 and innote 24 to the consolidated financial statements.GEELY AUTOMOBILE HOLDINGS LIMITED47ANNUAL REPORT 2 0 0 7

Li ShuFu, Gui Sheng Yue, Xu Gang, Song Lin and LeeCheuk Yin, Dannis shall retire from office at theforthcoming annual general meeting and, beingeligible, offer themselves for re-election.
