CONDITIONS OF CONTRACT1. Definitions <strong>and</strong> Construction1.1 In these conditions except where the context otherwise requires thefollowing expressions shall have the meanings hereby ascribed to them:“Conditions” means these conditions;“Council’s Representative” means the Director of Business Unit of theCouncil specified in the Particulars <strong>and</strong> any such other person as may beappointed by him <strong>and</strong> notified in writing to the Supplier to act generally orfor specified purposes or periods;“Contract” means the contract entered into between the Council <strong>and</strong> theSupplier consisting of the Contract Form, the Particulars, the Conditions <strong>and</strong>the Schedules <strong>and</strong> Annexes to them (if any);“Supplier” means the Company offering the service.“Supplier’s Representative” means the representative of the Supplierauthorised <strong>and</strong> notified in writing to the Council to act on behalf of theSupplier for the purposes of the Contract;“Default” means any breach of the obligations of the Supplier under theContract or any default, act, omission or negligence of the Supplier or Staffin connection with or in relation to the subject matter of the Contract;“Enactments” means directives, statutes, regulations, orders, instruments,national <strong>and</strong> governmental codes of practice <strong>and</strong> best practice guidelines orother similar instruments as the same may be amended, replaced, or reenactedby any subsequent directive, statute, regulation, order, instrument,code or guidelines <strong>and</strong> references to any statute shall also include anysecondary legislation made under it;“Event” means the ‘Summer Programme’ Pier Approach (former IMAX site)19 th July to 18 th August 2013.“Finance Schedule” means the Finance Schedule set out in Schedule 2.“Intellectual Property Rights” means patents, inventions, trade marks,service marks, logos, design rights (whether registrable or otherwise),applications for any of the foregoing, copyright, semi-conductor topographyrights, database rights, domain names, trade or business names, moral rights<strong>and</strong> other similar rights or obligations whether registrable or not in anycountry (including the United Kingdom) <strong>and</strong> the right to sue for passing off;‘The Organiser’ refers to <strong>Bournemouth</strong> Borough Council or their authorisedrepresentative.“Services” means the services to be provided as specified in thespecification set out in Schedule 1;26
