Annexure - IINON-DISCLOSURE AGREEMENTTHIS AGREEMENT is made on December, 2011BetweenELECTRONICS CORPORATION OF INDIA LIMITED, a Government of India(Department of Atomic Energy) Enterprise, registered under Companies Act, 1956, havingits registered office at ECIL Post, Hyderabad-500 062. A.P. (India), hereinafter referred toas “ECIL”, unless repugnant to the context and meaning thereof, mean and include itssuccessors and permitted assigns, of the one part.And(name and address of Sub-contractor) registered under Companies Act, 1956, having itsregistered office at -------------------------------- (hereinafter called SC), unless repugnant tothe context and meaning thereof, mean and include its successors and permitted assigns, ofthe other part.ECIL and SC shall hereinafter collectively be referred to as “Parties”.WHEREAS:(a)(b)(c)(d)ECIL is the Indian manufacturer of Strategic equipment with accessories,hereinafter called “Product”.Whereas ECIL is proposing to handover Technical information / to place anOrder for sub-contracting some of the works to SC for taking up the design,development and manufacture of some parts of the Product.For the purpose of the above Sub-contacting Job, it may be necessary for theParties to disclose to each other Confidential Information (as defined below).To facilitate the above, the Parties have agreed to enter into this Non-DisclosureAgreement and be bound by the terms and conditions hereinafter set forthgoverning the disclosure, use and protection of the Confidential Information.NOW THEREFORE THIS AGREEMENT WITNESSETH that for good and valuableconsideration, the receipt and sufficiency of which are hereby acknowledged, the Partiesagree as follows:1. "Confidential Information" shall mean all discussions, negotiations, information,written, oral, pictorial or in other tangible or machine readable form and is or which inthe future may be identified by the disclosing Party as proprietary, confidential orsecret and disclosed by it to the receiving Party. The disclosing Party shall clearlyidentify such Confidential Information when disclosing it to the receiving Party bymarking or indicating it as “Confidential Information”. The receiving Party of Confidential Information agrees and undertakes to thedisclosing Party that at all times:(a)(b)(c)(d)(e)(f)(g)(h)(i)it shall hold in trust and strictest confidence and keep strictly secret, theConfidential Information;it shall not use the Confidential Information for any purpose other than thepurpose for which the Parties are proposing to sign a separate a Agreementor a Purchase order.it shall disclose the Confidential Information only to its employees having aneed to know and solely for the purpose of the execution of the Agreement.It shall maintain a written Agreement with each of its employees to whomthe Confidential Information is disclosed to keep strictly confidential andsecret the Confidential Information received. The receiving Partyacknowledges that the said written Agreement entered into between it andits employees would not discharge the receiving Party from itsconfidentiality obligations under this Agreement;The list of Persons/ Organizations involved in the process of execution ofthe related Orders shall be informed by the SC to ECIL.it shall take all steps to prevent or be involved in any way in, anyreproduction, duplication and/or copying of the Confidential Information, orin the development, supply, manufacture or sales of any products orsolutions incorporating the Confidential Information, without the priorwritten consent of the disclosing Party;it shall keep and take all steps to procure that, where it is required by thedisclosing Party, all Confidential Information is, segregated at all timesfrom the information of any third party, kept in secured storage area [or inareas having restricted access within the receiving Party’s control and notlost or disclosed or used by any unauthorized person(s);it shall surrender and return all or any of the Confidential Information andany notes, memoranda or the like, including any copies thereofincorporating the Confidential Information to the disclosing Party uponwritten request by the disclosing Party or upon discontinuance orcompletion of the execution of the Agreement or Purchase order.it shall not make or publish any news release or make any announcementsor denial or confirmation in any medium concerning this Agreement or theAgreement (s) going to be signed in any manner nor advertise or publish thesame in any medium without the prior written consent of the disclosingParty; andit shall promptly notify the disclosing Party of any Confidential Informationwhich has been lost or disclosed or used by any unauthorized person(s).

3. The receiving Party shall not be liable for disclosure or use of the ConfidentialInformation in the event and to the extent that such Confidential Information:(a)(b)(c)(d)(e)is or becomes available to the public domain without breach of this Agreementby the receiving Party; orwas already known to the receiving Party at the time of disclosure; oris disclosed with the written approval of the disclosing Party; orbecomes known to the receiving Party from a third party without any breachof confidentiality by such third party and the receiving Party is free of anyobligation or restrictions to maintain such information in confidence imposedby such third party; oris required to be disclosed pursuant to any court order or directive bygovernmental agencies provided that the receiving Party shall notify thedisclosing Party in advance prior to disclosure.4. The exchange of Confidential Information between the Parties does not constitute orimply any offer by one Party to the other to enter into any commitments whatsoeveror any legally binding Agreement between the Parties. Nothing in this Agreementshall be construed as granting of any rights, by Licence or otherwise, to theConfidential Information of the disclosing Party or any rights to make commitmentsof any kind for and on behalf of the other Party.5. If any provision of this Agreement is invalid or illegal, then such provision shall beautomatically adjusted to conform to the requirements for validity or legality and as soadjusted, shall be deemed a provision of this Agreement as though originally included.If the provision invalidated is of such a nature that it cannot be so adjusted, theprovision shall be deemed deleted from this Agreement as though the provision hadnever been included, in either case, the remaining provisions of this Agreement shallremain in full force and effect.6. No failure or delay by any Party in exercising any right, power or privilege hereunderwill operate as a waiver thereof, nor will any single or partial exercise thereofpreclude any other exercise thereof or the exercise of any other right, power orprivilege hereunder.11. No Party may assign or transfer its rights or obligations contained in thisAgreement or any interest therein without the prior consent of the other Party.12. This NDA shall be valid for-ever through out the life of the Persons/ Organisations,who are involved in the Process of execution of the related Developments/ Projects.There is no termination for the validity of maintaining the Confidentialityrelated with the Products being developed under this NDA or the Purchase Orders, ifany, released subsequent to the signing of this NDA.13. Indemnity: The Parties hereby acknowledge that unauthorized disclosure or use ofConfidential Information could cause irreparable harm and significant injury to theParty or its present or future customers that may be difficult to ascertain. The Partieswill indemnify each other against all damages in consequence of breach of thisAgreement. A Bid Bank Guarantee amount of 10% of contract value to be submitted by thesuccessful bidder to ECIL within a week time from the date of awarding thecontract for bulk order valid upto the date of delivery & acceptance of goods byECIL at Hyderabad, initially to be valid upto a period of Six months.7. The Equipment supplied shall carry a warranty period of 12 months from the dateof acceptance by ECIL.8. A separate Performance Bank Guarantee guarantee (PBG) for 10% of PO valuewhich will be valid for a period of 12 months ( plus 2 months grace period) fromthe date of Acceptance by ECIL. Alternatively, the bid bank guarantee may beextended suitably for this purpose.9. Delivery is the essence of the contract. The Proto unit is to be submitted forinspection to ECIL within 6 weeks of the PO for Proto Unit for the approval.Bulk quantities shall be delivered within 8 weeks from the date of clearancegiven by ECIL for the Proto unit. However, the bidders may quote even betterschedules.10. Delays beyond approved Delivery date shall attract LD charges @ 0.5% per weekor part thereof subject to a maximum of 5%.11. The quality requirements given separately are to be strictly followed.12. The Commercial bid – 1 of those short listed vendors, whose technical bids areaccepted after technical evaluation, shall only be considered and opened.13. Only technically qualified bidders shall be given Purchase Order for One Unit ofProto Mechanical Enclosure along with supply of Engineering Design &Fabrication Documents for evaluation limited to three vendors L1, L2 and L3 atL1 price.14. The Commercial bid -2 of those parties whose Proto Units has been approved byECIL will only be opened.15. The Purchase Order for the Bulk Quantity shall be placed on the vendor whosemodel has met all the environmental specification, EMI / EMC Certification,Quality aspects etc. as per the observations of ECIL’s Technical Committee & isa L1 bidder in Commercial bid – 2.16. The Engineering Design & Fabrication Documents shall be generated by thevendor as per ECIL’s format, as per terms of this tender, are the exclusiveproperty of ECIL and all the IP rights belong to ECIL. ECIL has the right tomodify, copy and use it for bulk production for raising the Indents or by using thedrawings partially or totally for any purpose in the interests of ECIL. The Vendorshall comply this clause. No further claims will be entertained on this issue.17. The quantities of bulk supplies may vary by +/-50%.18. ECIL shall have the right to cancel the above process and take further necessaryaction as deemed fit.19. Enquiry can be cancelled and refloat without assigning any reason at any stage intender process.

20. Payment Terms:20.1. For Proto Units: 100% payment will be released after successfulevaluation of all the Proto units submitted by different vendors.20.2. For Bulk Units: 90% payment will be released after delivery andacceptance by ECIL Technical team. The Balance 10% will be releasedafter successful clearance by the Customer QA.20.3. TECHNICAL SPECIFICATIONS & FEATURES OF SYSTEM – ANNEXURE I1. Unit height is 4U 19” rack mountable with the help of slides with air inlet from rightside and exhaust through rear. It has to meet environment specification (JSS 55555 L2B) for dust ingress, moisture, mould growth, vibration, shock, corrosion test etc andEMI / EMC specifications as per JSG 261/MIL STD 46IE. The operating temp. is -20°C to +55°C and Relative humidity 95% at 40°C & Storage temp -40°C to +85°C.EMI shielding is to be provided for complete enclosure wherever necessary ie for frontpanel ,Top panel & LED display etc2. The basic frame and associated parts shall be made with Aluminium, 64430 grade(HE30WP) as per IS 737 – 2008. Frame is made of extruded or milled L shaped (maxdim 25x25 mm) sections, using 8 Nos. of horizontal and 4 Nos. of vertical members toattain required height, depth and length. The method of joining extrusion should be withscrews and corner blocks made from extrusion or milled block. The thickness and thesize for corner block should be decided by the vendor during designing. The frame iscovered with bottom panel, rear panel, top panel, side panels and fixed front panel ofsuitable thickness with a hinged cover (hinged to bottom) fitted with all connectors,LED, keypad and switches as per ECIL requirement. The hinge pin should be madefrom SS 303/304 Grade and hinge block is made of HE30WP material.3. The Unit shall have the standard 5 slotted card cage subrack for 6U height boards, 5pairs of card guides for accommodating 5 Nos. of PCBs of size 233.3x160x1.6mm,horizontally. The PCB Layout shall be (top to bottom) at 4 HP spacing. The cardframe structure is made with the schroff make vertical member and card guides. The topand bottom plate shall made from 3 mm Aluminium sheet 19000 Grade. as per IS 737-2008. The top plate should have opening/cut out for taking out heat generated from thecards . The subrack with metal cardguides shall be ‘SCHROFF’ make only.4. The card cage Subrack shall be standalone unit which can be taken out by opening thetop cover of Enclosure and unscrewing the associated hardware on the card framebottom plate. No vibrating component like fans should be attached to subrack. TheSubrack is to be mounted on the auxiliary bottom plate which is shock isolated and thisauxiliary plate is mounted on shockmounts to withstand shock/vibration tests. Thespecification of the shock mounts is to be arrived by taking into consideration thetransmissibility, natural frequency and power spectral density.5. The Mother Board and one set of dummy cards shall be provided by ECIL for alignmentpurpose. Suitable clamps Drg. No. SM19990000 are to be provided on the rear side ofmother board for arresting the 64 pin Euro connector (cable assembly, OEN make hoodcoming out from motherboard).6. The unit shall be provided with mechanical cam Lock Godrej makes on the hinged doorand knurled SS screws for fixing hinged door to main front panel. The knurled knobshould not fall down from the door after unscrewing. Two hinges shall be firmly fixedfrom inside and out side screws to withstand in vibration / Bump Test. The hinge doorshould be designed to facilitate insertion & extraction of all cards from front side.7. A Suitable bracket shall be fabricated for mounting two power supplies for cards bytaking Power Supply mounting hole dimension into consideration by the vendor. Any modification/Engineering change for the betterment of unit projected by ECILshall be incorporated and absorbed in the quoted price.15. One set of engineering, Fabrication Assembly documents hard and soft copy shall beprovided by the vendor. This document shall become the property of ECIL .. Thecomplete enclosure fabrication details are to be provided in the ECIL Drg. format.19. All the cables material like Connectors, wires, sleeve, crimp terminals etc. for makingsignal and power cables are to be procured by Vendor only. The vendor has to supplyassembled cables as per BOM, Wiring Details, Wiring Diagram , signal list & are tobe integrated into the Unit as per Source Drg. No. 25661799000020. The unit has to withstand against shock, vibration, drop and bump tests .All 8 cornersof unit should be strengthened with the help of using corner blocks inside the unit.For testing the equipment for bump, shock & vibration, ECIL will provide the facilityconducting for the above tests.21. COC for EMI / EMC filter, gasket, fans etc. shall be provided with Data sheet by thevendorMeeting MIL std 461E is sole responsibility of Vendor. Vendor is free to selectPower Line Filter or design Inductor PCB to meet this.22. The vendor should co-ordinate with ECIL representative during environmentaltesting in presence of inspection agency i.e. MSQA/DGAQA. The environmentaltests will be conducted either at ECIL or at any Govt. approved testing Laboratorylike RCI, SAMEER etc. Any modification /engineering changes for betterment ofunit as suggested by MSQA/DGAQA/ECIL is to absorbed by the Vendor withquoted Price. Testing charges for EMI / EMC should be born by ECIL.

23. Meeting all QA requirements of MSQA/DGAQA/user is the responsibility of theVendor for all the Items supplied by the Vendor.24. Only after clearance of mechanical enclosure wiring work should be taken up.25. Necessary holes / cleat nuts are to be provided in the enclosure for ground points andcable routing purpose.26. The Unit should undergo chromate coating, Powder coating should be done over thechromate coat exept at masking areas.27. All inside Alluminium part should undergo only chromate coating.28. The Unit powder coating colour and shade RAL code and mounting holes for themechanical slides shall be provided at the time of Purchase order. The slides are notscope of supply by the vendor.29. Point wise compliance to all technical specification should be provided by vendor.
