DIRECTORS’ REPORTCONTINUEDNon-Executive DirectorsThe non-executive directors do not have service contracts but renewable letters of appointment. The intention is that the non-executive directors willnormally be appointed for an initial period of three years. They may subsequently be invited to serve for further three year periods. Any appointment formore than nine years in total will, in any event, be subject to annual shareholder approval.The non-executive directors will be subject to re-election by the shareholders on an annual basis. Their appointments may be terminated withoutcompensation in the event of them not being re-elected by shareholders or otherwise in accordance with the Company’s Articles of Association. The feesfor the non-executive directors are set by the full Board and are determined by reference to fees paid by other companies of similar size and complexityand reflect the amount of time the non-executive directors are expected to devote to the Group’s activities during the year. The non-executive directorsreceive a basic fee. A supplementary fee is paid to Committee Chairmen and to the Senior Independent non-executive director to reflect their additionalresponsibilities. No element of their fees is performance-related and they are not eligible to participate in bonus or share incentive schemes. Their servicesdo not qualify for pension purposes or other benefits.
