EOI for End to End Solutions T&S/10/003EOI NO: T&S/10/003 DT 30.12.10.GENERAL CONDITIONS OF CONTRACTDEFINITIONS & INTERPRETATIONS1.0 In the contract, as hereinafter defined, the following words and expressions shall have the meaningshereby assigned to them except where the contract otherwise requires:1.1 “COMPANY” means Rashtriya Ispat Nigam Limited., incorporated under the Indian Company’s act,1956, with its registered office at Main Administrative Building, Visakhapatnam SteelPlant,Visakhapatnam-530 031 and having its Transport & Shipping Department at MainAdministrative Building, 3 rd floor, A Block, Visakhapatnam Steel Plant, Visakhapatnam-530 031 andincludes its successors and assignees.1.2 ED (MM)/ GM (MM)/ DGM(T&S)/AGM(T&S)/DCM(T&S) of the Company or any Officer of theCompany for the time being in charge of the Transport & Shipping.1.3 ”TENDERER” means the person, firm or corporation submitting a tender against the invitation totender and shall include his /their heirs, executors, administrators, legal representatives, successorsand permitted assignees.1.4 “CONTRACTOR” means the person or persons, firm or company, whose tender has been accepted bythe COMPANY and includes the Contractor’s personal representatives, successors and permittedassignees.1.5 “WORK” means and includes all work specified or set forth and required in and by the specifications,schedule hereto annexed or to be implied there from or incidental thereto or to be hereafterspecified or required in such explanatory instructions (being in conformity with the originalspecification and schedule).1.6 “CONTRACT” means the Invitation to Tender, instructions to Tenderers, General Conditions ofContract, Special Conditions, Specifications, Tender Schedule showing approximate quantitiesquoted rates and amount against each item, letter of acceptance, and the Contract Agreement.1.7 “LETTER OF ACCEPTANCE” is intimation by a letter to tenderer that the Tender has been accepted inaccordance with the provisions contained in that letter.1.8 “APPROVED” means approval in writing including subsequent written confirmation or previous verbalapproval and ‘APPROVAL’ means approval in writing including as aforesaid.1.9 “SPECIFICATIONS” means schedule, statement of technical data, performance characteristics and allsuch particulars mentioned as such in the contract.1.10 “STORAGE YARD” means and includes any place or locality within or outside the Port area wherethe Company stores its materials whether now existing or acquired later.2.0 ASSIGNMENT AND SUB-LETTING:2.1 The CONTRACTOR shall not sublet the whole or part of the work except where otherwise provided bythe contract and even then only with the prior written consent of the COMPANY and such consent, ifgiven, shall not relieve the CONTRACTOR from any liability or obligation under the contract and heshall be responsible for the acts, defaults and neglects of any subcontractor, his agent, servants orworkmen, as fully as if they were acts, defaults or neglects of the CONTRACTOR his agent, servantsor workmen.Page 27 of 42
