Management Report<br />
The accompanying consolidated financial statements of Paladin Labs Inc. and all of the information in this Annual Report are the<br />
responsibility of management and have been approved by the Board of Directors.<br />
The consolidated financial statements have been prepared in accordance with Canadian generally accepted accounting principles. The<br />
most significant of these accounting principles are described in Note 2 to the consolidated financial statements. The consolidated<br />
financial statements include some amounts that are based on estimates and judgments. Management has determined such amounts<br />
on a reasonable basis in order to ensure that the consolidated financial statements are presented fairly in all material respects. The<br />
Company’s accounting procedures and related systems of internal control are designed to provide reasonable assurance that its<br />
assets are safeguarded and its financial records are reliable. The financial information elsewhere in this Annual Report is consistent<br />
with the information presented in the consolidated financial statements.<br />
The Board of Directors has appointed an Audit Committee consisting of three outside directors. The committee meets periodically<br />
during the year to review with management and the external auditors any significant accounting, internal control and auditing<br />
matters. They review and finalize the annual consolidated financial statements of the Company along with the external auditors’<br />
report prior to the submission of the consolidated financial statements to the Board of Directors for final approval.<br />
The Company’s external auditors, Ernst & Young LLP, Chartered Accountants, conduct an independent audit on behalf of the<br />
shareholders, in accordance with Canadian generally accepted auditing standards, and express their opinion on the consolidated<br />
financial statements. Their report outlines the scope of their audit and their opinion on the consolidated financial statements of the<br />
Company. The external auditors have full access to management and the Audit Committee of the Board.<br />

We have audited the consolidated balance sheets of Paladin Labs Inc. as at December 31, 2009 and 2008 and the consolidated<br />
statements of income, cash flows, comprehensive income, accumulated other comprehensive income (loss) and retained earnings<br />
for the years then ended. These financial statements are the responsibility of the Company’s management. Our responsibility is to<br />
express an opinion on these financial statements based on our audits.<br />
We conducted our audits in accordance with Canadian generally accepted auditing standards. Those standards require that we plan<br />
and perform an audit to obtain reasonable assurance whether the financial statements are free of material misstatements. An audit<br />
includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also<br />
includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall<br />
financial statement presentation.<br />
In our opinion, these consolidated financial statements present fairly, in all material respects, the financial position of the Company<br />
as at December 31, 2009 and 2008 and the results of its operations and its cash flows for the years then ended in accordance with<br />
Canadian generally accepted accounting principles.<br />
