44 9. SUMMARY OF FINDINGS<br />
9.2.5 The <strong>in</strong>ability <strong>of</strong> a company to pay a f<strong>in</strong>e appears to be a factor that is generally considered <strong>in</strong> all<br />
jurisdictions, either explicitly or implicitly. In certa<strong>in</strong> jurisdictions it is based on the consideration that<br />
the f<strong>in</strong>e cannot be as high as to drive a company out <strong>of</strong> the market, thus caus<strong>in</strong>g additional harm<br />
to competition. Other factors, like the fact that the f<strong>in</strong>e would impair the company’s ability to make<br />
restitution to victims, can <strong>in</strong> some jurisdictions be taken <strong>in</strong> consideration as well. Some jurisdictions<br />
consider provisions sett<strong>in</strong>g a statutory maximum f<strong>in</strong>e as a method <strong>of</strong> tak<strong>in</strong>g the ability to pay <strong>in</strong>to<br />
consideration.<br />
9.3 Recent evolution<br />
9.3.1 It appears that <strong>in</strong> many jurisdictions the level <strong>of</strong> f<strong>in</strong>es has been significantly <strong>in</strong>creas<strong>in</strong>g over recent<br />
years. In certa<strong>in</strong> jurisdictions, there seems to have been an evolution from f<strong>in</strong><strong>in</strong>g systems based on<br />
fixed amounts (<strong>for</strong> <strong>in</strong>stance l<strong>in</strong>ked to the gravity <strong>of</strong> the conduct) to systems based on a percentage<br />
<strong>of</strong> turnover/volume <strong>of</strong> commerce/affected sales.<br />
9.3.2 Apart from the general pr<strong>in</strong>ciple accord<strong>in</strong>g to which <strong>for</strong> conduct to be considered as a crime/<strong>of</strong>fence,<br />
there must be a legal provision establish<strong>in</strong>g it and impos<strong>in</strong>g a specific punishment on the perpetrators<br />
<strong>of</strong> such conduct, a certa<strong>in</strong> degree <strong>of</strong> transparency with regard to the determ<strong>in</strong>ation <strong>of</strong> f<strong>in</strong>es<br />
appears to be required also with the view <strong>of</strong> provid<strong>in</strong>g the appropriate <strong>in</strong>centives <strong>for</strong> companies to<br />
co-operate or settle with the authorities.<br />
