1.14 TheCompanymay, unlessprohibitedbylaw, atanytimepayacommissiontoanyperson<br />
forsubscribingoragreeingtosubscribe (whetherabsolutelyorconditionally) foranyshares<br />
intheCompanyorprocuringoragreeingtoprocuresubscriptions (whetherabsoluteor<br />
conditional) foranysharesintheCompany, butsothattheconditionsandrequirementsof<br />
theActshallbeobservedandcompliedwith, andineachcasethecommissionshallnot<br />
exceed10% ofthepriceatwhichthesharesareissued.<br />
1.15 ExceptasotherwiseexpresslyprovidedbytheseArticlesorasrequiredbylaworasordered<br />
byacourtofcompetentjurisdiction, nopersonshallberecognisedbytheCompanyas<br />
holdinganyshareuponanytrustandtheCompanyshallnotbeboundbyorbecompelledin<br />
anywaytorecognise (evenwhenhavingnoticethereof) anyequitable, contingent, futureor<br />
partialinterestinanysharesoranyinterestinanyfractionalpartofashareoranyotherrights<br />
inrespectofanyshareexceptanabsoluterighttotheentiretythereofintheregisteredholder.<br />

2.1 TheBoardshallcausetobekeptatsuchplacewithinoroutsidetheBritishVirginIslandsas<br />
itdeemsfitaprincipalregisterofthemembersandthereshallbeenteredthereinthe<br />
particularsofthemembersandthesharesissuedtoeachofthemandotherparticulars<br />
requiredundertheAct.<br />
2.2 IftheBoardconsidersitnecessaryorappropriate, theCompanymayestablishandmaintain<br />
abranchregisterorregistersofmembersatsuchlocationorlocationswithinoroutsidethe<br />
BritishVirginIslandsastheBoardthinksfit. Theprincipalregisterandthebranchregister(s)<br />
shalltogetherbetreatedastheregisterforthepurposesoftheseArticles.<br />
2.3 TheBoardmay, initsabsolutediscretion, atanytimetransferanyshareupontheprincipal<br />
registertoanybranchregisteroranyshareonanybranchregistertotheprincipalregisteror<br />
anyotherbranchregister.<br />
2.4 NotwithstandinganythingcontainedinthisArticle, theCompanyshallassoonaspracticable<br />
andonaregularbasisrecordintheprincipalregisteralltransfersofshareseffectedonany<br />
branchregisterandshallatalltimesmaintaintheprincipalregisterinsuchmannerasto<br />
showatalltimesthemembersforthetimebeingandthesharesrespectivelyheldbythem,<br />
