9.4 Anydebentures, debenturestock, bondsorothersecuritiesmaybeissuedatadiscount,<br />
premiumorotherwiseandwithanyspecialprivilegesastoredemption, surrender, drawings,<br />
allotmentofshares, attendingandvotingatgeneralmeetingsoftheCompany, appointment<br />
ofDirectorsandotherwise.<br />
9.5 TheBoardshallcauseaproperregistertobekept, inaccordancewiththeprovisionsofthe<br />
Act, ofallmortgagesandchargesspecificallyaffectingthepropertyoftheCompanyandshall<br />
dulycomplywiththerequirementsoftheActinregardtotheregistrationofmortgagesand<br />
chargesthereinspecifiedandotherwise.<br />
9.6 IftheCompanyissuesdebenturesordebenturestock (whetheraspartofaseriesoras<br />
individualinstruments) nottransferablebydelivery, theBoardshallcauseaproperregister<br />
tobekeptoftheholdersofsuchdebentures.<br />
9.7 WhereanyuncalledsumsowingonthesharesintheCompanyischarged, allpersonstaking<br />
anysubsequentchargethereonshalltakethesamesubjecttosuchpriorcharge, andshall<br />
notbeentitled, bynoticetothemembersorotherwise, toobtainpriorityoversuchprior<br />

10 GeneralMeetings<br />
10.1 TheCompanyshallineachyearholdageneralmeetingasitsannualgeneralmeetingin<br />
additiontoanyothermeetinginthatyearandshallspecifythemeetingassuchinthenotices<br />
callingit; andnotmorethan15monthsshallelapse (orsuchlongerperiodastheExchange<br />
mayauthorise) betweenthedateofoneannualgeneralmeetingoftheCompanyandthatof<br />
thenext. SolongasthefirstannualgeneralmeetingoftheCompanyisheldwithin18months<br />
ofitsincorporation, itneednotbeheldintheyearofitsincorporationorinthefollowingyears.<br />
TheannualgeneralmeetingshallbeheldatsuchtimeandplaceastheBoardshallappoint.<br />
