22.15 TheBoardmayretainanydividendsorothermoniespayableuponsharesinrespectofwhich<br />
anypersonis, undertheprovisionsastothetransmissionofshareshereinbeforecontained,<br />
entitledtobecomeamember, orinrespectofwhichanypersonisunderthoseprovisions<br />
entitledtotransfer, untilsuchpersonshallbecomeamemberinrespectofsuchsharesor<br />

22.16 TheBoardmaydeductfromanydividendorothermoniespayabletoanymemberallsums<br />
ofmoney (ifany) presentlypayablebyhimtotheCompanyonaccountofcalls, instalments<br />

22.17 Anygeneralmeetingsanctioningadividendmaymakeacallonthemembersofsuchamount<br />
asthemeetingresolvesbyResolutionofMembers, butsothatthecalloneachmembershall<br />

timeasthedividend, andthedividendmay, ifsoarrangedbetweentheCompanyandthe<br />

paidupshares, debenturesorwarrantstosubscribesecuritiesofanyothercompany, orin<br />
anyoneormoreofsuchways, andwhereanydifficultyarisesinregardtothedistributionthe<br />
Boardmaysettlethesameasitthinksexpedient, andinparticularmaydisregardfractional<br />
entitlements, roundthesameupordownorprovidethatthesameshallaccruetothebenefit<br />
oftheCompany, andmayfixthevaluefordistributionofsuchspecificassets, oranypart<br />
thereof, andmaydeterminethatcashpaymentsshallbemadetoanymembersuponthe<br />
footingofthevaluesofixedinordertoadjusttherightsofallparties, andmayvestanysuch<br />
specificassetsintrusteesasmayseemexpedienttotheBoardandmayappointanyperson<br />
tosignanyrequisiteinstrumentsoftransferandotherdocumentsonbehalfofthepersons<br />
entitledtothedividendandsuchappointmentshallbeeffective. Whererequired, acontract<br />
shallbefiledinaccordancewiththeprovisionsoftheActandtheBoardmayappointany<br />
persontosignsuchcontractonbehalfofthepersonsentitledtothedividendandsuch<br />
appointmentshallbeeffective.<br />
22.19 Atransferofsharesshallnotpasstherewiththerighttoanydividendorbonusdeclared<br />
thereonbeforetheregistrationofthetransfer.<br />

22.20 Anyresolutiondeclaringorresolvinguponthepaymentofadividendorotherdistributionon<br />
sharesofanyclass, whetheraResolutionofMembersoraResolutionofDirectors, may<br />
specifythatthesameshallbepayableormadetothepersonsregisteredastheholdersof<br />
suchsharesatthecloseofbusinessonaparticulardate, notwithstandingthatitmaybea<br />
datepriortothatonwhichtheresolutionispassed, andthereuponthedividendorother<br />
distributionshallbepayableormadetotheminaccordancewiththeirrespectiveholdingsso<br />
registered, butwithoutprejudicetotherightsinterseinrespectofsuchdividendoftransferors<br />
andtransfereesofanysuchshares.<br />
22.21 Iftwoormorepersonsareregisteredasjointholdersofanyshares, anyoneofsuchpersons<br />
maygiveeffectualreceiptsforanydividends, interimandspecialdividendsorbonusesand<br />
othermoneyspayableorrightsorpropertydistributableinrespectofsuchshares.<br />
22.22 UnlessotherwisedirectedbytheBoard, anydividend, interestorothersumpayableincash<br />
toaholderofsharesmaybepaidbychequeorwarrantsentthroughtheposttotheregistered<br />
addressofthememberentitled, or, incaseofjointholders, totheregisteredaddressofthe<br />
personwhosenamestandsfirstintheregisterinrespectofthejointholdingortosuchperson<br />
andtosuchaddressastheholderorjointholdersmayinwritingdirect. Everychequeor<br />
warrantsosentshallbemadepayabletotheorderoftheholderor, inthecaseofjoint<br />
