11 ProceedingsatGeneralMeetings<br />
Special<br />
business<br />
11.1 Allbusinessshallbedeemedspecialthatistransactedatanextraordinarygeneralmeeting<br />
andalsoallbusinessshallbedeemedspecialthatistransactedatanannualgeneralmeeting<br />
withtheexceptionofthefollowing, whichshallbedeemedordinarybusiness:<br />
a) thedeclarationandsanctioningofdividends;<br />
b) theconsiderationandadoptionoftheaccountsandbalancesheetsandthereports<br />
oftheDirectorsandAuditorsandotherdocumentsrequiredtobeannexedtothe<br />
balancesheet;<br />
c) theelectionofDirectorsinplaceofthoseretiring;<br />
d) theappointmentofAuditors;<br />
e) thefixingof, orthedeterminingofthemethodoffixingof, theremunerationofthe<br />
DirectorsandoftheAuditors;<br />
f) thegrantingofanymandateorauthoritytotheDirectorstooffer, allot, grantoptions<br />
over, orotherwisedisposeoftheunissuedsharesoftheCompanyrepresentingnot<br />
morethan20% (orsuchotherpercentageasmayfromtimetotimebespecifiedin<br />
theListingRules) innominalvalueofitsthenexistingissuedsharesandthenumber<br />
ofanysecuritiesrepurchasedpursuanttoArticle11.1(g); and<br />
g) thegrantingofanymandateorauthoritytotheDirectorstorepurchasesecuritiesof<br />
theCompany.<br />
Quorum<br />
11.2 Forallpurposesthequorumforageneralmeetingshallbetwomemberspresentinperson<br />
orinthecaseofacorporation, byitsdulyauthorisedrepresentative) orbyproxyprovided<br />
alwaysthatiftheCompanyhasonlyonememberofrecordthequorumshallbethatone<br />
memberpresentinpersonorbyproxy. Nobusiness (excepttheappointmentofaChairman)<br />
shallbetransactedatanygeneralmeetingunlesstherequisitequorumshallbepresentat<br />
thecommencementofthebusiness.<br />

11.3 Ifwithin15minutesfromthetimeappointedforthemeetingaquorumisnotpresent, the<br />
meeting, ifconvenedupontherequisitionofmembers, shallbedissolved, butinanyother<br />
caseitshallstandadjournedtothesamedayinthenextweekandatsuchtimeandplace<br />
asshallbedecidedbytheBoard, andifatsuchadjournedmeetingaquorumisnotpresent<br />
within15minutesfromthetimeappointedforholdingthemeeting, thememberormembers<br />
presentinperson (orinthecaseofacorporation, byitsdulyauthorisedrepresentative) orby<br />
proxyshallbeaquorumandmaytransactthebusinessforwhichthemeetingwascalled.<br />
11.4 TheChairmanshalltakethechairateverygeneralmeeting, or, iftherebenosuchChairman<br />
or, ifatanygeneralmeetingsuchChairmanshallnotbepresentwithin15minutesafterthe<br />
timeappointedforholdingsuchmeetingorisunwillingtoact, theDirectorspresentshall<br />
chooseanotherDirectorasChairman, andifnoDirectorbepresent, orifalltheDirectors<br />
presentdeclinetotakethechair, oriftheChairmanchosenshallretirefromthechair, then<br />
thememberspresent (whetherinpersonorrepresentedbyproxyordulyauthorised<br />
representative) shallchooseoneoftheirownnumbertobeChairman.<br />
11.5 TheChairmanmay, withtheconsentofanygeneralmeetingatwhichaquorumispresent,<br />
andshall, ifsodirectedbythemeeting, adjournanymeetingfromtimetotimeandfromplace<br />
toplaceasthemeetingshalldetermine. Wheneverameetingisadjournedfor14daysor<br />
more, atleastsevencleardays' notice, specifyingtheplace, thedayandthehourofthe
