14.23 Whereproposalsareunderconsiderationconcerningtheappointment (includingfixingor<br />
varyingthetermsoforterminatingtheappointment) oftwoormoreDirectorstoofficesor<br />
employmentswiththeCompanyoranycompanyinwhichtheCompanyisinterested, such<br />
proposalsshallbedividedandconsideredinrelationtoeachDirectorseparatelyandinsuch<br />
caseeachoftheDirectorsconcerned (ifnotprohibitedfromvotingunderArticle14.22shall<br />
beentitledtovote (andbecountedinthequorum) inrespectofeachresolutionexceptthat<br />
concerninghisownappointment.<br />
14.24 IfanyquestionshallariseatanymeetingoftheBoardastothematerialityofaDirector's<br />
interestorthesignificanceofacontract, arrangementortransactionorproposedcontract,<br />
arrangementortransactionorastotheentitlementofanyDirectortovoteorformpartofa<br />
quorumandsuchquestionisnotresolvedbyhisvoluntarilyagreeingtoabstainfromvoting<br />
ornottobecountedinthequorum, suchquestionshallbereferredtotheChairmanofthe<br />
meeting (or, wherequestionrelatestotheinterestoftheChairman, totheotherDirectorsat<br />
themeeting) andhisruling (or, asappropriate, therulingoftheotherDirectors) inrelationto<br />
anyotherDirector (or, asappropriate, theChairman) shallbefinalandconclusiveexceptin<br />
acasewherethenatureorextentoftheinterestsoftheDirectorconcerned (or, as<br />
appropriate, theChairman) asknowntosuchDirector (or, asappropriate, theChairman) has<br />
notbeenfairlydisclosedtotheBoard.<br />
