4.12 Anysumwhichbythetermsofallotmentofashareismadepayableuponallotmentoratany<br />
fixeddate, whetheronaccountofthenominalvalueoftheshareand/orbywayofpremium<br />
orotherwise, shallforallpurposesoftheseArticlesbedeemedtobeacalldulymadeand<br />
payableonthedatefixedforpayment, andincaseofnon-payment, alltherelevantprovisions<br />
oftheseArticlesastopaymentofinterestandexpenses, liabilitiesofjointholders, forfeiture<br />
andthelike, shallapplyasifsuchsumhadbecomepayablebyvirtueofacalldulymadeand<br />

4.13 TheBoardmay, ifitthinksfit, receivefromanymemberwillingtoadvancethesame, and<br />
eitherinmoneyormoney'sworth, alloranypartofthemoneyuncalledandunpaidor<br />
instalmentspayableuponanysharesheldbyhim, anduponalloranyofthemoneysso<br />
advancedtheCompanymaypayinterestatsuchrate (ifany) astheBoardmaydecide. The<br />
Boardmayatanytimerepaytheamountsoadvancedupongivingtosuchmembernotless<br />
thanonemonth'snoticeinwritingofitsintentioninthatbehalf, unlessbeforetheexpiration<br />
ofsuchnoticetheamountsoadvancedshallhavebeencalleduponthesharesinrespect<br />
ofwhichitwasadvanced. Nosuchsumpaidinadvanceofcallsshallentitlethemember<br />
payingsuchsumtoanyportionofadividenddeclaredinrespectofanyperiodpriortothe<br />
dateuponwhichsuchsumwould, butforsuchpayment, becomepresentlypayable.<br />
5 TransferofShares<br />

5.1 Transfersofsharesmaybeeffectedbyaninstrumentoftransferintheusualcommonform<br />
orinsuchotherformastheBoardmayapprove, whichisconsistentwiththestandardform<br />
oftransferasprescribedbytheExchangeandapprovedbytheBoard. Allinstrumentsof<br />
transfermustbeleftattheregisteredofficeoftheCompanyoratsuchotherplaceasthe<br />
BoardmayappointandallsuchinstrumentsoftransfershallberetainedbytheCompany.<br />

5.2 Theinstrumentoftransfershallbeexecutedbyoronbehalfofthetransferorandbyoron<br />
behalfofthetransfereePROVIDEDthattheBoardmaydispensewiththeexecutionofthe<br />
instrumentoftransferbythetransfereeinanycasewhichitthinksfitinitsdiscretiontodoso.<br />
Theinstrumentoftransferofanyshareshallbeinwritingandshallbeexecutedwithamanual<br />
signatureorfacsimilesignature (whichmaybemachineimprintedorotherwise) byoron<br />
behalfofthetransferorandtransfereePROVIDEDthatinthecaseofexecutionbyfacsimile<br />
signaturebyoronbehalfofatransferorortransferee, theBoardshallhavepreviouslybeen<br />
providedwithalistofspecimensignaturesoftheauthorisedsignatoriesofsuchtransferoror<br />
transfereeandtheBoardshallbereasonablysatisfiedthatsuchfacsimilesignature<br />
correspondstooneofthosespecimensignatures. Thetransferorshallbedeemedtoremain<br />
theholderofashareuntilthenameofthetransfereeisenteredintheregisterinrespect<br />
thereof.<br />
TheBoardmay, initsabsolutediscretion, andwithoutassigninganyreason, refusetoregister<br />
atransferofanysharewhichisnotfullypaiduporonwhichtheCompanyhasalien.<br />
5.4 IftheBoardshallrefusetoregisteratransferofanyshare, itshall, withintwomonthsafter<br />
thedateonwhichthetransferwaslodgedwiththeCompany, sendtoeachofthetransferor<br />
andthetransfereenoticeofsuchrefusal.<br />
