Corporate Governance <strong>Report</strong><br />

The Audit and Risk Committee has a formal charter that sets out its specific roles and<br />

responsibilities, and composition requirements.<br />

The procedures for the selection and appointment of the external auditor are set out in the Audit<br />

and Risk Committee Charter.<br />

The Audit and Risk Committee Charter is available on the <strong>Abacus</strong> website.<br />

Recommendation 4.2<br />

Before approving the financial statements for a financial period, the Board receives from the<br />

Managing Director and Chief <strong>Financial</strong> Officer a declaration that, in their opinion, the financial<br />

records of the entity have been properly maintained and that the financial statements comply<br />

with the appropriate accounting standards and give a true and fair view of the financial position<br />

and performance of the entity and that the opinion has been formed on the basis of a sound<br />

system of risk management and internal control that is operating effectively<br />

The external auditor attends the <strong>Abacus</strong> annual general meeting and is available at the meeting<br />

to answer questions from securityholders relevant to the audit.<br />

Principle 5: Make timely and balanced disclosure<br />

Recommendation 5.1<br />

The <strong>Group</strong> has a policy and procedures designed to ensure compliance with ASX Listing Rule<br />

disclosure requirements. The Managing Director is responsible for ensuring that the <strong>Group</strong><br />

complies with its disclosure obligations.<br />

The Continuous Disclosure and Securityholder Communications Policy is available on the<br />

<strong>Abacus</strong> website.<br />

Principle 6: Respect the rights of securityholders<br />

Recommendation 6.1<br />

The <strong>Group</strong> aims to keep securityholders informed of significant developments and activities of<br />

the <strong>Group</strong>. The <strong>Group</strong>’s website is updated regularly and includes annual and half-yearly<br />

reports, distribution history and all other announcements lodged with the ASX, as well as a<br />

corporate governance landing page from which all relevant corporate governance information<br />

can be accessed. The <strong>Abacus</strong> website also includes webcasts of the results briefings.<br />

The <strong>Group</strong> keeps a summary record for internal use of the issues discussed at group and oneon-one<br />

briefings with investors and analysts, including a record of those present where<br />

appropriate.<br />

<strong>Abacus</strong> website.<br />

Recommendation 6.2<br />

The Continuous Disclosure and Securityholder Communications Policy, which is available on<br />

the <strong>Abacus</strong> website, sets out <strong>Abacus</strong>’ communication strategy with securityholders.<br />

Routine queries received by the <strong>Group</strong>’s registry are responded to by the registry. Non-routine<br />

queries are directed to the <strong>Group</strong>’s Head of Investor Relations for response. Securityholders,<br />

other financial market participants and the financial media also communicate directly with the<br />

Head of Investor Relations to seek information and provide feedback. Relevant feedback is<br />
