ArtsQuest Performing Arts Board the ArtsQuest Visual Arts Board and the Friends of the Levitt Pavilion
SteelStacks Board who are appointed to a committee shall serve on said committee until the conclusion of their
term on the said board. If the member is re-elected to a Board, he or she may be re-appointed to the same
committee or may be appointed to a different committee. Committee members who are not members of an
ArtsQuest Board serve for a term that commences on the date of appointment and ends on the second January 31
from the date of appointment, unless the member is re-appointed.
5.08. Staff Committee Assignments. The President or a staff designee shall serve on all committees, in ex-officio,
non-voting capacity.
5.09. Authority. Committees, except for the Executive Committee, shall have the power of recommendation only
unless additional powers are specifically conferred upon them by the Board.
(A) Capital Resources & Facilities Committee: The Capital Resources Committee will assist the Board of
Trustees through the development of a comprehensive organizational approach to capital assets of the
organization (including real estate and personal property).
(B) Finance and Audit Committee. The Finance and Audit Committee will assist the Board of Trustees
through oversight and advice with regard to the following: integrity of financial statements; the financial
reporting process, adequacy of internal controls, qualifications and independence of outside auditors,
compliance with legal and regulatory reporting and disclosure, need for and access to capital, financing,
internal financial statement design and other financial matters as requested by the Board of Trustees or the
staff.
(C) Governance Committee. The Governance Committee will assist the Board of Trustees through
recruiting and proposing individuals for positions as Trustees, Program Board Directors or Officers of the
Corporation, monitoring the effectiveness of its governance, and recommending to the Board changes to
its by-laws and other governance policies and procedures.
(D) Human Resources Committee: The Human Resources Committee will assist the Board of Trustees
through the monitoring and development of human resources policies and procedures, including but not
limited to employee compensation and benefits.
(E) Marketing Committee. The Marketing Committee will assist the Board of Trustees through oversight of
marketing, public relations, fundraising and Board participation in community outreach.
(F) Strategic Planning Committee. The Strategic Planning Committee will assist the Board of Trustees
through preparation and periodic revisions of a strategic plan or plans for the Corporation and its
programs for Board consideration and monitoring any plans adopted by the Board.
ARTICLE VI
PROGRAM BOARDS
6.01. Program Boards. The Board of Trustees shall establish two Program Boards: the ArtsQuest Performing Arts
Board and the ArtsQuest Visual Arts Board.
6.02 Purpose. The purpose of a Program Board is to assist in development of program content, development of
program budgets, program operations, including the staffing through volunteers, financial support of the
program, and working with the staff to develop policies and procedures for the program areas over which each
Board has responsibility.
