CODE OF CONDUCT AND ETHICS GUIDELINES Overview ArtsQuest’s Code of Conduct and Ethics (the “Code”) represent guidelines for its Trustees, Directors, Officers, Employees and Volunteers, (including the ArtsQuest Foundation and the Friends of the Levitt Pavilion) acting in any capacity for ArtsQuest (the “Representatives”), to observe the highest standards of both business and personal conduct and ethics in the execution of their daily responsibilities connected with the Organization. It is critical that we uphold these high standards in order to deliver the most exceptional experiences to both our internal and external customers. As Representatives of ArtsQuest, it is expected that we practice respectful behavior, honesty and integrity in fulfilling our responsibilities and comply with applicable laws and regulations. Integrity is one of the fundamental values to which ArtsQuest is committed in carrying out its mission. Integrity is the foundation for our business whose success depends upon our compliance with the highest legal and ethical standards and our stellar reputation within the communities we serve. Reporting Responsibility It is the responsibility of all ArtsQuest Representatives to comply with the Code and to report violations or suspected violations in accordance with these guidelines. If you are in a leadership position, more is expected of you in your role: • Lead by example and exemplify the highest standards of ethical business conduct. • Help create a work environment that focuses on building relationships, recognizes effort and values mutual respect and open communication. • Be a resource for others. Be visible, proactive and create an environment where everyone feels comfortable asking questions and reporting potential violations of the Code. Responsibility to Communicate Each time this and other policies are modified or updated, it is ArtsQuest’s intent to communicate any changes and re-issue or publish them and wherever applicable, to obtain any required acknowledgements of receipt. Questionable Conduct Violating relevant laws, regulations, or the Code or encouraging others to do so is not only wrong, but also exposes ArtsQuest to liability and puts its reputation at risk. The following list is not all-inclusive, and is only representative of the kinds of improprieties that should be avoided and/or reported: • Displaying disrespectful, inappropriate or unprofessional behavior toward staff, volunteers, sponsors, donors, members or patrons. • Fraudulent financial reporting or misrepresentation; supplying false or misleading information on • ArtsQuest’s financial or other public documents, including its Form 990. • Providing false or incomplete information to or withholding requested information from • ArtsQuest’s Board or Auditors. • Destroying, altering, mutilating, concealing, covering up, falsifying, or making a false entry in any record that may be connected to an official proceeding, in violation of federal or state law or regulations. • Forgery, alteration, manipulation or concealment of documents or computer files, or attempting to do so, with the intent to impair the document’s availability for use in an official proceeding or otherwise obstructing, influencing, or impeding any official proceeding, in violation of federal or state law or regulations. • Embezzling, theft or misuse of Organization funds or assets for personal or other financial gain. • Willingly abusing drugs, alcohol or other controlled substances while acting as a Representative of the Organization. 39
