LETTER FROM THE REMUNERATION COMMITTEE CHAIRMAN<br />

Dear Shareholders,<br />

On behalf of the Board, I am pleased to present<br />

the Remuneration <strong>Report</strong> for the financial year ended<br />

30 June <strong>2022</strong>, outlining the nature and amount<br />

of remuneration for <strong>Aeris</strong> Resources Limited’s Non-executive<br />

Directors and other Key Management Personnel.<br />

FY<strong>2022</strong> was a year of transformation for <strong>Aeris</strong> as we<br />

announced the acquisition of Round Oak Minerals,<br />

successfully positioning the company as a competitive<br />

mid-tier base and precious metals producer. As part<br />

of the transaction, we add two new operating assets and<br />

a development project to our portfolio and bid a heartfelt<br />

welcome to the new team members joining our broader<br />

<strong>Aeris</strong> family.<br />

Throughout the financial year, the company was impacted<br />

by industry-wide cost and labour market pressures,<br />

which we worked hard to contain across the operations.<br />

Australia experienced an increasingly competitive job<br />

market, with low unemployment rates fuelling labour<br />

shortages of skilled workers.<br />

In response to this competition and the evolving<br />

expectations of the labour market, <strong>Aeris</strong> focused<br />

on a review of all site-based allowances and the<br />

implementation of a new attraction and retention<br />

strategy. Undertaking a complete review of site-based<br />

allowances enabled <strong>Aeris</strong> to make a series of small<br />

changes to better align the business with new market<br />

pressures and ensure all allowances are fit-for-purpose in<br />

this new operating environment.<br />

During the financial year <strong>Aeris</strong> also made solid progress on<br />

strengthening our commitment to promoting an inclusive<br />

workplace, publishing our new Workplace of Respect<br />

Policy in January <strong>2022</strong>. We were pleased to<br />

see significant upward movement in both female<br />

workforce representation and indigenous workforce<br />

representation in FY<strong>2022</strong>, with female representation<br />

up by 5%. Our indigenous representation is 11% across<br />

the business with Tritton reporting 18%.<br />

During the financial year <strong>Aeris</strong> also made solid<br />

progress on strengthening our commitment<br />

to promoting an inclusive workplace.<br />

Following this hard work throughout FY<strong>2022</strong>, <strong>Aeris</strong> is well<br />

placed to meet the future challenges of the labour market<br />

and we look forward to moving forward into another<br />

rewarding year in FY2023.<br />

On a personal note, FY<strong>2022</strong> is the final year of my<br />

appointment as Chair of the Remuneration Committee as<br />

I hand the reigns over to fellow director, Mr Colin Moorhead<br />

for the current and future financial years.<br />

The implementation of a new attraction and retention<br />

strategy was built on valuable feedback collected from<br />

our workforce via an employee feedback survey in<br />

March <strong>2022</strong>. This strategy will ensure that <strong>Aeris</strong> remains an<br />

employer of choice for existing employees and potential<br />

new candidates in the years ahead.<br />
