EMPLOYEE SHARE ACQUISITION PLAN (ESAP)<br />
The <strong>Aeris</strong> Resources Limited Employee Share Acquisition<br />
Plan (ESAP) was approved by shareholders at<br />
the Demerger Scheme Meeting on 21 January 2011. The<br />
plan operates by allowing participants to obtain Shares<br />
in the Company at market price, which are funded<br />
by a limited recourse interest free loan provided by<br />
the Company. The Shares are held in trust with vesting<br />
of the Shares subject to performance hurdles. If vesting<br />
conditions are satisfied, the Shares continue to be held<br />
in trust subject to a holding lock until the underlying<br />
loan is repaid in full. There are currently no Shares<br />
issued or allocated under the ESAP Share Plan.<br />
LOANS GIVEN TO KEY MANAGEMENT PERSONNEL<br />
No loans have been provided by the Company to KMP.<br />
VOTING AND COMMENTS MADE AT THE COMPANY'S 25<br />
NOVEMBER 2021 ANNUAL GENERAL MEETING ('AGM')<br />
At the 25 November 2021 AGM, 99.72% of the votes<br />
received supported the adoption of the remuneration<br />
report for the year ended 30 June 2021. The<br />
Company did not receive any specific feedback at<br />
the AGM regarding its remuneration practices.<br />
USE OF REMUNERATION CONSULTANTS<br />
During the year ended 30 June <strong>2022</strong>, no<br />
consultants were engagement in the structure or<br />
management of the employee remunerations.<br />
The information provided in this remuneration<br />
report has been audited as required by section<br />
308(3C) of the Corporations Act 2001.<br />
OTHER TRANSACTIONS BETWEEN THE COMPANY AND KEY<br />
MANAGEMENT PERSONNEL OR THEIR RELATED PARTIES<br />
Except for those transactions disclosed in note 28<br />
to the financial statements, no other transactions have<br />
been entered into between the Company and KMP.<br />
