EMPLOYMENT AGREEMENTS<br />

The major provisions of the contracts of the Directors<br />

and KMP are set out below.<br />

NON-EXECUTIVE DIRECTORS<br />

Non-executive Directors are retained by way<br />

of a Letter of Appointment. The Letter of Appointment<br />

does not contemplate a fixed term for directors’<br />

appointments. Non-executive Directors are<br />

not eligible for termination payments.<br />

EXECUTIVE DIRECTORS<br />

Remuneration and other terms of employment<br />

of the Executive Director and other KMP are<br />

formalised in common law employment contracts<br />

in the form of a letter of appointment.<br />

In determining remuneration for KMP, the Company<br />

takes into account the responsibilities of the role and<br />

relevant industry data for attracting persons of the calibre<br />

and experience of the person in question. Fixed<br />

pay is reviewed annually, with such review taking<br />

into account a range of factors including performance<br />

and experience of the individual and Company<br />

performance. The Executive Director is eligible<br />

to participate in the Company STI and LTI plans.<br />
