History and Development of <strong>IKB</strong> Group<br />

<strong>IKB</strong> AG is a German bank organized as a stock corporation (<strong>Aktiengesellschaft</strong>). Its activities date back<br />

to September 30, 1924 when <strong>IKB</strong> AG was first incorporated in Berlin as “Bank für deutsche Industrie-<br />

Obligationen” to manage the reparation payments owed by German companies pursuant to the<br />

Treaty of Versailles. In 1931, as “<strong>Deutsche</strong> <strong>Industriebank</strong>” <strong>IKB</strong> AG moved on to provide trade and longterm<br />

fixed rate investment financing, initially to the agricultural sector and later to medium sized companies.<br />

Although a private bank, <strong>IKB</strong> AG is a leading arranger of public programme loans funded by<br />

government promotion agencies. On 29 March 1949 <strong>IKB</strong> AG was incorporated in Düsseldorf and is<br />

registered today in Düsseldorf and Berlin for an indefinite period of time as a stock corporation under<br />

the laws of Germany. <strong>IKB</strong> AG is registered in the Commercial Registers of the Local Court of Düsseldorf<br />

under No. HRB 1130 and of the Local Court of Berlin-Charlottenburg under No. HRB 8860.<br />

<strong>IKB</strong> AG’s financial year runs from April 1 of each calendar year to March 31 of the following calendar<br />

year. <strong>IKB</strong> AG has its registered offices in Düsseldorf, at Wilhelm-Bötzkes-Strasse 1, D-40474 Düsseldorf,<br />

phone number +49 211 8221-0, and in Berlin, at Markgrafenstrasse 46/47, D-10117 Berlin, phone<br />

number +49 30 31009-0.<br />

In common with all other enterprises engaged in one or more of the financial activities defined in the<br />

German Banking Act (Kreditwesengesetz, KWG) as “banking business”, <strong>IKB</strong> AG is subject to the licensing<br />

requirements and other provisions of the KWG. Notably, <strong>IKB</strong> AG is subject to supervision by the<br />

German Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht).<br />

Business Overview<br />

According to its Articles of Association (Satzung), the object of <strong>IKB</strong> AG is the engagement in the promotion<br />

of industry and commerce, in particular by the provision of medium- and long-term debt<br />

finance or equity and/or equity surrogates and leasing financing as well as consultancy services in<br />

connection therewith. <strong>IKB</strong> AG primarily targets companies (usually owned by single persons or<br />

families) with an annual turnover of between EUR 10 million and EUR 500 million, i. e. the so-called<br />

German Mittelstand.<br />

<strong>IKB</strong> AG has outplaced a significant portion of credit risks of its loan portfolio. Furthermore <strong>IKB</strong> AG<br />

provides management advisory services and invests in international loan portfolios.<br />

<strong>IKB</strong> AG is a specialised bank focusing on long-term corporate financing which comprises especially<br />

corporate lending and leasing, real estate financing, structured financing and private equity. <strong>IKB</strong> AG<br />

operates mainly in Germany but through its branches and subsidiaries as well in other countries<br />

(please see “Organisational Structure”/“Branches and Subsidiaries”). <strong>IKB</strong> AG has organised its business<br />
