1 - PLAGE D'APPLICATION 

Les Conditions générales de vente et de garantie – C.G.V.G. - remplacent les précédentes et s'appliquent à tous les contrats 

de vente stipulés par WAY à dater du 01 Avril 2005. 

Toutes les commandes passées à WAY comportent, concomitamment avec la transmission de la commande, une adhésion 

totale et sans réserves de la part du client aux présentes C.G.V.G. ; des conditions différentes ou contraires requises par le 

client sont sans efficacité, quel que soit le moment où WAY en viendrait à connaissance, sauf acceptation formelle de la part 

de cette dernière. WAY peut modifier les présentes C.G.V.G. à tout moment et prendra soin d'en informer la clientèle ; les 

modifications sont valables sur les contrats de vente stipulés dès le premier jour de second mois qui suit celui de transmission 

de l'information. 

2 - COMMANDES 

Les commandes sont transmises par le client par écrit même par fax ou e-mail. 

Le contrat de vente se parachève par l'acceptation formelle de la commande de la part de WAY, passée même par fax ou 

courrier électronique au client sous forme de confirmation de commande. 

La confirmation de commande contient toutes les conditions de la vente, y compris les présentes C.G.V.G. en cas de première 

fourniture, c'est-à-dire la référence à celles-ci en cas d'information précédente. 

Au cas où la confirmation de commande prévoirait des conditions de vente entièrement ou bien en parties différentes de celles 

contenues dans la commande client, celui-ci peut annuler la commande d'ici 7 jours de la date de réception de la confirmation. 

L'annulation de la commande doit se faire par écrit, même par fax ou courrier électronique ; à défaut d'annulation 

d'ici le délai prescrit, la commande s'entend irrévocablement confirmée. 

3 - PRIX DE VENTE 

Les prix de vente résultent du tarif WAY, sont à titre indicatif et peuvent être modifiés. 

WAY transmet par écrit à la clientèle, même par fax ou courrier électronique, les modifications réalisées sur le tarif. 

Les modifications au tarif sont valables pour les commandes clients passées à partir du premier jour du second mois qui suit 

celui de communication de la modification. 

Le prix définitif est, en tout cas, celui qui résulte de la confirmation de commande transmise par WAY au client. 

A défaut d'indications particulières sur la commande et sur la confirmation correspondante, les prix s'entendent : 

• exprimés en euros (€) et nets de TVA et/ou d'impôts et taxes sur les affaires ; 

• emballage standard WAY compris 

• départ-usine -ex works 

• pour livraison auprès du siège du client 

• la remise sur le prix de vente au tarif, accordé au client, est acquise par ce dernier exclusivement à la suite du 

paiement total de la fourniture à la/aux échéance/s établie/s. 

En cas d'insolvabilité du client, WAY se charge de la note de débit de la remise accordée sur le tarif. 

4 - LIVRAISON 

WAY fixe le délai d'expédition et de livraison sur la confirmation de commande. Ce terme est indicatif, étant donné qu'il est 

en fonction des temps d'approvisionnement et de transport ; par conséquent il n'est pas péremptoire et ne constitue pas une 

condition essentielle du contrat. 

Les contrats de vente en cours peuvent être suspendus, c'est-à-dire exécutés en retard par WAY, même dans l'éventualité 

où, étant donné qu'il est prévu un paiement anticipé, ce dernier ne serait pas exécuté par le client ou bien en présence de 

causes de force majeure telles que, à titre purement d'exemplification, des guerres, émeutes, grèves, incendies, calamités 

naturelles, pannes à des appareillages et technologies de fabrication, retards dans la livraison de la part de fournisseurs à 

WAY. 

La suspension éventuelle du contrat et le retard sur les délais de livraison fixés ne produisent pas l'annulation de celui-ci, ne 

donnent lieu à des débits d'aucune sorte et néanmoins à des requêtes de dommages-intérêts. 

5 - EXPEDITION ET TRANSPORT 

L'expédition de la marchandise est faite en Port dû et voyage complètement aux risques et périls du client. Le transfert du 

risque prend effet à partir du moment de la livraison de la marchandise au voiturier pour l'expédition et le transport. 

La couverture d'assurance pour le transport ne peut être faite que sur la demande du client, à ses frais et doit résulter dans 

la confirmation de commande. 

Au client revient le contrôle de l'expédition et du transport de la marchandise au moment de la réception. 

En cas de panne, perte, vol ou tout autre dommage, c'est le client qui prendra soin de faire résulter la réserve et la réclamation 

sur le document de transport que le voiturier doit signer. La réserve et la réclamation doivent être confirmées par lettre 

recommandée avec accusé de réception, adressée au voiturier et par information à WAY, dans les trois (3) jours qui suivent 

la livraison de la marchandise. 

6 - NON-CONFORMITE, RECLAMATIONS ET RETOURS DE MARCHANDISE 

N'importe quelle réclamation, se rapportant à la qualité par suite de vices apparents ou bien de non-conformité de la marchandise, 

doit être communiquée à WAY, par lettre recommandée avec accusé de réception, dans les 8 (huit) jours qui suivent 

la date de livraison de celle-ci ; en cas de vices cachés, le terme court à partir de la date documentée de la découverte. 

Quant à la vérification de la rapidité de la communication, c'est la date de la poste qui fera foi. 

Les réclamations parvenues à WAY au-delà du terme fixé ci-dessus ne sont pas acceptées et sont rejetées. 

C'est au client que revient l'information analytique sur les vices, anomalies et non-conformités vérifiées, comme c'est au 

client que revient l'obligation de s'abstenir de n'importe quelle intervention non autorisée sur la marchandise et de coopérer 

avec WAY pour faciliter à cette dernière la constatation des vices, afin d'y remédier.

Au même terme prévu pour la réclamation et, à discrétion du client, avec la même communication ou bien avec une autre 

communication spéciale, il peut demander l'autorisation à rendre la marchandise défectueuse. L'autorisation au retour de 

marchandise par suite de vices apparents ou de non-conformité de la marchandise est transmise par écrit, même par fax ou 

courrier électronique, par WAY au client. Les retours de marchandise non pourvus de l'autorisation formelle et préalable de 

la part de WAY sont rejetés. 

Est exclue de la procédure de retour et donc rendue à la clientèle, à ses frais, la marchandise : 

• non identifiable à travers le numéro de série correspondant 

• qui a subi des endommagements et/ou des modifications aux soins du client et non autorisés 

• non accompagnée de la copie de l'autorisation au retour 

• pour laquelle le client n'est pas à même d'exhiber le document d'où la fourniture résulte de la part de WAY, 

document de transport et/ou facture. 

Le risque ainsi que les frais de retour sont toujours à la charge du Client. 

En cas de confirmation de la part de WAY des vices apparents et/ou de la non-conformité, le client peut obtenir, avec choix 

opéré toujours à discrétion de WAY, le remplacement gratuit de la marchandise ou bien le remboursement du prix établi, du 

fait qu'il est payé. En tout cas le paiement d'indemnité de toute sorte et les dommages-intérêts de toute nature et importance 

est tout à fait exclu. 

7 - CONDITIONS DE PAIEMENT 

Les paiements doivent être faits par le client suivant le mode établi, résultant en règle générale de la confirmation de commande 

ou bien du contrat de vente. 

WAY peut accorder des délais de paiement compte tenu de la situation financière du client, de la détermination de frais et 

intérêts pour le délai accordé et des garanties reçues. 

WAY se réserve la faculté de modifier sans préavis les conditions de paiement accordées chaque fois que les conditions qui 

les ont motivées se modifient ou bien en présence de commandes clients présentant, pour WAY, un risque financier élevé 

ou bien encore en présence de clients non respectueux à l'égard des conditions de fourniture établies. 

En cas d'insolvabilité concernant les paiements des fournitures, l'expédition de marchandises résultant de commandes en 

phase d'exécution est suspendue et pourra être effectuée, en dérogation aux conditions de paiement résultant de la confirmation 

de commande et en en mettant au courant le client, uniquement face à un paiement anticipé et sans remise contractuelle. 

En cas d'insolvabilité du client concernant les paiements, WAY se réserve la faculté de résoudre de droit, à tout moment et 

à la suite d'une simple communication écrite, transmise même par fax ou courrier électronique, tous les contrats de vente 

en cours et non encore exécutés. 

Tous les frais causés par le non-paiement à l'échéance fixée sont à la charge du client, comme les intérêts de retard applicables, 

par suite de paiement retardé conformément à la législation en vigueur. 

Quand dans le contrat de vente est prévu le paiement échelonné en plusieurs versements, on applique les dispositions de 

l'art. 1523 et suivants du Code Civil concernant la vente avec réserve de la propriété. 

Dans ce cas, le non-paiement même d'un seul versement fait perdre au client le bénéfice du terme et les versements de prix 

de la fourniture encore à échoir deviennent tous immédiatement exigibles. 

8 - INFORMATIONS SUR LES PRODUITS 

WAY prend l'engagement de l'information sur les produits à travers la documentation technique et les manuels d'utilisation 

et entretien qui les accompagne. 

Par contre le client prend l'engagement de l'information sur les conditions d'utilisation et de sécurité envers sa clientèle. 

En outre, on précise que la documentation technique et les manuels d'utilisation et entretien ne peuvent pas prévoir tous les 

cas d'installation et d'emploi des produits ; de ce fait le client est dans l'obligation de prendre des contacts avec WAY, au cas 

où seraient nécessaires des informations supplémentaires. 

9 - UTILISATION DE LA MARQUE 

Le client ne peut pas utiliser le logo WAY et le marque ASA pour n'importe quelle activité, à défaut d'un accord formel et préliminaire 

et d'une autorisation de la part de WAY, conformément à la législation en vigueur. 

10 - GARANTIE 

La garantie comme prévue dans cette clause s'applique aux produits fabriqués et vendus par WAY à partir de la date d'entrée 

en vigueur des présentes C.G.V.G. 

Les conditions de garantie valables pour les produits respectivement fabriqués et vendus avec le marque ASA restent applicables 

pour les produits fabriqués et préalablement vendus et jusqu'à l'épuisement de la période de garantie. WAY garantit 

que les produits n'ont pas de défauts reconductibles aux matériaux employés, à la conception et à la fabrication. 

En cas de défectuosités des produits reconductibles aux matériaux, à la conception et à la fabrication, WAY les remplacera 

ou prendra soin de se charger de leur réparation. En cas de remplacement ou de réparation des produits sous garantie, la 

période de garantie des nouveaux produits ou réparés s'épuise en se référant à la fin de la fourniture d'origine. 

Les produits fabriqués et vendus par WAY sont garantis pour cinq (5) ans, à dater du terme, correspondant à la date du document 

de transport ou bien, à défaut de celui-ci, à partir de la date de la facture de vente. Les produits considérés défectueux 

sont expédiés aux frais du client à WAY, Via C. Bassi 7/A - 40015 Galliera (BO), Italie - Service Après-vente. 

WAY a la faculté de demander au client l'exemplaire de la facture d'achat des produits. 

Si les produits rendus à titre de garantie, à la suite de l'évaluation de la part de WAY, s'avèrent défectueux, cette dernière se 

chargera du remplacement ou de la réparation gratuite. Les frais d'expédition des produits substitutifs ou bien réparés sont 

à la charge de WAY.

Si, à la suite d'une évaluation de la part de WAY, le produit ne s'avère pas défectueux relativement aux matériaux employés, 

à la conception et à la fabrication, WAY automatiquement en gère la réparation ou le rendu du matériau non réparé. 

Une fois les opérations terminées, WAY informe le client par écrit, même par fax ou courrier électronique, de l'état du produit 

et des coûts éventuellement engendrés. La restitution du produit aura lieu d'ici un mois de la date de réception de la 

communication. 

Dans ce cas d'expédition dédiée, les frais d'expédition sont à la charge du Client. La garantie ne s'applique pas dans les cas 

suivants : 

• choix, installation, mise en oeuvre et utilisation du produit non conformes par rapport aux instructions résultant 

de la documentation technique et des manuels d'utilisation et entretien fournis avec le produit ; 

• installation, utilisation et entretien erronés dus à négligence de la part du client ; 

• défectuosités dérivant de causes de force majeure, telles que phénomènes naturels ou bien événements 

imprévisibles, ou bien encore dues à des phénomènes ou événements ou faits non reconductibles au produit ; 

• utilisation du produit en association avec produits et/ou composants non appropriés ; 

• réalisation de modifications et/ou démontage du produit, à défaut d'une autorisation formelle de la part de WAY ; 

• non-respect des instructions concernant l'utilisation de progiciels non inclus dans le produit et qui en 

gouvernent le fonctionnement. 

La garantie ne couvre pas les coûts et les frais reconductibles au remplacement de matériaux sujets à la consommation et/ou 

usure, aux activités de démontage et ré-installation du produit, à l'activité d'entretien ordinaire qui restent à la charge du 

client. 

La présente garantie acquitte WAY de toutes les responsabilités par rapport aux produits fournis. 

WAY n'est donc pas responsable en ce qui concerne coûts, accidents, pertes et/ou dommages directs ou bien dérivés au 

Client et aux tiers du choix, de l'installation et utilisation des produits. 

Le client est responsable de la conformité du produit requis pour l'usage auquel il est destiné et est pareillement responsable, 

à tous les effets de raison et de la loi, de l'information à sa clientèle. 

11 - LOI APPLICABLE ET JURIDICTION 

Quant à l'interprétation et à l'application des C.G.V.G. suivantes sont valables les normes du Code Civil en vigueur en Italie. 

Pour toute controverse, les parties reconnaissent la compétence du Tribunal de Bologne.

1 - GENERAL APPLICATION 

the following general sales and warranty conditions substitute the previous and will be applied to all sales contracts concluded 

by WAY from April 1, 2005. All orders transmitted to WAY implicitly means that the buyer has accepted without reserve 

the general sales and warranty conditions; different conditions or contrary requests by the customers do not have any validity 

in whatever moment they have been communicated to WAY unless these are formally accepted by WAY. WAY may 

modify the general sales and warranty conditions in any moment by written confirmation; the modifications will have validity 

on sales contracts concluded on the first day of the second month following that of the transmission of the information. 

2 - ORDERS 

All orders must be transmitted by the customer in writing, by fax or by e-mail. 

The sales contract is finalized with the formal acceptance of the order on behalf of WAY, transmitted by fax, e-mail or by normal 

mail under the form of an order confirmation. The order confirmation contains all of the sales conditions including the 

general sales and warranty conditions in case of being the first supply. In the case that the order confirmation includes condition 

in part or completely different from those of the customer order, the customer may cancel the order within 7 days of 

receipt of the order confirmation. The order cancellation must be done in writing, by e-mail or by fax; the lack of a cancellation 

according to the above terms means that the order has been irrevocably accepted. 

3 - SALES PRICES 

The sales prices of the WAY Price List are indicative and can be modified. 

WAY transmits in writing, also by fax or e-mail the modifications applied on the price list. 

The modifications to the price lists are valid from the 1st day of the second month following communication of the price modification. 

The final price, is in any case, the price indicated on the order confirmation by WAY to the customer. 

Should there not be specific mention in the customer order and the relative order confirmation, the prices are intended as follows: 

in euro (€) and do not include VAT and other taxes; 

standard WAY packaging included 

• ex-works 

• the discount on the price list which is agreed with the customer is acquired by the customer only following the total 

payment of the supply at the agreed due date/s. 

WAY will issue a debit note of the discount agreed on the price list in case the customer does not respect the agreed terms. 

4 - DELIVERY 

WAY establishes the terms of delivery and shipment on the order confirmation. The terms are indicative and are based on 

supply and delivery timing; thus it is nonbinding and does not constitute an essential part of the contract. 

The valid sales contract can be suspended or delayed by WAY even in the eventuality that a payment in advance has not 

been received in WAY or in the case of force majeure such as wars, strikes, natural calamity, fires, breakdown or damages 

to the manufacturing facility or tooling, delay in delivery of suppliers to WAY. The eventual suspension of the contract and the 

delay in the delivery terms agreed does not permit cancellation nor does it permit debit notes nor request of damages on 

behalf of the customer. 

5 - SHIPMENT AND TRANSPORT 

The shipment of the goods is done and travels at the risk of the customer. The transfer of the risk is operational in the moment 

that the goods are delivered to the transporter for the shipment and transport of the goods. 

The insurance for the transport can be requested by the customer at his costs and must be indicated in the order confirmation. 

The customer is responsible for verifying the shipment and the transport of the goods at the moment of the receipt of 

goods. In the case of damages, loss, theft or other damages, it is the responsibility of the customer to accept the goods with 

reserve or claim damages indicating this on the transport document that the transporter must sign. 

The reserve or claim must be done by letter by certified mail with return receipt addressed to the shipper and copy sent to 

WAY within 3 days of the receipt of goods. 

6 - NON-CONFORMITY, CLAIMS AND RETURN OF GOODS 

Any claim relating to the non-conformity of goods must be communicated to WAY by means of a certified letter with return 

receipt, within 8 days of receipt of the goods; should there be occult damages, then this goes into effect from the documented 

moment that damages are discovered. As a verification of the rapidity of the communication, the date of the post office 

stamp will be valid. Claims which arrive in WAY beyond the acceptance date will not be accepted. 

It is the customers responsibility to supply the analytical information regarding the non-conformity just as it is the customer’s 

responsibility to abstain from intervening on the goods without authorization and to cooperate with WAY to facilitate the 

verification of the claim in order to find a solution. 

In the same terms foreseen for the claim, the customer can request at his discretion, the authorization to return the defective 

goods. The request for authorization must be transmitted in writing or by fax or e-mail to WAY by the customer. Return of 

goods related to the non-conformity, without previous written authorization by WAY is not accepted. 

Excluded from the procedure of goods return by the customer and the return of goods at customer cost are the following: 

goods that cannot be identified by means of the article number and batch number. 

goods which have been manipulated and/or modified by the customer without authorization. 

goods which are not accompanied by the copy of the authorization to return goods. 

• goods for which the customer cannot exhibit documents that prove that goods have been supplied by WAY. 

The customer is responsible for the shipping risk and costs of returning the goods to WAY. 

In the case that WAY confirms the damages and/or non-conformity of goods, the customer can obtain, at WAY’s discretion, 

the substitution of the goods free of charge, or the re-imbursement of the sum paid. In any case it is excluded the payment 

of damages of any nature and entity.

7 - PAYMENT CONDITIONS 

Payments must be made by the customer at the agreed terms as stated in the order confirmation or the sales contract. 

WAY may grant deferred payments to the customer based on the financial situation of the customer once the interests and 

costs have been determined and guarantees received on the part of WAY. 

WAY reserves the right to modify without forewarning the payment conditions agreed every time there is a modification in the 

motivating conditions, such as any time there is customer orders which present an elevated financial risk for WAY. 

In the case of non-fulfilment of the payments to WAY, WAY reserves the right to cancel in any moment and following written 

communication, transmitted also by fax or e-mail, all sales contract presently valid. 

All costs due to delayed payment will be debited to the customer, including the interests for delayed payment based on current 

interest rates and the valid legislation. 

When the contracts foresees to pay in instalments, we will apply the laws as per art. 1523 and based on the Italian Civil Code 

regarding the sale which reserves the right of property. 

In this case, the lack of payment of a single instalment will result in the customer losing the benefits of the terms and the instalments 

of the supply which are still due become immediately payable. 

8 - PRODUCT INFORMATION 

WAY complies to the product information requirements regarding the technical documentation and the user and maintenance 

manuals supplied with the product. It is the responsibility of the customer to inform their customers regarding proper use 

and safety conditions. 

We also inform that the technical documentation and user manual’s cannot foresee all of the cases and examples of installations 

and product applications; it is thus the responsibility of the customer to contact WAY should supplementary information 

be required. 

9 - TRADEMARK USE 

The customer may not use the WAY logo and the trademark of ASA for any type of activity without previous agreement and 

authorization by WAY respecting the current laws. 

10 - WARRANTY 

The warranty as foreseen in this clause must be applied to products manufactured and sold by WAY from the date of validity 

of the present general sales and warranty conditions. It remains valid, for products manufactured and sold previously and 

until the expiration of the warranty, the warranty conditions for the products manufactured and sold with the trademark 

ASA . WAY guarantees that the products do not have defects related to the materials used, to the engineering and to the 

manufacturing. 

In the case of product defects attributable to materials, engineering and manufacturing, WAY will either substitute or replace 

the material. In the eventuality of a substitution or repair of the products in warranty, the warranty period of the new or repaired 

product terminates on the date regarding the warranty period of the original product. Products manufactured and sold by 

WAY are guaranteed for 5 (five) years, with termination date corresponding to the transport document, or if this is missing, to 

the date of the invoice. 

Products which are judged to be defective must be shipped at the customers expense to WAYSrl, Via C. Bassi 7/A - 40015 

Galliera (BO) Italy. 

WAY has the right to request a copy of the purchase invoice to the customer. 

If the returned products in warranty, following the evaluation on behalf of WAY, result to be defective, WAY will then either substitute 

or repair the goods free of charge. 

Transport costs of the replacement or repaired products will be paid for by WAY. 

If, following the evaluation of WAY, the products are not defective in relation to the materials used, the engineering and manufacturing, 

WAY automatically will repair or return the non- repaired goods. WAY will then inform the customer in writing, by fax 

or e-mail of the eventual costs of the operation. The return of the goods will take place within 1 month from receipt of the communication. 

In the case of a specific shipment, the transport costs will be debited to the customer. 

The warranty does not apply in the following cases: 

• product choice, installation and use of the motor that does not comply to the instructions in the technical documenta 

tion and to the user and maintenance manual supplied with the product. 

Incorrect installation, use and maintenance due to negligence on the part of the customer. 

• Defects due to force majeure such as natural phenomenon’s or due to phenomenon’s which cannot be traced to the 

product. 

Use of the product in combination with inappropriate products and / or components. 

Modifications and disassembly of the product without formal authorization from WAY. 

• 

Lack of following the instructions concerning the use of software applications not included in the product and which 

govern the product. 

The warranty does not cover the costs traced back to the substitution of materials subject to consumption and/or usage, to 

activity of disassembly and re-installation, and to the activity of common maintenance which is the responsibility of the customer. 

The present warranty releases WAY from any responsibility related to products supplied. 

WAY is thus not responsible in relation to costs, accidents, losses and/or damages derived from customers and third parties 

due to the product chosen, installation and use of the product. 

The customer is responsible for the adequacy of the product requested for the use and application for which it is destined and 

he is also responsible, and based on the rights and laws, of the information to their customers. 

11 - APPLICABLE LAW AND JURISDICTION 

For the interpretation and application of the general sales and warranty conditions the laws of the Italian Civil Code will be 

valid. 

The Bologna Court is the competent court for any controversy.
